4 1.0 INVITATION OF BID Dated: - 1 st Aug Tender No.RITES/IT/MPLS/13/2013 Sub: Limited Tender for Establishment, Operation and Maintenance of MPLS Layer 3 Virtual Private Network (VPN) across 13 Locations of RITES offices for a period of 3 years. 1. RITES invite sealed bids in single envelope for Establishment, Operation and Maintenance of MPLS Layer 3 VPN across 13 Locations of RITES offices for a period of 3 years. 2. Sealed bids shall be accompanied by Earnest Money Deposit (EMD) for an amount of Rs. 90,000/-. The EMD should be in the form of a demand draft in favor of RITES Ltd. payable at Gurgaon. 3. The bidder shall qualify the technical criteria as given in section 3.0 of tender document and the bids submitted should have all the supporting documents as mentioned in the tender document. 4. The Bidder shall sign and stamp each page of the bid submitted against subject tender. 5. The bidders shall keep their bid valid for 90 days from the date of opening. 6. On award of contract, the successful bidder shall submit performance guarantee as per clause Bids submitted without the EMD or incomplete bids will be summarily rejected. 8. Vendors are advised to visit RITES office to see the existing setup before submitting their offer. 9. 5 2.0 INTRUCTIONS TO BIDDERS 2.1 Introduction: Sealed bids in single envelope are invited from short listed bidders for Establishment, Operation and Maintenance of MPLS L3 VPN(Virtual Private Network) across 13 locations of RITES offices for a period of 3 years. Details of RITES offices along with required bandwidth are given in Annexure-A Earnest Money deposit (EMD): Sealed bids shall be accompanied by earnest money deposit (EMD) for an amount of Rs.90,000/-. The EMD shall be in the form of a demand draft favoring RITES Ltd., payable at Gurgaon. EMD in any other form will not be accepted. No interest shall be paid on the EMD.Bids not accompanied by EMD shall be rejected. A bidder can withdraw his bid any time prior to the date and time stipulated for the opening of the bids by giving a letter duly signed to that effect at the address mentioned below. The letter should be addressed to AGM (IT), RITES giving reference of the tender number. Withdrawal of bid after opening would result in the forfeiture of EMD. In case the bidder has been selected and duly notified, the EMD shall be forfeited unless he submits Performance Bank Guarantee (PBG) within 15 days of receipt of notification of award. The EMD of successful bidder would be returned after confirmation of PBG by the bank. EMD of unsuccessful bidders shall be returned within 30 days of award of contract to successful bidder. 2.3 Bid submission and Bid opening: The signed tender document and other bid documents along with EMD should be put in an envelope super-scribed with the tender number. The sealed envelope containing the bid document should be addressed to AGM (IT), RITES, III Floor, Right wing, RITES Bhavan, Plot 1, Sector 29, Gurgaon, Haryana Tel: , Fax: The sealed bids shall be dropped in tender box placed on Seat No. L-3-35 at 3 rd floor, IT Division on or before up to 15:00 hours on the last day or submit to Sh. A K Choubey (Seat No. L-3-35) or Sh. A K Bhutani (Seat No. L-3-38) up to hrs on the last day. If the last day happens to be a holiday the bids may be submitted before 15:00 hours on the next working day. Bids received late shall not be accepted. Bid submitted by fax/ shall not be accepted. Bids received will be opened in the presence of bidder s representatives who choose to attend at 1530 hours on the last day of receiving of bids at the same address. Seal & Signature of Bidder 2

6 2.4 Pre Bid Conference RITES will conduct a pre-bid conference for all potential Bidders to clarify the objectives/scope of the work as per the date and time mentioned in section 2.8 and it will be held at: RITES Ltd RITES Bhawan, Plot No 1, Sector 29, Gurgaon, Haryana Bid validity: The bidders shall keep their bids valid for 90 days from the date of opening of bids. 2.6 Bid Preparation cost: RITES will not be liable for any costs or expenses incurred by bidders in connection with the preparation or delivery of bids. 2.7 Acceptance of bids: RITES reserves the right to accept or reject any bid and to annul the tendering process and reject all bids at any time prior to the award of contract, without thereby incurring any liability to the effected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds for this action. 2.8 Time schedule of various tender related events: Tender No. RITES/IT/MPLS/13/2013 Bid calling date 01/08/2013 Pre Bid Conference 12/08/2013 at 11:00 hours Bid Closing date and time 22/08/2013, 15:00 hours Bid opening date and time 22/08/2013,at 15:30 hours 2.9 Amendments to the bidding information: RITES reserve the right to make revisions or amendments to the tender document prior to closing date of the bid. Such revisions or amendments shall be announced by an addendum or addenda on RITES website. Copies of such addenda, which may be issued, shall be furnished to shortlisted firms not later than 5 days before the bid opening date. 7 2.11 Bid Price: The bidder shall quote the total bid price in Annexure A3. The total price shall be inclusive of all taxes, levies and duties and any other charges. The amount of Service tax shall be indicated separately. Arithmetical errors in the bid price if any will be rectified on the following basis:- If there is any discrepancy between the total amount obtained by actual calculation using individual price and the total amount quoted in the price bid then quoted individual price will be considered for arriving at the actual total amount. If there is discrepancy between words and figure, the amount in words will prevail. If a bidder does not accept the correction of errors, its bid will be rejected and bid security (EMD) will be forfeited Evaluation of Bids: Bidder bid will be evaluated on the following basis of: i. The eligibility and qualification criterion set in the tender document. ii. iii. iv. Conformation to the Technical specifications and other terms and conditions as defined in the tender document. On total bid price quoted by the bidder as given in Annexure A3. The bid having qualified the i and ii above and have the lowest total price will be termed as lowest evaluated bidder (L1) and will be awarded the contract Performance Bank Guarantee (PBG): The successful bidder shall execute a PBG (as per format in Annexure A5) for 10% value of Contract within 15 days of receipt of the notification of award of contract. The PBG shall be valid for a period of 60 days beyond the expiry of contract period.failure of the successful bidder to comply with the above requirements shall constitute a sufficient ground for the annulment of the award and forfeiture of the EMD Implementation Period The bidder shall complete Establishment and Operation of MPLS L3 VPN across 13 Locations of RITES offices within 30 days of issue of purchase order. 8 3.0 ELIGIBILITY AND QUALIFICATION CRITERIA : S.No. (a) (b) (c) (d) (e) Qualification Criteria The bidder must have a valid A category license from Government of India. The bidder must be a telecom player providing Data Services. The Bidder network must be TL 9000 or ISO 27001:2005 certified. The bidder should have experience of providing similar services to at least 3 government organizations (Central Govt/State Govt/PSU) in last three years. The network should consist of at least 10 locations. Redundant backhaul OFC connectivity from minimum two different ISP to ensure desired 99.7% uptime at hub location. (f) Bidder NLD backbone shall be established over fiber cable and links based on SDH technology (g) Bidder should not have been blacklisted by any State/Central Govt. or PSU or PSB for any reason Supporting document to be submitted by Bidder Copy of valid class A ISP License. The EMD of Rs. 90,000/- shall be submitted in the form of demand draft in favor of RITES LTD. payable at Gurgaon. EMD in other form will not be accepted. Bids not accompanied with the EMD shall be rejected summarily. B. Tender documents duly signed and stamped on all pages by the bidder C. 9 4.0 SCOPE OF WORK Establishment, Operation and Maintenance of MPLS L3 VPN across 13 Locations of RITES offices for a period of 3 years. The details of RITES offices along with required bandwidth are given in Annexure-A4. The MPLS shall have the following features: The MPLS network should be connected in HUB & Spoke topology. Hub location at Gurgaon (sector 29) shall be connected on dual last mile through optical fiber network from two different ISP. Spoke locations to be connected on fiber/rf media. MPLS network should be extendable to remote users through data card and integrated with secured tunnel network and access to MPLS connectivity only. 5 No(s) of Data Card (Min. 1 MBPS) for remote users for 3 years duration. MPLS network should include last mile connectivity, supply & installation of necessary active & passive components (Routers, Switches, Converters etc.), laying of cable up to ethernet port of central switch and integration with existing LAN/WAN setup in the respective locations of RITES. All necessary clearances shall be the sole responsibility of vendor. Vendors are advised to visit RITES offices to see the existing setup before submitting their offer. All supplied equipment & software shall be maintained by vendor on-site for the entire period of contract. No separate charges shall be payable by RITES. The bidder shall include all incidental cost for upkeep of the equipments and license fee if any in their bid. Seal & Signature of Bidder 6

10 5.0 TERMS AND CONDITIONS 5.1 Contract Period This contract between RITES and Vendor shall be valid for a period of three year from the date of successful implementation of the MPLS connectivity. 5.2 Implementation Period The complete implementation shall will be done within 30 days from the date of purchase order. In case of any delay, RITES will have the right to recover by way of 1% of the contract value per week from this date subject to a maximum of 4% of the said value. If the implementation & commissioning of MPLS services is not completed by the end of 8 weeks from date of purchase order, RITES reserve the right to cancel the purchase order. 5.3 Arbitration The parties shall make their best efforts to settle amicably all disputes arising out of or in connection with this contract or its interpretation. In the event of any dispute or differences relating to the interpretation & application of the provisions of the contract, such dispute or differences shall be referred to the sole arbitrator appointed by RITES Ltd. In this regard, the decision of the sole arbitrator of RITES will be final. The Jurisdiction to decide any dispute arising out of or in connection with this contract shall be in Gurgaon. The proceedings of any such dispute / differences shall be governed by Arbitration or Reconciliation Act Liquidated Damages The vendor shall provide 99.7% uptime for Hub location and 99.5% uptime for spoke locations on a 24 x 7 x 365 basis from RITES terminal point to ISP Location. If the down time is beyond 2% on quarterly basis, deduction shall be made from quarterly charges on pro-rata basis for connectivity down time during the quarter. 5.5 Force Majeure The vendor shall not be liable for imposition of liquidated damages or termination for default, if and to the extent that, its delay in performance or other failure to perform its obligations under the contract is result of an event of force majored. For purpose of this clause Force Majored means an event beyond the control of the vendor. Such event may include, but not restricted to act of the department either in its sovereign or contractual capacity, war or revolution, fires, floods, epidemics, quarantine restrictions, etc. If a force majeure situation arises, the vendor shall promptly notify the client in writing of such conditions and the cause thereof, unless otherwise directed by the client in writing, vendor shall continue to perform its obligations under the contract as far as practical, and shall seek all reasonable alternative means so that the performance is not prevented by the force majeure. 5.6 Payments The MPLS charges will be paid on quarterly basis at the end of each quarter after satisfactory services, on receipt of invoice in duplicate.
