1 INVITATION FOR BIDS Sealed bids from qualified, licensed contractors will be accepted and publicly read on Thursday, February 16,2017 at 10:00 a.m. at the Rockwood Electric Utility (REU) office building, 347 W. Rockwood St., Rockwood TN. for the supplying of services in connection with lawn care maintenance for selected REU facilities. The work to be done consists generally of the supplying of all supervision, materials, labor, tools, equipment and transportation necessary to mow and trim property around offices and electrical substations owned and operated by Rockwood Electric Utility. The use of chemicals is not required within this scope of work. Sealed bids must be submitted to Rockwood Electric Utility at 341 W. Rockwood Street, Rockwood, TN no later than 10:00 a.m. on Thursday February 16. Envelope must be labeled: Attention: Sealed Mowing Bid No bidder may withdraw his or her bid for a period of thirty (30) days after date of actual bid opening without the utility s consent. 2 ROCKWOOD Electric Utility ( REU ) Rockwood, Tennessee Specifications for Lawn Care Services Section 1.0 Scope These specifications require the furnishing of all supervision, materials, labor, supplies, tools, equipment and transportation necessary to mow and trim property around offices and electrical substations owned and operated by Rockwood Electric Utility. The use of chemicals is not required within this scope of work. Section 2.0 Bidder s Qualifications 2.1 Bids will be accepted only from qualified contractors or businesses, experienced in lawn care maintenance and trimming. No bid will be considered from any business unless they are known to be skilled and were previously engaged in work of a character and scope consistent with these bid specifications. The term Contractor is used throughout the remainder of this document for simplicity. 2.2 Bidders must show that their equipment is sufficient and their workload so arranged as to meet the schedules called for by the Contract without the use of subcontractors. In order to aid REU in determining the responsibility of any Bidder, the Bidder shall furnish evidence, satisfactory to REU, of the Bidder s qualifications, experience and familiarity with work of the character specified and his or her financial ability to properly prosecute the proposed work to completion.

3 Section 3.0 Instructions to Bidders 3.1 Bidders shall submit in duplicate this entire specification without the removal of any pages. Bids that are sent by U.S. Postal Service or private carrier shall be clearly marked BID ENVELOPE ENCLOSED. Rockwood St. Rockwood, Tennessee Any bid not conforming to these requirements will not be considered even if opened by mistake. 3.2 Before submitting a bid, each Bidder must visit each property to become familiar with local conditions that may in any manner affect cost, progress, or performance of the work, and carefully correlate the Bidder s observations with the requirements of the Contract Documents.

4 3.3 Each bid shall be carefully prepared in accordance with the Specifications of the Contract Documents. 3.4 Each bid shall be signed by a representative of the Bidder who is authorized to make contractual obligations for the Bidder. 3.5 Bids will be opened as indicated in the Invitation for Bids. 3.6 REU reserves the right to reject any and all bids, waive any and all technicalities therein, disregard all nonconforming or conditional bids, and evaluate and award bids on other than a low bid basis. By submission of a bid, Bidder thereby agrees to these stipulations and will not challenge REU s decisions. 3.7 REU may conduct such investigations as it deems prudent to establish the responsibility of the Bidders. REU s final selection of the best overall bid submitted, as determined solely by REU, shall be based upon factors such as: surveys of current and previous employers; previous work history (if any) with REU; overall quality of equipment and organization; ability to adequately serve REU; etc. 3.8 If the Contract is awarded, REU will give the successful Bidder due notice of award. Work shall commence at the discretion of REU. 3.9 No Bidder may withdraw his or her bid for a period of thirty (30) days after date of actual bid opening without REU s consent REU may elect during the term of this Contract to award additional work via alternative contractual arrangements such as hourly rates or lump sum costs. Nothing contained herein shall be construed as prohibiting REU from awarding such additional contracts as it deems necessary.

5 Section 4.0 General Requirements 4.1 Contractor is an independent contractor and neither Contractor nor any of its employees shall be deemed to be agents or employees of REU. 4.2 Neither Contractor nor any of its employees are entitled to the benefits available to regular employees of the utility. 4.3 Contractor shall observe all generally recognized safety rules, regulations, and methods to prevent injury to all employees and other persons or damage to property of REU or the public arising from its operations. 4.4 Contractor shall immediately notify REU of any irregular situations observed on REU s property. 4.5 Contractor shall promote a drug and alcohol free working environment. Section 5.0 Work 5.1 Contractor shall perform all Work to the complete satisfaction of REU, taking due care of REU employees, customers, and their property. Contractor shall immediately report to REU management any damage done to vehicles or other personal property. 5.2 Contractor shall provide sufficient labor to complete the work. Labor, equipment, etc. used under this contract will be at the Contractor s sole discretion. 5.3 Contractor shall maintain REU s property at each maintained site in a neat and orderly manner; presentable to the public. 5.4 No work is required within the substation fence or around energized parts. However, caution shall be exercised around poles and guy wires located on the property to avoid damage to these facilities and injury to contractor employees. Contractor shall reimburse REU for all damage to utility property (e.g., cut guy or ground wires).

6 Section 6.0 Terms and Conditions 6.1 Date to begin work is estimated to be April 1, Typically, work will be accomplished between April and November of each year. The initial term of this contract shall be for three (3) years. It is the intention of the Utility that all monthly charges for work within this specification remain fixed over the initial three year term of the proposal. 6.2 Subject to the approval by both parties, work under this contract may include a maximum of two (2) additional years beyond the initial term. Charges may be adjusted via negotiation by amounts consistent with the percentage increase in the Consumer Price Index for Urban Consumers (CPI-U) for this area (south region, non-metropolitan, less than 50,000 population) for the latest twelve (12) month period for which the information has been compiled, or in accordance with significant fuel price increases. 6.3 It is expressly understood that either party may terminate this Contract at any time by giving thirty (30) days written notice to the other party. 6.4 The Contractor will be compensated for mowing and other services at the fixed rate(s) designated in Section 7.0 of the bid. Original invoices shall be submitted monthly to REU through its Accounts Payable Department at 341 W. Rockwood Street, P.O. Box 108, Rockwood, Tennessee Original invoices shall be submitted to REU within five (5) days following the last day of each calendar month. REU normally pays on the 10 th of each month. REU will not pay off of faxed copies of invoices. 6.5 Contractor(s) shall keep accurate records of its compensation at its principal office which will be available for audit by REU during regular office hours. 6.6 Contractor acknowledges the REU is exempt from sales or use taxes as a municipality.

7 Section 7.0 Schedule of Charges for Labor & Equipment 7.1 It is estimated that each substation or property will need mowed and trimmed every two weeks unless otherwise specified. Additional mowing may be required during periods of heavy growth. 7.2 The following is a general description of the mowing, trimming, and weed-eating required at each site. A. Accounting Office; 401 W. Rockwood St., Rockwood, TN: Mowing, weed-eating, and other lawn care necessary at this location shall be priced for WEEKLY mowing. Contractor will be aware that maintenance of this property is likely to be discontinued during the life of this contract. A two week notice will be given Contractor upon an REU decision to discontinue maintenance of this site. Cost per month for UNIT A only: B. Customer Service Office; 525 N. Kentucky St., Kingston, TN: Mowing, weed-eating, and other lawn care necessary to maintain grass areas around this building including the narrow sloped strip along the southwest side of driveway. This facility shall be priced for WEEKLY mowing. C. Burke Mill Substation; 305 Burke Mill Road, Rockwood, TN: Mowing in front of substation is required. The ditch line along the road front of the substation and the high bank to the left and behind the substation may require weed-eating from time to time. D. District Substation; 801 N. Kingston Ave., Rockwood, TN: Substation property adjacent to the Rockwood United Methodist Church shall be mowed and trimmed. Weed-eating inside the fence shall also be required.

8 E. Kingston Substation; 1328 Kingston Highway, Kingston, TN: Substation property at the corner of Kingston Highway and Oak Hills Drive shall be mowed and trimmed. F. Buck Creek Substation; 671 Buck Creek Road, Kingston, TN: Mowing in front of the substation is required. Also, areas adjacent to TVA power line and behind the substation are included in this scope of work. Lump Sum Cost per month for units B thru F : 7.3 DUE TO UNIT A BEING TEMPORARY, A GREATER WEIGHT WILL BE GIVEN TO THE LUMP SUM EXPENSE OF UNITS B thru F. Contractor may submit, as an addendum to these specifications, additional rates for hourly work (equipment & labor) that may be required from time to time including costs for landscaping, yard repair, seeding & strawing, etc. These additional rates will not be considered in awarding a contract. Section 8.0 Insurance 8.1 The Contractor shall procure, maintain, and provide at its own expense, during the term of the Contract, a certificate of insurance to REU of the required insurance coverage stated in this section. A certificate of insurance for each policy shall be included with each bid. 8.2 Contractor s Insurance Requirements: (a) General Liability for work being performed shall be a minimum $1 million. (b) Automobile/Vehicle Liability shall be a minimum of $1 million. (c) Worker s Compensation shall be provided for employees of the Contractor in accordance with Tennessee State Law.

9 Section 9.0 Bidder s Statement 9.1 Bidder hereby acknowledges that the Work that he or she has done is of a nature similar in type and size to that contemplated in this bid, the Bidder agrees to comply with all stipulations, conditions, and requirements described herein, and further agrees not to challenge, dispute or make any claim against REU pertaining to any and all decisions made by REU with regard to the awarding of this Contract. 9.2 The full names and addresses of all persons and parties interested in foregoing bid as principals are as follows: Names Addresses Name of Bidder: Authorized Signature: Business Address of Bidder: Business Telephone Number: Date at on the day of

10 EXCEPTIONS Any and all exceptions that Bidder takes to the attached Specifications and Contract Documents shall be listed below even though the exceptions apply or indicate no exceptions.

Also, any additional information the Bidder feels pertinent to the awarding of the Contract shall be listed in this section.
