2 TREE AND BRUSH CLEARING CONTRACT and City & Borough of Sitka, Alaska This tree and brush clearing agreement is entered into between the City and Borough of Sitka, 100 Lincoln Street, Sitka, Alaska herein referred to as City and dba, herein referred to as Contractor. Whereas City has need of tree and brush clearing services in the operation and maintenance of its electric utility system; and, Whereas, Contractor is experienced and capable of performing those services; City and Contractor hereby agree as follows: A. The work. The work consists of providing all necessary equipment and labor to clear brush and trees as directed on an as-needed basis year round, along municipal rights-of-way and along power line easements. The amount of work will be not less than 1,000 man-hours per year. Historically, the City has needed about 2,400 man-hours of tree and brush clearing labor per year. The Contractor will work under the direction of the City Electric Department s Transmission & Distribution System Manager or his designee. Work will be carried out during normal hours, commencing no earlier than 7:00 a.m. nor continuing beyond 6:00 p.m. Overtime will only be as directed by the municipality. Work may include, but is not limited to: 1. Falling danger tress/specific rigging. 2. Slashing with debris left laying 3. Limbing, chipping, and removing debris. Work will be broken up into projects, and an estimate of hours to complete each project will be required. The Contractor shall maintain all equipment in a safe operating condition. Equipment shall be adequate to perform the work as required and consist of at least the following: 1. Power Chipper of a 12 minimum limb capacity.

3 TREE AND BRUSH CLEARING CONTRACT and City & Borough of Sitka, Alaska 2. Pick-up truck for personnel transportation and material removal when necessary. 3. A minimum of four (4) chain saws. 4. Insulated aerial lift truck with a working height of at least 55 feet. 5. Provide flaggers and signs needed for controlling traffic in the work zone and complying with ADOT/PF permit requirements as applicable. B. Payment. Contractor shall be paid at the following rates: Labor, Tree Trimmer Labor, Flagger Aerial Lift Truck, 55 ft. boom Chipper, 12 inch capacity Pick-up Truck Contractor shall be paid monthly upon presentation of proper invoices. Contractor s invoice will identify invoiced cost by project and assigned purchase order number. C. Qualifications. Contractor shall be a qualified line clearance tree trimmer, per ANSI Z , and possess at least five (5) years experience in similar work. Contractor shall be capable of climbing and limbing tress. Contractor must comply with OSHA Regulations, Standards 29 CFR, and ANSI Z and current NESC. Contractor must have knowledge of the municipal electrical system and hazards pertaining thereto, and provide proof of experience in working around energized lines and equipment. This project requires daily contact with the adjacent property owners. Diplomacy and respect for adjacent property owners is required. D. General Conditions. Contractor shall not subcontract or assign any of the work without City s approval.

Contractor shall provide automobile and general liability insurance in the amount of $1,000,000 and workman s compensation insurance. City shall be named as additional insured on such insurance policies and Contractor shall provide to City evidence of such policies no later than thirty days after both parties execute this agreement. F. Liability. The Contractor shall indemnify, defend, save and hold harmless City from any and all claims, lawsuits or liability, including Attorney s fees and costs arising from any wrongful or negligent acts, errors, and omissions of Contractor, its sub-contractors, agents, and employees. G. Contractor s Accounting Records. Records of Contractor s services and reimbursable expenses pertaining to the work shall be kept on a recognized accounting basis acceptable to City and shall be available to City or its authorized representative at mutually convenient times. H. Governing Law, forum, and venue. Unless otherwise specified, the laws of the State of Alaska shall govern this agreement. Forum and venue for any interpretation, construction, or dispute over this agreement shall lie exclusively in the Courts of State of Alaska sitting in Sitka, Alaska. I. Term. This contract shall be for a three-year term, beginning July 1, 2010 and ending June 30, Either party giving ninety days written notice and specifying an effective date may terminate this agreement. 6 INSTRUCTION TO BIDDERS TREE AND BRUSH CLEARING 1. Bidders shall submit their bid on the Bid Proposal Form included in these specifications. All spaces shall be filled in. Each bid must be submitted in a sealed envelope addressed to the Municipal Clerk, City and Borough of Sitka, 100 Lincoln Street, Sitka, Alaska The envelope shall bear on the outside the name of the bidder and his address and be marked as a sealed bid with the date and time of the bid opening. 2. The City may waive any informalities or minor defects or reject any or all bids. Any bid may be withdrawn prior to the scheduled time for the opening of the bids. Any bid received after the time and date specified shall not be considered. No Bidder may withdraw a bid within sixty (60) days after the actual date of opening thereof. Should there be reason why the Contract cannot be awarded within the specified period, the time may be extended by mutual agreement between the City and the Bidder. 3. Bidders must satisfy themselves of the conditions as stipulated in the Agreement. After the bids have been submitted, the Bidder shall not assert that there was a misunderstanding concerning the Agreement. 4. The Contract Documents contain the provisions required for this contract. Information obtained from an officer, agent, or employee of the City or any other person shall not affect the risk or obligations assumed by the Contractor or relieve him from fulfilling any of the conditions of the Contract. 5. The City may make such investigations as he deems necessary to determine the ability of the Bidder to provide the service, and the Bidder shall furnish to the City all such information and data for this purpose as the City may request. The City reserves the right to reject any bid if the evidence submitted by, or investigation of such Bidder fails to satisfy the City that such Bidder is properly qualified to carry out the obligations of the Agreement and to furnish the product contemplated herein. 6. A conditional or qualified bid will not be accepted. 7. Award will be made to the lower responsible Bidder. For the purposes of evaluation for this proposal, the following formula will be utilized: [(Hourly Tree Trimmer Labor Rate) x 2,000 Hours] + [(Hourly Rate for Flagger) x 200 Hours] + [(Hourly Charge for Aerial Lift Truck) x 500 Hours]

7 + [(Hourly Charge for Chipper) x 500 Hours] + [(Hourly Charge for Pickup Truck) x 1500 Hours] = Bid Price for Evaluation. 8. All applicable laws, ordinances, and the rules and regulations of all authorities having jurisdiction over this Agreement shall apply to the Contract throughout. 9. Each Bidder is responsible for reading and being thoroughly familiar with the Contract Documents. The failure or omission of any Bidder to do any of the foregoing shall in no way relieve any bidder from any obligation in respect to his bid. 10. The low Bidder shall supply the names and addresses of major material suppliers and subcontractors upon request of the City. The contractor shall be experienced with similar projects. Examples of previous work shall be supplied upon request. 11. The Bidder must acknowledge receipt of all Addenda on the form and in the spaces provided in these documents. 12. This invitation to bid is to provide all labor and equipment necessary to perform tree and brush clearing along the municipal roadway rights of way and power lines.
