70 REQUEST FOR QUALIFICATIONS FOR ENGINEERING SERVICES LAKESHORE RANCH COMMUNITY DEVELOPMENT DISTRICT The Lakeshore Ranch Community Development District ( District ), located in Pasco County, Florida, announces that professional engineering services will be required on a continuing basis in connection with the operation of the District s capital improvement plan, as provided for under Chapter 190, Florida Statutes. The engineering firm selected will act in the general capacity of District Engineer and provide District engineering services, as required. Any firm or individual ( Applicant ) desiring to provide professional services to the District must: 1) hold applicable federal, state and local licenses; 2) be authorized to do business in Florida in accordance with Florida law; and ( 3) furnish a statement ( Qualification Statement ) of its qualifications and past experience. Among other things, Applicants must submit information relating to: (a) the ability and adequacy of the Applicant s professional personnel; (b) the Applicant s willingness to meet time and budget requirements; ( c ) the Applicant s past experience and performance, including but not limited to past experience as a District Engineer for any community development districts and past experience in the area; (d) the geographic location of the Applicant s headquarters and offices; (e) the current and projected workloads of the Applicant; (f) the volume of work previously awarded to the Applicant by the District and (g) proposed billing structure (i.e. fixed fee or hourly rate). The Applicant will be required to attend the monthly meetings of the Board of Supervisors. The District will review all Applicants and will comply with Florida law, including the Consultant s Competitive Negotiations Act, Chapter 287, Florida Statutes ( CCNA ). All applicants interested must submit eight (8) copies of the Qualification Statement by on to the attention of Patricia Comings-Thibault, District Manager,. The Board shall select and rank the Applicants using the requirements set forth in the CCNA and the evaluation criteria on file with the District Manager, and the highest ranked Applicant will be requested to enter into contract negotiations. If an agreement cannot be reached between the District and the highest ranked Applicant, negotiations will cease and begin with the next highest ranked Applicant, and if these negotiations are unsuccessful, will continue to the third highest ranked Applicant. The District reserves the right to reject any and all Qualification Statements. Additionally, there is no express or implied obligation for the District to reimburse Applicants for any expenses associated with the preparation and submittal of the Qualification Statements in response to this request. Any protest regarding the terms of this Notice, or the evaluation criteria on file with the District Manager, must be filed in writing, within seventy-two (72) hours after the publication of this Notice. The formal protest setting forth with particularity the facts and law upon which the protest is based shall be filed within seven (7) calendar days after the initial notice of protest was filed. Failure to timely file a notice of protest or failure to timely file a formal written protest shall constitute a waiver of any right to object or protest with respect to aforesaid Notice or evaluation criteria provisions. Any person who files a notice of protest shall provide to the District, simultaneous with the filing of the notice, a protest bond with a responsible surety to be approved by the District and in the amount of Ten Thousand Dollars ($10,000.00). 75 LAKESHORE RANCH COMMUNITY DEVELOPMENT DISTRICT FIELD SERVICES AGREEEMENT This Lakeshore Ranch Community development District Field Services Agreement, is made and entered into as of the 1st day of April, 2018, by and between the Lakeshore Ranch Community Development District, (the "District") whose mailing address is Amberly Drive, Suite 175, Tampa, Florida and DPFG Field Services, Inc. (the "Manager"), whose mailing address is 250 International Parkway, Suite 280, Lake Mary, Florida BACKGROUND INFORMATION: The District desires to employ the services of the Manager for the purpose of providing non-exclusive field services for the Lakeshore Ranch Community Development District, as required to meet the needs of the District during the contract period, and the Manager desires to assist the District with such matters. OPERATIVE PROVISIONS NOW, THEREFORE, in consideration of the mutual covenants and agreements expressed herein the parties agree as follows: 1. The District hereby engages the Manager for the services (the Scope of Services ) described below: Schedule District vendors, inspect their work, and prepare written report to Board of Supervisors, Interact with residents on District s rules and regulations concerning District common areas, Address resident concerns related to District physical environment, such as turf care and mowing, landscape and pond maintenance, Coordinate general security within the District, Manage Request for Proposals (RFP/RFI s) for ongoing District maintenance and operation contracts, and Maintain relationship follow up with interested residents about District operations. 2. The Manager shall provide the services described in the Scope of Services at no charge to the District (the Fee ). Any additional charges for miscellaneous costs must be approved by the District in advance. The District may reduce or withhold any payment for any costs that the District incurs as a result of the Manager s failure to comply with the terms of this Agreement or for any portion of the Scope of Services that were not performed by the Manager. { DOC/} Page 1 of 4

Subject to the provisions for termination as set forth below, the initial term of this Agreement shall begin on April 1, 2018 and end on March 31, The Agreement may be terminated by either party, for any reason, upon fourteen (14) days written notice provided; however, should this Agreement be terminated, Manager will take all reasonable and necessary actions to transfer all the books and records of the District in his possession in an orderly fashion to the District or its designee. At the end of the initial term of this Agreement, the Manager shall continue to provide the services to the District until terminated by either party, for any reason, upon fourteen (14) days written notice. 4. The Manager shall devote such time as is necessary to complete the duties and responsibilities assigned to the Manager under this Agreement. 5. The Manager shall indemnify and hold harmless the District from and against any and all liabilities, claims, losses, actions, damages, judgments, costs and expenses of whatever nature, including counsel fees and costs, incurred by reason of or arising out of any injury to or death of any person(s), damage to property, loss of use of any property, violations of law, or otherwise in connection with: (i) the negligent acts or omissions of the Manager or its related parties relating in any way to the performance or nonperformance, as the case may be, of the services in connection with the Agreement or (ii) the failure by the Manager to comply with the requirements or provisions of the Agreement. 6. Prior to commencing the services under this Agreement, at all times during the term of this Agreement, the Manager shall maintain in full force and effect, at the Manager s expense, the following insurance: (i) Workers Compensation insurance as required by applicable law, (ii) Commercial General Liability insurance, including personal injury, with limits not less than one million dollars ($1,000,000) per occurrence, and (iii) Errors and Omissions insurance with limits not less than one million dollars ($1,000,000). Manager shall require the insurers to give the District at least thirty (30) days prior written notice of modification or cancellation, and shall provide that the District be named as a named additional insured. Upon execution of this Agreement, and thereafter from time to time upon request by the District, Manager shall provide the District with a certificate evidencing such insurance. 7. The Manager represents that it presently has no interest and shall acquire no interest either direct or indirect, which would conflict in any manner with the performance of services required hereunder, as provided for in the standard set forth in Section , Florida Statutes. The Manager further represents that no person having any interest shall be employed for said performance. 8. The Manager hereby represents and warrants that it has and will continue to conduct its business activities in a professional manner and that all services shall be performed by skilled and competent personnel to the highest professional standards. 9. This Agreement shall be governed by the laws of the State of Florida. Any and all legal action necessary to enforce the Agreement will be held in Pasco County, Florida. No remedy herein conferred upon any party is intended to be exclusive of any other remedy and each and every such remedy shall be cumulative and shall be in addition to every other remedy given hereunder or now or hereafter existing at law or in equity or by statute or otherwise. 77 partial exercise by any party of any right, power, or remedy hereunder shall preclude any other or further exercise thereof. 10. In any action brought by either party for the enforcement of the obligations of the other party, the prevailing party shall be entitled to recover reasonable attorney's fees and costs. 11. All notices required in this Agreement shall be sent by certified mail, return receipt requested, to the following parties: DPFG Field Services, Inc. 250 International Parkway, Suite 280 Lake Mary, Florida and Lakeshore Ranch Community Development District Amberly Drive, Suite 175, Tampa, Florida with a copy to: Straley Robin Vericker 1510 W. Cleveland Street Tampa, Florida Attn: John Vericker, Esq. 12. As required under Section , Florida Statutes, Manager shall (a) keep and maintain public records that ordinarily and necessarily would be required by the District in order to perform the service, (b) provide the public with access to public records on the same terms and conditions that the District would provide the records and at a cost that does not exceed the cost provided by law, (c) ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law, (d) meet all requirements for retaining public records and transfer, at no cost, to the District all public records in possession of the Contractor upon termination of this Agreement and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to the District in a format that is compatible with the information technology systems of the District.
