3 Section I: Introduction The purpose of this request is to select a Design Build Construction Manager (DB/CM) for a new structure to be built in Port Au Prince, Haiti. The structure will consist of a new concrete frame with a light infill enclosure and screening systems. By utilizing extensive passive sustainable design strategies the project will allow the structure to be fully operational without any utility connections. Hellmuth Obata & Kassabaum (HOK) has been retained as the design Architects and is currently developing the project design approach. Project Haiti, LLC. hereafter referred to as Developer, on behalf of and for the benefit of Fondation Enfant Jesus hereafter referred to as the Owner, is soliciting proposals from interested Constructors to find a qualified firm to complete the described project. Selection of vendors shall be based on the evaluation of the responses by Project Haiti LLC, Fondation Enfant Jesus and HOK. Based on that evaluation, a constructor will be selected for the project. The project consists of two phases - The first phase of the project will be to demolish the existing earthquake damaged building and prepare the site for new construction. The second phase consists of the construction of a new 3 story building of approximately 8,000 SF. Because of the complexity of construction in Haiti, and the requirements of meeting and surpassing LEED Platinum, this will be a challenging engagement. The approved Constructor will be provided with a Revit Model (in metric with English annotation) from HOK that will permit the Constructor complete design documents suitable for bidding and construction in Haiti, and then construct that project. Proposals will consist of an electronically delivered ~20 page PDF (<9 Megabytes) no later than Friday, March 2, 2012 at 4:00 PM Eastern Standard Time. 1.3 General Description of Project The Project is funded through private contributions. The construction budget has been established at < $750, (USD) and will also include considerable non- monetary donations. A number of construction and material firms have been organized to provide in- kind services, donated materials and equipment thus this construction dollar amount is not a complete indicator of the extent of the project. The Project Scope for the DB/CM is not limited to, but will include: Design Completion From initial design provided, complete the detailing of the structure and architectural work for a complete set of documents that will be used for local authorities review and for bidding processes. Final Structural Design and documentation. Final MEP design and documentation. Translation of the documents into French and complete metric dimensioning. HOK / Developer periodic and final review documents for Design intent. Construction Management Cost management of the project to meet budget. Site Supervision and on site Construction Management. Site security. Management and training of local workers in the new technologies. Tours of the structure under construction for local design and construction firms. Locally sourcing materials for installation in the building. Logistical coordination, shipping and security of overseas materials delivered by container to PaP. Startup and Maintenance training for Fondation Enfant Jesus staff. Demolition of the existing two story, earthquake damaged concrete structure and associated site work Inventory and removal of material tracked for LEED demolition credits. 21 FEB 2012 Page 3 of 12

4 Storage of salvaged items to be reused. Construction of the new 8,000 SF (745 Square Meter) building Construction will consist of a 3 story building with a concrete structure. Lightweight infill for exterior walls. Metal roof with thin film PV attached. Fenestration with operable jalousie windows, and screening. Sun screens attached to the structure (bamboo infill with steel frame, or other locally sourced material s). Water collection system, including cistern in the basement, filtering and purification system in the lower level with a grey water loop for toilet flushing and irrigation, and bio- digester for waste disposal. Electrical system powered by biodiesel generator / PV / Wind system. Low power lighting system. Integration system to have balanced power provided to the building. Wind Turbine with tower and generator installation. Full Kitchen and Toilets All finishes throughout the structure. Provide LEED Credentialed personnel for LEED Platinum Certification documentation of all construction credits and management of the process. Best efforts to utilize customary US building practices and meet US building standards A complete list of donated materials and in- kind services will be provided to the successful DB/CM at the time of agreement. To give a general understanding of the types of items that will be provided (the following list is not comprehensive, but offered in order to give the proposers an idea of the types of consultants and items that will require coordination): Commissioning Services Ceiling Fans Flooring material s Toilet fixtures / digesting toilet. Photovoltaic Panels Biodiesel Generator Wind Turbine 1.5 Completion Date The Project is currently in the Design Development Phase with HOK. Final completion of all work is approximately 12 to 14 months after the date of the construction contract Notice to Proceed letter, but actual schedule is to be determined by the successful DB/CM. 1.6 Selection Timetable: Following is Developer s intended schedule for the RFP and procurement process to obtain qualified contractors for construction services. The Developer reserves the right to modify this schedule as necessary. 6 Section II: Proposal Preparation 3.1 General Information Proposals shall be clear, concise, and follow the format detailed in this RFP and the AIA Qualifications form attached. Proposals that are difficult to follow or that do not conform to the RFP format or submittal specifications may be rejected. In order to be considered for award of work on the project, companies responding to the RFP ( Respondents ) shall include required information requested in this RFP. Developer reserves the right to reject a proposal if required information is not provided or is not organized as directed. Developer reserves the right to change any provision in this RFP, provided all vendors are notified of the change(s). This Request for Proposal does not obligate Developer to award a contract or complete the Project, and Developer reserves the right to cancel the solicitation if it is considered to be in its best interest. A. This document, including attachments, constitutes a formal Request for Proposal (RFP) and is a competitive procurement. Therefore, the Respondent shall carefully follow the instructions herein to be considered fully responsive to the RFP. Developer reserves the right to reject a proposal that is determined to be incomplete or which does not follow the required structure and format. However, when such statements, omissions or deviations are inadvertent in the opinion of Developer, Developer further reserves the right to waive them as informalities. B. Developer, Owner, HOK and their representatives will evaluate information received during discussions with Respondent, Respondent s Proposal and other pertinent information based on the submittal requirements and criteria as determined by Developer, Owner and HOK, in their sole discretion, and using evaluation procedures that allow tailoring of the evaluation using weighted factors and criteria. Legal counsel and consultants may participate in the evaluation process. Respondents proposals will be reviewed for responsiveness to the RFP, and for clarity and conciseness of the information presented. Responses will be evaluated based on the components and features of the proposal, and in consideration of the RFP s stated goals and objectives. C. A single hardcopy of the signed proposal shall be sealed in mailing envelopes or packages with the Respondent s name and address clearly written on the outside. The proposal shall be signed in ink by an authorized member of the company. Proof of authority of the person signing shall be furnished upon request. Respondents proposals will remain valid for one hundred eighty (180) days after the date of submission; prices and terms of accepted proposal(s) shall be valid as stated in the Respondent s proposal for the length of a resulting contract. D. All costs incurred by a Respondent in replying to this RFP shall be borne by the Respondent. Proposals made in pencil shall be rejected. Alterations in cost figures used to determine the lowest priced proposal shall be rejected unless initialed in ink by the person responsible for or authorized to make decisions as to the price quoted. Proof of authorization shall be provided upon request. The use of white out is considered an alteration. E. Developer reserves its right to: 1. Reject any and all proposals received in response to this RFP. 2. Select, for contract negotiation, a proposal other than the one with the lowest cost. 3. Waive or modify any informalities, irregularities, or inconsistencies in proposals received and/or accept a late written modification requested by Developer if the proposal itself was submitted on time and if the modified proposal is more favorable to Developer. 4. Negotiate any aspect of the proposal with any Respondent and negotiate with more than one Respondent at the same time. 5. Select more than one Respondent. 21 FEB 2012 Page 6 of 12

7 6. Developer s evaluation process may include interviews with some Respondents who have been shortlisted after review of proposal documents. F. Any verbal explanations, instructions or discussion of any aspect of this RFP provided to a Respondent before the award of a contract shall not be binding. Respondents with questions regarding this Request for Proposal shall submit those in writing by electronic mail (do not fax) to the noted contact person listed in 3.2. A dated addendum will be issued to respond to any questions or clarifications that are discussed in the proposal meetings or process, and will become part of the understanding of scope. G. Respondents may propose additional tasks, activities, or alternative suggestions if they will substantially improve the results of the Project. These items shall be separated from the required items on the cost proposal. Creativity in response to the challenging aspects of this project is expected and will be necessary to successfully complete the work. H. Neither this RFP nor a Respondent s response to this RFP grants any rights of ownership, licenses, or any other intellectual property rights. A response shall not be construed as creating any agency, partnership, joint venture, or any other such relationship with Developer, Owner, HOK or any of their affiliates. Neither participation in this RFP process, nor disclosure of, or Developer/Owner/HOK s receipt of, any of Respondent s proprietary information shall constitute or imply any promise or intention by Developer/Owner/HOK to negotiate or to enter into a business arrangement with a particular Respondent or any respondent whatsoever. 3.2 Contacts Requests for information or clarification by Respondents shall be received no later than date indicated in the schedule. Written questions or communications with Developer regarding this RFP shall be submitted via e- mail. Questions shall include the name of the questioner and a phone number, mailing address, and e- mail address for confirmation. Both questions and answers will be posted on the website for all Respondents to view and no anonymous questions will be answered. All communication shall clearly state the appropriate RFP reference (i.e. subject plus page and section numbers) and shall generally state the contents of the communication (for example, RFP Questions ) on the outside of the envelope or at the top of the . Any not including this designation will be assumed to be general mail, and may not receive priority attention. If appropriate, a change responding to questions or communications may be issued by Developer in the form of an addendum to the RFP. No other communications shall be of any effect in changing or amending this RFP. 8 To be considered, proposals shall be received at the address identified above no later than the noted date. Submission by fax or other electronic transmission is unacceptable and proposals submitted by these means shall not be considered. Developer assumes no responsibility for delays in the or electronic systems. Proposals received after the deadline will not be accepted or considered. Late proposals will be logged as to date/time received and returned to the Respondent. 3.4 Quantities In addition to the PDF ed, each Respondent shall provide one signed original copy, via courier or mail, of its entire submission including all attachments. 3.5 Binding All copies of proposals shall be submitted as PDF as noted above. All pages shall be sequentially numbered within each section (1.1, 2.1, etc.). Include a detailed index, or hyperlinked for easy reference to the proposal. 3.7 Qualifications Content Proposals shall include the following minimum contents: A. A brief statement of the objectives, goals, and tasks to demonstrate the Respondent understands of the Project and to highlight their approach to the work. B. An outline of the Respondent s background and experience, with emphasis on local, federal conditions on the ground in Haiti and the unique challenges operating in- country, as well as experience with LEED certified projects. Identify personnel proposed to conduct the Project, with details on their training and work experience, and identify those personnel holding LEED professional credential(s). No change in personnel assigned to the Project shall occur without the approval of Developer. C. Required Respondent Statements or Attestations END OF SECTION III. 1. A statement that no attempt has been or will be made by the Respondent to induce any other person or firm to not submit a proposal. 2. A statement on the RFP proposal sheet listing all addenda, if any, received by the Respondent. 3. A statement that the Respondent has sole and complete responsibility to provide all services described in this RFP, 4. A statement that the Respondent has been a member of the U.S. Green Building Council, Inc. for at least the prior two years. 5. A statement that no contingency fees have been paid for purposes of securing this pre- qualification. 6. A certification by an appropriate corporate official other than the signer of the proposal that the official signing this proposal has the authority to obligate and bind the corporation to the terms, conditions, and provisions of the RFP and that the information provided will remain valid for at least one hundred eighty (180) days after the due date for receipt of the Proposal. 7. At least one references from Haiti- based projects with whom Respondent has worked. 21 FEB 2012 Page 8 of 12

9 Section IV: Proposal Evaluation 4.1 General All proposals received by the deadline noted above will be evaluated by representatives of Owner, Developer and HOK. In some instances, an interview may be part of the evaluation process. Developer reserves the right to determine a date on which selected finalists will be invited to participate in an interview. Developer does not agree to reach a decision by any certain date; however, it is intended that the evaluation and selection will be completed within 20 business days after the RFP deadline. The intent of these evaluation criteria is to assist the proposers in making their response as concise and clear as possible. This document should be considered as a description of how one would go about this project and how your firm would approach it, and with what staff and why. Factors on which proposals will be judged include, but are not limited to: 4.2 Criteria 1. Completeness, detail, and thoughtfulness of response as reflected by proposal coverage of all elements of work listed in Section II. 2. Experience of the proposing Respondent, including but not limited to experience in constructing LEED certified project as well as experience in constructing projects in Haiti. 3. Approach and special services, benefits, or advantages to Developer. 4. Cost in relation to level of services to be provided. 5. Current and immediate two year prior membership in the U.S. Green Building Council. 6. Maintenance of local Haiti based physical office. Criteria described as follows, based upon the point scale below, will be used by Developer, Owner and HOK to evaluate Respondent proposals. The evaluation may include Respondent interviews and requests for additional information, and will focus on the specifics of the Respondent s approach. MEMBERSHIP IN This is a condition precedent. Only proposals from Respondents that are currently and have been members of the U.S. Green Building Council since at least January 2010 will be considered. MAINTAINS A PHYSICAL OFFICE IN HAITI This is a condition precedent. Only proposals from Respondents maintaining a physical office located in Haiti will be considered. COMPANY PROFILE - 10 points (2 pages) The Respondent shall submit a company profile. Factors favorable to a Respondent will be stability of the Respondent s business and greater length of experience, including specific experience with Haiti, and other environments that would contribute to the Respondent s performance on this Project. Factors unfavorable to a Respondent would be civil or criminal judgments or financial defaults that would affect the Respondent s performance or failure to complete projects. COST AND QUALITY CONTROL - 25 points (4 Pages) The Respondent shall propose a total construction cost and cost allocation by CSI division. A proposed fee basis for their services shall be included. Developer recognizes that this allocation will exceed the construction dollar amount, as it will not consider the in- kind services or products to be provided by Developer. Respondent must provide that it understands the scope and nature of this project, that it can provide the indicated project, at the cost noted (in USD) 21 FEB 2012 Page 9 of 12

10 and that it will provide transparency of accounting of project costs and expenses to the Developer/Owner so that they can be evaluated on an ongoing basis as the project is delivered. The Respondent shall provide a brief narrative on: a) safety and quality control generally, b) specific quality control operating procedures, and c) use of information technology. A factor favorable to a Respondent is its ability to demonstrate an approach that serves the interests of Developer on this Project, and which the Respondent has used successfully on other projects. Another factor favorable factor would be the Respondent s use of state- of- the art information technology to perform its project duties as well as to communicate from Haiti. STAFFING - 20 points (4 Pages) The Respondent shall list the members of its team that will be assigned to the Project, their planned responsibilities on this Project, and the anticipated percentage of time each will be used during specified portions of the Project schedule. The Respondent shall attach summary resumes of all team members, state the years of each with the company, qualifications and special expertise, including LEED professional credentials, and specific experience with LEED projects similar to the one that is the subject of this RFP. Respondents should highlight individuals experience if performed under a previous firm. Factors favorable to a Respondent are the assignment of experienced and highly qualified team members with substantial expertise on similar projects. RELEVANT TEAM EXPERIENCE WITH SIMILAR PROJECTS - 25 points (6 Pages) The Respondent shall provide a summary (six pages maximum) of its experience with a minimum of 3 projects of similar nature and scope to the Project, specifically stating project description, scale and complexity, and geographic location of each. The summary should include the following: 1. Projects that were LEED certified, in particular Platinum. Projects that sought a high degree of sustainability. 2. Projects that were done in Haiti or Dominican Republic. 3. List members of your proposed team for the present Project that worked on these project(s) and their roles/responsibilities. 4. List specific issues that arose in the performance of the construction and the response of the team. 5. List references for each project that can currently be reached. PROJECT APROACH, METHODOLOGY, AND WORK PLAN - 20 points (6 Pages) The Respondent should describe its understanding of the Project and its approach and methodology to provide the noted services. A schedule should be proposed, as well as any novel approaches that may be considered to implement the work. Describe whatever difficulties or challenges the Respondent foresees in providing services to Developer on this Project, how it expects to manage these challenges, and what assistance it will require from Developer for such management. Additionally, the Respondent should describe any special services, characteristics, or generally other benefit or advantage to Developer in selecting the Respondent for the Project. 11 Section V: General Requirements 5.1 Owner s Right to Amend RFP Developer reserves the right to amend any segment of the RFP prior to its announcement of a successful Respondent and award of contract. If a change occurs in Owner s requirements resulting in a decision to modify the RFP scope of work or statement of requirements, such change will be communicated in writing as an addendum to the RFP provided to all prospective Respondents. In the event of a material change, all Respondents will be afforded the opportunity to revise their proposals to accommodate the RFP amendment. Any addenda to this RFP will be sent by Developer to Respondents by mail or . Respondents shall be responsible to meet the requirements of all addenda and shall acknowledge receipt of all addenda on the RFP proposal form. To receive addenda and other information pertaining to this RFP, all Respondents must contact HOK as set forth in Section 3.2 and ask to be placed on the official list of Respondents; each Respondent shall designate a single mailing and/or address for all such mailings. 5.2 Affidavit of Non- Collusion As a condition of award of contract, the selected Respondent(s) (if any) shall complete a an Affidavit of Non- Collusion provided by Developer. 5.3 Conflicts of Interest Each Respondent shall provide a list of all entities with which it has relationships that create, or appear to create, a conflict of interest with the work that is contemplated in this RFP. The list shall indicate the name of the entity, the relationship, and a discussion of the conflict. 5.4 Disposition of Responses All materials submitted in response to this RFP will become property of Developer. 5.6 Form of Contract between Owner and Respondent The contract between the selected Respondent and Developer will be in the form of AIA A and General Conditions of the Contract B , or other mutually agreed upon international contract Insurance Requirements If selected, Respondent shall be required to show, and shall not commence Work, until it has obtained all insurance required as described below, and such insurance has been approved by Owner: Contractor shall procure and maintain, for the life of the Contract, and for a period of at least one year following completion, insurance policies, including any amendments or additional insurance required as follows: Workers Compensation Insurance: The Contractor shall provide workers compensation insurance for all Contractor employees and, in case any work is subcontracted, the Contractor shall require the following for any employees that are working in the United States: 1. Coverage B: Employers' Liability, at limits of not less than $100,000 bodily injury by disease per employee; $500,000 bodily injury by disease aggregate; and $100,000 bodily injury by accident. 2. Coverage C: All States coverage. 3. If applicable, USL& H. Maritime, Voluntary, and Foreign coverage. Evidence of Subcontractors insurance shall be filed with Contractor. 21 FEB 2012 Page 11 of 12

12 END A. Commercial General Liability: The Contractor shall maintain insurance protecting the Contractor from claims for damages for bodily injury, including sickness or disease, death and for care and loss of services as well as from claims for property damage including loss of use which may arise from operating under this Contract whether such operations be by the Contractor or by a subcontractor of the Contractor or by anyone directly or indirectly employed under this Contract. Unless otherwise specified within this Contract, the Contractor s insurance minimum amounts shall be as follows: 1. $1,000,000 - per occurrence 2. $5,000,000 - annual aggregate 3. $5,000,000 - annual aggregate applying to Products/Completed Operations In addition, the following coverages shall be included: Premise and Operations Bodily Injury and Property Damage Personal Injury and Advertising Injury Products and Completed Operations Liability Blanket Contractual Liability Independent Contractors (let or sublet work) Name the Owner, Developer, HOK, officers and employees of the companies and its agents, as Additional Insured B. Business Automobile Liability: The Contractor will be required to maintain insurance protecting the Contractor from claims for damages for bodily injury as well as from claims for property damage resulting from the ownership, operation, maintenance or use of all owned, hired, and non- owned autos which may arise from operations under the contract, and in case any work is subcontracted, the Contractor will require the Subcontractor to provide Commercial Automobile Liability. Unless otherwise specified within this Contract, the Contractor insurance minimum amounts shall be as follows: 1. $1,000,000 - per occurrence Combined Single Limit for Bodily Injury and Property Damage In addition, the following coverages shall be included: Owned, Hired and Non- owned Name the Owner, Developer, HOK, officers and employees of the companies and its agents, as Additional Insured C. Additional Insurance Conditions: Contractor s policy(ies) shall be primary insurance to any other valid and collectible insurance available to Developer with respect to any claim arising out of Contractor s performance under this contract; Contractor will provide Developer with thirty (30) days advance notice of cancellation, non- renewal, or reduction in limits of coverage or other material change; Contractor is responsible for payment of contract related insurance premiums and deductibles; If Contractor is self- insured, a Certificate of Self- Insurance must be attached; Include legal defense fees in addition to its liability policy limits, and Obtain insurance policies from an insurance company having an AM BEST rating of A- (minus); Financial Size Category (FSC) VII or better, and must be authorized to do business in Haiti. 21 FEB 2012 Page 12 of 12
