The demands for these items are reviewed on an annual basis. This contract will provide firm prices for a four-month period, expiring August 14, The contract may be extended for an additional twelvemonth period if mutually agreed to and all terms and conditions remain the same. The Board attorney has reviewed this contract. This item supports Focus Area #2 of the School Board's Strategic Plan and is beneficial to the students because it will provide additional choices and increased participation in the food services program. ALTERNATIVES: 1. Approve the recommendation to award and execute the attached Contract #3882PB Ice Cream and Frozen Specialty Product Services Piggyback per the School Board of Volusia County Bid #SWC-400RJ with DeConna Ice Cream Company, Inc. located in Reddick, FL. 2. Do not approve and do not execute the Contract #3882PB Ice Cream and Frozen Specialty Product Services Piggyback per the School Board of Volusia County Bid #SWC-400RJ with DeConna Ice Cream Company, Inc. located in Reddick, FL. RECOMMENDATION: I recommend that the Board approve and execute the attached Contract #3882PB Ice Cream and Frozen Specialty Product Services Piggyback per the School Board of Volusia County Bid #SWC-400RJ with DeConna Ice Cream Company, Inc. located in Reddick, FL. FISCAL IMPACT: Approval to award this contract will provide the Food Services Department with a contract, at competitively bid prices, which will enable them to supply the various schools within the District with Ice Cream Products. Based upon the quantities estimated to fulfill these needs during the 4-month term of this contract, the total financial impact to our district will be $33, and will be funded through the Food Services General Operating funds. 10 AGREEMENT FOR ICE CREAM AND FROZEN SPECIALITY PRODUCTS SERVICES ~!J~.. ~ f) THIS AGREEMENT is made as of the / '-1 day of~, 2014, between The School Board of Lake County, Florida, whose address is 201 West Burleigh Boulevard, Tavares, Florida (hereinafter referred to as the "SCHOOL BOARD") and DeConna Ice Cream Company, Inc., whose address is 6300 West Hwy 318, Reddick, Florida (hereinafter referred to as the "CONTRACTOR"). WITNESSETH: and WHEREAS, the SCHOOL BOARD desires to obtain Ice Cream and Frozen Specialty Products; WHEREAS, the School Board of Volusia County, Florida, (hereinafter referred to as "VOLUSIA"), publiely submitted BID-#SWC-400RJ on July 2, 2013 (the "BID"); and WHEREAS, the BID did seek proposals from firms or individuals qualified to deliver and provide Ice Cream and Frozen Specialty Products under a contract for VOL USIA; and WHEREAS, VOLUSIA approved and awarded the contract for said services under the BID to CONTRACTOR; and WHEREAS, the SCHOOL BOARD desires that the CONTRACTOR provide the same services for the SCHOOL BOARD under the same terms and conditions, and upon the same pricing arrangement as agreed upon for VOL USIA in its BID; and WHEREAS, the CONTRACTOR is qualified, willing, and able to provide and perform the services required under the BID for the SCHOOL BOARD. NOW, THEREFORE, in consideration of the mutual benefits accruing to the parties to this Agreement, and for other good and valuable considerations, the receipt and sufficiency which are hereby acknowledged, the parties agree as follows: 1. Recitals. The above recitals are true and correct and by reference are incorporated herein and made a part hereof. 2. Scope of Services. CONTRACTOR shall provide Ice Cream and Frozen Specialty Products on behalfofthe-school BOARD, in accordance with VOLUSIA BID #SWC-400RJ. Nothing herein shall limit the SCHOOL BOARD'S right to obtain proposals or services from other contractors. 3. Insurance. CONTRACTOR shall meet or exceed the insurance requirements of VOL USIA BID #SWC-400RJ. 4. Payment. Payment shall be made to CONTRACTOR in the amounts and in accordance with VOL USIA BID #SWC-400RJ. 5. Term. The term of this Agreement shall be consistent with the term of the Agreement entered into between CONTRACTOR and VOLUSIA under BID #SWC-400RJ. 6. Incorporation. The terms and conditions of the contract between CONTRACTOR and VOLUSIA and the BID are incorporated herein and made a part hereof.
11 7. Public Records Retention. CONTRACTOR shall keep and maintain public records that ordinarily and necessarily would be required by SCHOOL BOARD in order to perform the services being provided by CONTRACTOR herein. CONTRACTOR shall provide the public with access to public records on the same terms and conditions that the SCHOOL BOARD would provide the records and at a cost that does not exceed the cost provided in Chapter 119, Florida Statutes. CONTRACTOR shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law. CONTRACTOR shall meet all requirements for retaining public records and transfer, at no cost, to the SCHOOL BOARD all public records in possession of the CONTRACTOR upon termination of this Agreement and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to the SCHOOL BOARD by CONTRACTOR in a format that is compatible with the information technology systems of the SCHOOL BOARD.
