1 Southwestern Public Service Company Schedule 1-3 Page lof l Sponsors: Klein, Romer Fuel and Purchase Power Committees Transaction Review Committee Frequency of Meetin : Weekly Specific Committee Responsibilities: The Transaction Review Committee ("TRC") membership consists of the Vice President ("VP") of Commercial Operations, the VP, Chief Risk and Audit Officer, the Senior Vice President ("SVP") & Controller, the Senior Utility Accounting Director and an Assistant General Counsel. The TRC members are supported by various staff members reporting to them as needed. Teleconferences are scheduled once each week (if there are agenda items) for the purposes of reviewing significant wholesale purchases and sales of electricity, natural gas, coal and other fuels and related services in accordance with procedure. While the TRC is scheduled to meet every week, the meeting is not held if 1) there are no transactions to review; or 2) the transactions are adequately and timely reviewed using communications prior to Thursday of any given week. The TRC is a component of the Contract Development, Approval, and Delegation review and approval process. Specific Committee Authority: The TRC performs a due diligence review of various categories of significant wholesale transactions, taking into account regulatory, reliability, and financial concerns. Option Agreement purchase the Facility beginning in the sixth year equal to its Fair Market Value; and 3. purchase the Facility at end of the Initial Term or Extended Term at an amount equal to Fair Market Value. SPS also has the first right of refusal in the any potential sale of Seller's interest. Option to Extend Section 3.1: SPS has the option to extend the initial twentyfive (25) year contract term ("Initial Term") for an additional ten (10) years ("Extended Term") with three (3) years notice prior to the end of the Initial Term. Heating Value Range must be Btu/lb. Samples taken by TUCO per ASTM standards; results reported in a monthly analysis prepared by SPS. Either party may question correctness of original analysis; commercial testing laboratory then used to do an independent analysis. SPS has right to have representative present to observe sampling Billing: Seller is to invoice on or before 8th day of each month. Invoices are due and payable on or before I 't working day after 15th day of month. Pasts due interest charges are assessed at 1% over prime. Force Majeure: Force majeure clause is plant specific. 22 Schedule Page 1 of 1 Sponsor: Low Southwestern Public Service Company Combustion Residual Disposal The fly ash is collected by either electrostatic precipitator (Harrington Station Unit 1) or bag house (Harrington Station Unit 2 and 3 and Tolk Station Units 1 and 2). The ash is dry conveyed to storage silos for ultimate sale into markets including cement replacement markets. Alternatively, it can be conditioned with water and deposited into storage pits for future sale into markets such as road or parking lot base. None of the Units utilize scrubbers for emission controls. Thus no Combustion Residuals related to scrubbers are produced. The bottom ash falls to the bottom of the furnace, is cooled by water and is removed by a drag chain to a point outside of the boiler building. It is then allowed to dewater and it is picked up by a front-end loader and loaded into dump trucks by the current Southwestern Public Service Company ("SPS") contractor, Lafarge, who manages and processes all ash processed by SPS for beneficial use and resale. It is then moved to a storage area and sold as is or crushed and screened into different sizes and then resold for use as fill material for pipelines, road base, ice skid control and topping rock for asphalt paving sealing. All costs associated with the handling, processing storage and sale of the ash are paid by Lafarge. SPS then receives a percentage of the overall sales of the ash to beneficial use markets.
