INTRODUCTION DATE: Wednesday, July 19, 2017 PROJECT: PROPOSAL CLOSING DATE: Wednesday, August 9, 2017 (a) CHF Canada Co-operative Housing Federation of Canada ( CHF Canada ) is the umbrella organization for co-op housing in Canada that exists to unite, represent and service the co-op housing community. Their members include more than 900 housing co-ops across Canada Spanish Bay Housing Co-operative is a member of CHF Canada. CHF Canada has retained Housing Services Corporation ( HSC ) to provide technical services for procurement and project management of a consultant for a building investigative study at Spanish Bay Housing Co-operative. (b) The Owner Spanish Bay Housing Co-operative ("Owner") is a provider of social and affordable housing operating approximately 18 units of housing in Sydney, Nova Scotia. The Owner is a member of CHF Canada. (c) The RFP CHF Canada on behalf of the Owner invites proposals ("Proposals") to perform the work described in Appendix "A" ("Work"). Proponents wishing to respond to this RFP are requested to submit a complete Proposal using the form attached as Appendix "B" to this RFP ("Proposal Form"). The successful Proponent will be invited to negotiate a contract for the performance of the Work, which will be based upon the form of contract attached as Appendix "C" (the "Contract"). (d) Housing Services Corporation By submitting a Proposal, the Proponent acknowledges that this RFP process is administered by Housing Services Corporation ( HSC ) ("CHF Canada s Representative") on behalf of CHF Canada and the Owner, and that CHF Canada s Representative, CHF Canada and the Owner have no liability whatsoever to any Proponent as a result of this RFP, any matter connected with this RFP or any contract concluded as a result of this RFP. By submitting a Proposal, each Bidder irrevocably waives any and all claims it may have against CHF Canada s Representative, CHF Canada or the Owner arising from or in any way connected to this RFP or any contract arising from this RFP and undertakes to make no claim or take any proceeding against any person, partnership or any July 19, 2017 Page 1
4 other entity who or which might claim any relief against CHF Canada s Representative, CHF Canada or the Owner as a result of this RFP, any matter connected with this RFP or any contract arising from this RFP. (e) Mandatory Meeting 2. PROPOSAL VALIDITY A mandatory meeting is scheduled for Wednesday, July 26, 2017 at 11:00 a.m. ADT, Halifax time, via conference call. Proponents unable to attend this meeting may be disqualified from the RFP. (a) Compliance A Proposal which fails to comply with the requirements of this RFP may be declared unresponsive by CHF Canada and or its Representative and disqualified. (b) Addenda The RFP may be amended by written addenda, which will be posted on MERX, Biddingo.com, HSC s website and the Construction Association of Nova Scotia s website. Any addenda issued with respect to this RFP must be acknowledged by the Proponent in the Proposal Form. (c) Proponent's Due Diligence Each Proponent is responsible for examining with appropriate care the entire RFP and all addenda, and for informing itself about all conditions and matters that might in any way affect the cost or performance of the Work. Failure to do so will be at the Proponent s sole risk. Before submitting a Proposal, the Proponent shall have investigated the Place of the Work to fully ascertain existing conditions, circumstances and limitations of the Work. No allowance will be made for additional costs and no claims will be entertained with respect to conditions which could reasonably have been ascertained by such investigation and other due diligence prior to submitting a Proposal. 5 3. MANDATORY REQUIREMENTS (a) General All Proposals must be submitted using the Proposal Form attached. Proponents may supplement the Proposal Form with additional material. Proposals shall remain open for acceptance for a period of sixty (60) days following the Proposal Closing Date unless withdrawn or amended in accordance with Section 4(d) of this RFP. Other than inserting the information requested on the Proposal Form, a Proponent may not make changes to the Proposal Form. A Proposal containing any such changes may be disqualified. (b) Submissions Proposals must satisfy the following requirements: (i) (ii) the Proposal Form must be completed and signed; the Proposal Form must include: (A) (B) (C) (D) (E) company history and experience in social housing; consulting team qualifications and experience; understanding of project, study steps and methodology; a fixed price to complete the Work; comments to contract, if applicable; and at least two references who may be contacted by CHF Canada or its Representative. (iii) (iv) the Proposal Form must include a completed declaration with respect to conflicts of interest; the following to be attached to the Proposal Form: (A) (B) a statement of experience and a high-level detail of sample projects, which may be attached to the Proposal Form; and proof of insurance and WCB compliance (as set out below). (c) Insurance (i) Proponents will provide proof of insurance coverage contemplated in the Contract with their Proposals. CHF Canada and the Owner are to be July 19, 2017 Page 3
6 named as Additional Insureds on all liability policies prior to the award of the contract. For clarity, the certificate of insurance submitted with the Proposal may either show CHF Canada and the Owner as additional insureds or be accompanied by confirmation from the relevant insurance provider that they can be so added at any time. (ii) WCB Clearance: Proponents shall provide a WCB clearance letter confirming the Proponent is in good standing and has workers' compensation coverage. (d) Statement of Experience and References All Proponents shall submit a statement of experience on related or similar projects and a high-level detail of sample projects not to exceed 2 pages. Each Proponent will also provide two references who may be contacted by CHF Canada or its Representative. 4. (d) Amending or Withdrawing Proposals Prior to Proposal Closing Time At any time prior to the Proposal Closing Time, a Proponent may amend or withdraw a submitted Proposal. Any amendment should clearly indicate what part of the Proposal the amendment is intending to replace. A Proponent may not withdraw a submitted Proposal after the Proposal Closing Time. (e) Questions If the Proponent finds any errors or omissions in this RFP, or if the Proponent has any doubt regarding the meaning of any requirement or data in this RFP, the Proponent shall promptly seek clarification from CHF Canada s Representative by submitting a written request for clarification. All requests for clarification must identify the relevant RFP section and page number and must be submitted to July 19, 2017 Page 6

Queries and requests for clarification must be submitted by Proponents in writing by Monday, July 31, 2017 by 2:00 p.m. EDT, Toronto time. CHF Canada and its Representative will evaluate Proposals according to the following stages: (a) Stage 1 Review for compliance Stage 1 will consist of a review to determine which submissions satisfy all of the mandatory requirements set out in this RFP. Those that satisfy the mandatory requirements will proceed to Stage 2. Submission of the Proposal on or before the Closing Time is a mandatory requirement. (b) Stage 2 Evaluation and Interview Stage 2 consists of scoring by CHF Canada and its Representative of each qualified Proposal on the following basis: July 19, 2017 Page 7
10 Criteria Points Allocation Company History and Experience in Social Housing 15/100 Consulting Team Qualification and Experience 15/100 Understanding of Project 20/100 Study Steps / Methodology 20/100 Proposal Price 30/100 After its initial evaluation, CHF Canada s Representative may request that any Proponent attend for an interview in order to clarify information provided in the Proposal. Following the evaluation, and subject to CHF Canada's privileges reserved in this RFP, the highest ranking Proponent may be invited to enter a contract with CHF Canada for the performance of the work. (c) Stage 3 Contracting The highest ranking Proponent may be invited to enter a contract for the performance of the work. The contract, which shall be based on the contract attached as Appendix "C", will be a fixed price contract and Proponents must present a fixed price for each task they are bidding on. The fixed price will be exclusive of HST. Absent a Change Order executed by CHF Canada, there will be no increase in the fixed price permitted. The contract must be executed and returned within five (5) Business Days of the Successful Proponent being notified that contract has been awarded, failing which CHF Canada or its Representative may, at its option, disqualify the Proposal and award and execute a contract with the next highest ranking Proponent. (d) CHF Canada s Rights (i) (ii) In evaluating submissions, CHF Canada or its Representative reserves the right to adjust the Proposal prices, submitted in accordance with the information provided on the Proposal Form, to account for arithmetic and/or transfer errors. CHF Canada or its Representative reserves the right to seek clarification and supplementary information relating to the clarification from Proponents after the Closing Time. The response received by CHF Canada s Representative from a Proponent shall, if accepted by CHF Canada or its Representative, form an integral part of that Proponent's Proposal. CHF Canada or its Representative reserves the right to July 19, 2017 Page 8
11 interview any or all Proponents to obtain information about or clarification of their Proposals. (iii) (iv) (v) (vi) CHF Canada shall not be bound to accept the lowest Proposal or any other Proposal and is under no obligation to negotiate with any Proponent, or to enter into a contract with any Proponent. CHF Canada or its Representative, at its sole discretion, reserves the right to negotiate with any Proponent it believes has the most preferable Proposal, or with any other Proponent or Proponents concurrently. CHF Canada or its Representative reserves the right to enter into postsubmission negotiations and discussions with any one or more Proponent(s) regarding any term of a Proposal, and such other terms as CHF Canada or its Representative may require, at any time prior to execution of a contract. By submitting a Proposal, the Proponent acknowledges that the terms of this Section 2 Compliance and the RFP Documents are reasonable and appropriate and that CHF Canada and its Representative is issuing this RFP in reliance upon the right to claim the privileges set out herein. This is an RFP and not a tender. CHF Canada and its Representative do not intend to and do not assume or owe any contractual or other duties or obligations to the Proponent as a result of issuance of this RFP, the preparation or submission of a Proposal, the receipt, opening and consideration of a Proposal, the evaluation of Proposals, provision of additional information or conduct of presentations, the Proponent's participation in any discussions or negotiations, or on any other basis arising from this RFP. Without limiting the generality of the foregoing and for certainty, no "contract A" as envisioned by the Supreme Court of Canada in R. v. Ron Engineering, [1981] 1 S.C.R. 111 is formed by the submission of a Proposal in response to this RFP. The Proponent agrees that by submitting a Proposal in response to this RFP, the Proponent may not make any claim for compensation of any kind against CHF Canada, its Representative or the Owner or any of their respective officers, agents or employees as a result of its submission of a Proposal in response to this RFP, including without limitation any claim for costs of Proposal preparation or participation in negotiations, or for loss of anticipated profits, whether based in contract, tort, equity, breach of any duty, including, but not limited to breach of a duty of fairness, breach of an obligation to accept only compliant Proposals, or any other cause of action whatsoever. PROPOSAL REQUIREMENTS (a) (b) (c) (d) (e) (f) (g) Verify, Clarify and Supplement During the evaluation process, CHF Canada or its Representative may request further information from the Proponent or third parties in order to verify, clarify or supplement the information provided in the Proponent's Proposal. CHF Canada or its Representative may revisit and reevaluate the Proponent s response or ranking on the basis of any such information. Past Performance or Inappropriate Conduct CHF Canada or its Representative may disqualify a Proponent or any proposed subcontractor or supplier from participating in this RFP process based upon past performance and such inappropriate conduct. Confidential Information of Proponent Each Proponent should identify any information in its Proposal or any accompanying documentation supplied in confidence for which confidentiality is requested to be maintained by CHF Canada or its Representative. Proponents are advised that their Proposals will, as necessary, be disclosed on a confidential basis, to CHF Canada and its Representative s advisers retained for the purpose of evaluating or participating in the evaluation of their Proposals. Information Provided Every Proponent is responsible for ensuring that it has all the information that it requires to respond to this RFP. Proponents are responsible for their own analysis in support of their Proposal. CHF Canada, its Representative and the Owner are not liable for any errors in the information provided in connection with this RFP. Costs Proponents bear their own costs for responding to this RFP. Statements No Proponent shall make any statement with respect to this RFP or the Contract without the written consent of CHF Canada or its Representative, which may be unreasonably withheld. Confidentiality All information provided by or obtained from CHF Canada and its Representative in any form in connection with this RFP either before or after the issuance of this RFP: (i) (ii) is the sole property of CHF Canada and must be treated as confidential; is not to be used for any purpose other than replying to this RFP and the performance of any subsequent agreement; (iii) must not be disclosed without prior written authorization from the CHF Canada or its Representative; and July 19, 2017 Page 10
13 (iv) shall be returned by the Proponents to CHF Canada or its Representative immediately upon the request of CHF Canada or its Representative. Confidential Information shall not include: (i) (ii) (iii) (iv) information generally available to the public other than as a result of a breach of these confidentiality obligations; information that becomes available to either party through no breach of any contract or law; information that either party develops independent of the information provided to it by the other party; or information that is required to be disclosed by any applicable laws or regulations. 15 APPENDIX A SCOPE OF SERVICES 1. DESCRIPTION OF THE WORK 1.1 The work includes, but is not limited to, the provision of professional consulting services to investigate, diagnose root cause of deficiencies, design, and provide order of magnitude cost estimates to return the below building components for all of the townhouse buildings that make up Spanish Bay Co-operative Housing to a safe and watertight condition. Investigate, diagnose and recommend remedial action for foundation cracks, particular focus is required at building basement windows. Investigate surface storm water drainage and make recommendations with costs estimates to address drainage issues that may have caused or contributed to basement flooding. Investigation should include a topographical survey of the site detailing drainage contours and proposed solutions. Investigate and diagnose the source of mould found in suites, the investigation will include sampling, testing for toxicity and recommended remedial actions to remove mould contaminated materials from the premises and corrective measures to prevent a re-occurrence of mould growth. Investigate and recommend remedial action to address water damage in and around in suite bathtubs and shower surrounds, including remedial design options and cost estimates. Investigate and recommend remedial options to address poor heat distribution and cold in-suite conditions experienced in the end units of each of the townhouse structures. Conduct a Hazardous Material Inventory for all buildings at this location. The hazardous materials inventory will include sampling and testing for: o Asbestos containing materials interior and exterior o Lead in paint and surface treatments interior and exterior Conduct a visual inventory and report for following hazardous materials o Mercury o Mould (see above bullet point 3) o PCB s (polychlorinated biphenyl) o Americium 241 o Ozone Depleting Substances 1.2 HSC will provide project management oversight and services for the duration of this initiative. 16 2. PURPOSE OF THE WORK 2.1 The purpose of the work is to identify the current physical condition of the buildings(s) roof, exterior walls, door and window systems as well as the condition of the exterior wall insulation and vapor barriers in order to generate repair or replacement options for discussion with CHF Canada, its Representative and the Owner. Further mould testing is to be undertaken, both air sampling and surface tape tests, to determine mold interior mold concentrations, types and locations. As well the buildings will be surveyed for the presence of any harmful substances such as, asbestos, lead, arsenic, mercury etcetera. Destructive investigation and testing will be allowed, the inspected areas must be returned to a safe and weather tight condition. The deliverables for this assignment will consist of the following: A detailed current condition report for the building envelope (includes windows and doors) and roof. Recommendations to repair/ remediate the structures including Order of Magnitude cost estimates. A mold condition report for all buildings with detailed findings as to mold concentrations, types and contaminated locations identified. A building survey report that identifies the presence and location of hazardous materials such as asbestos, lead, arsenic, mercury. A topographical survey for the site showing details of current drainage contours and proposed remedial surface grading and subsurface drainage if required. 3. SCOPE OF WORK 3.1 The provision of professional consulting services to undertake the following: Investigation and Design o supply all equipment including but not limited to scaffolding, lifts, ladders, safety harnesses, and so forth as well as engineering expertise required for the investigation and analysis of all aspects of the proposed work o complete a detailed site investigation of all pertinent site conditions and installations o hold discussions with CHF Canada, its Representative and/or the Owner as necessary to gain a full understanding of building operations and needs of the tenants and building management o review all provided and relevant information o co-ordinate with CHF Canada, its Representative and/or the Owner to plan and monitor the overall project, including scheduling from the design phase through destructive testing and investigation to completion of the contract July 19, 2017
17 o generate alternative ideas and concepts as applicable including provision of advantages and disadvantages of each and recommendations for CHF Canada, its Representative and/or the Owner s acceptance or rejection o provide professional engineering services for the design of remedial measures on an as-required basis including all applicable engineering disciplines o prepare specifications and sketches as appropriate Contract Deliverables o four bound hard copy documents and one electronic disc of detailed current condition report for the building envelope (includes windows and doors) and roof. o the final report is to include recommendations to repair/ remediate the structures including Order of Magnitude cost estimates. o four bound hard copy and one electronic disc of mold condition report for all buildings with detailed findings as to mold concentrations, types and contaminated locations identified. o one hard copy and one electronic disc of the building survey report that identifies the presence and location of Hazardous materials such as asbestos, lead, arsenic, mercury. o provide CHF Canada, its Representative and the Owner with a face to face briefing including a PowerPoint presentation of the investigation s findings, recommended remedial measures and costs estimates 4. WORKING WITH CHF CANADA AND THE OWNER 4.1 Upon signing of the agreement with CHF Canada, the Successful Proponent will arrange and coordinate site review dates and times with the CHF Canada, its Representative and/or the Owner and proceed with the required Work. 4.2 The Successful Proponent will be required to meet with CHF Canada, its Representative and/or the Owner prior to starting the work to discuss the work in detail, answer questions, as well as any other matter pertaining to the proposed work. CHF Canada s written agreement must be obtained prior to starting the work. 4.3 CHF Canada, its Representative and/or the Owner will provide related building information to the Successful Proponent as available. 4.4 Data provided by CHF Canada, its Representative or the Owner is not guaranteed, may be subject to change, and must be confirmed by the Successful Proponent. The Successful Proponent must be prepared, and should make allowance for completing investigations and providing sketches as necessary. July 19, 2017
18 5. WORK HOURS 5.1 On site work is to take place during regular working hours. Regular working hours is defined as work that occurs on the site between Mondays to Friday and; between the hours of 8:00 a.m. and 8:00 p.m. for exterior investigations between the hours of 8:00 a.m. and 6:00 p.m. for investigations inside occupied dwelling units a minimum of 48 hours notice is required prior to gaining access to the unit interiors 5.2 Access to the site and on-site work hours must be confirmed with the Owner. Prior to starting any on-site work, the Successful Proponent will inform the Owner what time the work will commence and what time it will be finished. Prior to stopping work each day, the Successful Proponent will confirm with the Owner that there are no outstanding issues which may affect building services or operations. The Successful Proponent will not leave the site until all issues are resolved to the Owner s satisfaction. Resolution of issues requiring overtime shall be at the Successful Proponent s sole expense. 5.3 All system and equipment shutdowns, if required, must be co-ordinated with the Owner and include system identification, projected length of shutdown, and potential impact on building operation, building services, and tenants. 5.4 Access to individual dwelling units must be co-ordinated with the Owner and provided sufficiently in advance to allow the Owner ample time to provide notice of entry to the affected tenant(s). 6.0 LEGISLATION 6.1 All work is to be completed to fully satisfy the requirements of all applicable legislation, codes, professional standards and Authorities Having Jurisdiction (AHJ). 7.0 CONTRACT AWARD 7.1 The Successful Proponent will provide on execution of the agreement and prior to the start of any work the following documentation to CHF Canada, its Representative and the Owner: Contact Information: The Successful Proponent shall provide names and telephone numbers of the project lead and a principal of the company, on company letterhead, which will enable HF Canada, its Representative or the Owner to contact the Successful Proponent 24 hours a day, 7 days a week. 19 Schedule: A complete, detailed operations schedule. As time is of the essence, the work is to be completed as a continuous process through to project completion. All work under this RFP must be completed three months after contract award. 8. USE OF THE PREMISES 8.1 Proponents are advised to include the cost of access, as they deem necessary, in their RFP proposal submission fee. 8.2 Access to the building is to be limited to the immediate work areas 8.3 Proponents are reminded that the buildings will be occupied prior, during, and after the site investigations and that they are to ensure that they and their staff conduct themselves and their operations with this in mind and with the intent of minimizing the disruption to tenants and building operations. 8.4 On-site parking is limited. The Successful Proponent is to restrict their operations to the area designated by the Owner. Prior to the start of the work, permission to park at the site and parking locations are to be coordinated with the Owner. CHF Canada, its Representative and the Owner assume no liability for damages or loss of property for contractor s vehicles. 9. INVOICING 9.1 The Successful Proponent will invoice CHF Canada on completion of the Work. 10. PROPONENT STAFFING 10.1 The Successful Proponent shall provide to CHF Canada, its Representative and/or the Owner a listing of personnel and sub-contractors or sub-consultants who will be working on this project as well as their qualifications. This list must agree with the information provide and evaluated as part of the RFP submission, evaluation, and award process. It is anticipated that staff with advanced knowledge of building repair and rehabilitation will be assigned to work on this initiative The replacement of previously designated Proponent staff and sub-consultants is discouraged and will only be permitted with the written consent of CHF Canada or its Representative. Should the Successful Proponent find it necessary to change staff, then July 19, 2017
20 the Successful Proponent must submit the proposed change, complete with detailed reasons for the change, to CHF Canada or its Representative for consideration. The Successful Proponent shall also submit a resume and a statement of qualifications for the proposed replacement staff or sub-consultant to CHF Canada or its Representative for consideration. Approval to replace previously designated staff and sub-consultants may only proceed with the written approval of CHF Canada or its Representative. 11. OTHER 11.1 Proponents are advised that other contractors could be working on site and it will be the responsibility of the Successful Proponent to be aware of such work and to coordinate their operations with those of the other contractors.
