1 ENDORSEMENT between Washington Counties Risk Pool, ("Reinsured") and Berkley Insurance Company ("Reinsurer"). This endorsement forms a part of the Agreement to which it is attached. Please read it carefully. Contract Number Endorsement Effective Date Endorsement Number PEM & PEM October 1, In consideration of an additional premium of $2,780,492 the parties to this Agreement hereto agree to the following: I. ARTICLE 3, Paragraph A: COMMENCEMENT AND TERMINATION is amended as follows: A. This Agreement has been extended and is effective from 12:01 a.m., Local Time at the Reinsured's principal place of business, October 1, 2014 and, subject to the following, shall expire October 1, 2015 at 12:01 a.m., Local Time at the Reinsured's principal place of business. II. The Contract Number for this extension effective October 1, 2013 shall be amended to: PEM III. ARTICLE 2, RETENTION AND LIMIT is deleted in its entirety and replaced with the following: The limit of liability to the Reinsurer will be as follows: Section 1. Benefits Liability: A. Up to $900,000 of ultimate net loss in excess of $100,000 ultimate net loss each loss occurrence for any individual member or combination of members listed in Exhibit A, except claims attributable to Thurston County, Yakima County and Spokane County. B. Up to $750,000 of ultimate net loss in excess of $250,000 ultimate net loss each loss occurrence for any individual member or combination of members with respect to Thurston County only.

Up to $500,000 of ultimate net loss in excess of $500,000 ultimate net loss each loss occurrence for any individual member or combination of members with respect to Spokane County and Yakima County only. D. The Reinsurer s liability for ultimate net loss arising from General Liability including claims arising out of sexual abuse, Products Liability, Law Enforcement Liability, Public Officials Liability, Employment Practices Liability, Employee Benefits Liability business lines shall be subject to a $40,000,000 annual aggregate limit. Section 2. Benefits Liability in excess of the limits and retentions set forth in Article 2, Section 1, above: A. Up to $1,000,000 of ultimate net loss in excess of $1,000,000 ultimate net loss each loss occurrence for any individual member or combination of members listed in Exhibit A. B. The Reinsurer s liability for ultimate net loss arising from General Liability including claims arising out of sexual abuse, Products Liability, Law Enforcement Liability, Public Officials Liability, Employment Practices Liability, Employee Benefits Liability business lines shall be subject to a $20,000,000 annual aggregate limit. Section 3. Benefits Liability in excess of the limits and retentions set forth in Article 2, Section 1 and Section 2, above: A. Up to $3,000,000 of ultimate net loss in excess of $2,000,000 ultimate net loss each loss occurrence for any individual member or combination of members listed in Exhibit A. B. The Reinsurer s liability for ultimate net loss arising from General Liability including claims arising out of sexual abuse, Products Liability, Law Enforcement Liability, Public Officials Liability, Employment Practices Liability, Employee Benefits Liability business lines shall be subject to a $30,000,000 annual aggregate limit. Section 4. In addition, the Reinsured is liable for an ultimate net loss corridor Retention of $3,350,000 applicable to covered loss as described in Article 2, Section 1, A, B and C and Section 2, A, above, for any individual member or combination of members as listed in Exhibit A, before the liabilities of the Reinsurer attach under this agreement. Once the $3,350,000 maximum Retention has been reached, the liabilities of Reinsurer will attach as described in Article 2, Section 1, A, B, C and D above. IV. ARTICLE 7, PREMIUM AND CEDING COMMISSION is deleted in its entirety and replaced with the following: A. The estimated reinsurance premium is $2,780,492 to be paid within 30 days of the effective date. For any additional members, this premium is adjustable and shall be referred to Reinsurer for pricing.
3 B. A ceding commission of $250,000 shall be deducted from the reinsurance premium with respect to the limits of reinsurance described in Sections 1 & 2 of Article 2. A ceding commission of $90,322 shall be deducted from the reinsurance premium with respect to the limits of reinsurance described in Section 3 of Article 2. The ceding commission will include, and constitute the entire allowance. hereunder for, premium taxes of all kinds, local board assessments, any loss expense not included in the definition of loss expense in the Article 5 of this Agreement and all other expenses and charges whatsoever based on the premium for business ceded under this Agreement. V. ARTICLE 30, RATE STABILIZATION is deleted in its entirety. The parties may negotiate and enter into a new agreement with different rates, terms and conditions at the expiration of this Agreement if one of the above conditions occurs. IV.
