1 NASHVILLE PREDATORS 2016 BEARD-A-THON (the Official Rules ) NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A purchase or payment will not improve your chances of winning. The Nashville Predators Foundation ( (the Administrator ) BEARD-A-THON (the Promotion ) will be held on, unless amended in the sole discretion of the Administrator. The entry period for the Promotion will be from 12:00 AM on to 10:00 PM CT on which ever date occurs first, either the date the Nashville Predators are eliminated from the 2016 Stanley Cup Playoffs or the final Nashville Predators 2016 Stanley Cup Playoff game (the Entry Period ). Central Time shall control for all purposes of this Promotion. The Promotion is governed by these Official Rules, and is subject to all applicable U.S. federal, state and local laws. Void where prohibited by law. 1. Eligibility: The Promotion is open only to permanent, legal residents of the States of Tennessee, Georgia, and Kentucky (the Participant ). Participant must be at least eighteen (18) years old at the time of entry and must furnish a valid driver s license from the Participant s jurisdiction of residence. Current or former full-time and parttime employees, officers and representatives of the Administrator, Powers Management, LLC, Mid Ice, LLC, (collectively, the Promotion Entities ), Smokey Mountain Sportservice, LLC, Contemporary Services Corporation, Service Management Systems, Inc., and all their respective parent companies, subsidiaries, distributors, affiliates, vendors, advertising and promotion agencies and companies involved in the design, implementation and execution of the Promotion are not eligible, as well as the immediate family and household members of each such employee/officer/representative are not eligible. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not. In order to enter the Promotion or receive the prize, you must fully comply with the Official Rules and, by entering, you represent and warrant that you agree to be bound by these Official Rules and the decisions of the Administrator-designated judges, whose decisions shall be binding and final in all respects relating to this Promotion. Winning the prize is contingent upon fulfilling all requirements set forth herein. The Promotion is subject to all applicable federal, state and local laws and regulations. Participation in the Promotion constitutes Participant s full and unconditional agreement to these Official Rules and Promotion Entities decisions, which are final and binding in all matters related to the Promotion. Winning the prize is contingent upon fulfilling all requirements set forth herein. 2. How to Enter: During the Entry Period, Participant must go to the Promotion website at and create a complete profile (the

2 Entry ) by filling out and submitting the posted form with name, address, city, state, zip code, phone number, and address (including photo upload) in order to participate ( Participant ). Only one Entry per person will be accepted. Any attempt to enter multiple times may result in voiding of all Entries and disqualification. Online Entries must be manually key-stroked. No Entries will be accepted by mail or by delivery to the offices of the Administrator. All Entries must be received by the time and dates as specified by the first paragraph of these Official Rules and must contain all the information listed above in order to be valid. In the event of a dispute over the identity of an online Participant, Entries submitted to the website will be deemed to have been submitted by the authorized account holder of the address submitted at the time of the Entry. "Authorized account holder" is defined as the natural person who is assigned to an address by an Internet access provider, online service provider or organization (e.g., business, educational institution, etc.) that is responsible for assigning addresses for the domain associated with the submitted address. Mechanically altered or reproduced Entries are not eligible. All Entries become the property of Administrator upon receipt and will not be acknowledged or returned. REQUIREMENTS OF ENTRIES: Entry must (i) be Participant s own original work, (ii) cannot be previously published or submitted in connection with any other Contest, (iii) be in keeping with the Administrator s image, and (iv) be in good taste, as determined by Administrator in its sole discretion. Entry may not contain, as determined by the Administrator, in its sole discretion, any content that; is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity; promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message; is obscene or offensive; endorses any form of hate or hate group; appears to duplicate any other submitted Entries; defames, misrepresents or contains disparaging remarks about Administrator, its products or services, or other people or companies; contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission; contains any personal identification, such as license plate numbers, personal names, addresses or street addresses; contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission; contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission; contains look-alikes of celebrities or other public or private figures, living or dead; communicates messages or images inconsistent with the positive images and/or good will with which Administrator wishes to associate; and/or violates any law. If the Entry contains any material or elements that are not owned by the Participant, and/or which are subject to the rights of third parties, the Participant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Administrator in the manner set forth in these Official Rules, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the Entry. Administrator reserves the right to request proof of these permissions in a form acceptable to Administrator from any Participant at any time. Failure to provide such proof may, if requested, render Entry null and void. By submitting an Entry,

3 Participant warrants and represents that he/she and any persons appearing or who are identifiable in the Entry consent to the submission and use of the Entry in the Contest and to its use as otherwise set forth herein. Administrator reserves the right to disqualify any Entry that it determines, in its sole discretion, does not in comply with these Official Rules, and may, at its sole discretion and without notice to Participant, remove the posting of the Entry at any time. By submitting an Entry, Participant hereby grants permission for the Entry to be posted on or other Administrator websites or Predators websites (including, but not limited to, its Twitter account or Fan Page on Facebook). Participant agrees that the indemnified parties are not responsible for any unauthorized use of Entries by third parties. The indemnified parties do not guarantee the posting of any Entry and may take down any Entry in its discretion at any time. Administrator is not responsible for lost, late, ineligible, damaged or misdirected entries or any typographical or other errors in the entry postcards, printing of the offer, administration of the Contest or in the announcement of the prize. Incomplete entry forms will be considered void. 3. Contest Details/Odds of Winning: Participants will be asked to grow their beards and/or raise money in support of the Administrator during the Nashville Predators 2016 Playoff participation and have the opportunity to compete for prizes listed below. In order to participate Participants must have an active profile on the beardathon.com/predators website and must raise money through the website listed above for the Administrator. Participants must create an individual profile and grow out their beards to raise funds and awareness for the 365 Pediatric Cancer Fund presented by Dollar General. All qualifying Entries will be reviewed at the offices of the Administrator by a member of the Administrator s staff to determine the potential winners. The review will be conducted by a member of Administrator s staff for each respective prize as described herein and will take place at Bridgestone Arena at 501 Broadway, Nashville, TN After review by Administrator of all Entries, the two (2) Participants that raise the most money overall during the entire Entry Period will be considered grand prize winners and awarded a prize based on their respective ranking in the amount of money raised (the Grand Prize Winners ). Administrator reserves the right, in its sole discretion, to alter the Contest if necessary. Odds of winning depend on the total number of eligible entries received during the Entry Period. 4. WINNER NOTIFICATION: Potential Grand Prize Winners will be notified via phone or by the Administrator after the last day of the Entry Period. Potential Grand Prize Winners will have twenty-four (24) hours to respond to phone call or e- mail, or will forfeit prize and a new potential Grand Prize Winner will be chosen. The Administrator will require the Grand Prize Winners to sign and return to the Administrator an affidavit of Eligibility, Liability and Publicity Release (the Affidavit ) and an IRS W9 (collectively the Forms ), as well as fulfill any such other requirements as determined by Administrator within 24 hours of the date of notice in order to claim his/her prize and become an official winner ( Winner ), unless prohibited by law.

4 In the event: (a) of noncompliance with the above or within any of the aforesaid time periods, (b) a Participant is found to be ineligible to enter the Promotion, (c) a Participant cannot or does not comply with the Official Rules, (d) Participant cannot be contacted during the contact period for whatever reason, or (e) Participant fails to fulfill the Forms and Release and/or Affidavit-related obligations, the Participant shall be disqualified from the Promotion. Upon disqualification, no compensation shall be given. In the event that a Participant is disqualified for any reason, the Administrator may select another valid Participant in accordance with this Section. The parties obligations under any section of the Official Rules shall survive the termination of these Official Rules or disqualification of Participant for any reason. 5. PRIZES: The Contest Prizes (collectively referred to herein as Prizes ) are as follows: First Grand Prize Winner (1): One (1) Grand Prize Winner that raises the most funds overall will receive four (4) tickets to opening night of the Predators opening home game at Bridgestone Arena, a post-game Meet and Greet with members of the Nashville Predators team and a Nashville Predators jersey signed by players of the Nashville Predators team. Tickets are subject to availability and blackout dates apply. Seating locations will be chosen by Administrator in its sole discretion. Fair Market Value (ARV) = $750. Second Grand Prize Winner (1): One (1) Grand Prize Winner that raises the second highest amount of funds overall will receive a hockey stick signed by players of the Nashville Predators team, along with four (4) tickets to a mutually agreed upon Nashville Predators regular season home game. Tickets are subject to availability and blackout dates apply. Seating locations and game date will to be chosen by Administrator in its sole discretion. Fair Market Value (ARV) = $500. Game Day/Social Media-Voted Prizes: For each home playoff game the Nashville Predators play there will be a contest on Twitter. During the Entry Period, Individual Participants can enter to compete for Best Beard Personality or Participants can enter to compete for Best Around Town Beard Adventure. As of 9am CT on each Nashville Predators playoff game day, Participants can using #LetsGrowPreds to enter their picture in one of the categories. The picture they enter on Twitter must also be uploaded to their Beard-A- Thon account. At the Central Time of the puck drop of the Nashville Predators playoff games, will release the top three (3) Participants, as determined in the Administrator s sole discretion, as based on creativity and uniqueness of the Participants tweet in each category. During the duration of the home playoff game, Twitter users can favorite their pick for the winner of each category from among the top three (3) Participants the Foundation Administrator has narrowed down to. The Winner of each category will be determined by the most favorite at the end of the game. The Winners of both social media categories will receive a nominal Prize to be chosen in Administrator s sole discretion (by way of example only, a hockey puck, t-shirt, etc.).

5 All Participants must have completed an Entry, maintain a registered and active Beard-A-Thon account through the Predators Foundation and have raised at least $50.00 to be considered for this social media portion of the Promotion. Participants must comply with all applicable rules and regulations of Twitter and/or any other applicable social media site(s). Categories for social media voted-prizes are as follows: Best Beard Personality: Top Three (3) Participants for Best Beard Personality will be chosen by the Foundation Administrator from registered individual Participants. Participants will be judged based on unique photos of beard style, beard growth, or other attributes of the beard, its wearer, and their collective personality. Best Beard Adventure: Top Three (3) Participants for Best Beard Adventure will be chosen by the Foundation Administrator from registered Participants. Participants will be chosen based on the most creative adventures they take their beard on around the Nashville area. All Prizes which may be awarded pursuant to the above are contingent upon Nashville Predators continued participation in the 2016 NHL Stanley Cup Playoffs and will terminate immediately (concurrent with Entry Period) upon the Nashville Predators completing their participation in the 2016 NHL Stanley Cup Playoffs. Winner(s) will be responsible for all federal, state and local taxes and fees and other expenses associated with receipt and/or use of Prizes that are not expressly included in the Prize description, including but not limited to transportation to and from Bridgestone Arena, meals and beverages. No cash or other substitution, assignment or transfer of any prizes is permitted, except by Administrator, who reserves the right to substitute Prize or prize component with cash or another prize of comparable or greater value. Unless otherwise noted, the following applies to each Prize: A valid picture ID is required to obtain tickets from Will-Call. Hockey tickets are nontransferable. Prizes cannot be transferred or sold and must be utilized by the Winners selected by the Administrator. Ground transportation is not included. Food and beverages are not included. No responsibility is assumed by Administrator for cancelled, delayed, suspended or rescheduled events. Administrator will not provide any money for any expenses incurred as a result of Winners participation in the Promotion or the claiming or use of Prize, including, but not limited to, transportation and other incidental expenses incurred by the Winners or Winners guests while claiming or using Prize. Any minor guest must be accompanied at all times by an adult. ADMINISTRATOR RESERVES THE RIGHT TO AMEND THE RULES AT ANY TIME. Prize is non-transferable and must be utilized by the Winner selected by the Administrator. Prize is not redeemable/exchangeable by winner for cash or credit. Any portion of the Prize not accepted by the Winner will be forfeited. Winner and/or any person using the Prize agree that the Prize will not be sold nor in any other manner be used in direct promotion of any business. Promotion Entities will not provide any money for any expenses incurred as a result of participating in the

6 Promotion, including but not limited to transportation and other incidental expenses incurred while claiming or using the Prize (except as otherwise expressly indicated in these Official Rules). 6. Publicity; Use of Personal Information: Except where prohibited or restricted by law, Winner's acceptance of Prize constitutes the Winner s agreement and consent for Promotion Entities to use and/or publish Winner s full names, city and state of residence, photographs or other likenesses, Entry, pictures, portraits, voice, testimonials, biographical information (in whole or in part), and/or statements made by Winner regarding the Promotion or Administrator, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Administrator, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval. 7. No Tampering; Right to Cancel, Modify: Promotion Entities and their parent, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors shall not have any obligation or responsibility, including any responsibility to award any Prize to Participants, with regard to: (a) Entries that contain inaccurate information or do not comply with or violate the Official Rules; (b) Entries, Prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind; (c) Participants who have committed fraud or deception in entering or participating in the Promotion or claiming Prize; (d) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (e) any inability of the Winner to accept Prize for any reason; (f) if Prize cannot be awarded due to delays or interruptions due to Acts of God, natural disasters, terrorism, weather or any other similar event beyond Administrator's reasonable control; or (g) any damages, injuries or losses of any kind caused by Prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any Prize or resulting from participating in this Promotion or any promotion or Prize related activities. Promotion Entities reserves the right, in their sole discretion, to disqualify any individual it finds to be (a) tampering with the entry process or the operation of the Promotion, or with any Website promoting the Promotion; (b) acting in violation of the Official Rules; or (c) entering or attempting to enter the Promotion multiple times through the use of multiple Entry Forms. If Administrator determines, in its sole discretion, that technical difficulties or unforeseen events compromise the integrity or viability of the Promotion, Administrator reserves the right to void the Entries at issue, and/or terminate the relevant portion of the Promotion, including the entire Promotion, and/or modify the Promotion and/or conduct a random drawing to award a Prize using all eligible Entries received as of the termination date. The Promotion Entities failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. 8. Release of Liabilities; Disclaimer of Warranty; Forum Selection Clause: By participating in the Promotion, Participant agrees to release and hold harmless Promotion Entities and any promotional partners, each of their parents, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively the "Released Parties"), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury (including emotional distress),

7 and/or death, which may occur in connection with preparation for, or participation in, the Promotion, or possession, acceptance and/or use or misuse of the Prize or participation in any Promotion-related or Prize-related activity and for any claims or causes of action based on publicity rights, defamation or invasion of privacy and merchandise delivery. The Released Parties assume no responsibility for any injury or damage to Participant s or to any other person's computer, regardless of how caused, relating to or resulting from entering or downloading materials or software in connection with this Promotion. Participant acknowledges that Promotion Entities have neither made nor are in any manner responsible or liable for any warranty, representations or guarantees, express or implied, in fact or in law, relative to Prize or any component thereof, including, but not limited to, express warranties provided by the supplier of Prize (or any component thereof) or their affiliates. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Participant or Promotion Entities in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Tennessee, without giving effect to any choice of law or conflict of law rules (whether of the State of Tennessee, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Tennessee. In addition, any dispute relating to the Promotion (including these Official Rules) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in Davidson County, State of Tennessee. Participant hereby irrevocably consents to the personal jurisdiction of said courts and waives any claim of forum non conveniens or lack of personal jurisdiction that they may have. Participant further agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' fees; and (iii) under no circumstances will Participant be permitted to obtain awards for and Participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. 9. List of Winner: For the names of the Winners, send a self-addressed, stamped envelope by mail to: Promotions Department, Bridgestone Arena, 501 Broadway, Nashville, TN 37203, for Administrator's receipt after the Entry Period. 10.
