Corporate Risk Foreword Howden is a growing force in the UK corporate insurance market, providing fresh thinking and award-winning solutions to clients. Eliot Powell Deputy Managing Director, Howden UK Retail eliot.powell@howdengroup.com Today s increasingly complex and diverse risk environment means that the role of the broker and risk manager is more important than ever. We are experts in providing bespoke solutions for corporate clients of all sizes, from smaller owner-managed firms to the largest multinationals. We are not just insurance brokers. We are also risk managers. The two services are critically interlinked and enable us to provide a seamless solution to our clients and to represent their interests most effectively when negotiating premium, cover and claims settlements. We are majority employee-owned, and that means the people that work with our clients are owners of our business and want to go that extra mile. We believe this means our clients receive a very different standard of service to others. Our reputation is founded on the fact that we make the effort to understand our clients businesses, to use our expertise to create solutions that are fit for them, and then provide a service that means they want to stay with us for many years. These principles are applied across our entire international network, so clients enjoy a consistent experience wherever they operate. 3

Corporate Risk The client A large retail business covering shops, supermarkets, petrol filling stations, funeral services, doctor surgeries, and pharmacies. The scenario Howden provided expertise across a number of specialist areas which meant they could look at risks across our entire business. What really set them apart was how they consolidated all of our many existing policies into a far more efficient and competitive solution. Their knowledge, responsiveness and ability to simplify an overly complex process has been of huge benefit to the organisation. The client used four different insurance brokers across an 18 policy portfolio with multiple renewal dates. The Howden response Our Risk Management team were invited to spend three days with the client s organisation, completing a full risk audit. Gaps in the client s existing cover were closed using Howden s expertise across a range of specialist teams (Employee Benefits, Healthcare, Property Liability, Terrorism and Financial Lines). We implemented an integrated solution co-ordinated by our Risk Management and Broking teams. The client benefit 18 policies rationalised into one unified and efficient solution. Our increased leverage with insurers led to broader coverage and more competitive terms. Chris Lintell Chief Governance Officer and Society Secretary The client now has greater protection, better understanding of risk and an aligned long term support struture in Howden. 7 Corporate Risk The client A special purpose vehicle company developing several Waste to Energy plants throughout the United Kingdom and Europe. The scenario The Waste To Energy industry has historically suffered from issues affecting the efficacy of the plants and in turn the profitability of the projects. This has made it more challenging to secure the support of financiers, making it harder to secure the necessary funding. The insurance market has therefore generally been wary of the risks associated with these operations. The Howden response We worked closely with the principle project stakeholders, to develop an insurance programme that addressed the insurable risks across its entire life-cycle from pre-construction through to the operational phase. We mirrored the liabilities and indemnities specified within various contracts which resulted in the financiers being completely satisfied that sufficient protections were in place to make the project viable. Howden have worked effectively with us to ensure that our insurances meet the requirements of our lenders and other stakeholders. Without their valued input we would not have progressed on the proposed projects as we have. Jim Brathwaite CBE, Chairman We also advised the client regarding risk management, which enabled us to secure very competitive terms for the life-cycle of the project. The client benefit The client was able to secure full funding for their first project, and the insurance programme will be used as the basis for subsequent projects, giving the client the confidence to increase their activity in the sector. Howden contact Barry Jones barry.jones@howdengroup.com 7
expect more Not losing your bottle The client A glass bottle decoration specialist in the North West. The scenario Our client was acquired by a leader in this sector and Howden were asked to review the wider business activity and exposures. The Howden response A thorough audit and a review of the new combined business insurance arrangements identified uninsured exposurers along with a plan to improve risk management which would enable Howden to approach the market with a clear long-term plan. The client benefit A proactive approach to risk management and insurance placement lead to cost savings for the client s insurance programme and gave the client greater comfort in their risk protection and governance. 8
Corporate Risk Howden went far beyond what our incumbent broker was able to give us by exposing weaknesses in our programme and providing an innovative solution we felt made real improvements. Since appointing Howden, we have been impressed by their knowledge and the strategic view they take of our risk. It gives us the confidence that we have a strong foundation to grow our business in the future. Nicola Shaw Operations Manager Howden contact Philip Gee philip.gee@howdengroup.com 9
expect more I can see clearly now The client A private, family owned company which operates in a range of sectors including local media, agriculture, property and marine leisure in the UK, Europe and Canada. The Howden response We undertook a comprehensive risk and insurance review, taking the time to understand the client s risk profile and service requirements through a number of in-depth site visits. The scenario The company decided that a review of their corporate insurance arrangements should be undertaken. The incumbent broker and two others (including Howden), were selected to compete in a service review. The client benefit A vastly improved claims service and risk management support, expediting several contentious claims, resulting in streamlined cover and improved renewal terms. Howden contact Richard Storey richard.storey@howdengroup.com 10
Corporate Risk Our incumbent broker was unable to explain satisfactorily why our insurance programme seemed very complicated and confused. A colleague recommended Howden, and we found that they had the best cultural fit of the brokers we saw. By offering a full claims handling process, they had clear expertise and a strategic view about how we could improve our risk profile. Since appointing Howden, we have been thrilled by their performance. They worked hard to understand our risk and pierce the fog of our programme, making it straightforward and clear. 13 Corporate Risk The client A frames and mouldings company. The scenario The client s telephone system was hacked over a weekend, incurring an additional 6,000 in costs. The insurers rejected the claim after a specialist Loss Adjuster had confirmed they had no cover under the policy. The Howden response Our claims team repeatedly challenged the insurer s position successfully arguing that while they were still of the view that there was no cover afforded for the loss, they were prepared to make a without prejudice offer of 50% of the insurer s policy wording outlay. We were grateful for the support that the Howden claims team were able to give us during our loss. We cannot fault the effort they put into defending our position and negotiating with insurers on our behalf. Their knowledge of the policy wording and their experience enabled them to successfully leverage a 50% payment, which we may have not received elsewhere. Debbie Fraser Director of Administration and Human resources The client benefit The support of a dedicated and experienced Claims Manager helped negotiations with insurers and limit their losses. 15 Corporate Risk The client A UK Aerodrome owner and operator. The scenario During a storm the client s property sustained damage to the hangar roof. Following an independent condition report, insurers offered only a 20% contribution towards the cost of a replacement roof. The Howden response We challenged the insurer s offer, providing them with a comprehensive summary of the risk presentation, their acceptance of the risk and their own survey report. After prolonged negotiation and insurers seeking legal opinion, they honoured the full reinstatement cost of 300,000. Facing a significant loss that would have had long-lasting financial implications for the future of our business we were thankful that Howden s support and tenacious negotiation with insurers overturned a decision that would have left us responsible for a loss of almost 400,000. It s reassuring knowing that a capable and sympathetic team have your back. Ann Bartaby Chief Executive The client benefit The cost of the new roof was fully paid for under the policy, saving the client considerable financial exposure. 17 Corporate Risk The client Manufacturer of steel pipe, flanges, fittings and valves. The scenario Acquisitions can be difficult enough without the added stress and cost of ongoing legal negotiations. Howden s knowledge of our business and specialist expertise gave us the reassurance we needed to make decisions for the future of our business. Clive Atherton Finance Director APS was acquired by FDL. As part of their due-diligence, they decided to purchase specialist credit insurance in addition to the programme Howden already manage. They wanted to secure the debtor book above and beyond the cover they had from their bank. The Howden response Working closely with the Corporate Account Director, we met with the client and explained what was available in the market and how specialist insurance could give them added protection during the acquisition. We designed a specific coverage and terms that suited the clients exacting requirements and negotiated an excellent solution. The client benefit As a client, we already had a good understanding of their business and processes. This enabled us to provide an impartial solution that fulfilled their needs and eliminated the possibility of protracted legal negotiations. 19 Corporate Risk The client UK Machine Manufacturer. The scenario We were horrified when we discovered that we were the victims of a sophisticated fraud. Thankfully Howden s strategic view and understanding of our operations enabled them to defend our position with insurers and avoid what could have been protracted legal costs. Howden Client Victim of a sophisticated fraud, 50,000 was voluntarily paid to a bogus bank account believed to belong to a known and trusted supplier. The Howden response We reassured the client that because of our knowledge of their systems we would be able to explain to insurers the circumstances and negotiate that they had taken reasonable precautions to comply with the policy conditions. The client benefit Insurers were satisfied with the information provided and paid the full claim amount. Howden contact Ian Birtwistle ian.birtwistle@howdengroup.com 19 19
