17 Greater Orlando Aviation Authority TO: FROM: Prospective Proposers Raymond Anderson, Senior Director of Concessions and Properties DATE: April 29, 2016 SUBJECT: Addendum 3 to Request For Proposal Documents for the Travel Plaza Facility at Orlando International Airport. This addendum ( Addendum ) contains changes to the Request For Proposal Documents for the Travel Plaza ( the Facility ) at the Orlando International Airport. Except for the changes contained in this Addendum and in previous Addenda, the Proposal Documents remain unchanged. Revisions to the Invitation to Submit Competitive Proposals Volume B A new section V is added: Site Development Layout Alternatives. Volume C Addenda 1 and 2 and the Questions and Answer are added to Volume C. Section A.1 The following sentence is added at the end of the second paragraph: In addition, there is a site of approximately 2 acres available for optional development as a Commercial Vehicle Fueling Facility. The following sentence is added after the last paragraph: While the Authority has provided three possible layouts to the site, it is amenable to alternative site layout proposals within the designated site boundaries, provided that the cell phone lot remains readily visible from the adjacent roadways.

In the first sentence, the phrase with at least 100 parking spaces is added after convenience store and optional Commercial Vehicle Fueling Facility is added after the phrase optional fast casual restaurant. The words and cell phone lot are deleted. The chart on page 3 is amended to add boxes for Commercial Vehicle Fueling Facility and 2 acres. Section A.2.b. The following sentence is added after the second sentence in the first paragraph: Space must be provided on one of the walls of the convenience store for at least two (2) flight information boards, to be provided by the Authority. A new Section A.2.d is added after Section A.2.c: Section A.3 d. Optional Commercial Vehicle Fueling Facility. If proposing a Commercial Vehicle Fueling Facility, the successful Proposer will be granted the non-exclusive right and obligation to develop, construct, operate and maintain, at its own expense a fully functioning Commercial Vehicle Fueling Facility. The proposal shall include a description of the number of self-service fueling islands, positions, fuel grades and types, and any other proposed products or service amenities to be offered at the Commercial Vehicle Fueling Facility. The term of twenty (20) years is deleted and replaced with a term of twenty-five (25) years. Section A.4.c The blank line has the date September 30, filled in. Section A.5.a Section A.5.a is deleted and replaced with: The Authority will construct: 200 parking spaces in a cell phone lot adjacent to the Travel Plaza Facility; the access roads into and out of the overall cell phone/travel Plaza Facility site; the stormwater management system for the cell phone lot including a stormwater retention pond of sufficient size to accommodate the Travel Plaza Facility stormwater; the relocation of the toll booths leading into the South Park Place; and the right turn lane into the South Park Plaza from northbound Jeff Fuqua 2

The 200 spaces of the cell lot will be completed within six months of the opening of the Travel Plaza Facility. All of the other Authority improvements will be completed concurrently with the construction of the Travel Plaza Facility. Section A.5.b Section A.5.b is deleted and replaced with: (1) Convenience Store and Optional Fast Casual Restaurant. In order to operate a first class Travel Plaza Facility on the Premises, the successful Proposer will be required to invest as part of the Improvements to the Premises not less than One Hundred Fifty Dollars ($150.00) per square foot in the construction of Improvements, fixtures and furnishings (excluding inventory) of the convenience store and, if applicable, of the fast casual restaurant. (2) Parking. The successful Proposer will be required to construct in a first class manner 100 spaces as parking for the Travel Plaza Facility. (3) Gas Station. The successful Proposer will be required to construct in a first class manner a gas station with at least 12 fueling positions. (4) (Optional) Commercial Vehicle Fueling Facility. The successful Proposer will be required to construct in a first class manner the Commercial Vehicle Fueling Facility. Section B Section B is deleted and replaced with the following: B. EVALUATION OF PROPOSALS In order to allow the prospective Proposer and the Authority to share a common understanding of which evaluation criteria are more important, the Authority has categorized the evaluation criteria for this proposal shown below. There is no value or point-ranking system, Proposers are evaluated based on the evaluation criteria provided below, which are evaluated as follows (note: the criteria below are listed in no particular order of value): 1. Evaluation Criteria Rated as Satisfactory or Unsatisfactory a) Financial Capability (Proposers financial information must show the financial ability to meet its existing obligations and those to be undertaken if successful in being awarded construction and operation of the Travel Plaza Facility at the Airport. In the event the information provided is deemed insufficient, then the successful Proposer may be required to post a 100% contract bond or letter of credit for the Annual Facility Fee.) 3

A poor reference or multiple non-responsive references may result in an Unsatisfactory rating. The Authority reserves the right to consider any and all other sources of information provided by others with experience working directly or indirectly with the Proposer.) c) Eligibility and Proposal Form (Required to be completed. If not completed in accordance with proposal instructions, then submittal is considered nonresponsive.) 2. Evaluation Criteria Rated According to Strength Demonstrated In Proposal a) Demonstrated Experience and Qualifications (Depth of experience and qualifications of the Proposer in developing and operating travel plaza facilities.) b) Quality, Variety and Price Range of Convenience Store Items (Proposed items are expected to be of high quality and a variety of brands. Prices should be reasonable when considering the proposed products and brands.) c) Quality, Variety and Price Range of Fast Casual Restaurant Menu (if proposed) (Proposed items are expected to be of high quality with a variety of foods. Prices should be reasonable when considering the proposed products.) d) Quality of Customer Service and Operational Plan (Information should be submitted documenting the plan of operation and customer service approach of the Proposer in operating travel service facilities.) e) Travel Plaza Facility Improvements (for evaluation purposes only) (Proposed Improvements should present a visually appealing Travel Plaza Facility intended to maximize appeal to the traveler, while remaining true to The Orlando Experience. The Orlando Experience is described in the South Airport Travel Plaza Design Criteria document. The documents submitted should provide enough detail for the Authority to understand the concept, appearance, and layout of the Travel Plaza Facility. The proposed Improvements will be considered for evaluation purposes only, and will be subject to further review and approval by the Authority after award.) f) Convenience Store Capital Investment (Proposed minimum capital investment in Improvements, fixtures and furnishings, and equipment should be consistent with creating a first class convenience store.) g) Gas Station Capital Investment (Proposed minimum capital investment in Improvements and equipment should be consistent with creating a first class gas station.) 4

21 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 h) 100 Space Parking Lot Capital Investment (Proposed minimum capital investment consistent with creating a first class parking lot.) i) Fast Casual Restaurant Capital Investment (if proposed) (Proposed minimum capital investment in Improvements, fixtures and furnishings, and equipment should be consistent with creating a first class fast casual restaurant.) j) Commercial Vehicle Fueling Facility Capital Investment (if proposed) (Proposed minimum capital investment in Improvements, fixtures and furnishings, and equipment should be consistent with creating a first class Commercial Vehicle Fueling Facility.) k) Financial Return to the Authority (Proposed Annual Rental Fee, percentages of Gross Receipts, and Fuel Flowage Fees, with consideration of the reasonableness of the information presented, and the assumptions supporting the budget and pro forma submitted by Proposers.) Section C.1.b The first sentence of the second paragraph is deleted and replaced with: Section C.8 Proposals will be accepted beginning on June 28, 2016, and must be received by the Authority prior to 2:00 p.m., Eastern Daylight Time ( EDT ) on June 30, Section C.8 is deleted in its entirety and replaced with: A Mandatory Pre-Proposal Conference will be held on March 29, 2016 at 10:00 a.m., Eastern Daylight Time EDT, and a second Mandatory Pre-Proposal Conference will be held on May 10, 2016 at 10:00 a.m., EDT, in the Carl T. Langford Board Room, Level 3 of the Main Terminal Complex, at Orlando International Airport, One Jeff Fuqua Boulevard, Orlando, Florida A REPRESENTATIVE OF EACH PROSPECTIVE PROPOSING ENTITY IS REQUIRED TO ATTEND ONE OF THE MANDATORY PRE- PROPOSAL CONFERENCES AND TO SIGN THE AUTHORITY'S ATTENDANCE ROSTER ON BEHALF OF THE PROPOSING ENTITY PRIOR TO THE MANDATORY PRE-PROPOSAL CONFERENCE ADJOURNING IN ORDER FOR A PROPOSAL TO BE CONSIDERED BY THE AUTHORITY. ITEMS OF IMPORTANCE WILL BE DISCUSSED AT THE MANDATORY PRE-PROPOSAL CONFERENCE THAT WILL IMPACT PROPOSALS FOR THE TRAVEL PLAZA FACILITY. Requests for changes to the terms and conditions of the Agreement should be made at the Mandatory Pre-Proposal Conference, since submission of a Proposal constitutes the 5

22 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 Section C.9 Proposer's commitment to execute the Agreement (Item II) in the form attached hereto, if the Proposer is awarded the Agreement. Due to time constraints, the Authority will not respond to any comments or questions regarding the Proposal documents submitted after 5:00 PM EDT on June 3, The following sentence is added at the end of the paragraph: All documentation, instructions, addenda and answered questions regarding this request for proposals are available at the DemandStar website and on the Authority s website at demandstar.com and orlandoairports.net/airport-business/, respectively. Section C.10 The following sentence is deleted: The policy on lobbying activities prohibits communication between a lobbyist and any Authority staff who are members of any committee constituted for the purposes of ranking proposals, letters of interest, statements of qualifications or bids and thereafter forwarding recommendations to the Board and/or Board members from the time that a Request for Proposals, Request for Letters of Interests, Request for Qualifications or Request for Bids is released to the time that the Board makes an award. It is replaced with: The policy on lobbying activities prohibits communication to encourage the approval, disapproval, adoption, repeal, rescission, passage, defeat or modification of an agreement with any Authority staff who are members of any committee constituted for the purposes of ranking proposals, letters of interest, statements of qualifications or bids and thereafter forwarding recommendations to the Board and/or Board members from the time that a Request for Proposals, Request for Letters of Interests, Request for Qualifications or Request for Bids is released to the time that the Board makes an award. Section C.18 Section C.18 is amended by replacing Manager with Director in the last sentence. 6

23 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 Paragraph 1.g Revisions to the Eligibility and Proposal Form The date or May 10, 2016 is added after March 29, Paragraph 4.a The first sentence in Paragraph 4.a is amended to add with at least 100 parking spaces after convenience store, and and/or a Commercial Vehicle Fueling Facility after a fast casual restaurant. The phrase cell phone lot containing at least 100 parking spaces on the Premises is deleted. The following sentence is added after the second sentence: The Commercial Vehicle Fueling Facility will afford taxis, limousines and buses, with their staging area adjacent to the Travel Plaza Facility, the opportunity to refill their fuel tanks. Paragraph 4.b Paragraph 4.b is deleted and replaced with: The Authority will construct: 200 parking spaces in a cell phone lot adjacent to the Travel Plaza Facility; the access roads into and out of the overall cell phone/travel Plaza Facility site; the stormwater management system for the cell phone lot including a stormwater retention pond of sufficient size to accommodate the Travel Plaza Facility stormwater (Company will have to develop the storm water management system for the Travel Plaza Facility and tie it into the Authority s stormwater system); the relocation of the toll booths leading into the South Park Plaza; and the right turn lane into the South Park Plaza from northbound Jeff Fuqua Boulevard. The 200 spaces of the cell lot will be completed within six months of the opening of the Travel Plaza Facility. All of the other Authority improvements will be completed concurrently with the construction of the Travel Plaza Facility. Paragraph 4.c Paragraph 4.c(1) is deleted and replaced with: (1) Preliminary concept or description of proposed Travel Plaza Facility including brands of food, convenience store, gas station and all other services as well as optional fast casual restaurant brand and/or Commercial Vehicle Fueling Facility, if applicable. Paragraph 4.c(2) is deleted and replaced with: 7

24 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 (2) Design for proposed Travel Plaza Facility (e.g., initial elevations, floor plans, site layout, visuals or narrative) including the convenience store, gas station, 100 space parking lot, as well as optional fast casual restaurant and/or Commercial Vehicle Fueling Facility, if applicable. Paragraph 5.a In subsection (3), the words cell phone lot are deleted. A new subsection (4) is added as follows: (3) If proposing a Commercial Vehicle Fueling Facility, the number of fueling islands, positions, grades and types of fuel, as well as any other proposed amenities. In subsection (5), the phrase adjacent to the cell phone lot is deleted. Paragraph 5.b The first paragraph is deleted and replaced with: (1) Convenience Store and Optional Fast Casual Restaurant. As part of the Improvements to the Premises, the successful Proposer will be required to expend not less than One Hundred Fifty Dollars ($150.00) per square foot in the construction of Improvements, fixtures and furnishings (excluding inventory) for the convenience store and, if applicable, the fast casual restaurant. (2) Parking. The successful Proposer will be required to construct in a first class manner 100 spaces as parking for the Travel Plaza Facility. (3) Gas Station. The successful Proposer will be required to construct in a first class manner a gas station with at least 12 fueling positions. (4) (Optional) Commercial Vehicle Fueling Facility. The successful Proposer will be required to construct in a first class manner the Commercial Vehicle Fueling Facility. In the second paragraph the word retailers is replaced with operators. The third paragraph is amended to change the refurbishment period from years 9 through 11 to between years 10 and 12. In addition, the refurbishment amount is reduced from One Hundred Twenty-Five and No/100 Dollars ($125.00) to Seventy-Five and No/100 Dollars ($75.00). The phrases the facility parking spaces and and in the cell phone lot are deleted from the last sentence. 8

25 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 The fifth paragraph is amended by adding the following sentence at the end: Adjacent to the Travel Plaza Facility is another 2 acre site available for development as a Commercial Vehicle Fueling Facility. This site is in close proximity to the taxi and bus staging area. On page 8, both requested proposals are deleted and replaced with: Total Proposed Investment in Improvements for Convenience Store = $ Total Proposed Investment in Improvements for Parking Lot = $ Total Proposed Investment in Improvements for Gas Station = $ (Optional) Total Proposed Investment in Improvements for Fast Casual Restaurant = $ (Optional) Total Proposed Investment in Improvements for Commercial Vehicle Fueling Facility = $ Paragraphs 8-11 Paragraphs 8-11 were incorrectly numbered and are renumbered Revisions to the Travel Plaza Facility Commercial Agreement Preamble In the second Whereas paragraph, the phrase with 100 parking spaces, to be contiguous with is added after convenience store and the word and before a cell phone lot is deleted. Article 1 The dates in C, Agreement Period, are provided and are October 1 and September 30, respectively. A new defined term is provided for Commercial Vehicle Fueling Facility and subsequent defined terms are relettered: Commercial Vehicle Fueling Facility means the fuel dispensing pumps and other such amenities, landscaping, storage tanks, and pipes constructed by the Company on the Premises to provide fuel service to commercial vehicles such as taxis, limousines and buses. The Commercial Vehicle Fueling Facility provides 9

The Commercial Vehicle Fueling Facility is deemed a part of the Travel Plaza Facility. The blank in new M Initial Period is filled in with September 30,. In the definition of Travel Plaza Facility, the words cell phone are deleted and replaced with parking. Article 2.A.1 The first sentence is deleted and replaced with the following: Article 2.A.2 Authority shall provide and Company shall accept two (2) parcels of land, comprising 5.47 acres, more or less in size, located at the Airport ( Land ) as approximately depicted as the Travel Plaza, Commercial Vehicle Fueling Facility, and South Cell Lot on Exhibit A-1 attached hereto and incorporated herein by reference, together with any fixtures, fences, utility installations, parking facilities, landscaping and irrigation systems currently existing or hereafter located thereon ( Authority Fixtures ) (the Land and Authority Fixtures collectively referred to as the Premises ). Article 2.A.2 is deleted and replaced with: Offsite Improvements: The Authority will construct: 200 parking spaces in a cell phone lot adjacent to the Travel Plaza Facility; the access roads into and out of the overall cell phone/travel Plaza Facility site; the stormwater management system for the cell phone lot including a stormwater retention pond of sufficient size to accommodate the Travel Plaza Facility stormwater (Company will have to develop the storm water management system for the Travel Plaza Facility and tie it into the Authority s stormwater system); the relocation of the toll booths leading into the South Park Plaza; and the right turn lane into the South Park Plaza from northbound Jeff Fuqua Boulevard. The 200 spaces of the cell phone lot will be completed within six months of the opening of the Travel Plaza Facility. All of the other Authority improvements will be completed concurrently with the construction of the Travel Plaza Facility. Article 2.B.2.a In the fifth sentence the words design layout and building elevation are deleted. 10

27 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 Article 2.B.6 A new sub-paragraph f is added and subparagraphs f-h become sub-paragraphs g i. The new sub-paragraph f is: Article 2.B 7 (Optional) A fully functioning Commercial Vehicle Fueling Facility which shall include [what has been proposed in Proposal]. Article 2.B.7 is deleted and subsequent paragraphs are renumbered. Article 2.B.8 Article 2.B.8 becomes Article 2.B.7 and the paragraph is deleted and replaced with: Minimum Cost of Improvements. Company also agrees to invest as part of the Improvements to the Premises not less than One Hundred Fifty Dollars ($150.00) per square foot in the construction of Improvements, fixtures and furnishings (excluding inventory) of the convenience store and, if applicable, of the fast casual restaurant and Commercial Vehicle Fueling Facility. Article 2.B.9.b Article 2.B.9.b becomes Article 2.B.8.b and Commercial Vehicle Fueling Facility is added after gas station at the end of the sub-paragraph and cell phone is deleted and replaced with parking. Article 2.B.16 Article 2.B.16 becomes Article 2.B.15 and all subsequent references to Article 2.B.16 are so corrected throughout the document. The first two sentences in sub-paragraph a are deleted and replaced with: After the commencement of the Ten (10 th )) Agreement Period and prior to the commencement of the Twelfth (12 th ) Agreement Period, but in any event at a time coordinated with the Authority, Company shall expend to refurbish, replace or supplement such Improvements, furnishings, trade fixtures and equipment ( Refurbishment Improvements ) no less than Seventy-Five and No/100 Dollars ($75.00) per square foot in the Travel Plaza Facility. The Seventy-Five and No/100 Dollars ($75.00) per square foot shall be based on 2016 dollars. 11

28 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 Sub-paragraph b is deleted and replaced with: b. The Authority, in its sole discretion, may direct Company to make all or any portion of such expenditure at such earlier time prior to the commencement of such Twelfth (12 th ) year as it deems appropriate. Provided, however, under this Article 2.B. an expenditure for Refurbishment Improvements shall not include interest charges, Company s own overhead expenses or any portion of Company s expenditures which exceed the fair market price for any such Refurbishment Improvements. Company shall also within the refurbishment period seal the 100 parking lot spaces, which expense shall not be included in the $75.00 per square foot amount. New sub-paragraphs c-d are added, and sub-paragraphs c-e become e-g. The new sub-paragraphs c-d are: c. Prior to commencement of construction of any Refurbishment Improvements, Company must obtain the approval of the Executive Director. Company shall submit the plans and specifications (prepared in accordance with the Airport Design Guidelines and under the seal of a duly licensed architect or engineer) to Authority for its approval (the Refurbishment Plans ). The process for review and approval of the Refurbishment Plans shall be the same as for the original Plans under Article 2.B.2. d. Written Statement of Actual Refurbishment Costs. Company shall, within ninety (90) days following the completion of construction, installation or alteration of any Refurbishment Improvements, provide to the Executive Director a written statement and supporting documentation setting forth the actual costs thereof, in the same manner as the Written Statement of Actual Costs in Article 2.B.8.b. Article 2.B.16.c Article 2.B.16.c becomes Article 2.B.15.e and in the fourth sentence, space in the before Travel Plaza Facility is deleted. Article 2.B.16.e Article 2.B.16.e becomes Article 2.B.15.g. In the first sentence, the blank dollar amount is replaced with Seventy-Five and No/100 Dollars ($75.00). The two references to the Eleventh (11 th ) are replaced with the Twelfth (12 th. ) Article 4.A The number twenty (20) is replaced with the number twenty-five (25). 12

29 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 Article 4.C.2: Sub-paragraphs 2.a and 2.b are deleted and replaced with: 2. The payment amount shall be determined as follows: a. the Authority shall make a payment to Company ("Buy-Out Payment") in the amount of the "Net Book Value" of the Original Improvements and Refurbishment Improvements contained in the Premises. (The terms "Net Book Value," "Original Improvements, and Refurbishment Improvements shall be defined as indicated below). b. "Net Book Value" shall mean the original cost to Company of (i) an Original Improvement as listed in the Written Statement of Actual Costs submitted to the Authority pursuant to Article 2.B.7.b and (ii) a Refurbishment Improvement as listed in the Written Statement of Actual Refurbishment Costs pursuant to Article 2.B.15.e, less amortization accumulated to the date on which Company is required to surrender the Premises. "Original Improvements" mean Improvements installed by Company within six (6) months of the date it opens for business at the Premises. Refurbishment Improvements mean Improvements installed by Company during the Tenth through Twelfth Agreement Periods. Company's cost for such Original and Refurbishment Improvements shall include reasonable and direct costs paid by Company for work performed and materials furnished; provided, however, that Company's cost shall not include (1) payments for architectural, engineering, professional and consulting services in excess of fifteen percent (15%) of the total cost of such Original Improvements, (2) interest charges or other finance costs, or (3) Company's own overhead expenses (except that Company may include the reasonable cost of paying its own employees to perform architectural, engineering, professional or consulting services in which event such cost shall be counted toward the fifteen percent (15%) limitation on such costs set forth above). For purposes of computing Original Improvements Net Book Value, Company's cost shall be amortized over a period from the Rent Commencement Date until the expiration date of the Agreement, on a straight-line basis, with no salvage value. For purposes of computing Refurbishment Improvements Net Book Value, Company's cost shall be amortized over a period from the date of refurbishment until the expiration date of the Agreement, on a straight-line basis, with no salvage value. New Article 4.C.3 A new article 4.C.3 is added as follows: 13

30 Addendum 3 Travel Plaza Facility at Orlando International Airport April 29, 2016 Article 5.A 3. Right of First Refusal for Alternative Travel Plaza Facility Site. In the event the Authority buys Company out as provided in this Article 4, Company shall have a right of first refusal to develop and operate a travel plaza facility at another location to be provided by the Authority. To exercise this right, Company must notify the Authority in writing within ninety (90) days after it receives notice that the Authority is exercising its right to buy-out Company s interest in the Agreement. The terms of the development and operation of the alternative travel plaza facility shall be subject to negotiation at that time. The last three boxes under the Fuel Flowage Fee chart are deleted. Article 9.B.1 In sub-paragraph 1(i), the amount of commercial general liability insurance required is reduced from Five Million and no/100 Dollars ($5,000,000.00) to Two Million and No/100 Dollars ($2,000,000.00). The sentence in sub-paragraph 1(ii) is deleted and replaced with: Article 9.B.2 (ii) automobile liability insurance (any auto including owned autos, nonowned autos and hired autos) with policy limits of not less than One Million and No/100 Dollars ($1,000,000) Combined Single Limit, in the amount of not less than One Hundred Thousand and No/100 Dollars ($100,000.00) per occurrence and Three Hundred Thousand and No/100 Dollars ($300,000.00) aggregate for bodily injury and Fifty Thousand and No/100 Dollars ($50,000.00) for property damage, if occasional access for non-aoa pickup and deliveries is required. Article 9.B.2 is amended by deleting and employer s liability or similar insurance and adding the following sentence at the end of the sub-paragraph: Article 9.D Company shall also purchase employer s liability insurance with policy limits of not be less than $100,000 each accident, $500,000 disease policy limit, and $100,000 disease each employee. Appendix 1 Standards for Operating Travel Plaza Facility The following changes are made: Paragraph A The word convenience store is deleted and replaced with Travel Plaza Facility. Paragraph B National Association of Convenience Stores is inserted before NACS. The following are deleted: maintain at least one indoor public payphone, map, and Florida lottery tickets. Paragraph G.1 Fuel dispensing islands, the 100 parking lot spaces, landscaping of the Premises is added after including all restrooms in the first sentence. The following three sentences are added after the second sentence: Trash cans shall not be permitted to overflow but shall be emptied regularly. The indoor floors shall be routinely swept and mopped. The fuel dispensing areas and parking lots shall be routinely swept or vacuumed. Paragraph Q The employee discount is reduced to ten percent (10%).
