An amendment to the restrictive covenants placed on certain property pursuant to a Project Agreement between the City of Birmingham and 5 th Avenue LLC under which the City conveyed certain property to 5 th Avenue LLC for its business use. The amendment would permit a swap of property owned by 5 th Avenue LLC, located at rd Avenue South, with a portion of land owned by CMC Steel Alabama, located at th Street South. The contract will be for a term of 18 years with the costs of the agreement to come from the guaranteed energy cost savings.the monetary value of Energy Savings and Operational Savings (calculated utilizing the Adjusted Base Utility Rate(s) and applicable annual Operational Savings escalation) is projected to be $102,266, City will pay or cause to be paid to Trane $61,333,168.00, plus the annual Performance Period Services Price which shall be $525, for the first Guarantee Year with an Annual Adjustment rate of 3%.
