5 Request for Qualifications RFQ anticipated to require the following: Technical Project Understanding and Approach DBT Qualifications, Experience and Capabilities

6 Request for Qualifications RFQ anticipated to require the following: Financial Ability to secure the entire amount of the required financing from debt market (e.g., letters of support from creditworthy lenders) Ability to guarantee performance (e.g., letters of support from surety for a 100% performance bond, letter of credit issuer, and/or guarantors, as applicable) Sufficient financial strength balance sheets and, if applicable, credit rating and stability of rating

7 Request for Qualifications ODOT Pre-qualification Statement that DBT members are prequalified or members will become prequalified prior to submission of Technical Proposal

8 SOQ Selection Short-Listing SOQs will be reviewed by ODOT advisory group Department anticipates short-listing the highest scoring SOQs based on criteria established in RFQ Short-list will include no more than 3 DBTs Anticipated short-list announcement on February 1, 2013

9 Stipends ODOT plans to provide a stipend to responsive proposals that are not selected as the successful proposal.

11 Request for Proposals Technical Components of RFP Developing specific evaluation and scoring criteria for RFP Evaluation criteria focused on meeting ODOT project goals

12 Request for Proposals Alternative Technical Concepts (ATC) Open to innovation within certain criteria Impacts to IJS/Design Exceptions/Environmental Documents One-on-One meetings with the Department will be held with respect to ATCs Maintain confidentiality

13 Request for Proposals Financial Components of RFP Financial Proposal requirements anticipated to include: Firm, fixed-price for the project Fully committed financing (as evidenced by signed lenders commitment letters) Proposal Security (amount to be determined) Financial Proposals will be subject to a validity period - ODOT understands that financing commitments cannot be held indefinitely

14 DBF Related Issues ODOT Payments DBF Payments: ODOT may commence payments under the DBF contract (DBF Payments) for prior completed work and current work as early as the beginning of FY 2016 (July 1, 2015). Basis of DBF Payments ODOT is considering: (1) payments based on periodic ODOT acknowledgments of completed work (e.g., construction milestones or percentage of work complete) (2) lump-sum payments to be earned upon achieving substantial completion/final acceptance

15 DBF Related Issues ODOT Payments (cont d) Priority of payments: DBF Payments will be made according to ODOT s PPP Policy. Assignment of DBF Payments ODOT is considering various financial structures for the project that would not require an assignment of amounts owed by ODOT, including structures that would provide for a DBF contract with an SPV.

16 DBF Related Issues ODOT Payments (cont d) Funding Change Orders ODOT intends to have funds programmed for the construction period to make cash payments for change orders as they arise. Financing change orders not required.

17 DBF Related Issues Waiver of Set-Off Rights For this DBF project, ODOT anticipates waiving any right it may have to set-off any damages/other amounts owed by Contractor under other ODOT projects against the payments ODOT owes under the DBF contract (DBF Payments).

18 DBF Related Issues Biennial Contract Renewal/Appropriations Like all ODOT contracts, the DBF contract for the project would be subject to biennial contract renewal. To address any concerns regarding potential non-renewal, the DBF contract may provide for automatic renewals; however, such renewal would be conditioned on the General Assembly s appropriation of funds required to make the DBF Payments payable during the following biennial period.

19 DBF Related Issues Performance Security ODOT P3 legislation permits flexibility regarding performance security packages ODOT may require (e.g., surety bond, letters of credit and parent company guaranty) in order to fit project-specific needs. Basis of payment (e.g., milestones vs. substantial completion) would impact performance security package and beneficiaries.
