Terms and Conditions governing UOB Credit Cards Spend & Get Free Toast Box Kopi Card Promotion (June July 2016) ( Promotion ) 1. (i) This Promotion is only applicable to selected principal credit cardmembers of a UOB credit card(s) who has received either a SMS and/or billing insert from United Overseas Bank Limited ( UOB ) regarding this Promotion ( Customer ). The term UOB Credit Card(s) refers to any Visa, MasterCard, American Express, UnionPay and JCB credit card issued by UOB in Singapore with the exception of any UOB Travel Account, Corporate (on corporate liability), Purchasing, Business, Multicurrency Corporate and Private Label cards. (ii) Without limiting the generality of this Paragraph 1, the following Customers shall not be eligible for this Promotion: (a) Customers whose UOB Credit Card(s) account(s) is/are voluntarily or involuntarily suspended, cancelled or terminated during the Promotion Period and for the avoidance of doubt, termination of a supplementary Customers UOB Credit Card(s) account(s) will not by itself disqualify the principal Customer from this Promotion; (b) Customers whose UOB Credit Card(s) account(s) which is/are not active, valid, subsisting or in good standing or which are otherwise determined by UOB as being delinquent or unsatisfactorily conducted for any reasons as may be determined by UOB at its sole and absolute discretion; (c) Customers who are mentally unsound, facing legal incapacity, deceased, bankrupt or have any legal proceedings of any nature instituted (or threatened) against them. (d) Customer who UOB may decide to exclude at its discretion without prior notice and without furnishing any reason, at any time. (iii) Notwithstanding anything to the contrary, UOB has the absolute discretion at any time and without having to give any notice or prior reason, to determine the eligibility of the Customers to participate in this Promotion and shall not be obliged to give any reason therefore. 2. This Promotion is available from 1 June 2016 to 31 July 2016 (both dates inclusive) ( Promotion Period ). 3. (i) For every S$1,800 worth of Retail Transactions (and up to S$7,200) ( Eligible Spend ) that a Customer charges to his/her UOB Credit Card (s) and whose Eligible Spend is successfully posted to his/her UOB Credit Card (s) during the Promotion Period ( Eligible Customer ) on his/her UOB Credit Card during the Promotion Period and such Eligible Spend is reflected in ten (10) or less Charge Slips, that Eligible Customer shall receive twenty four (24) cups of small sized Hot Beverages from any Toast Box outlets in Singapore (equivalent to one (1) Toast Box Kopi Card ( Kopi Card ) worth S$35.60). (ii) In addition to Paragraph 3(i) above, if an Eligible Customer manages to charge a total of S$7,200 worth of Eligible Spend ( Total Eligible Spend ) to his/her UOB Credit Card(s) and whose Total Eligible Spend is successfully posted to his/her UOB Credit Card (s) during the Promotion Period, that Eligible Customer shall receive an additional twenty four (24) cups of Hot Beverages from any Toast Box outlets in Singapore (equivalent to one (1) Kopi Card). (iii) Each Eligible Customer is subjected to a cap of 120 cups of Hot Beverages (equivalent to five (5) Kopi Cards). (iv) Eligible Customers need not incur the Spend on the same UOB Credit Card(s) of that Eligible Customer. For the avoidance of doubt, each Eligible Customer s Spend will be attributed to that Page 1 of 6

Customer and the Spend cannot be fulfilled by combining the Spend of an Eligible Customer and the applicable supplementary cardholder of a UOB Credit Card(s). 4. For the purpose of this Promotion, the term:- (i) Charge Slips refer to the charge slips that are issued by the applicable retail merchant in connection with any payment for Retail Transactions that is made by a Customer using his/uob Credit Card(s). (ii) Hot Beverages refers to Kopi, Teh, Milo, Horlicks and/or Yuan Yang beverages that are sold at any Toast Box outlets in Singapore. (iii) Retail Transactions refers to local retail transactions that are charged to the Eligible Customer s UOB Credit Card but excludes all recurring bill payments, online retail transactions, payments under Instalment Payment Plans, payments under UOB Lady s LuxePay Plans, interests, late charges, annual fees, cash advance, balance transfers, fund transfers, instalment loans, fees and other financial charges imposed by UOB, unposted, voided, cancelled, disputed and/or reversed transactions and any other transactions as may be excluded by UOB from time to time. (iv) Spend refers to Eligible Spend and Total Eligible Spend collectively. 5. For the avoidance of doubt, (i) the Spend that is made and charged to the UOB Credit Card(s) must be evidenced by the applicable number of original Charge Slip(s) as set out in Paragraph 3 above. (ii) each Eligible Customer is limited to a maximum of five (5) Kopi Cards and each Eligible Customer shall not be entitled to any additional Kopi Card other than what they are entitled to as set out in Paragraph 3, notwithstanding:- (a) how many UOB Credit Card accounts that the applicable Eligible Customer has, or (b) that the Eligible Customer charges more than the applicable Spend amount during the Promotion Period. 6. There is a total of 51,000 cups of Hot Beverages is available for redemption under this Promotion. The Kopi Cards ( Gifts ) are subject to the availability of stocks and are issued on a first-come, firstserved basis and while stock last. UOB shall not be responsible at any time to notify or update any Customers and/or Eligible Customers on the stock availability of the Kopi Cards. The Toast Box Kopi Card is valid till 30 September 2016. 7. UOB also reserves the right, at its discretion and at any time, to replace or substitute the Gift with other gifts during the Promotion Period or with another item without assigning any reason thereof or giving any prior notice or assuming any liability to any person. UOB s determination of the replaced Gift shall be final, conclusive and binding and no appeal, compensation or payment whatsoever shall be made to any person and no replacement shall considered, permitted or entertained from any person who has already redeemed the Kopi Card. 8. Eligible Customer can approach the redemption booth, described under Paragraph 9 below, anytime within the redemption period (described in Paragraph 10 below) to redeem upon meeting the Initial Spend requirement each time. Each Eligible Customer will need to bring along the following items for redemption of the Kopi Card: (i) the original NRIC or Passport of the Eligible Customer; Page 2 of 6

(ii) (iii) the original Charge Slips for the Retail Transactions used to incur the applicable Spend; and the original UOB Credit Card(s) with the same last 4 digits as stated in the Charge Slips. 9. The applicable Gift is to be redeemed from the following redemption booth and during the respective opening hours: Channelwerkz Redemption Centre 14 Scotts Road #04-140 Far East Plaza Singapore 228213 Opening hours: 11am to 7pm (Wednesday Sunday) Closed on Public Holidays Contact: 67377588 10. The Eligible Customer must redeem the applicable Gift before 15 August 2016 or while stocks last. 11. Any Gift that is not redeemed by 15 August 2016 will be forfeited and the Eligible Customer shall not be entitled to any compensation or payment or to any replacement gift. 12. (i) The Gift awarded is not transferable and is not replaceable exchangeable or refundable for cash, credits or otherwise in full or in part. The Gift must be presented at point of purchase for redemption and is not valid in conjunction with other promotions, discounts, vouchers or privileges. Top-up is required for other serving sizes or cold beverages. Each Gift is valid till 30 September 2016 only. Strictly no extension is allowed for expired stored beverage credits. (ii) UOB does not assume any liability or responsibility for and will not be liable or responsible for any defect, quality, merchantability, the fitness or any other aspect of any of the Gift or the acts or defaults of the merchant and/or suppliers of the Gifts. UOB is not an agent of the merchant and/or suppliers of the Gifts. Any dispute about the quality or service standard must be resolved directly with the merchant and/or suppliers. The merchant and/or suppliers of the Gifts may impose conditions for redemption and/or use of the Gifts offered in this Promotion. UOB does not assume any liability or responsibility for and will not be liable or responsible for any injury, loss or damage whatsoever or for any charge, cost or expense of any kind whatsoever suffered or incurred as a result of or in connection with the redemption or usage of any of the Gifts including, but not limited to, the loss of life, injury to person and/or loss or damage to property arising from or in connection with this Promotion and/or any of the Gifts or arising from or in connection with this Promotion howsoever arising. 13. Sending of emails and the SMS is dependent on a SMS vendor, an independent telecommunication authority or service provider or such other third party which is/are engaged by UOB for this Promotion and UOB shall not be responsible for any undelivered, lost or delayed SMS or email received by the Customer. The Customer shall pay and be solely responsible for all fees and charges imposed by such service providers for the sending and/or receipt of any SMS or email in connection with the Promotion. The SMS vendor, independent telecommunication authorities or service provider or such other third party is a third party and is independent and beyond the control of UOB. UOB shall not be responsible or liable in any manner whatsoever for the delay in the transmission or receipt of any SMS or billing insert or for any lost SMS or billing insert. 14. To qualify for the Gift, the Eligible Customer s UOB Credit Card(s) account must be in good standing or satisfactorily conducted as may be determined by UOB in its discretion and must not be Page 3 of 6

voluntarily or involuntarily closed, terminated, cancelled or suspended for any reason whatsoever. Any Gift that is to be awarded or which is awarded shall be forfeited if the Eligible Customer s UOB Credit Card(s) account is closed, terminated, cancelled or suspended and the Eligible Customer shall not be entitled to any compensation or payment whatsoever. 15. Notwithstanding anything herein, UOB has the sole and absolute discretion at any time and from time to time to determine the eligibility of any Eligible Customer for this Promotion and shall not be obliged to give any prior notice or any reason therefor and to select substitute Eligible Customer to substitute the initial Eligible Customer that is subsequently found to be ineligible or disqualified or not entitled to participate in this Promotion. UOB shall not be obliged to give any reasons thereof and shall not be obliged to make any payment or compensation whatsoever to any person arising from the above. 16. UOB reserves the right, at its discretion and at any time, without prior notice or assigning any reason thereof or assuming any liability to any person, to replace or substitute the Kopi Card with any other item of equal or similar value as selected by UOB. UOB s determination of the replaced and/or substituted item shall be final, conclusive and binding. 17. For any Gift that has been awarded but has yet to be redeemed and is subsequently forfeited or where the Eligible Customer is found to be not eligible for the Gift or is found to be ineligible or disqualified or not entitled to participate in this Promotion, UOB shall have the right to request for the refund of the Gift or to reclaim the value of the Gift awarded through such methods as UOB may so decide at its discretion (including, without limitation, deducting the value of the Gifts awarded from the account of Eligible Customer maintained with UOB). Any Eligible Customer whose Gift has been forfeited or reclaimed or whose Gift has become null and void shall not be entitled to a replacement Gift or any payment or compensation notwithstanding non-receipt of the Gift. Any Gift that has expired or which is lost, misplaced, defaced, stolen or tampered with, misdirected or damaged are strictly non-replaceable. No payment or compensation whether in cash, credit or kind shall be made for any unredeemed Gift which has expired or any Gift which is lost, misplaced, defaced, stolen, been tampered with, misdirected or damaged. Miscellaneous 18. UOB shall not be responsible or liable for (a) any failure or delay in the transmission or receipt of evidence of Retail Transactions by Visa International/MasterCard/American Express/CUP, acquiring merchants for the foregoing, merchant establishments, postal or telecommunication authorities or any other parties which may result in a retail transaction made by the Eligible Customer being omitted (whether from being posted to the applicable UOB Credit Card(s) account or captured in UOB s system or otherwise) during the Promotion Period; or (b) any late posting of the Retail Transactions and thereby affecting the Customers and the Eligible Customer s eligibility for this Promotion or the Gift; (c) for any notice or communication, SMS or email or billing insert which gets lost, misplaced, defaced, tampered with, stolen, damaged or misdirected in the post or which the Customer does not receive; (d) for any breakdown or malfunction in any computer system or equipment; or (e) for any losses, damages or otherwise suffered by any person if it is unable to perform its obligations under these terms and conditions, due directly or indirectly to the failure of the merchant establishments, merchant acquirer, telecommunication authorities or service provider Page 4 of 6

or such other third party which maybe engaged for this Promotion, any machine or communication or computer system, industrial dispute, war, Act of God, or anything outside the control of UOB. 19. Notwithstanding anything to the contrary, UOB reserves the right to at any time in its sole and absolute discretion to amend, vary, add or delete any of the terms and conditions of this Promotion for any reason and without prior notification and without assuming any liability to any person (including, but not limited to, increasing the number of Gifts that is offered under this Promotion), and the Eligible Customer shall be bound by these amendments. UOB shall not be liable to pay any compensation or enter into any correspondence in connection with the same and all Customers and Eligible Customers shall be bound by these amendments or variations. 20. UOB has the absolute right and unfettered discretion to make decisions on all matters relating to or in connection with this Promotion including, but not limited to, increasing the number of Gifts that are offered under this Promotion. UOB's decision on all matters relating to this Promotion are at its discretion and shall be final, conclusive and binding on the Customer and the Eligible Customer. UOB shall not be obliged to give any prior notice or reason or enter into any correspondence with any Customer or Eligible Customer or any persons on any matter concerning this Promotion and no communication, appeal, correspondence or claims will be entertained and no payment or compensation will be given or paid by UOB to any person (including the Cardmember, any Customer and any of the Eligible Customers). 21. All information is correct at the time of publishing and UOB makes no representation or warranty whether expressed or implied, and accepts no responsibility or liability for its completeness or accuracy. In the event of any inconsistency or discrepancies:- (i) the terms and conditions of this Promotion ( Terms and Conditions ) and any advertising, publicity, brochure, marketing or promotional material or other materials relating to or in connection with this Promotion, the Terms and Conditions shall prevail; and (ii) the English version of the Terms and Conditions and the Chinese version of the Terms and Conditions, the English version of the Terms and Conditions shall prevail. 22. Eligible Customers will be subjected accordingly to the prevailing terms and conditions under the prevailing UOB Cardmembers Agreement ( Standard Terms ). Terms defined in the Standard Terms shall, unless otherwise defined herein, have the same meaning when used herein. Eligible Customer are deemed to have accepted the terms and conditions herein when they participate in this Promotion. In the event of any inconsistency between the Terms and Conditions herein and the Standard Terms, the Terms and Conditions herein shall to the extent of such inconsistency, prevail in respect of matters relating to this Promotion. 23. A person who is not a party to these Terms and Conditions and/or any agreement governed by these Terms and Conditions has no rights under the Contracts (Rights of Third Parties) Act (Cap. 53B) of Singapore to enforce any term herein and/or any such agreement. 24. The terms and conditions herein shall be governed by the laws of the Republic of Singapore and all Customers and Eligible Customers participating in this Promotion shall be deemed to have agreed to submit to the exclusive jurisdiction of the courts of Singapore.
