TERMS AND CONDITIONS FOR e-payment CHEQUE REDUCTION PROGRAMME Definition 1. For the purposes of these terms and conditions ( Terms and Conditions ), the following words and expressions shall have the meanings assigned to them except where the context otherwise requires: - 1.1 Bank refers to AmBank (M) Berhad (Company No. 8515-D) or AmBank Islamic Berhad (Company No: 295576-U), companies incorporated in Malaysia under the Companies Act 1965 (repealed by Companies Act 2016) and having its registered address at Level 22, Bangunan AmBank Group, No. 55, Jalan Raja Chulan, 50200 Kuala Lumpur; 1.2 Programme refers to e-payment Cheque Reduction Programme organised by the Bank in accordance with the Terms and Conditions as herein stipulated; 1.3 Words importing the singular shall also include the plural and vice versa; 1.4 Any liberty or power or discretion which may be exercised or any determination which may be made hereunder by the Bank may be exercised or made in its sole, absolute and unfettered discretion without any obligation to give any reasons and any opinion rendered by the Bank, shall be final and binding upon the selected customer; 1.5. Any period which would otherwise end on a day which is not a business day and any event that is to otherwise occur on a day which is not a business day, shall end and/or, as the case may be, occur, on the next business day, unless that day falls in the calendar month succeeding that in which it would otherwise have ended or occurred, in which case it shall, end or occur on the preceding business day; 1.6 A day shall be construed by reference to the Gregorian calendar; and 1.7 A month means a period beginning in one calendar month and ending in the next calendar month on the day numerically corresponding to the day of the calendar month on which it commences or, where there is no date in the next calendar month numerically corresponding as aforesaid, the last day of such calendar month, and months and monthly shall be construed accordingly. 1.8 Online Payment refers to any payment or transaction in form of Interbank GIRO (IBG), Instant Interbank Fund Transfer (IBFT), and RENTAS via eambiz. Programme 1. The Programme is open to selected customers of the Bank who have been invited to participate in the Programme via e-mail and/or letter. 2. To participate in this Programme, selected customers of the Bank are required to subscribe to e- AmBiz (the Bank s Cash Management Internet portal) and to complete the Confirmation of Participation by signing and affixing the same with their company s rubber stamp. The duly completed and signed Confirmation of Participation must be sent via e-mail to lara- 1

martina@ambankgroup.com or by post to TB Product Marketing at Level 16, Menara Dion, Jalan Sultan Ismail, 50250 Kuala Lumpur. 3. This Programme shall run for a period of three (3) months from 1 May 2017 to 31 July 2017 ( Programme Period ). 4. Selected customers are required to fulfill two conditions, in accordance with the terms contained herein, in order to be eligible for the cash incentive under the Programme: 4.1 To reduce the number of physical cheque issuance; and 4.2 To utilise and increase the number of Online Payments. 5. For every twenty-five (25) cheques reduced and a minimum count of twenty-five (25) Interbank GIRO (IBG), Instant Interbank Fund Transfer (IBFT), and RENTAS transactions performed, RM50.00 cash incentive will be given. The total cash incentive given by the Bank for each month during the Programme Period shall be capped at a maximum limit of RM500.00 for each selected customer. Example of Monthly Cash Incentive Calculation: Company Criteria Cash Incentive Earned Company Total cheques issued from Jan - Dec 2016 : 1,200 ABC Average monthly cheques issued for 2016: 100 Total cheques issued in Month 1 of Programme Period: 75 Total IBG transactions performed during Month 1 of 25 RM50.00 Programme Period Average cheques reduced for Month 1: 100-75=25 6. There will be an additional Bonus Cash Incentive of RM1,000.00 to be given to one selected customer as the winner who achieved the highest percentage of reduction in number of cheques issuance during the Programme Period. The selected customer as the winner for the said Bonus Cash Incentive who achieved the highest percentage of reduction in number of cheques issuance during the Programme Period shall be determined by the following process: i. The Bank will calculate the average number of cheques issued by the selected customer for each month in the year 2016; ii. The monthly average number of cheques issuance shall then be multiplied by three (3) months to determine the total average number of cheques issuance for three months in 2016; iii. The Bank will then determine the percentage of reduction in the selected customer s number of cheques issuance during the Programme Period from the total average number of cheques issued for three months in 2016. 2

Example of Bonus Cash Incentive Calculation: Company Criteria Bonus Cash Incentive Company ABC Total cheques issued from Jan - Dec 2016 : 1,200 Percentage of cheques reduced Average cheques issued for 3 months for 2016: 300 Total cheques issued during Programme Period: 0 (300-0)/300*100 =100% Company 123 Total cheques issued from Jan - Dec 2016 : 2,400 Percentage of cheques Average cheques issued for 3 months for 2016: 600 reduced Total cheques issued during Programme Period: 300 (600-300)/600*100 =50% Company ABC wins the Bonus Incentive 7. All cash incentives earned under this Programme as recorded by the Bank shall be final and conclusive. The cash incentive given by the Bank under this Programme shall be remitted to any transacted account of the selected and eligible customers where the payment (via cheque issuance or Online Payment) was issued. The relevant cash incentive shall be remitted by the Bank to any of the transacted account of the participating Customer where the payment (for cheques or Online Payment) was issued within fourteen (14) days (excluding public holiday) as stated below: Tracking Period Remittance Date Month 1 1 st May 31 st May 2017 14 th June 2017 Month 2 1 st June 30 th June 2017 14 th July 2017 Month 3 1 st July 31 st July 2017 14 th August 2017 8. The Bank reserves the rights and absolute discretion to vary, amend, delete or add to any of the Terms and Conditions of the Programme, in whole or in part from time to time, including to vary the Programme Period (this include ending the Programme earlier or extending it further) as it deems fit, necessary and appropriate with prior notice of at least three (3) calendar days notice to the selected and eligible customers before the new Terms and Conditions take effect. 9. Any notice given by the Bank in relation to this Programme shall be posted and email to the selected customers office address and e-mail address respectively in the Bank's record. 10. The Bank shall have the rights and absolute discretion to disqualify any selected customer that is found to be tampering with the Programme and/or the operation of the Programme, to be acting in breach or potential breach of the Terms and Conditions herein. 11. The Bank reserves the rights and absolute discretion to retract, forfeit and/or not to pay the total cash incentive given by the Bank under the Programme if such customer has committed fraudulent, dishonest or wrongful acts in submitting the Online Payment transactions. 3

12. The Bank shall have absolute and sole discretion to withdraw, cancel, terminate or suspend the Programme at any time for whatever reasons with prior notice of at least three (3) calendar days notice to the selected and eligible customers. For avoidance of doubt, any withdrawal, cancellation, termination or suspension by the Bank of this Programme shall not entitle the selected customer for any claim or compensation against the Bank for any and all losses or damages suffered or incurred by the selected customer whether as a direct or indirect result of such withdrawal, cancellation, termination or suspension. 13. By participating in the Programme, selected customers consent to and agree to be bound by the Terms and Conditions, and the decision of the Bank. 14. The decision of the Bank on all matters (including but not limiting to any disputes and any other matter which are not covered by these Terms and Conditions) in relation to the Programme shall be final and binding on the selected customers and no further correspondence or appeal will be entertained. 15. The Bank shall not at any time be responsible or held liable for any loss, damage and/or harm suffered or incurred by selected customers and/or third parties in connection with and/or arising from the Programme. 16. Under no circumstances, will the Bank be held responsible for any computer, Internet and/or technical malfunction that may occur during the course of the Programme. 17. The Bank shall not be liable for any default, claim or demand in relation to the Programme due to any act of God, war, riot, strike, lockout, industrial action, fire, flood, drought, storm, technical or system failures or any event beyond the reasonable control of the Bank. 18. These terms and conditions shall prevail over any other provisions and/or representations contained in any other notices/promotion/advertising materials for the Programme. 19. All terms and conditions stipulated herein shall be governed and construed in accordance with the laws of Malaysia. 20. By participating in the Programme, selected and eligible customers consent to the Bank s disclosure of personal data of the selected and eligible customers for publication in any mass media or marketing materials for advertising or publicity purposes in any manner whatsoever, as and when the Bank deems necessary. 21. In the event of inconsistencies between the English version and the Bahasa Malaysia version of this Terms and Conditions, the English version of this Terms and Conditions shall prevail. TERMA DAN SYARAT PROGRAM e-bayaran PENGURANGAN CEK Definisi 1. Untuk tujuan terma dan syarat ini ( Terma dan Syarat ), perkataan dan ekspresi berikut membawa maksud yang diberikan kecuali dimana konteks lain diperlukan: - 1.1 Bank bermaksud AmBank (M) Berhad (No. Syarikat: 8515-D) atau AmBank Islamic Berhad (No. Syarikat: 295576-U), syarikat yang ditubuhkan di Malaysia di bawah Akta Syarikat 1965 (dimansuhkan oleh Akta Syarikat 2016) dan mempunyai alamat berdaftarnya di Tingkat 22, Bangunan Kumpulan AmBank, No. 55, Jalan Raja Chulan, 50200 Kuala Lumpur; 1.2 Program merujuk kepada Program e-bayaran Pengurangan Cek yang dianjurkan oleh Bank selaras dengan Terma dan Syarat yang terkandung di sini; 1.3 Perkataan yang membawa maksud tunggal turut membawa maksud jamak dan juga sebaliknya; 1.4 Sebarang kebebasan, kuasa atau budi bicara yang boleh dilaksanakan atau penentuan yang boleh dibuat oleh Bank atas budi bicaranya yang tunggal, mutlak dan tidak terbatas, boleh dilaksanakan atau ditentukan oleh Bank, tanpa obligasi untuk memberi sebarang sebab atau pendapat, dan adalah muktamad dan mengikat pelanggan yang terpilih; 1.5. Apa-apa tempoh yang akan berakhir pada hari yang bukan hari perniagaan dan apa jua keadaan yang berlaku pada hari yang bukan hari perniagaan, hendaklah dianggap berakhir dan/atau, berlaku, pada hari perniagaan yang seterusnya, kecuali jika hari tersebut jatuh pada bulan kalendar yang berikutnya, ia akan dianggap berakhir atau berlaku pada hari perniagaan sebelumnya. 1.6 Satu hari hendaklah ditafsirkan dengan merujuk kepada takwim Gregory; dan 1.7 Satu bulan bermaksud tempoh dari permulaan satu bulan kalendar dan berakhir pada bulan kalendar yang seterusnya pada hari berangka yang sepadan dengan hari dalam bulan di mana ia bermula atau, jika tidak ada tarikh dalam bulan kalendar yang berikutnya yang sepadan seperti yang tersebut di atas, hari terakhir bulan kalendar itu, dan "bulan" dan "bulanan" hendaklah ditafsirkan sewajarnya. 1.8 Bayaran Online merujuk kepada apa-apa bayaran atau transaksi dalam bentuk GIRO Antara Bank (IBG), Pindahan Dana Segera Antara Bank (IBFT), and RENTAS menerusi eambiz. Program 1. Program ini adalah terbuka kepada pelanggan terpilih yang telah dijemput untuk menyertai Progam ini melalui e-mel dan/atau surat. 2. Untuk menyertai Program ini, pelanggan yang terpilih perlu melanggan eambiz (portal Internet untuk Pengurusan Kewangan Bank) dan telah melengkapkan Pengesahan Penyertaan dengan menandatangani dan menurunkan cap syarikat pada Pengesahan Penyertaan tersebut. Pengesahan Penyertaan yang telah disempurnkan tersebut mesti dihantar secara e-mel kepada 1

lara-martina@ambankgroup.com atau secara pos kepada TB Product Marketing di Level 16, Menara Dion, Jalan Sultan Ismail, 50250 Kuala Lumpur. 3. Program ini akan dijalankan untuk tempoh selama tiga (3) bulan bermula dari 1 Mei 2017 hingga 31 Julai 2017 ( Tempoh Program ). 4. Pelanggan-pelanggan yang terpilih perlu memenuhi dua syarat yang tertakluk pada terma yang terkandung di sini untuk layak mendapat insentif tunai di bawah Program ini iaitu: 4.1 Mengurangkan jumlah pengeluaran cek; dan 4.2 Menggunakan dan menambahkan penggunaan Bayaran Secara Online; 5. Untuk setiap pengurangan dua puluh lima (25) cek dan sekurang-kurangnya dua puluh lima (25) transaksi GIRO Antara Bank (IBG), Pindahan Dana Segera Antara Bank (IBFT), and RENTAS yang dilaksanakan, insentif tunai sebanyak RM50.00 akan diberikan. Jumlah maksimum insentif tunai yang diberikan kepada setiap pelanggan yang terpilih untuk setiap bulan adalah RM500.00. Contoh pengiraan Insentif Tunai Bulanan: Syarikat Kriteria Insentif Tunai yang diperolehi Syarikat Jumlah cek yang dikeluarkan pada Jan - Dis 2016 : 1,200 ABC Purata cek yang dikeluarkan setiap bulan untuk tahun 2016: 100 Jumlah cek yang dikeluarkan pada bulan pertama 75 Tempoh Program: RM50.00 Jumlah transaksi IBG yang dilaksanakan pada bulan 25 pertama Tempoh Program Purata cek yang dikurangkan untuk bulan pertama: 100-75=25 6. Terdapat satu Insentif Tunai Bonus berjumlah RM1,000.00 akan diberikan kepada satu pelanggan yang terpilih selaku pemenang yang berjaya untuk mencapai peratusan pengurangan yang tertinggi bagi cek yang dikeluarkan semasa Tempoh Program. Pelanggan yang terpilih sebagai pemenang Insentif Tunai Bonus yang berjaya untuk mencapai peratusan pengurangan yang tertinggi bagi cek yang dikeluarkan akan ditentukan melalui proses berikut: i. Bank akan mengira purata cek yang dikeluarkan oleh pelanggan terpilih untuk setiap bulan bagi tahun 2016; ii. Purata bulanan jumlah cek yang dikeluarkan akan didarab tiga (3) untuk menentukan jumlah purata cek yang dikeluarkan untuk tiga bulan tahun 2016; iii. Bank seterusnya akan menentukan peratusan pengurangan cek yang dikeluarkan oleh pelanggan terpilih semasa Tempoh Program dibandingkan dengan peratusan pengurangan cek yang dikeluarkan oleh pelanggan terpilih untuk tiga bulan pada tahun 2016; 2

Semua insentif tunai yang diperolehi seperti yang direkodkan oleh Bank adalah muktamad dan konklusif. Insentif tunai diberikan oleh Bank di bawah Program ini akan dibayar ke mana-mana akaun urus niaga pelanggan yang terpilih dan layak di mana pembayaran dikeluarkan (melalui pengeluaran cek atau Pembayaran Online). Insentif tunai tersebut akan dibaya oleh Bank kepada pelanggan yang terpilih dan layak dalam tempoh empat belas (14) hari (tidak termasuk cuti umum) seperti yang dinyatakan di bawah: Tempoh Tarikh Bulan 1 1 Mei 31 Mei 2017 14 Jun 2017 Bulan 2 1 Jun 30 Jun 2017 14 Julai 2017 Bulan 3 1 Julai 31 Julai 2017 14 Ogos 2017 Syarikat ABC memenangi Insentif Tunai Bonus 8. Bank mempunyai hak dan budi bicara mutlak untuk mengubah, meminda, memadam atau menambah mana-mana Terma dan Syarat Program ini, secara keseluruhan atau sebahagian dari semasa ke semasa, termasuklah mengubah Tempoh Program (termasuk menamatkan Program lebih awal atau memanjangkan Tempoh Program) sebagaimana yang difikirkannya patut, perlu dan sesuai dengan memberikan notis terdahulu sekurang-kurangnya notis tiga (3) hari bekerja kepada pelanggan yang terpilih dan layak sebelum Terma dan Syarat baharu tersebut berkuat kuasa. 9. Apa-apa notis yang diberikan oleh Bank berhubung dengan Program ini akan diposkan dan dihantar menerusi e-mel ke alamat pejabat dan e-mel pelanggan yang terpilih yang masingmasing terdapat dalam rekod Bank. 10. Bank mempunyai hak dan budi bicara mutlak untuk membatalkan kelayakan mana-mana pelanggan terpilih yang didapati telah menyalahgunakan Program dan/atau operasi Program, melanggar atau berpotensi melanggar Terma dan Syarat yang terkandung di sini. 11. Bank mempunyai hak dan budi bicara mutlak untuk menarik balik, membatalkan dan/atau tidak membayar jumlah insentif tunai yang diberikan oleh Bank di bawah Program jika pelanggan itu telah melakukan penipuan, tidak jujur atau salahlaku dalam mengemukakan transaksi Pembayaran Online. 3

12. Bank mempunyai budi bicara mutlak dan tunggal untuk menarik balik, membatalkan, menamatkan atau menggantung Program ini pada bila-bila masa atas apa jua dengan memberikan notis terdahulu sekurang-kurangnya notis tiga (3) hari bekerja kepada pelanggan yang terpilih dan layak sebelum Terma dan Syarat baharu tersebut berkuat kuasa. Untuk mengelakkan keraguan, apa-apa penarikan balik, pembatalan, penamatan atau penggantungan oleh Bank terhadap Program ini tidak melayakkan pelanggan yang terpilih untuk apa-apa tuntutan atau pampasan terhadap Bank untuk sebarang kerugian atau kerosakan yang dialami atau ditanggung oleh pelanggan yang terpilih sama ada secara langsung atau tidak langsung daripada penarikan balik, pembatalan, penamatan atau penggantungan tersebut. 13. Dengan menyertai Program ini, pelanggan yang terpilih bersetuju untuk terikat dengan Terma dan Syarat ini, dan keputusan Bank. 14. Keputusan Bank terhadap semua perkara (termasuk tetapi tidak terhad kepada apa-apa pertikaian dan apa-apa perkara lain yang tidak terkandung dalam Terma dan Syarat ini) berhubung dengan Program ini adalah muktamad dan mengikat pelanggan yang teripilih dan sebarang rayuan tidak akan dilayan. 15. Bank pada setiap masa adalah tidak bertanggungjawab atau dipertanggungjawabkan terhadap apa-apa kehilangan, kerosakan dan/atau kerugian yang dialami atau ditanggung oleh pelanggan terpilih dan/atau pihak ketiga berkaitan dengan dan/atau yang timbul daripada Program ini. 16. Dalam apa jua keadaan, Bank tidak akan bertanggungjawab terhadap sebarang kerosakan komputer, Internet dan/atau teknikal yang mungkin berlaku sepanjang tempoh Program. 17. Bank tidak akan bertanggungjawab terhadap sebarang keingkaran atau tuntutan berhubung dengan Program ini yang disebabkan oleh bencana alam, peperangan, rusuhan, mogok, sekat masuk, tindakan perindustrian, kebakaran, banjir, kemarau, ribut, kegagalan teknikal atau sistem atau sebarang kejadian di luar kawalan munasabah Bank. 18. Terma dan Syarat ini akan diguna pakai dan mengatasi mana-mana peruntukan dan/atau perwakilan lain yang terkandung dalam mana-mana notis/promosi/bahan pengiklanan lain untuk Program ini. 19. Semua terma dan syarat yang ditetapkan di sini akan ditadbir dan ditafsirkan menurut undangundang Malaysia. 20. Dengan menyertai Program ini, pelanggan yang terpilih memberi kebenaran kepada Bank untuk mendedahkan maklumat peribadi pelanggan yang terpilih tersebut untuk siaran dalam manamana media massa atau bahan pemasaran untuk tujuan pengiklanan atau publisiti dengan apaapa cara juapun, bila-bila difikirkan perlu oleh Bank. 21. Sekiranya terdapat percanggahan antara Terma dan Syarat versi Bahasa Inggeris dan Terma dan Syarat versi Bahasa Malaysia, Terma dan Syarat versi Bahasa Inggeris akan digunakan 4
