3. EDUCATION SUBCOMMITTEE OBJECTIVE: delivering a key strategy f the ASF and adding value thrugh develpment and delivery f a series f high quality educatinal prgrams and accredited curses. It shuld: review, develp and enhance the cntent and delivery platfrms f the ASF s educatinal strategy. AUDIT & RISK SUBCOMMITTEE OBJECTIVE: This internal subcmmittee is made up f representatives f the Natinal Cmmittee and is respnsible fr verseeing the peratinal and financial gvernance and risk management practices f the ASF. It shuld: ensure that the ASF is cnducting its financial affairs in accrdance with the ASF Cnstitutin and cmplies with relevant regulatry and accunting requires fr a nnfr-prfit assciatin. develp, implement and peridically review the peratins f the ASF Executive Office t ensure that the apprpriate recrds and checks and balances are in place. peridically cmmunicate relevant financial and gvernance updates t ASF members t build transparency and member trust in the ASF as a prfessinal bdy. ensure annual accunts are prduced and distributed in a timely fashin and a clean audit f the accunts is achieved. 5. COMMUNICATIONS SUBCOMMITTEE OBJECTIVE: delivering strategic directin fr the ASF s cmmunicatins activities. The scpe f the ASF s cmmunicatin activities and therefre the scpe f this Subcmmittee is: Printed matter (e.g. bi-annual magazine, The Australian Securitisatin Jurnal); Electrnic matter (e.g. website and mnthly newsletter); Events (e.g. annual cnference, evening series, twn halls, and industry events); and Member feedback (e.g. surveys and ther frms f member input). The audience fr the ASF s cmmunicatin activities will be its current and prspective members as well as brader market participants, bth nshre and ffshre, including investrs and the media. It shuld als: review, develp and enhance the cntent and delivery platfrms f the ASF s cmmunicatins activities. cnsider and prvide recmmendatins fr new and innvative methds, channels and targets fr ur cmmunicatins activities. WOMEN IN SECURITISATION SUBCOMMITTEE OBJECTIVE: prvide wmen in the securitisatin industry with supprt and high-quality netwrking and career develpment pprtunities, raise awareness f issues that affect wmen's prfessinal advancement, and encurage strng and nging engagement in the industry frm different levels f senirity. In rder t facilitate these main pririties, it shuld: Organise at least 3 t 4 Wmen in Securitisatin ("WIS") events each year, with at least ne in Melburne and ne in Brisbane. These events will feature guest speakers as apprpriate; Prmte diverse & inclusive wrk practices in all aspects f Australian Securitisatin Frum ("ASF") related activities (via the ASF Natinal Cmmittee); Engage with men in the industry t assist WIS t meet its bjectives; Leverage ASF relatinships with ther like-minded rganisatins; and Identify market leading mentring prgrams fr WIS members t participate in. MEET: quarterly, r as required. MEMBERSHIP: Subcmmittee membership is limited t 12. A diverse and inclusive subcmmittee membership is encuraged, acrss gender, gegraphic regin and market sectr, amng thers. The aim is t have at least tw male members, and at least tw members frm states ther than New Suth Wales. Subcmmittee membership term is limited t 3 years (excluding any time taken fr extended leave). After a 3-year tenure, the member must step dwn frm the subcmmittee r step int the Chair psitin, subject t being a member f the ASF Natinal Cmmittee. A persn cannt remain n the subcmmittee mre than 6 years in ttal. Men are welcme and encuraged t becme subcmmittee members and attend mst WIS events. Hwever, frm time t time sme f the activities f WIS are targeted specifically at wmen. NEW ZEALAND MARKET SUBCOMMITTEE The Sub-Cmmittee will represent the interests f all ASF members wh participate in the New Zealand Securitisatin & Cvered Bnds market regardless f dmicile by: building prductive relatinships with New Zealand gvernment ministers, members f parliament and gvernment departments and agencies that have respnsibility fr, and influence plicy in, New Zealand s securitisatin and cvered bnd markets; prviding submissins and input int plicy and regulatry directin and law refrm affecting the securitisatin and cvered bnd markets; identifying areas f New Zealand s regulatry envirnment that culd be changed t allw fr the mre efficient and effective peratin f securitisatin and cvered bnd issuance and investment; recmmending best practices that will ensure efficient, effective and transparent peratin f the New Zealand securitisatin and cvered bnd markets; maintaining a current understanding f Australian market practice t ensure, wherever relevant, cnsistency f apprach in New Zealand and Australia t minimise csts fr trans- Tasman securitisatin and cvered bnd market participants; and develping and delivering educatin prgrams either separately in New Zealand r thrugh adaptatin frm existing ASF prgrams and curses. INVESTOR SUBCOMMITTEE OBJECTIVE: t prvide a frum fr investrs t discuss views n tpical industry matters and prvide input and recmmendatins t the ASF n changes that wuld imprve the peratin and attractiveness f the Australian securitisatin market t dmestic and internatinal investrs. It shuld: primarily aim t increase the cnfidence f investrs t participate in the bth the primary and secndary securitisatin markets; increase the allcatin f Australia s superannuatin and fund management markets t investment in RMBS/ABS as part f a greater allcatin t fixed incme; actively champin the adptin f best practices within the industry; as necessary, cnsider relevant regulatry and plicy develpments t prvide the ASF with an investr perspective in frming its psitin r respnse; aim t meet with key Australian regulatrs n an annual basis. A key utcme is t enhance the liquidity and activity f the Australian securitisatin market and t attract and maintain the cnfidence f a grwing bdy f investrs. INDUSTRY & MARKETS SUBCOMMITTEE OBJECTIVE: t mnitr and discuss lcal and glbal develpments in the Australian securitisatin market and the general debt capital market which can prmte a mre efficient and grwing securitisatin market. The subcmmittee shuld: a. review and discuss develpments in and the directin f the Australian securitisatin market; b. infrm itself and cnsider new best practices that may be perating in ther sectrs f Australia s financial market r glbal securitisatin markets t imprve the efficient and liquidity f the Australian securitisatin market; c. actively champin the adptin f best practices within the industry; d. prvide clear and cncise best practice guidelines fr the industry t adpt which wuld include publicatin n www.securitisatin.cm.au; e. interact with ther industry sectrs thrugh their respective industry bdies n verlapping market issues. 10. FUTURE LEADERS AND YOUNG PROFESSIONALS SUBCOMMITTEE OBJECTIVE: The Future Leaders and Yung Prfessinals ( FLYP ) subcmmittee aims t prvide a pathway fr newer and yunger members f the securitisatin industry t becme mre actively engaged with the ASF (being the key industry bdy), its active member firms and the securitisatin industry in general. THE FLYP SUBCOMMITTEE AIMS TO: Organise FLYP industry events t prvide netwrking pprtunities fr newer and yunger members f the securitisatin industry, with an intentin t hld at least three events per calendar year (with a minimum f ne utside Sydney); Recmmend events and activities that assist yunger members f the securitisatin market in develping their careers; Assist in prmting the securitisatin industry primarily via netwrking and presentatins with Australian tertiary educatin prviders and assciated industry related rganisatins; and Assist ther ASF subcmmittees in carrying ut their prjects as well as raising tpics f interest with these subcmmittees when identified by the FLYP subcmmittee. MEETINGS: The FLYP subcmmittee will meet at least fur times per annum r mre frequently as required. SUBCOMMITTEE COMPOSITION: SIZE: The subcmmittee will ideally be between eight and twelve members. CHAIRMANSHIP: The subcmmittee shuld be chaired by a member f the ASF Natinal Cmmittee wrking with the subcmmittee and a ptential FLYP leadership grup f up t three peple. RENEWAL: It is intended that a third f the subcmmittee will be replaced every twelve mnths, with a maximum thirty-six-mnth term fr any subcmmittee member. FIRM REPRESENTATION: It will be the aim that upn each renewal the subcmmittee will have n mre than ne representative frm any ASF member firm. Last updated: 25 July 2018 Page 10
