Overview f the Bard f Directrs Cmpsitin f the Bard Bard Perspective Outline fr Leadership Labs Pursuant t INTA s Bylaws, the Bard can have up t 36 Bard Members + President + up t 3 Advisry Directrs. Bylaws require that n mre than 1/3 f the Bard are Assciate Members, s nrmally the cmpsitin f the Bard is 2/3 Regular and 1/3 Assciate Members. Advisry Directrs -- up t three Advisry Directrs, when there is a need fr their special expertise, may be elected by the Bard f Directrs as nn-vting members. Audit Cmmittee reviews any and all issues relating t the annual audit and the auditing practices f the Assciatin. Cmpensatin & Benefits Cmmittee is respnsible fr the cmpensatin and benefits fr the Assciatin staff. Finance Cmmittee prvides versight f the financial matters f the Assciatin, including the investment prtfli and the budget. Nminating Cmmittee makes nminatins fr Officers, Bard f Directrs, Advisry Directrs, nn-bard Cmmittee Chairs, Cmmittee vice Chairs, Glbal Advisry Cuncil

Chairs and Prgramming Advisry Cuncil members. The Bard f Directrs apprves the Advisry Directrs, Cmmittee Chairs and Vice Chairs, GAC C-Chairs and Prgramming Advisry members. Planning Cmmittee manages the strategic and annual planning fr the Assciatin. Interactin Between Bard and Cmmittees under the Advcacy, Resurces and Cmmunicatins Grups High-Level Overview f Cmmittee Wrk INTA cmmittees are rganized under the Advcacy Grup, the Resurces Grup r the Cmmunicatins Grup. Each Grup is verseen by a Grup Officer and Grup Staff Liaisn. The Grup Officer is an Officer f the Bard that rtates each year. The Grup Staff Liaisn remains cnstant. At each Executive Cmmittee meeting and Bard meeting, the Grup Officer and Grup Staff Liaisn prepare reprts that prvide highlights f the activities f all cmmittees rganized under that Grup. This is ne imprtant way that the Bard can have a high-level verview f the wrk f all cmmittees, acrss all Grups. Substantive Review f Cmmittee Wrk Other ways the Bard gains a deeper insight int Cmmittee wrk is thrugh: Cmmittee Updates Smetimes the Bard requests updates frm a particular Cmmittee r a Cmmittee may request time n the Bard agenda t prvide an update n significant activities r verall bjectives f that Cmmittee. This is especially helpful fr the Bard t gain insight int the wrk f newer Cmmittees. 4

Fr example, the Building Bridges Cmmittee, the Designs Cmmittee, and the Impact Studies Cmmittee are sme f the Cmmittees intrduced int the INTA Cmmittee structure in 2016. It is als prvides an pprtunity fr Cmmittees t share infrmatin abut their bjectives, activities, and accmplishments as they relate t pririty issues fr the Assciatin. Fr example, the Emerging Issues Cmmittee (EIC), recently presented a Brand Restrictins Update t the Bard that detailed the activities f the Brand Restrictins Subcmmittee f the EIC, including its analysis f the WTO Panel Decisin and recmmended next steps. Reprts Reprts is a generic term that that is used t describe cmmittee-authred cntent. It includes such materials as best practices dcuments, tlkits, cmparative charts, and/r analyses f cllected survey data, recmmendatins, etc. Nt all reprts rise t the Executive Cmmittee and Bard level fr review. The cntent f the Reprts is usually vetted thrugh the Cmmittee leadership befre being presented t the Executive Cmmittee and Bard, depending n whether Bard guidance and/r apprval is needed. Examples f recent Reprts t the Bard include: Brexit Psitin Paper by the Legislatin and Regulatin Cmmittee and the Trademark Offices Practice Cmmittee Anticunterfeiting Cmmittee Paper n Sale f Cunterfeits n the Internet Reprts may be published internally and/r fr public disseminatin. Depending n their nature, they als may be used as a basis fr advcacy effrts and initiatives. Bard Reslutins Bard Reslutins prvide the basis fr INTA's fficial psitins n a variety f issues. INTA's psitins are adpted by the Bard f Directrs and are based n in-depth analysis and recmmendatins by the Cmmittees. Examples f recent Bard Reslutins include: Cpyright Registratin as a Precnditin f Infringement Suit Mdel Design Law Guidelines Madrid Prtcl: Dependency Perid Befre being presented t the full Bard fr cnsideratin, usually Reprts and Reslutins are first presented t the Executive Cmmittee f the Bard. The Executive Cmmittee is cmprised f the Officers f the Bard plus at least 4 ther Directrs. 5

This initial review by the Executive Cmmittee f Reprts and Reslutins is meant t flesh ut any unanswered questins, gaps in the analysis, and t determine if the cntent is ready t be presented t the full Bard. The review by the Bard is meant t determine if the Reprt r Reslutin is, amng ther cnsideratins: in supprt f the missin f INTA; aligns with the Strategic Plan; and a plicy that is in the best interest f the Assciatin and its membership at large There are times when the Bard will nt apprve the initial presentatin f a Reprt r Reslutin and instead may ask a Cmmittee fr further analysis, additinal infrmatin, r t recnsider certain aspects f a Reprt r Reslutin, and t bring it back t the Bard fr further cnsideratin. This shuld by n means be cnsidered as any srt f failure n the part f the Cmmittee, but a reflectin f the Bard s cmmitment t cllabrate with the Cmmittees t advcate fr sund plicies that are in the best interest f all INTA members. 6
