Terms of Contract I Execution of the contract 1 In respect of the execution of the contract the application material sent to the Exhibitor is classified as a call for proposal. 2 The application for participation shall be submitted on the application form filled in and signed officially, and on such form the Exhibitor may not stipulate any conditions or reservation, and the Exhibitor shall be bound by its proposal till the Organizer's confirmation (designation of stand). 3 By returning the application form the Exhibitor confirms having studied and accepted the terms of this contract. 4 The Organizer designates a stand for the Exhibitor and sends the ground-plan of it to the Exhibitor. 5 The Exhibitor shall make it known within 5 days from the date of proposing the stand, if it does not accept the stand. After this deadline the contract shall be executed between the parties. 6 By its own will the Exhibitor may not swap the area designated by the Organizer with another exhibitor, may not increase its size under an agreement with another exhibitor, may not transfer it and may change it in any way only after consultation with the Organizer. II Terms of payment 1 After the execution of the contract the Organizer sends the invoice containing participation costs and registration fee, the invoice is payable in accordance with the terms of payment determined therein. 2 The Organizer bills the price of other technical and construction services ordered by the Exhibitor upon the order and the Exhibitor shall settle those at latest till the opening of the event. 3 The Exhibitor can take over the stand only after the settlement of the charges mentioned under the articles II/1 and 2. 4 The technical services which are ordered by the Exhibitor after the opening the Organizer will fulfil against prompt payment. III Stand building 1 In the case of multi-storey stands 50% of the site fee is payable for the built m2 area. 2 The height of the stands is 250 cm. Any different height shall be licenced by the contractor in writing. IV Qualitative categories of Exhibitors Inclusion in the Catalogue 1 Co-exhibitor is a company having its own stand part at the exhibition, but not having contracted with the Organizer. The Co-exhibitor shall obey the rules applicable to the Exhibitor, but solely the Exhibitor is subject to payment obligations. 2 Represented company is a company not having an own stand part at the exhibition, but represented by the Exhibitor or Co-exhibitor company at the stand. 3 The Exhibitor is obliged to communicate the data of the Coexhibitor and the represented company to the Organizer. 4 Basic inclusion in the exhibition s catalogue is charge-free for the Exhibitor. 5 The cost of basic inclusion for the Co-exhibitor and represented companies is EUR 102 + VAT. V Distribution of publicity materials, sales 1 Prints and various publicity materials may be distributed only on the area of the leased stand. 2 Distribution of such materials outside this area is subject to permission and payment of a fee. 3 Sale of product samples and product requires a permit. VI Insurance 1 The Exhibitor is responsible for insuring its products, machines, and all exhibition materials against damage during the construction, operation and closing phase of the exhibition. 2 The Exhibitor shall liable for any damage caused to third parties during its participation at the exhibition. 3 The Exhibitor shall hold liability insurance valid for the duration of the event for damage caused accidentally and unexpectedly (by accident) as exhibitor and builder for its own action and the action of its subcontractors. VII Cancellation, complaints 1 The registration fee shall not be returned if participation at the exhibition is cancelled. 2 If the Exhibitor cancels participation in the period after the execution of the contract and till the 30th day before the opening of the event a penalty equivalent to 50% of the site fee, between the 30th and the 10th day before the opening of the event 80% of the site fee and within 10 days 100% of the site fee shall be paid. 3 The Exhibitor shall make the cancellation in writing and the cancellation is valid from the day it arrives to the Organizer. 4 Any complaints of the Exhibitor concerning the invoice shall be made before the exhibition is closed, so its backing with evidence is possible. 5 If the Exhibitor does not occupy the designated area 24 hours before the opening of the event, the Organizer may lease that area to another exhibitor without any liability for refund or compensation. Exhibitors who remain absent shall not be refunded the participation costs and the registration fee, and such exhibitors shall also settle the price of any services already rendered. 6 The Exhibitor may not make any claims for compensation, if for any reason the event s date or place is changed or the event is called off. VIII Legal disputes Parties hereto shall attempt to settle their disputes in a peaceful manner by negotiations. If such negotiations are unsuccessful parties hereto agree on the exclusive competence of the Pest Central District Court.
