1 BARROW CADBURY TRUST /FUND 2013 TRUSTEE REGISTER OF INTEREST Definition: A conflict of interest arises when the interest of a member of the Board is in conflict with their interests in another capacity and as such could compromise or appear to comprise their decisions. Process At the beginning of any Committee/Board meeting, Trustees will be asked to declare any conflict of interest in items to be discussed. Any such conflicts will be minuted and dealt with in accordance with the identified grade of conflicts as above. A separate resolution was required in respect of each Trustee fo rthebarrow Cadbury Trust and the. 0 = No action is required i.e. the interest is not material and no response is needed 1 = Minor conflicts (e.g. where a trustee is on the Board of a co-funder) - the trustee/director declares the interest, may contribute to the discussion at the Chair s discretion, and may not vote. 2 = Larger conflicts (e.g. where a trustee is a Board member of, or works for the other organisation which is providing funding) - the trustee/director leaves the meeting. 3 = Serious conflicts (i.e. where it is judged by the Chair of the Trust to be more serious on a case by case basis - an example would be if the Trust were bidding for funding from another trust), the trustee/director leaves the meeting, doesn t participate in discussions or see any relevant papers. 4 = Major conflicts (i.e. where the conflict is so great it is incompatible with or creates an unacceptable level of risk for the work of the Trust), the trustee /director resigns.
