1 Collection Based Distribution Franchisee (Feeder) scheme This scheme is designed for 11 KV feeders, to be allotted to the franchisee. In this scheme, only LT consumers (except Govt. and HT consumers) of the selected franchised area shall be handed over to the franchisee. The Govt. and HT consumers of the franchised area shall not be brought under the purview of the scheme and the distribution operational management i.e., meter reading, billing, bill dispatch and collection of these Govt. and HT consumers shall be managed by the APDCL. The main objective of the scheme is to achieve a) Reduction in AT & C losses b) Improvement in consumer service quality c) Improvement in Metering, Billing and Collection efficiency 1. Duties and responsibilities of the franchisee i) The franchisee shall record the meter reading of LT consumers (except govt. and HT consumers). ii) a) The franchisee can prepare the energy bills of the consumers in their computer in Power CBS software, provided by APDCL, but the printing of bills should be done through APDCL server. The franchisee will submit soft copy of the billing data to APDCL for uploading the same in APDCL server on daily basis. The franchisee is allowed to prepare consumer bills in their computer connected with the APDCL server in the APDCL office in on line mode. The concern SDEs shall provide necessary infrastructure to the franchisees for this purpose b) The franchisee shall utilise the Spot Billing Machine (SBM), if provided by APDCL, for consumer billing purpose. iii) The franchisee shall distribute the energy bills to the LT consumers. iv) The franchisee shall maintain the HT and LT lines (excluding DTRs) of the franchised area. v) The franchisee shall attend the LT consumer complaints and fuse calls with fuse wire. vi) The franchisee shall undertake the execution of new service connection (APL) works of LT consumers as per approval of APDCL, with materials supplied by APDCL. vii) The franchisee shall conduct load survey and disconnection and reconnection of unauthorised LT consumers. viii) The franchisee shall submit the consumer list of new service connections in each month to local APDCL office within 1 st week of the succeeding month. 1 of 11

2 ix) a) The office shall be opened by the franchisee in the selected area. b) The necessary laptop/laptops with compatible printer/printers shall be arranged by the franchisee. c) The franchisee shall upload the billing database of the consumers of selected area in their laptop from the server of APDCL, with the help of APDCL personnel. d) The APDCL money receipts forms shall be issued to the franchisee by the APDCL authority. e) The franchisee shall collect revenue from the consumers, as per bill raised by the APDCL, and issue APDCL money receipt to them, against the payment. The franchisee shall not issue any revenue receipts to the consumers, except APDCL money receipts. f) The franchisee shall deposit the total revenue collected from the consumers to the APDCL office or in the revenue account of APDCL in the designated bank of APDCL, on the same day of collection from the consumers. g) The franchisee shall update the APDCL billing/collection database in the main server of APDCL in the APDCL office on the same day or within 48 hours of revenue collection from the consumers. h) The franchisee shall return the balance no of APDCL money receipts forms in each month to the APDCL office for issuance of the same in the next month. i) In case of non compliance of the above sub clauses (a to h) the APDCL shall reserve the right to forfeit the security amount deposited by the franchisee and the franchisee shall have to deposit fresh security amount, within seven days, in order to continue the agreement. x) The franchisee shall provide support to APDCL to lodge FIR against unauthorised use of electricity and to assist APDCL in court cases on revenue matters. xi) The franchisee shall maintain all the machineries and equipments, provided by APDCL, in good condition. xii) In case of termination/surrender of the franchised area, the franchisee shall return all the machineries and equipments, provided by APDCL, in good condition. 2. The duties and responsibilities of APDCL i) The APDCL shall validate the energy bills processed by the franchisee and print energy bills through APDCL server. ii) The APDCL shall extend co-operation and support to the franchisee to open and operate collection centres in the franchised area. 2 of 11

3 iii) The revenue from the LT consumers shall be received in the APDCL office or in the collection centres operated by the franchisee or through portable Point of Sale (P.O.S) of authorised bank of APDCL. iv) The APDCL shall provide Spot Billing Machines (SBM), if available, to the franchisee for consumer billing purpose. v) The APDCL shall provide all types of materials to the franchisee for maintenance purpose. vi) APDCL shall approve the new service connections of the LT consumers in the franchised area. vii) The APDCL shall support the franchisee in disconnection works of LT consumers and in curbing the power theft. viii) The APDCL shall procure and install energy meters in the LT consumer premises. ix) APDCL shall lodge FIR against unauthorised use of electricity. 3) Selection of franchised area i) The scheme shall be implemented in the feeders of rural areas only. ii) The 11 KV rural areas, which are not covered by any Municipality Board/Town Committee, shall be brought under this scheme. In case of partly urban feeder, the rural part of the same feeder shall be considered to be brought under this scheme. iii) The franchised area is the area covered by the 11 KV feeder allotted to the franchisee. iv) The 11 KV feeders of the rural area, having AT & C loss above 30%, shall be selected to be brought under this scheme. v) The Circle Level Committee, comprising of respective CEO, AGM, SDE, AM (A) and AO/DAO shall locate and select feeder franchised area and shall place the proposal to the GM (Com-Rev). vi) The selected area should be having at least 1000 to 5000 of LT consumers, in rural 11 KV feeders. 4) Selection of franchisee i) The applicant shall be Registered Company, Partnership Firm, Individual Entrepreneur, Trusts, Cooperative, and Self Help Group (SHG) working under Panchayat, unemployed youth having Degree in Electrical/Mechanical Engineering or Diploma in Electrical/Mechanical Engineering from recognised institute. However, preference shall be given to organizations with 3 of 11

4 ii) iii) iv) more than 2 years of work experience in Assam, preferably in the distribution wing of the power sector and the qualified unemployed youth, as mentioned. The applicant must have at least two employees under him for each franchised area having with HT workman license issued by the competent authority. After approval by the Franchisee Committee-I, the GM (Com-Rev), shall notify in the local newspapers, for invitation of applications for franchisees, giving 30 days time for submission of application by the interested applicants. The franchised area to be notified in the local news papers shall be in the form of region wise package, comprising of at least more than one no. of 11 KV feeder. v) The following documents shall be submitted along with the application to establish the credentials of the applicant. 1. Sole proprietorship affidavit, if the applicant is an individual entrepreneur. 2. Registration certificate, if the applicant is a firm. 3. Partnership deed, in case of partnership firm. 4. Power of Attorney for authorised signatory in case of partnership firm. 5. Income tax return for last one financial year. 6. PAN card of the authorised signatory or the firm. 7. Bank account statement of the authorised signatory or the firm for last one year. 8. Experiences certificate of the applicant from the competent authority. 9. Certificate of LT/HT license of the employee of the applicant issued by Govt. of Assam. 10. No liability certificate from competent authority in case of SPPS agent or APDCL/AEGCL/APGCL contractor. 11. One no. of pass port size photograph of the authorised signatory. 12. Any other related documents. vi) vii) The applicant shall submit the application, along with documents, to the office of the GM (Com-Rev), APDCL, with an earnest money deposit amount which shall be 2.5% of the performance security amount of the package of feeder/feeders. The GM (Com-Rev) shall scrutinise the proposals and shall place the proposals before Franchisee Committee-I of APDCL for final approval. If 4 of 11

5 viii) necessary, the applicant/applicants shall be called to appear before the Franchisee Committee-I of APDCL for personal interaction. After due approval from the Franchisee Committee-I of APDCL, the final order of selection shall be issued by the GM (Com-Rev), APDCL. ix) The decision of the Franchisee Committee-I of APDCL shall be final and binding on all concern. x) The Franchisee Committee-I of APDCL shall have the right to accept/reject any application without showing any reason thereof. xi) After franchisation, the existing APDCL manpower working in the feeder shall be withdrawn and transferred to other places depending on need based requirement. xii) After franchisation, the existing outsourced manpower working in the feeder shall have to be absorbed by the selected franchisee. 5) Performance Security deposit The revenue shall be deposited in the APDCL office by the consumers. There will be no scope for the franchisee to handle the collection amount directly. However, the franchisee shall have to deposit 1 time of the monthly assessed revenue as per average potential demand of the franchised area for last one year, as performance security deposit. The APDCL reserve the right to forfeit the security amount in the event of non performing of duties and responsibilities, as mentioned in the clause no. 1, by the franchisee. In such case, the franchisee shall have to deposit fresh security amount, within seven days, in order to continue the agreement. 6) Agreement The agreement shall be executed with the franchisee on the basis of the performance of the franchisee during familiarisation phase MOU (refer clause 8). The agreement for handing over the selected franchised area to the selected franchisee shall be executed between the authorised representative of the franchisee and the CEO of the electrical circle of the franchised area, on behalf of APDCL. 7) Contract period The Agreement shall be valid for a period of 2 (two) years, with effect from starting date unless terminated earlier or as per the terms of this Agreement. The duration of the Agreement can be extended on mutually agreed terms and conditions for another three years, 5 of 11

6 subject to satisfactory performance of the franchisee. If required by APDCL, extension process shall initiate formally in writing one month prior to the expiry of the agreement. The documents submitted by the franchisee at the time of applying will be the part of this agreement for the duration of the project. If any major discrepancy in the application documents furnished by the franchisee is found out during the contract period, then it may result to termination of the contract. 8. Familiarization Phase 8.1 After selection and before execution of the final agreement, the franchisee will have to execute a familiarisation phase MOU with APDCL for six months. The final agreement will be executed on the basis of the performance of the franchisee during familiarisation phase MOU APDCL shall ensure familiarisation of the project area to the franchisee within 15 days of the deposition of performance security money APDCL shall inform the district and local administration in the project area of the franchisee about the appointment of the franchisee APDCL shall install one meter at the point of supply of the franchisee at the input point of the feeder to assess the performance of the feeder APDCL shall inform all the consumers in the project area about the transfer of services to the Franchisee from the starting date onwards. Adequate publicity regarding appointment of franchisee and the salient terms and conditions of the agreement shall be made by the APDCL. Concerned Sub-division of APDCL shall issue leaflets to all the consumers covered under the CBDF scheme about the appointment of franchisee, policy level decisions such as waiver of surcharge, treatment of APDCL arrears, etc. APDCL shall carryout a joint survey with the franchisee to audit the condition of network assets for assessing the quantum, type and condition thereof. If the survey highlights the need for augmentation or upgrading of the distribution network, the same shall be carried out in due course and in phased manner by the utility by providing necessary materials and resources The franchisee shall extensively survey and extend possible help to the APDCL staff for consumer indexing and preparing single line diagram of the franchised area For consumers who do not have meters, new digital meters shall be provided and installed by the APDCL. 6 of 11

During familiarisation phase MOU endeavour will be made to bring down AT &C loss of the franchised area to 25% The concerned CEO will certify the present level of AT &C loss, before selection of the 11 KV feeder The concerned CEO will certify existing level of AT &C loss for 11 KV feeder before execution of the agreement During familiarisation phase MOU, the franchisee shall be paid an amount of 10% of the total collection of revenue from the LT consumers (except Govt. consumers and HT consumers) of the 11 KV feeder, against the invoices raised by the franchisee to the respective Divisional office. The AGM of the respective Division shall take necessary action for payment, as per existing guidelines. 9. Commission The franchisee commission, to be paid, will be linked with AT&C loss of the franchised area. To measure AT&C loss, the feeder meter will have to be kept healthy all the time. The AT&C loss of 25% shall be considered for the purpose of commission which will be 15% of total revenue collection from the LT consumers of the franchised area (except Govt. consumers and HT consumers), for the current month. For every dose of 1% (rounded off) decrease of the AT&C loss from this level of 25%, the commission shall increase by 0.50%. However, for every dose of 1% (rounded off) increase in AT&C loss above certified existing level at the time of execution of the agreement, as stated in clause no. 8.10, the commission shall be decreased by 1%. For calculation of loss, the formula will be, A= Energy supplied in the feeder at the input point. B= Energy billed in the feeder = Energy billed by franchisee + Energy billing of HT consumers + Energy billing of Govt. consumers. C= Total current demand in the feeder = Franchisee current demand + HT consumers current demand + Govt. consumers current demand. D= Total current collection in the feeder = Franchisee current collection + HT consumers current collection + Govt. consumers current collection. % Loss = {1-(B/A x D/C)} x 100 For the purpose of calculation, HT consumers and Govt. consumers current demand may be considered as current collection. 7 of 11

8 The commission shall be paid against the invoices raised by the franchisee to the respective Divisional office. The AGM of the respective Division shall take necessary action for payment, as per existing guidelines. This AT & C loss limit is subject to review by APDCL at least once in a year for better performance. 10. Incentive i) Application for new service connection or reconnection shall be received by the franchisee. Franchisee shall prepare the feasibility report and estimate for new service connections and submit the same to the office of the SDE for necessary approval. After obtaining approval from the SDE, the franchisee shall undertake the execution of service connection works with materials supplied by APDCL. For these works the franchisee shall be paid an incentive of Rs per APL connection, against the invoices raised by the franchisee to the respective Divisional office. The AGM of the respective Division shall take necessary action for payment, as per existing guidelines. The payment shall be disbursed by APDCL subject to condition of submission of consumer list of new service connections in each month in the local APDCL office within 1 st week of the succeeding month. ii) The franchisee shall be paid an additional incentive for maintaining the reliability index of the feeder/feeders depending upon the length of the feeder as per following manner:- A. Length of the feeder up to 50 Km:- a) 3% of the total revenue, collected from the LT consumers (except govt. consumers and HT consumers), if reliability index is 95% and above. b) 1.5% of the total revenue, collected from the LT consumers (except govt. consumers and HT consumers), if reliability index is below 95% and up to 85%. c) No incentive will be paid to franchisee if the reliability index is below 85%. B. The length of the feeder from 51 to 100 Kms:- a) 5% of the total revenue, collected from the LT consumers (except govt. consumers and HT consumers), if reliability index is 95% and above. b) 2.5% of the total revenue, collected from the LT consumers (except govt. consumers and HT consumers), if reliability index is below 95% and up to 85%. c) No incentive will be paid to franchisee if the reliability index is below 85%. C. The length of the feeder above 100 Kms:- a) 7.5% of the total revenue, collected from the LT consumers (except govt. consumers and HT consumers), if reliability index is 95% and above. b) 5% of the total revenue, collected from the LT consumers (except govt. consumers and HT consumers), if reliability index is below 95% and up to 85%. 8 of 11

9 c) No incentive will be paid to franchisee if the reliability index is below 85%. The procedure of payment to the franchisee will be the same as enumerated in clause 10 (i). 11. Metering system i) The metering system of 11 KV feeders, allotted to franchisee, should be treated at par with the metering system of commercial and industry consumers. ii) The metering system at the input point of the feeder will be installed by APDCL. The CEO of the field electrical circle must ensure and certify proper metering before entering into the final agreement with the franchisee. iii) The feeder meter reading should be taken jointly by the franchisee and APDCL personnel, not below the rank of FME of the respective subdivision/irca. iv) The T & C Division will regularly check the metering system of the 11 KV feeder, allotted to franchisee and submit the report to the office of the respective CEO of the circle. v) In case of franchisee allotted part feeder, in which metering system is installed outside the 33/11 KV substation, the franchisee will be responsible for the safe custody of the meter/metering system of the feeder/feeders allotted to him and should report the defect of feeder meter within 3 (three days), to the concern SDE of the subdivision/ AGM, IRCA division, and AGM of the field distribution division. If the franchisee do not report within stipulated time, he will pay the entire cost of the meter/metering system along with meter testing fees, within one month against bill raised by the billing office, failing of which, the services of the franchisee will be terminated. vi) In case, the franchisee report the defect of part feeder meter in stipulated time and if the defect is found to be attributed to the franchisee after testing by T&C wing, the meter cost will be charged to franchisee otherwise the same will be borne by APDCL. vii) The CEO of the field electrical circle will replace the defective franchisee feeder meter within one month through T&C wing. 12. Safety i) The franchisees should have the labourer license issued by the competent authority of Govt. of Assam. ii) The line maintenance staffs of the franchisees should be provided with insulated shoes, hand gloves, safety belts, helmets, liveries tool box, hook stick, luminous jackets etc by the respective franchisees. 9 of 11

10 iii) The employees of the franchisees should be covered under workman accidental insurance benefit scheme, EPF scheme of Govt. of India etc. by the respective franchisees. The APDCL shall not take any responsibilities for electrical accidents for workman engaged by the franchisee. iv) The franchisees should provide guarantee of minimum wages to the employees working under them, as per latest notification of the Govt. of Assam. v) The employees working under the franchisees should be physically and mentally fit and should be below the age of 65 years. 13. Termination i) The APDCL reserves the right to terminate the agreement in the event of non compliance of the terms and conditions of the agreement, to be executed with the franchisee under the scheme, after giving seven days notice to the franchisee. ii) The agreement can be terminated by the either party by giving a notice of one month in advance. iii) The APDCL reserves the right to terminate the agreement in the event of exceeding the AT & C loss of the franchised area beyond present level. 14. Dispute i) Any dispute or difference between the parties arising from the agreement shall be tried to be settled amicably through consultations and negotiations by the AGM of the franchised area. ii) If remains unsettled it shall be first referred to the CEO of the franchised area for amicable settlement. iii) If the dispute still remains unresolved after negotiation between the franchisee and CEO of the franchised area, it shall be referred to the General Manager (Com-Rev), APDCL for final settlement. 15. Benefit With the introduction of this scheme, the following benefits shall be archived in the rural areas of state of Assam. 1. Improvement in T&D and AT & C losses. 2. Timely receipt of bills by consumers. 3. Convenient for the consumers of interior places to pay energy bill. 4. Timely collection of revenue. 5. Prompt attendance by the agencies to fuse call or service complaints. 6. Improved power quality due to better co-ordination. 10 of 11
