3 Share Trade Procedures PURCHASE OF SHARES If you are interested in purchasing shares, you are required to complete the following: Fill in and sign a Client Broker Agreement Form. (If you are not an existing client you will need to complete a client agreement form). Write an Authority Letter authorising Kina Wealth to buy at your desired price. Your desired price can either be specified or at market price what ever it is at the time for the stock you are interested in. To buy shares, deposit your money in our Kina Wealth Limited shares transaction account: Kina Bank AC# , ANZ Bank, Port Moresby Branch or BSP Bank, Port Moresby A/C# and fax, mail or bring us a confirmation of your deposit together with your completed client agreement form and Authority Letter. Alternatively payment can be made direct to our Australian brokers (Bank details will be given upon request). Again due to the unpredictability of market price movements we strongly suggest you fax us the above missing what could be a favourable price. To buy shares on POMSoX (Port Moresby Stock Exchange) the minimum amount you need is K2,000. To buy on the Australian Stock Exchange the minimum amount needed is AUS$500. SALE OF SHARES If you are interested in selling shares, you are required to complete the following: Fill in and sign a Client Broker Agreement Form (If you are not an existing client you will need to complete a client agreement form). Write an Authority Letter authorising Kina Wealth to sell at your desired price. Your desired price can either be at a specified price or at market price whatever it is at the time for the stock you are interested in. Attach copy of current Holding Statement as a valid form of ldentification is required, either drivers license, passport or workers/employee Identification. On behalf of a group/company we require a letter with authorised signatures on a Company/Group letterhead, copies of minutes of approval to sell shares attached and common seal stamp on all documents. If you wish to sell PNG shares on the Australian Stock Exchange (ASX) then a Request for Removal of Ordinary Shares form (attached) needs to be completed. To confirm the transaction a buy contract note is produced. All sell contract note confirming the transaction- of which settlements takes place within 3 days. A copy is sent to your address. 5 Account Application Kina s copy please return to Kina Wealth CLIENT AGREEMENT In consideration of Kina Wealth (Kina) agreeing to open an account in the Client s ( the Account ) name pursuant to the Application overleaf the Client agrees as follows: 1. The client appoints Kina as the Client s stockbroker to buy and sell securities in accordance with the Client s instruction from time to time 2. That the Constitution of POMSoX the Business Rules and Listing Rules as amended from time to time and customs and usages of POMSoX form part of the agreement governing the contractual relationship between the Client and Kina and apply to all dealings and transactions in securities conducted by Kina on behalf of the Client and are binding upon the Client and Kina 3. Without limiting the generality of the foregoing where Kina has bought or sold securities in accordance with a client s instructions, the Client s agent and attorney to execute on the Client s behalf any transfer of those securities to give effect to that transaction 4. To notify Kina in writing of any change in the Client s address or telephone number 5. To ensure that Kina receives payment for all securities purchased and all brokerage and duties in respect thereof before the third day after the purchase transaction was entered into 6. The obligation to make payment by the settlement date is not subject to receiving the contract 7. That Kina shall have a general lien and the power of sale set out below in respect of all securities and all documents relating there to be held by Kina for any reason whatsoever for all monies now or at any time hereafter owing by the Client to Kina for any reasons whatsoever 8. If any monies owing by the Client to Kina are not paid by the contract settlement date then without prejudice to Kina right under paragraph 4 hereof or under the Rules of POMSoX: 14. The Client acknowledges that Kina may at any time provide any credit information obtained about the Client to any credit reporting agency 15. The Client agrees that Kina may give to or seek from any person providing credit to the client any commercial or personal credit information about the Client for the purpose of assessing credit applications collecting any overdue payments, notifying defaults or exchanging information concerning defaults 16. To ensure that Kina receives the appropriate script by the first day after the sale transaction was entered into 17. Where the Client is a proprietary limited company, the officers executing this agreement undertake that they (i) will be responsible for the placing of orders, (ii) will be personally responsible for the proper conduct of the account including settlement of all transactions in accordance with contact terms (iii) are authorised to perform these functions and (iv) will notify Kina Wealth if there is any alteration to the company structure or if their authority to place orders is cancelled or varied 18. Pursuant to Section 216 of the Companies Act the Client authorises Kina to obtain shareholder information from the share registries 19. DISCLAIMER That save for any liability which can not be excluded Kina its employees and agents disclaim all responsibility for any loss or damage which may be suffered by the Client or any other person directly or indirectly through the Client s dealing with Kina howsoever that loss or d amage is caused by any fault of negligence on the part of Kina otherwise Signed (i) Kina may sell any securities now or hereafter held by it on the Client s behalf for any reason whatsoever and without being responsible for any loss occasioned thereby and may apply the proceeds in reduction of the Client s liability to Kina (Please sign here) company client refer note 3 (ii) The Client will pay default interest on the outstanding monies from the date of the relevant Contract Note until the date on which payment is received by Kina at the rate 25.00% calculated Daily 9. Kina may appropriate credits and all payments received from or on behalf of the Client or held on behalf of the client in reduction of any monies owing by the Client to Kina 10. That before placing any order the Client will be in a position to pay for any securities purchased and have control of and have available any securities sold as the case may be 11. If more than one person constitutes the Client that they are jointly and severally bound by this agreement 12. The Client will provide Kina with all information regarding his/her/its financial affairs sufficient and necessary for Kina to make informed investment recommendations and further agrees to notify Kina of any relevant new information or change in such information as it occurs, including the nomination of any beneficiaries specifically identified and provided to Kina in writing 13. So that Kina may assess the Client s application for credit. The Client agrees that Kina may obtain a credit report or information containing the Client s commercial and/or personal credit hist ory from any credit reporting agency or any other credit provider Signed (Please sign here if joint account) Date / / Notes 20.
