1 February 0 NSDL - Trusted by more than One Crore account holders SEBI Circular on Investment by Qualified Foreign Investors (QFI) in Indian equity shares In order to widen the class of investors, attract more foreign funds, reduce market volatility and to deepen the Indian capital market, SEBI (Circular No. CIR/ IMD/FII&C//0 dated January, 0) has in consultation with Government and RBI informed that QFIs can directly invest in Indian equity market. Further, SEBI vide its Circular No.CIR/IMD/FII&C//0 dated January, 0 has also revised the eligibility criteria to act as qualified Depository Participants. (Ref: Circular Nos. NSDL/POLICY/0/000 dated January, 0 and NSDL/POLICY/0/ 00 dated January, 0) Clarification for In-Person Verification (IPV) SEBI has vide its Circular No. MIRSD/Cir-/0 dated December, 0 issued guidelines for In-Person Verification (IPV) notifying that the entities (such as SEBI registered intermediaries, sub-broker, Authorised persons, etc.) who can do in-person verification. Further, SEBI has mandated that every intermediary at the time of IPV shall ensure that the details like name of the person doing IPV, his designation, organisation with his signatures and date are recorded on the KYC form. (Ref: Circular No. NSDL/POLICY/0/0 dated December 9, 0) NSDL authorised as an agency for e-voting System In pursuance of the Green Initiative in the Corporate Governance of the Ministry of Corporate Affairs, NSDL has been authorised as an agency for providing electronic platform for electronic voting under the Companies Act, 9. 2 system to enable shareholders to cast their votes electronically for resolutions placed by Issuers through NSDL system. (Ref: Circular No. NSDL/POLICY/0/00 dated January, 0) Applicability of KYC Requirements & KRA Regulations In the context of uniform KYC requirements, SEBI has clarified that the KYC related circulars are applicable for all the Clients of stock brokers/depository Participants, without any exemption to any category of clients like institutions or FIIs. (Ref: Circular Nos. NSDL/POLICY/0/000 dated January, 0) Demat option for Mutual Fund units through Systematic Investment Plan (SIP) With effect from January, 0, SEBI has advised Association of Mutual Funds in India (AMFI) to implement the demat option for Systematic Investment Plan (SIP). R & T Agents of mutual funds have confirmed that they will be facilitating:. Conversion of mutual fund units into demat form in respect of existing SIPs.. New subscriptions of SIPs for mutual funds units in demat form. (Ref: Circular No. NSDL/POLICY/0/00 dated February, 0) NCDO/NISM training / certification programmes for Participants NSDL has made arrangement with NISM to facilitate staff of Participants to get certified for NISM-Series VI Depository Operations Certification Examination (DOCE) as per SEBI requirements. A training programme is conducted by NSDL for Participant s staff followed by NISM-Series VI-DOCE online test conducted by NISM. In January 0, NSDL conducted two such training programmes at Vashi and Navi Mumbai which were attended by persons nominated by various Participants. In addition, in January 0, NSDL conducted one NCDO (NSDL s Certification in Depository Operations) programme at Mumbai which was attended by persons. Closure of Destimoney Securities Private Participant Operations NSDL has informed all its Participants that Destimoney Securities Private (DP ID IN0), a Participant of NSDL has informed NSDL about its decision to discontinue depository operations. 8 TOPIC OF INTEREST Know more about e-voting system of NSDL ) What is e-voting? Ans. e-voting is voting through an electronic system where shareholders can vote on resolutions of companies requiring voting through Postal Ballot as per extant rules and regulations without having the necessity of sending their votes through post. Ministry of Corporate Affairs has authorised NSDL for setting up an electronic platform to facilitate shareholders to cast their votes in electronic form. Accordingly, NSDL has set-up an electronic infrastructure to facilitate shareholders to cast votes in electronic form through internet. ) What is the legal framework permitting e-voting? Ans. The Companies (Passing of the Resolution by Postal Ballot) Rules, 00, has defined the Postal Ballot as voting by shareholders by postal or electronic mode instead of voting personally by presenting for transacting businesses in a general meeting of the company. Thus, Section 9A of the Companies Act, 9 read with Companies (Passing of the Resolution by Postal Ballot) Rules, 00 recognizes voting by electronic mode for postal ballot. ) How will I benefit from the e-voting system? Ans. (i) Ease of operation. With User ID and password, you can login to e-voting system ( of NSDL through internet and cast your vote from your residence, office etc. (ii) Sufficient time to vote till the end of voting cycle. (iii) Elimination of postal ballots getting lost in-transit. (iv) Paperless mode of casting vote. ) Does the e-voting system of NSDL facilitate e-voting for only demat account holders of NSDL? Ans. The e-voting system of NSDL facilitates voting from all shareholders i.e., shareholders holding shares in physical as also in demat mode. ) How can I avail the e-voting facility? Ans. There is no pre-registration related activity required at your end. The registration details viz., User ID and password will be sent by the Issuer / R&T Agent /NSDL in the following mode: In case address of the Sole / First Holder is available with the Issuer/R&T Agent: (i) NSDL will generate User ID & password and send the same at the address provided by Issuer/ R & T Agent. (ii) Using the User ID and password, you will login to the e-voting system ( of NSDL. Others (where address of the Sole / First Holder is not available with the Issuer/R&T Agent) (i) NSDL will generate User ID and password and provide it to the Issuer/R&T Agent. (ii) The Issuer/R&T Agent will dispatch the User ID and password in a PIN mailer at the address of the Sole/First Holder.
