The Proponent shall insert the addendum behind the cover page of the Proposal Documents. Questions and Answers We are in receipt of addendum 1, however Q3/A3 regarding the price for the removals remains unclear. Please clarify. 1. Removal price (p4 1.2, p , p28 A) - the specification mentions there are many shelters to be removed by the proponent prior the installation of new shelters, however the removal quantity is not the same as the quantity of new shelters. The specs state there are 142 existing shelters and 58 are deemed good enough for relocation, leaving approx 84 shelters to be removed and scrapped. Where is the price for the "removal" work to go? Is a separate line item price for "removal only" to be provided or is the price for removals to be built into the price for the shelters? Answer: Please REPLACE Appendix C Cost Proposal and Appendix D Evaluation Criteria with the attached REVISED APPENDIX C AND APPENDIX D that includes section G. Shelter Removal Only as well as some other revisions. 2. Do you have a colour preference for the shelters? Answer: The preference colour for shelters is black. 3. Can you define map case need you define the expected specifications and sizes? Answer: We are looking for map/display cases that are engineered into the proposed product already. 4. Regarding Alternative Shelter Design, instead of the actual form, could you provide us a revised bid form which integrated the entire quantity as per the option A. 2 5. What is the cost of a road occupancy permit for the removal and installation of bus shelters? Answer: One permit only would be required with for the following cost: A street opening permit is $212.00, plus a $ indemnity deposit. This would be good for the duration bus shelter installation project. 6. Can you please confirm if Paid Duty is required at all installation sites or only those that fall within a specific parameter (i.e. lifting over a sidewalk or within 30 of an intersection)? Answer: There are no pay duty requirements or fees when installing a shelter. Except for the contents of this addendum, all other terms and conditions of this proposal remain the same. Solar Advertising Display Cost D. Relocating Shelters per unit cost to uninstall/reinstall existing shelters at new locations. Shelter Relocation Cost E. Shelter Options per unit cost for the following options. Glass Alternative Map Case USB Charging Port TOTAL

6 F. Alternative Shelter Design per unit cost provide full details and designs of a shelter. Full Details & Design Costs per unit cost G. Removal of Shelters Only per unit cost to uninstall and return materials to Transit Windsor. Shelter Removal per unit cost The above fixed All-Inclusive lump-sum prices: (a) (b) excludes the harmonized sales tax, but includes all other taxes and duties; are fixed, All-Inclusive lump sum prices for the provision of the services contemplated by the Contract. DECLARATIONS A. We declare that our Submission is not made in connection with any other Proponent and is, in all respects, fair and made without collusion or fraud. B. We declare that our Submission applies and complies with any applicable fair wage practices. C. We acknowledge and agree that our Submission is irrevocable and open for acceptance by the City for a period of one hundred and twenty (120) days starting from the day after the Submission Deadline. D. We acknowledge and agree that, if awarded the Contract, we will:

7 (a) execute the Contract and deliver the executed original to the City within seven (7) business days of our receipt of the same; (b) deliver to the City, within seven (7) business days of our receipt of notice of selection: (i) (ii) proof of all insurance required by the Contract; and, a current WSIB clearance certificate if applicable. We acknowledge and agree that we will be in breach of the Evaluation Contract if we fail to comply with any of the above. 8 APPENDIX D EVALUATION CRITERIA 1. Evaluation of Services Proposal The Services Proposal will comprise 60% of the overall Proponent score. The evaluation criteria and relative weightings are to be applied as follows, referencing Appendix B: EVALUATION CRITERIA Proponent Information, Financial, Personnel and Staffing (sections 2, 6 & 9 of Appendix B) WEIGHT 10 Experience (section 3 of Appendix B) 20 Proponent Qualifications (section 4 of Appendix B) 10 Shelters (sections 7 of Appendix B) 40 Project Schedule (sections 8 of Appendix B) 20 Total 100 REFERENCES IS A PASS/FAIL OF THE (SERVICES PROPOSALS) AT THE SOLE, ABSOLUTE AND UNFETTERED DISCRETION OF THE CITY.
