2 Thane Municipal Corporation TENDER NOTICE Thane Municipal Corporation invites Tender from experienced and qualified bidders for Construction of small Sewerage Treatment Plant (STP) having Capacity of 2.0 to 5.0 Mld & 5.0 to 10.0 Mld along with O & M for 10 years on Build Operate and Transfer (BOT) basis through Private Public- Partnership (PPP) on Design, Build, Operate, & Transfer basis in Thane city area. The blank tender forms can be downloaded from website from date 19 /11 /2015to date 14 /12 /2015up to hrs. On line tender shall be received on the website to hrs.on or before date 14 /12 /2015and will be opened on the same days if possible. Tenders hereunder are being invited in accordance with competitive bidding procedures of Thane Municipal Corporation, Thane. All bidders are cautioned that tenders containing any deviation from the contractual terms and conditions specifications or other requirements are liable to be rejected as non-responsive. All tenderers are urged to promptly submit a written request to The City Engineer, Thane Municipal Corporation, on matters where clarification or additional information is desired. The tender document can be downloaded from the web site applicant has to ensure that all papers are completely downloaded. If in any case, any discrepancy is observed in downloaded tender document with printed tender document, the tenderer is bound to accept all the conditions as printed in the tender document. Pre bid meeting will be held in the office of City Engineer, 3rd floor, Panchapakhadi, Thane Municipal Corporation on 07/12/2015 at hrs. The bidders should give their queries in writing by 07/12/2015. Queries received after 07/12/2015 shall not be considered. Also verbal queries shall not be entertained. 3 Thane Municipal Corporation, Thane A) INTRODUCTION : Thane is one of the major industrial cities located north of Mumbai and gaining the reputation of being one of the technologically advanced cities in the Maharashtra. The city also governs business importance due to its proximity to the country s commercial capital, Mumbai. City has immense potential for industrial, commercial and urban development. Thane Municipal Corporation (TMC) is making sustained efforts to develop the infrastructure facilities, which catalyses the development process of the city as a whole. In the development process TMC has undertaken project of Underground Sewerage Scheme of about 500 Cr for entire Thane city. The project has been designed to meet sewerage need of the project area up to the year Underground sewerage scheme project is taken under Jawaharlal Nehru National Urban Renewal Mission (JNNRUM). The work of Underground sewerage scheme is already started from June 2007 and most of the work is completed & balance work will be completed soon. The scheme would improve HEALTH AND ENVIORNMENT in Thane Municipal Corporation area. B) GENERAL INFORMATION : Thane Municipal Corporation (TMC) has approximate MLD Sewage Treatment capacities based on SBR and MBBR technology. Approximate quantity of treated waste water will be available from STP at Kopri based on SBR technology is MLD, STP at Mumbra based on SBR technology is 32.0 MLD Mumbra similarly STP at various places at Kalwa and Ghodbunder MLD on MBBR technology and MLD proposed at Diva and Upper part of the Ghodbunder area. C) PROPOSAL : In view of the above scheme at this stage, connectivity for sewage network is not done completely due to various reasons and hence, primary treated sewage water from septic tank is disposed in the nearby Nalla. To overcome this situation Thane Municipal Corporation intend to construct of small Sewerage Treatment Plant/s (STP) having Capacity of 2.0 to 5.0 mld & 5.0 to 10.0 mld on Build Operate and Transfer (BOT) along with O & M for 10 years basis in the garden near nalla or in open plot in through Private Public- Partnership (PPP) at various locations in Thane city. D) SELECTION OF SITES: The prospective service provider needs to identify the locations/ Sites & also easy availability of sewerage in Thane City Area where it is possible to set up STP plant. Detail Study regarding the proposed STP & its location shall be carried out by the service provider Thane Municipal Corporation is ready to share the locations of the Page 3

4 Sewage Pumping Stations in Thane City Area with the prospective service providers. E) SITE VISIT & PREBID MEETINGS : The site visit will be arranged on From Date 01/12/2015 to 5/12/2015 for identification of locations for proposed STP during the office hours. Thane Municipal Corporation representative shall remain present during the site visit. Mobile No: Mr. Vaman Sakhadeo Mobile No : F) TECHNOLOGY : Being this is Build Operate and Transfer (BOT) basis proposal Thane Municipal Corporation has given Open Technology option to the Service provider, provided quality of Treated water (Secondary Treatment) should meet latest standards/requirements given by the Maharashtra Pollution Control Board s (MPCB). G) FINANCIAL MODEL : 1. Cost incurred for the Design, Built/ constructions and installations of Sewage Treatment Plant (CAPEX) will be borne by the Service Provider/ Operator. Thane Municipal Corporation will provide necessary assistance to Service Provider/ Operator for obtaining NOC s from other department/s, if required. 2. Operation and maintenance cost for contact period of 10 year shall be borne by the Service Provider/ Operator. (OPEX). 3. Energy bills for operating STP shall be borne by Thane Municipal Corporation at the rate quoted by the successful bidder in his financial bid. No any other charges will be paid/ reimbursed except this. 4. The service provider is free to explore the possibility of assured buyer of treated waste water. If the Assured buyer insists on Tertiary treated water, then TMC will have no objection for setting up tertiary treatment plant. 5. The Service Provider shall be responsible to explore /search the assured buyer for treated waste water. Thane Municipal Corporation will also help to the Service Provider to find the assured buyer. If both the parties are not able to find such buyer then in that case, Thane Municipal Corporation will buy the Treated water at the accepted rate (Buy back) till the assured Market buyer Page 4

5 purchase the treated water. H) THANE MUNICIPAL CORPORATION RESPONSIBILTY: 1. Thane Municipal Corporation will provide land for construction of Sewage Treatment Plant at Free of cost to the Service Provider/ Operator. 2. Raw Sewage will be made available to the Service Provider/ Operator by the Thane Municipal Corporation. Service Provider/ Operator has to make his own arrangement for lifting and transporting the Raw Sewage to the proposed STP. 3. Thane Municipal Corporation reserve rights for extending agreement for the Operation and maintenance after 10 years. 4. Thane Municipal Corporation will help Service Provider/ Operator for getting Buyer for the Treated water (Secondary Treatment). 5. It will be a joint venture of Service Provider/ Operator and Thane Municipal Corporation to find the Buyer for water having Secondary Treatment. Thane Municipal Corporation will buy back the Treated water at the accepted rate (Buy back) till the assured market buyer purchase the treated water. 6. Thane Municipal Corporation will pay Electricity bills of the Sewage Treatment Plant at the rate quoted by the successful bidder in his financial bid. I) SERVICE PROVIDER/OPERATOR S RESPONSIBILTY : 1. It is Mandatory for Service Provider/ Operator to Treat the Raw Sewage upto the latest standards/requirements given by the Maharashtra Pollution Control Board s (MPCB). 2. Cost incurred for the Design, Built/ constructions and installations of Sewage Treatment Plant (CAPEX) will be borne by the Service Provider/ Operator. Thane Municipal Corporation will provide necessary assistance to Service Provider/ Operator for obtaining NOC s from other department/s, if required. 3. Operation and maintenance cost for contact period of 10 year shall be borne by the Service Provider/ Operator.(OPEX). 4. Service Provider/ Operator cannot Mortgage the land made available for the Construction of the STP for any reason. The Service provider shall not create any encumbrance on the said plot. Thane Municipal Corporation will not remain Guarantor for obtaining loans from the Banks or Financial organizations. Page 5

6 5. After service contract period of 10 years, Service Provider/ Operator should hand over the STP Plot along with units thereon in good running condition to Thane Municipal Corporation. It will be Mandatory to the Service Provider/ Operator to give undertaking that the STP is free from all types encumbrances /liabilities such as Financial Loans, Labour payments, Government payments, etc. and Thane Municipal Corporation shall be the only legal heir/owner of the STP at the time of handing over the plant. 6. It is Mandatory to Service Provider/ Operator to give training to the staff of Thane Municipal Corporation 3 months prior to the time of handing over the plant. J) INSTRUCTIONS TO PARTICIPANTS: Offers are invited from competent Firms for Construction of small Sewerage Treatment Plant (STP) having Capacity of 2.0 to 5.0 mld & 5.0 to 10.0 mld along with O & M for 10 years on Build Operate and Transfer (BOT) basis through Private Public- Partnership (PPP) on Design, Build, Operate, & Transfer basis in Thane city area. Service Provider/ Operator herein after called as Firm should keep their offer valid for 180 days from the date of submission of the proposal. K) ELIGIBILITY CRITERIA : The Firm / Company should be an Indian firm. EMD of INR /- shall be paid for each proposal & shall be payable in form of Demand Draft in favour of Thane Municipal Corporation, Thane. Firm / Company should be registered with Registrar of companies. Firm / Company should have completed Construction or Operation & Maintenance of at least 1 STP. Firm / Company should have an experience of minimum 3 years for Operation and Maintenance of STP s. Firm / Company should submit Income Tax return certificate for last 3 years and VAT certificate. Firm / Company should submit Average annual turnover during the last 3 years ending 31 st March of previous financial year. The average annual turnover should be at least INR 50 lacs. Firm / Company should submit Details of technical staff with them and List of technical staff to be utilized for this work. Firm/ Company should submit List of similar works in hand. L) SUBMISSION OF PROPOSAL: Proposal shall be submitted in enclosed envelope. Proposal should be submitted on or before 14 /12 /2015 upto hrs. The language of the Proposal is English. 7 Profile of the Firm. A brief description about services and work firms and outline its recent similar experiences given for similar nature activities. Project Team it should indicate the expertise of Key Personnel and supporting staff to be deployed on the project and their qualification and experience with name, age, nationality, employment record. Professional experience of each expert proposed to be deployed for these tasks with particular reference to the type of experience required shall be attached. The language of the Proposal is English. Financial proposal shall contain Lump sum charges / fees for services including all taxes such as Income tax, VAT, Service tax and other charges as applicable. The Time limit for the work will be in the form of Initial Time Limit and Final Time Limit. Time required for construction will be treated as Initial time limit and Time required for Operation and maintenance will be Final time Limit. Firm should clearly specific initial time limit for his offer. Contract period will be calculated from Start of work upto the Completion of O and M period of 10 (ten) years. Performance Guarantee Deposit: Performance Guarantee Deposit of INR 5,00,000/- per project and shall be payable to Thane Municipal Corporation in the form of Fixed Deposit Receipts or National saving Certificate or Bank guarantee of Nationalized Bank drawn in favor of Thane Municipal Corporation form the successful bidder before signing of the contract Agreement. This Performance Guarantee Deposit will be refunded to the Tenderer after the contract period is over. M) CRITERIA FOR SELECTION OF SERVICE PROVIDER / BOT OPERATOR: Proposal having minimum energy consumption per cum for the treatment of raw sewage. Proposal giving maximum share to the TMC for sale of treated water. Proposal giving minimum buy back rate of treated water to TMC N) AMENDMEND TO DOCUMENT: At any time before the deadline for submission of Tender, TMC may for any reason, whether at its own initiative modify the document by amending, modifying and/or supplementing the same. In the event of any amendment, TMC reserves the right to extend the deadline for the submission of the tender. O) WAIVE ANY MINOR INFORMALITY OR NON-CONFORMITY OR Page 7

8 IRREGULITY : TMC may at its sole discretion waive any minor informality or non-conformity or irregularity in a proposed document, which does not constitute a material deviation, provided such a waiver does not prejudice or affect the relative ranking of any Tenderer. P) CONDITIONAL OFFER BY THE TENDERER : The Tenderer should abide by the terms and conditions specified in the document. If tenderer submit conditional offers it shall be liable for rejection. Q) MODIFICATION AND WITHDRAWAL OF OFFER : Modification or Withdrawal of offers is not permissible after its submission and upto tender validity period of 180 days. If the offer is withdrawn before the validity period, the EMD shall be forfeited. R) CLARIFICATION OF OFFER : To assist in the scrutiny, evaluation and comparison of offers, the Commissioner, TMC may at his discretion, ask some or all vendors/tenderer for clarification of their offer. The request for such clarification and the response will necessarily be in writing.tmc Commissioner s right to accept any proposal and to reject any or all Tenders & offers Notwithstanding anything stated herein, TMC Commissioner reserves the right to accept full or part of the tender or reject any tender, and to cancel the tendering process and reject all tenders at any time before the award of the contract, without assigning any reason and thereby without incurring any liability to the affected tenderer/s or any obligation to inform the affected tenderer/s of the grounds for TMC Commissioner s action/decision. S) SIGNING OF TENDER OFFER : The original copy of the Tender offer shall be typed or written in ink and shall be signed by the Tenderer or a person or persons dully authorized in writing to bind the Tenderer to the Contract. Such authorization shall be indicated by authorization letter, accompanying the Tender offer. All pages of the tender offer shall be initialed by the person or persons signing the Tender offer with seal. The tender offer shall contain no interlineations, erasures or overwriting except as necessary to correct errors made by the tenderer, in which case such correction shall be initialed by the person or persons signing the offer.\ T) FIXED PRICE : The offer shall be on a fixed price basis as asked in this Document. 9 expressions such as subject to immediate acceptance, subject to confirmation, etc will be treated as being at variance and shall be liable for rejection. U) COSTS AND CURRENCY : The offer must be made in Indian Rupees only should include Taxes, duty and other levies, as applicable. V) INDEMNITY : Successful tenderer shall indemnify, protect and save TMC against all claims, losses, costs, damages, expenses, actions suits and other proceeding, resulting from infringement of any patent, trademark, copyright etc. W) PUBLICITY : Any publicity by the successful tenderer in which the name of TMC is to be used should be done only with the explicit written permission of the Municipal Commissioner. X) RESOLUTION OF DISPUTE : Every effort should be made to resolve (any disagreement or dispute arising between the TMC and the successful tenderer under or in connection with the contract) amicably by direct informal negotiations. However, if the dispute could not be resolved amicably within thirty days of the commencement of such dispute/disagreement, the matter will be referred to the Commissioner TMC who will act as a sole Arbitrator & proceeding will be conducted in accordance with Arbitration & Conciliation Act 1996 as amended from time to time. The place of arbitration is TMC Office. Y) RISK PURCHASE CLAUSE : In case the successful tenderer fails to execute the project as mentioned above, Commissioner, TMC also reserves the right to procure the similar services from alternative source at the risk, cost and responsibility of the successful tenderer. We agree to abide by this tender for the period as decided by the Commissioner, TMC which shall remain binding upon us and may be accepted at any time before the expiration of that period.
