SPACE REQUEST/RATES: PLEASE CHECK THE APPROPRIATE BO FOR YOUR DESIRED EHIBIT AREA Russo and Steele assigns booth location based upon type and quality of display, seniority of the vendor, payment date and overall presentation of exhibit area. Photos of display are appreciated. Assignments are final. All vendor booths are assigned and each booth is provided with 10 AMPs of power and lighting. Depending on venue, space will be either under a covered tent or outdoors in a tent. $ refundable credit card or cash deposit is required at or before check-in to participate. Deposit is for damages and will be released following final walk through of site. Any Vendor coming in after the initial cut off date will be charged an additional $ applied to the amount. No vendor will be accepted if paperwork is not completed by the cut off date. Please call for additional power costs. Rentals of tables, chairs, linens, etc please request additional form. Rentals will be charged accordingly. CHARITY CAR RAFFLE DISPLAY BOOTH Cars are not to be sold if not in the auction. Any spaces displaying a car must be 20 x 20 $3000. 2 EHIBITOR FACT SHEET Exhibitor Set up: Wednesday, June 6, 2018 between 9:00 am - 4:00 pm Please note that all credentials will be available at Gate #4 at time of check in on June 6th, 2018 if you did not receive them by mail. All vehicles must be removed by 2:00 pm. INITIALS Event Hours: Entry fee $20.00 for general public Thursday-Preview Day Friday Saturday Sunday Schedule of Events: June 7-10, 2018 AUTOMOBILE PREVIEW: Thursday Friday Saturday Sunday THE AUCTION: Friday thru Sunday, June 8-10 Auction begins at 11:00 am 9:00 am to 4:00 pm 9:00 am 4:00 pm (Preview Day) All Signatures and Initials must be completed or this packet is considered non-compliant. After the June 6th Exhibitor Set Up, absolutely no vehicles will be allowed in through the gates. Each morning vendors will be allowed in from 8:00AM to 9:00AM, prior to the public. This is the only time you may bring in additional supplies (by handcart only). Typically the evening is reserved for bidders and most vendors will close up at 9:00 pm, with the exception of food vendors who may stay later for dinner service. Exhibitor Teardown: Monday 9:00 am-2:00 pm. All displays and vehicles must be removed by 2:00 pm. NO EARLY TEAR-DOWNS! Vendor Vehicles must be off property by 2:00 pm. City of Newport license required or temporary license for out-of-state retail vendors. You may attain one by calling Tax Permit at (949) California Department of Revenue Transaction Tax license required or temporary license for out of state vendors. Licenses will be checked at the event and tax forms distributed. Food vendors must have a health license and will be inspected on site by the Orange County Environmental Services Department. Copies of your application for the license must be sent in with your application. All food trucks require city-state permit or compliant sticker. To be considered as a vendor, photos, diagrams, and measurements are all required to be approved for event. Food trucks that use self contained power must be approved by the Director of Operations prior to acceptance. All food trucks that are propane generated must comply by all city and state fire codes and procedures. Deposit is for damages and will be released following final walk through of site. (initial) Exhibitor information Vendor space is limited. Spaces will be sold on a first come, first served basis. A waiting list will be kept and will only be honored if a deposit has been paid. Deposits for waiting-list vendors will be returned 10 days prior to event date. Vendor cannot select location. Assignments are final. All space reservations require a refundable deposit of 50%. Payment balances and all required documents are due by May 11, Any vendors who have not paid the balance by this date will lose the space to the next vendor on the waiting list. NO exceptions will be made. Reservations made after May 11, 2018 must be accompanied with full payment at time of inquiry. Refund Schedule if application canceled: Up to May 1, 2018, deposit or any monies paid will be refunded in full minus a fee of $150. After May 1, 2018, no refunds will be given for cancellations made after this date. Rejected applications will be returned with all monies paid. Russo and Steele reserves the right to reject any application. Russo and Steele requires all exhibitors to carry liability insurance and name additional insured. All vendors must have insurance in order to enter the event site. IF YOU MISS YOUR LOAD IN OR LOAD OUT TIMES YOU WILL FORFEIT YOUR DEPOSIT CALL FOR BOOTH SPACE LARGER THAN Exhibit Space: All vendors are assigned to their designated (indoor/outdoor) location which is determined by he venue/facility. All vendors are allocated a max of 10 amps of 110 power, and basic lighting for their allocated space. Outdoor booth space allocation will have a 10 x 10 vinyl canvas divider. Indoor booth space allocation will have a 3 x 8 lattice panel as a divider. Vinyl sidewall is supported by heavy-duty wire and is not meant to support hanging of heavy items (i.e. racks, displays, etc). When the event is outdoors, it is a RAIN OR SHINE event. Please be prepared for cold weather and/or rain. Space heaters must not pull over your space s 10 amp allotment. Russo and Steele cannot guarantee an even surface. All vendors must provide their own displays, special lighting, etc as well as booth closing such as tarps with zip-ties, bungee cords, etc. and means to transport merchandise on and off site (dollies and carts are not available from Russo and Steele). No telephone lines, computer services, wi-fi or water are available on site. Exhibit space must remain within the allotted booth and displays outside of the booth in the aisles are not permitted. Signage can not hang from the outside of the tent. All tables must be draped with linens to the floor (preferably black). If you have any special needs/requirements, please arrange these prior to May 1st (such as extra power needs, rentals or ice). If you plan to have a raffle or give away prizes, please notify the vendor manager. Most larger items will be considered for exclusivity; however Management reserves the right to make all final decisions on exclusive products. All accepted applicants will receive a vendor contract, informational packet, and rules and regulations document. Certain facilities are mandated by union labor rules. See attachment.

4 TERMS AND CONDITIONS OF EHIBITORS CONTRACT 1. Liability: Exhibitor agrees to indemnify and hold harmless Russo and Steele LLC, agents, officers and employees from any and all injuries to or death of any person or damage to any property caused by an act, omission or neglect of Exhibitor s agents, employees, invitees, contractors, or guest which occur in or about the Exhibit space. Exhibitor agrees to use and occupy the Exhibit Space at Exhibitor s own risk, and hereby releases Russo and Steele LLC, its agents, officers, employees, and invitees from all claims from any damage, loss or injury to persons or property to the full extent permitted law occurring in or about the Exhibit or Festival Space, including, but not limited to damages, resulting from the acts of other Exhibitors, theft, vandalism, fire and other casualty damage or damage arising from any defects of the premises. 24-hour security provided. 2. Payment/Refunds: Russo and Steele LLC does not guarantee sales of your product or services and will not take any responsibility for {future} lost sales due to any conditions of this event, including poor weather. Deposits of 50% are refundable up to May 11, Full payment is due April 25th; Cancellation after this date will result in no refunding of fees. All money received in event office will be processed immediately. No refunds will be made for any other liabilities whatsoever for applicant s failure to obey the rules and regulations. 3. Exhibit Display Space: Russo and Steele LLC is providing the diagrammed venue and divided space, general lighting and 10 amps of power. The booth fee does not include any type of table, equipment, phone, additional power or other materials needed to present a professional exhibit. Telephone lines are not available; additional power is available, order form forwarded with confirmation of your contract. Exhibitors will not exceed the dimensions provided in this contract. Russo and Steele reserves the right to reject any application and to assign booth space based on payment date, exhibit display and products, and payment date. Exhibitor must not obstruct the view of an exhibit in an adjoining Exhibitor s space, nor permit such exhibit to be placed or operated in any manner offensive or objectionable, in the reasonable opinion of Russo and Steele staff, to the adjacent or surrounding exhibitors or to the show as a whole. 4. Photography and Videography: Event participants agree to allow use of videos and photographs taken at event for promotional purposes. Any photos taken by the event staff are property of Russo and Steele. 5. Permits / Licensing / Insurance Certificate: (Where and when applicable) All permits required by local City/State Municipalities in regards to (Food & Beverage) food handler s cards where applicable are the sole responsibility of the Vendor/Sponsor to obtain in a timely manner in accordance to the local City/State Municipalities. All Licensing pertaining to point of sale (Re sale / sales Tax License) are the sole responsibility of the Vendor/Sponsor to obtain in a timely manner in accordance to the local City/State Municipalities. All Vendors/Sponsors are required to provide Russo and Steele the following (Additional Insured General Liability Insurance) certificate in a timely manner in accordance to the Russo and Steele Vendor/Sponsor application deadline. Russo and Steele requires a copy of (Permit/Licensing) from each Vendor/Sponsor in a timely manner in accordance to the Russo and Steele Vendor/Sponsor application deadline. 6. Fire Department Guidelines: A. No Open Flame to be located inside any type of (Tent/Bldg) B. 7oz Sterno Cans are the only type of open flame allowed under a cover (Tent/Bldg) C. Any type of (Food/Beverage) Vendor/Sponsor must provide a material cover (Tarp/Carpet) within your footprint. D. The use of Propane must be approved prior to the acceptance of Russo and Steele, and with Fire Department guidelines. E. Static Car Display: The following guidelines are non-negotiable for any type of Static Vehicle Display. Any type of Static Vehicle Display (Indoors-Tent-Tent Cover-next to Tent-Main walkway or Main entrance) require (Battery disconnect- 1/3 tank of gas Locking or sealed gas cap). F. Notice, any vendors that may require the use of propane must contact Desiree Byrne or Mark Landolfi at Russo and Steele (desiree@russoandsteele.com or mark@russoandsteele.com) 30 days prior to acceptance of vendor application. 7.
