We do need the contract signed. Also, I have cc d Megan Bruce in Legal regarding the contract, and insurance. Hi Megan: The contractor that Networks is trying to hire is moving around the satellite dishes and installing another one on the roof of the building we are leasing in Singapore. SPE Networks Asia does not have an agreement with the Contractor, but only gave us the Contractor s work quote. We have indemnity and hold harmless forms that have been approved by legal, and I sent one to Cheryl to have it signed and to obtain the Contractor s insurance documents. So if anything, we need the Indemnity/HH agreement signed, which I have attached. Cheryl sent me a proof of insurance document from the Contractor, plus their safety certification. If you see in the attached indemnity agreement I have added in our insurance requirements. The insurance documentation the contractor sent to us does not comply with our requirements. I based these requirements on the lease we have with the Landlord. As you know as lessees, we are responsible to the Landlord for any contractor, third party, invitee we have on the premises, and in our lease we are required to carry public liability for S$2,000,000, which the conversion to USD is about $1,500,000. On the insurance document of the Contractor, their insurance is only for S$1,000,0000 for public liability, (approx $789,000 USD) but their property damage liability is only S$500,000, ($395,000 USD). Performing work on any roof is a high risk and if the Contractor installed the satellite incorrectly and it fell off the roof causing injuries to people and property damage to third parties on the ground plus damages the Landlord s building, their insurance limits of S$1 MM for bodily injury and S$500,000 for property damage liability may not be enough, and we could get pulled into the claim to pay for any damages or injuries the Contractor s insurance couldn t pay due to the exhaustion of their limits.
6 Our broker told us that $2 MM USD in liability is standard in Singapore, but since we are only required by the landlord to carry 2MM in Singapore dollars for public liability, I would like to see this contractor have at least that much for bodily injury and property damage liability insurance. All of the other insurance requirements shown in the Indemnity/HH agreement, the Contractor has not complied with, or maybe they have the insurance but just didn t send proof of it to Cheryl. Therefore, we do need a contract and we do need our requirements complied with. If they are not driving onto the premises, we don t need auto or motor liability; workers compensation is not compulsory but the employer is responsible for their employees injuries, so I would think the Contractor purchased a work comp policy to cover injuries to their employees. Employer s Liability, (EL) is not compulsory, but it is good to have in the event their employee sues the employer for gross negligence in causing the employee s injuries. If the Employer does not have EL insurance, the employee could very well sue us. We could get out of the claim or suit but we would have to spend some defense costs to get out of it. Again, this is work on the roof; therefore, I would think the Contractor would have work comp and EL policies. The contractor should also cover insurance for his own tools, equipment & property. Lastly, section 1.2 has other requirements;.i.e., additional insured/waiver of subrogation, etc., and I didn t see any evidence of this on the document Cheryl ed to us. Cheryl, I would recommend to send the agreement to the Contractor and have him or her send to their local insurance broker. Perhaps the broker can fill in the blanks regarding our insurance requirements. If anyone has any questions, please let me know. Thank you.
