6 General terms and conditions of rental for the Intermat demo exhibition area 1. IMPLEMENTATION AND ENFORCEABILITY OF THE GENERAL TERMS AND CONDITIONS OF RENTAL FOR EXHIBITING SPACES IN THE DEMONSTRATION ZONE The present terms and conditions apply to Exhibitors of the INTERMAT exhibition ( the Exhibition ) organised by the Société d Exploitation du salon Intermat (SA with share capital of 80,000, RCS Nanterre , 70 avenue du Général de Gaulle, Paris La Défense Cedex, the Organiser ) who wish to take part in the INTERMAT DEMO event which will take place during the Exhibition, by applying for an outdoor demonstration zone. Hence, by submitting an Application form to Intermat Démo, the Exhibitor complies fully and unreservedly with these general terms and conditions of rental surface for the exhibition area. Any specific terms and conditions are subject to the prior written agreement of the Organiser, and shall not otherwise prevail over the present agreement. Unless expressly agreed, any terms and conditions to the contrary shall not be invoked against the Organiser, regardless of the time at which the latter became aware of such. 2. UNDERTAKING BOOKING INTERMAT DEMO Any request to participate in INTERMAT DEMO is subject to prior examination by the Organizer. Only applications from Exhibitors who are duly registered for INTERMAT 2018, and up-to-date payment of any amount due to the Organizer may be considered by the Organizer. The Organizer s decision (acceptance or refusal of the participation request) will be notified to the Exhibitor in writing. In case of admission of the Exhibitor to INTERMAT DEMO, this one will be definitively committed towards the Organizer on the total amount of his participation. It is expressly stated that the rejection of an application to participate is a discretionary decision of the Organizer and can not give rise to damages. 3. SUB-LETTING The Exhibitor may only display the equipment, products and services listed in the Application form, and accepted by the Organiser in the demonstration space allocated. In any case, the materials and materials presented must be included in the nomenclature of the INTERMAT event. Advertising in any form whatsoever on behalf of firms that are not the Exhibitors is not permitted, and letting the allocated area, either wholly or partly, is prohibited. 4. ALLOCATION OF EXHIBITION SPACE The Organizer draws up the plan of INTERMAT DEMO assigns the locations according to the date of receipt of the requests and the size of the demonstration plots. Participation in previous events does not give the exhibitor any right to a particular location. The allocation of a site shall be communicated to the exhibitor by means of a plan. Any claims relating to the location allocated to the exhibitor will only be considered if they are made in writing and sent to the Organizer within seven days of sending the distribution plan. Such claims shall be supported by a record of the actual and serious reasons for such claims. The Organizer shall endeavour to respond to such justified requests for change of location. The expiry of the sevenday period shall constitute acceptance of the exhibitor at the assigned location. Under no circumstances will the organizer be held liable to the exhibitor for any consequences that may arise from the site allocated to him. 5. PAYMENT TERMS The payment of the sums contractually due is made on receipt of the corresponding invoice, by check or bank transfer. Payments must be made to the Organizer in Euros. 6. PAYMENT, DELAY, DEFAULT Any sum unpaid on the due date stipulated on the invoice, whether such due date is identical to that of the general terms and conditions or not, entails the full application of default interest at a rate equal to three times the rate of the legal interest that will begin to run the day after the due date on the invoice. In the event of non-compliance with the settlement deadlines mentioned in Article 5, a lump sum payment of 40 for collection costs will be required by the Organizer in addition to the penalties for delay mentioned above (Art. L-441-3, L441-6 and D445-5 of the Commercial Code). It is specified that this flat-rate allowance is not limited to the amount of any other costs that may be incurred by the Organizer for the purpose of recovering its invoices. 7. WITHDRAWAL Any cancellation by the Exhibitor must be notified to the Organizer in writing. In the eventuality of a total or partial cancellation (reduction of area) by the Exhibitor of his participation in INTERMAT DEMO, whatever the date and whatever the cause, this one remains fully liable for the price of its participation. Thus, the sums already paid to the Organizer remain vested to the Organizer and the sums remaining due, if any, become immediately due; The same even in case of relocation of the parcel to another Exhibitor. In addition, the Exhibitor shall pay to the Organizer, as a penalty clause, an amount equal to 15% of the total amount of his participation in INTERMAT DEMO. The INTERMAT DEMO event being reserved to the exhibitors of INTERMAT 2018, it is expressly understood that any cancellation by an exhibitor of its participation in the Exhibition will result in the cancellation of its participation in INTERMAT DEMO and the conditions mentioned above will apply. Similarly, it is finally specified that in the eventuality that an Exhibitor does not occupy his plot twenty-four (24) hours before the opening of the Exhibition to the public, and whatever the cause, The Organizer may consider that the Exhibitor has cancelled his participation in INTERMAT DEMO and the conditions mentioned above will apply. 8. INSURANCE a) The Exhibitor acknowledges having taken out, with an insurance company, all necessary insurance covering his civil liability and that of any person participating directly or indirectly in the pursuit of his activities and / or those of his company, for Any physical, tangible and intangible damage caused to others, during his / her participation in INTERMAT DEMO (including during the assembly and dismantling periods). Any person within the demonstration area will be under the responsibility of the exhibitor / demonstrator who leased the parcel. It is therefore up to the latter to control access. Any exhibitor / demonstrator undertake to provide before 12/02/2018: - a copy of the liability insurance policy as part of the demonstration activity, - a copy of the automobile insurance policy, - an extension for the use by third parties of the machines in demonstration, in particular for customer tests, these taking place under the sole responsibility of the exhibitor demonstrator, - a renunciation by the exhibitordemonstrator and his insurer against the organizer and his insurer b) Waiver of claims Any Exhibitor, by the mare fact of his participation, declares to waive any recourse that he or his insurers would be entitled to exercise against the Organizer, the company operating the premises where the event takes place and their insurers for any direct or indirect damage which those ones may cause to its property and its servants. 06

7 9. INSTALLATION EVACUATION OF THE DEMONSTRATION ZONE An inventory of input and output will be carried out. The dates on which the inventories of entry and exit will be made will be communicated by the Organizer through the exhibition space accessible from the website of the Exhibition. The exhibitors must have completed their installation before the safety commission (the date will be specified later on the exhibitor space). The materials used for the demonstrations will be permanently positioned on the demonstration area of the exhibitor demonstrator and will have to be transported before the opening of the exhibition to the public. No material changes will be possible between April 23rd and 25th, SAFETY REGULATIONS Exhibitors are required to be aware of and respect the safety measures established by the government authorities, the Organiser and the Paris Nord Villepinte exhibition centre. 11. PUTTING THE PREMISES BACK IN ORDER - DAMAGE The area dug out may not exceed 5 metres in depth except above the underground mains (see detailed plan sent by post), located 2 metres below ground. The space rented shall be left in the state in which it was initially found. The exhibitor-demonstrator shall level out the surface used, fill up any openings made, compact the soil, and shall undertake not to fill any openings with waste or demonstration materials. Any damage caused by the exhibitor s installations, property or equipment will be invoiced to the exhibitor. Damage caused to the fencing around each demonstration site will be invoiced at the price of 15 euros per linear metre excluding VAT. Exhibitors-demonstrators may use materials to enhance their equipment and to conduct recycling demonstrations but are responsible for bringing and removing this equipment at their own expense. Materials left by exhibitors-demonstrators before general refurbishment and final inventory inspection will be removed by the Organizer and the cost of which will be fully rebilled to the exhibitor. The exhibitordemonstrator undertakes to abstain from any emptying on the demonstration zone. He shall provide for the disposal of used oil and ensure the proper functioning of the fuel supply of its equipment. 12. CLEANING The Organiser will not remove any waste, the exhibitor being solely responsible for such. 13. ZONE REGULATIONS INTERMAT will make the sites available to exhibitors next to the outdoor exhibition area for the demonstration of equipment. The demonstration zone is accessible to all INTERMAT visitors during exhibition opening hours, from April 23rd to 25th, Each parcel is fenced in. An 8-metre opening will be provided on the aisle side during assembly so that materials and equipment can be brought in but this will be closed before opening to the public. Moving equipment in the main gravel alley is strictly prohibited. The Exhibitordemonstrator undertakes to abstain from encroaching on or using this main aisle both during the assembly and dismantling periods and during the Exhibition. The use of sound is tolerated under 85 db and may under no circumstances disturb the neighbouring exhibitors and visitors. Breach of this rule entitles the Organiser to have the sound cut off. The demonstration zone may not, under any circumstances, be used as an exhibition area. Equipment must be moving. The reception area shall, under no circumstances, exceed 15% of the total surface area of the site and no twostorey reception areas are authorised in the demonstration zone. Exhibitors may have to use equipment other than their own for the purpose of a demonstration. Exhibitors performing demonstrations shall obtain any authorisations required to use equipment that is not their own and shall be solely responsible for the consequences of its use in public; Any demonstration area set up by an Exhibitor who distributes one or several brands is subject to the agreement of the principal and/or parent companies of such brands, to be sent to the Organiser by or by post so that the distributor can organise the relevant demonstration zone. 14. CANCELLATION OF INTERMAT DEMO BECAUSE OF FORCE MAJEURE In case of cancellation of INTERMAT DEMO by the Organizer for the occurrence of a case of force majeure, the Organizer will inform the Exhibitors without delay. In such a case, no damages will be awarded and the sums collected by the Organizer will be returned to the Exhibitor. The following shall be considered as cases of force majeure: adopting that characterization accepted by French case-law, as well as, whatever their cause, the events making it impossible to exploit the Site exhaustively listed below: - fires, explosions, floods, storms, lightning; - deterioration of technical equipment making it impossible to operate the Site; - flood, violent storm, deterioration by lightning; - decision by an administrative authority to close the Site or requisition. 15. ORGANISER S LIABILITY The Organiser is exempt from any liability for any damage or loss (including disrupted use and any commercial losses) incurred by Exhibitors, regardless of the cause. 16. PHOTOGRAPHS BRANDS Exhibitors expressly authorise the Organiser and the COMEXPOSIUM group, all free of charge, to: take, as required, any photographs and/ or film or video footage representing their teams and themselves and any equipment in the demonstration zone; freely use these images on any media, notably advertising media (including the internet) both in France and elsewhere for a period of five years from the date of signature of this Application; quote and reproduce their brands or company names as a commercial reference for communication purposes on any media (including the internet) both in France and elsewhere for a period of five years from the date of signature of this Application. Exhibitors who do not wish their demonstration space or any of the elements displayed in that area (logo, brand, model, etc.) to appear on any photograph, film or video footage and/ or web material used to promote the Exhibition shall notify the Organiser accordingly in writing before the Exhibition opens. Moreover, any Exhibitor wishing to take photographs of the Exhibition or the demonstration zone shall previously inform the Organiser accordingly in writing. Hence, the Exhibitor is personally responsible for obtaining any authorisations required to take photographs at the Exhibition and INTERMAT DEMO and is solely liable for compliance with the image rights of each Exhibitor. 17. CLAIMS AND DISPUTES Any claim shall be made by registered letter with acknowledgment of receipt within ten days following the closure of the Exhibition. In the event of a dispute, the courts of Nanterre (France) shall hold sole jurisdiction.
