Company Stamp & Signature Required Registration Form to return with payment to: FFPAPF - Salon TRAFFIC / rue des Blancs Manteaux / Paris / FRANCE TERMS AND CONDITIONS FOR EXHIBITORS Article 1 PURPOSE AND SCOPE 1.1 These terms and conditions for exhibitors (hereinafter called Terms ) apply to all applicants for the Salon TRAFFIC (hereinafter called the Trade Show ), organised at Le Carreau du Temple event space at 4, rue Eugène Spuller Paris (hereinafter called the Site ) by the Fédération Française du Prêt-à-Porter Féminin (FFPAPF, hereinafter called the Organiser ), represented by Pierre-François Le Louët, Traffic s Commissioner General, and to anyone whose application is accepted (hereinafter called Exhibitor(s) ). 1.2 The Exhibitor agrees to familiarise itself with both these Terms and the exhibitors guide (hereinafter called the Exhibitors Guide ) containing all practical information concerning the Trade Show. The Exhibitors Guide will be provided by the Organiser approximately one month before the Trade Show. 1.3 Every registration for the Trade Show implies full and unconditional acceptance by the Exhibitor of these Terms and of all documents referred to herein and constitutes a waiver of the Exhibitor s right to rely on any conflicting document. Any modification or exception made or proposed by the Exhibitor, whether to these Terms or to any document referred to herein, and in whatever manner, shall be deemed null and void. 1.4 Further, it is expressly agreed that the admission of the Exhibitor to this Trade Show in no way obligates the Organiser to admit the Exhibitor to future sessions of the Trade Show or to any other event organised by the Organiser, nor does it confer on the Exhibitor any right to make reservations or to obtain any preference in this regard. Article 2 - REGISTRATION 2.1 Only those registration requests made by way of the application forms provided by the Organiser and received prior to the established registration deadline shall be considered by the Organiser. These forms are the registration application and the technical file (hereinafter the Registration Application and the Technical File ). 2.2 Registration Applications and Technical Files shall be sent to the following address: FFPAPF / Salon TRAFFIC rue des Blancs Manteaux Paris FRANCE. 2.3 Only fully completed, duly signed registration requests accompanied by the required deposit will be considered. Sending a Registration Application constitutes a firm and irrevocable undertaking by the Exhibitor to pay its total registration fee to the Trade Show, subject to the withdrawal provisions set forth in Article 4 of these Terms. 2.4 The registration request will be submitted to the Trade Show selection committee, made up of fashion professionals (hereinafter the Trade Show Selection Committee ). The committee has sole authority to determine an Exhibitor s admission, assignment to a zone and allocation of a Site placement. The Exhibitor should provide the Organiser with all the information it requests in order to enable a better evaluation of its candidacy. In particular, but without limitation, the Organiser will examine and verify: - the Exhibitor s creditworthiness - the compatibility of its business with the purposes of the Trade Show - the fit between the Exhibitor s products and services and the positioning of the Trade Show - the Exhibitor s ability to convey an even-handed message about the Trade Show Any form of proselytising or activism that might interfere with the smooth functioning of the Trade Show is strictly prohibited. Decisions of the Trade Show Selection Committee on the admission of Exhibitors are final. 2.5 The Organiser also reserves the right to refuse any registration request for reasons associated with the organisation or management of the Trade Show, particularly when all of the exhibition booths have been allocated. Additionally, any registration request from an Exhibitor that is indebted to the Organiser and/or is in litigation with the Organiser shall not be considered. Any registration request from an Exhibitor that files for bankruptcy or insolvency between the date it makes its request and the date the Trade Show opens shall be considered null and void. Nonetheless, in the event the Exhibitor has obtained, through legal proceedings, the right to continue its business, its request may be examined by the Trade Show Selection Committee. 2.6 An Exhibitor whose registration request has been refused shall be so informed in writing no later than seven (7) days from the date its Registration Application was received and shall be fully reimbursed by the Organiser for any amounts paid during such registration process. The decision to refuse a Registration Request is at the sole discretion of the Organiser and shall not give rise to damages. 2.7 An Exhibitor s registration is not final until after written confirmation from the Organiser. This confirmation shall be accompanied by the Trade Show Technical File. 2.8 The announced Trade Show dates are subject to modification by the Organiser. 2.9 The Organiser reserves the right not to consider Registration Applications sent after the established deadline (as evidenced by the postmark). After this date, the Organiser does not guarantee the availability of the offered booths. Article 3 PAYMENT METHODS 3.1 The various payments shall be paid to the order of FFPAPF by cheque or by bank transfer, in Euros, as specified in the Registration Application. 3.2 Payment of the amounts contractually due shall be made in accordance with the schedule and by the means specified below: Payment of the rental price of the stand: - The first payment (deposit): due when the Exhibitor mails the Registration Application. The deposit represents 50% of the amount due for the reserved space. If the Exhibitor elects to make payment by bank transfer, proof of such transfer should accompany the Registration Application; - The second payment (balance): no later than 1 March The balance represents the remaining 50% of the cost of the space reserved by the Exhibitor. If the Exhibitor elects to make payment by bank transfer, it agrees to provide the Organiser with proof of such transfer. Payment for options selected as part of the Technical File: - Payment for the options selected shall be made when the Technical File is mailed by the Exhibitor. If the Exhibitor elects to make payment by bank transfer, proof of such transfer should accompany the Technical File. No discount will be given for payments in advance or in cash. 3.3 Any registration request made after 1 March 2017 must be accompanied by a cheque or bank transfer for the full amount of the stand rental, including all taxes. 3.4 The prices for each event are set by the Organiser and shall not be subject to any discounts or refunds. Article 4 LATE PAYMENT OR DEFAULT 4.1 Any sum due but unpaid on the date set forth on the invoice shall be rightfully subject to interest for late payment at a rate equal to three times the legal interest rate, computed from the day following the due date as stated on the invoice. 4.2 In the event of a failure to comply with the payment deadlines set forth in Article 3 Payment Methods, a lump-sum payment of 40 euros shall be payable to the Organiser as compensation for recovery costs, in addition to the late payment fees mentioned above (articles L-441-3, L and D441-5 of the Code of Commerce). It is specifically stated that this lump-sum payment shall not limit any other amounts that the Organiser may seek as compensation for the payment of its invoices. 4.3 An Exhibitor that has failed to pay the full amount of its fees may be refused the use of its stand during the event. 4.4 In the event of non-payment of the balance when due, the Organiser reserves the right to dispose of the applicable space. The full amount of the invoice shall nonetheless remain due to the Organiser. Article 5 WITHDRAWAL 5.1 The Organiser shall be notified in writing of any withdrawal by an Exhibitor, whether complete or partial (reduction of space). 5.2 In the event of withdrawal by an Exhibitor, whatever the date and whatever the reason, such Exhibitor shall remain liable for the full amount of its fees and for any invoice relating thereto. Further, the Organiser shall be entitled to retain any amounts already paid, and such amounts as may still be due shall become immediately payable, even if the Exhibitor s stand has been rented to a third party. 5.3 However, if an Exhibitor withdraws prior to the confirmation of its Registration Application by the Organiser, a lump-sum payment of 295 euros, exclusive of tax, shall be retained by the Organiser as an application processing fee, and any difference shall be reimbursed to the Exhibitor by cheque. Consequently, as of the date of confirmation of its Registration Application by the Organiser, as to which the Exhibitor shall have been notified in writing (the date on such notice being determinative), the financial terms applicable to any withdrawal shall be those set forth above in paragraph It is specifically stated that if an Exhibitor does not occupy its stand as of the opening of the Trade Show, whatever the reason, the Organiser may consider that the Exhibitor has cancelled its participation in the Trade Show, and the conditions set forth above shall apply. Article 6 SUBLETTING AND ASSIGNMENT 6.1 An Exhibitor s registration is nominative, non-transferable and non-assignable. Without the prior written consent of the Organiser, it is strictly prohibited for an Exhibitor to assign, sublet, exchange or share, with or without charge, all or part of the space allocated to it by the Organiser or any rights and obligations pertaining thereto. If the Organiser consents, the Exhibitor shall pay the registration fees for each individual company appearing at its stand. The Exhibitor shall guarantee that each such company present at its stand shall observe these Terms and shall be liable for any violation of such Terms committed by any such company. Further, the Exhibitor shall indemnify the Organiser against any claims, disputes, charges, convictions or miscellaneous expenses that may arise as a result of such companies participation at the Trade Show. 6.2 Every Exhibitor is prohibited from occupying a space in the Site other than that allocated to it by the Organiser. 6.3 Exhibitors are prohibited from advertising under any form whatsoever for the benefit of companies or organisations that are not exhibitors. Article 7 - ALLOCATION OF SPACE 7.1 The Trade Show floor plan is established by the Organiser which determines the allocation of stands and communicates this to the Exhibitors within a timeframe decided by the Organiser. The Organiser allocates slots as the admission process proceeds, taking into consideration the sectors (zones) of the Trade Show. The Organiser will make every effort to accommodate the wishes of the Exhibitors. Each Exhibitor agrees to comply with the decisions made by the Organiser, which decisions are not subject to appeal. 7.2 Any space modification requested by an Exhibitor may result in its being moved from its previously allocated stand. In the case of an area reduction requested by the Exhibitor, the forfeiture provisions provided for in the event of cancellation shall apply with respect to that part of the invoice or payment corresponding to the area abandoned by the Exhibitor. 7.3 Participation in a previous event organised by the Organiser does not give an Exhibitor the right to a particular location at this event. 7.4 In the interest of the event, the Organiser reserves the right to modify the size, layout and location of spaces whenever it deems it necessary. At any given time, the Organiser may have to make changes in the surroundings of a stand, without previous warning to the Exhibitor concerned. Article 8 CONDUCT OF THE TRADE SHOW 8.1 The Trade Show will open at the Site on Wednesday 5 April 2017 at 9 am (09.00) and close on Thursday 6 April 2017 at 6.30 pm (18.30). 8.2 The Exhibitor agrees to comply with the hours of opening and closing of the Trade Show. The Organiser reserves the right to dispose of any space unoccupied by the Exhibitor as of the opening of the Trade Show, without the need for any reimbursement or compensation. 8.3 At all times that the Trade Show is open, the stands shall be permanently occupied by a representative of the Exhibitor. 8.4 Exhibitors may access their stands on Tuesday 4 April 2017 from 6 pm to 10 pm (18.00 to 22.00) and on Wednesday 5 April 2017 from 8 am to 9.30 am (08.00 to 09.30) to arrange their installation. Dismantling will take place on Thursday 6 April 2017 from 6.30 pm to 10 pm (18.30 to 22.00). Due to noise abatement rules in the neighbourhood, Exhibitors are prohibited from performing any installation or dismantling that is noisy or requires deliveries in or around the Site between 10 pm and 7 am (22.00 and 7.00). 8.5 If an Exhibitor needs to arrange for equipment deliveries or temporary parking in front of the Site, it must request authorisation from the Organiser no later than one (1) week before the opening of the Trade Show. To do so, the Exhibitor must make an appointment with the Organiser s technical department via at: technique@salontraffic.com. 8.6 Any Exhibitor engaging a service provider to perform installation, dismantling or maintenance must sign a risk prevention plan with such provider as furnished by the Organiser. 8.7 In any event, if any delay in the dismantling of stands results in the Site s imposing fines on the Organiser, the Organiser may pass such fines through to the Exhibitor. 8.8 All motor vehicle traffic is prohibited inside the Trade Show area during the periods of installation and dismantling. 8.9 Before the opening of the Trade Show, each Exhibitor must submit the layout and design plans for its stand for the Organiser s approval so that the Organiser can confirm the final setup of the stands and avoid any damage to the Trade Show s image No removal of packing materials or displayed goods will be permitted before the Trade Show s closing date All items, decorations, equipment, goods or communications media (magazines, newspapers, brochures, etc.) left by the Exhibitor or its suppliers after the closing of the exhibition will be removed from the Site. The cost of removal will be billed in full to the Exhibitor by the Organiser The Organiser reserves the right to halt the presentation of any product or service it considers contrary to accepted behaviour, to the best representation of its marketing or the Trade Show, and more generally to its overall interests, whether commercial, material or moral, or that it considers contrary to existing law Whatever the merits, any grievances by one Exhibitor against another or against the Organiser shall be discussed outside the Trade Show Site and shall in no way disturb the peace or the image of the Trade Show. Article 9 INSTALLATION OF STANDS 9.1 Responsibility for the installation and overall decoration of the stands rests with the Organiser, and Exhibitors shall therefore scrupulously respect the rules relating thereto. Stands must conform to the descriptions provided to Exhibitors in the Registration Application. 9.2 In order to respect the ambiance of the Trade Show, the Exhibitor agrees not to use furniture other than that provided by the Organiser. Thus, furniture pieces and electronic equipment for the stand shall be ordered via the Technical File, unless the Organiser has given prior written consent otherwise. 9.3 Exhibitors will take the space in the condition in which they find it, and shall return it in the same condition. Any cost to restore the space to such condition shall be at the expense of the Exhibitor. 9.4 The Exhibitor agrees to set its stand up in the most attractive manner possible. Stands must at all times be maintained in impeccable order. They must remain decorated throughout the entire time of the Trade Show. 9.5 Each Exhibitor is responsible for the equipment it displays and/or rents in order to decorate its stand. 9.6 So as not to interfere with the consistent look of the Trade Show, the following are prohibited: - the use of flooring, partitions, signs, lighting, furniture and/or electronic devices or installations other than those furnished by the Organiser - the installation of any object of whatever nature outside the limits of the stand; - any form of advertising on the exterior perimeter of the stand; - any modification of the standard elements making up each stand; - any decorative element higher than the walls of the structure; - anything encroaching on the public aisles; - affixing posters or notices without the prior consent of the Organiser. 9.7 Presentations of the Exhibitor s devices, products and services must be made inside the stand allocated to it. They must not create a nuisance for neighbouring stands nor adversely affect the general atmosphere of the Trade Show. In the event of any violation of this provision, the Exhibitor agrees to dispose of any such non-conforming elements, at its own cost and at its own risk. 9.8 No one is authorised to stand outside the stands to sell or advertise any product or service, whether or not it is being exhibited. The distribution of brochures, promotional items or samples outside stands, and advertising loudly even inside the stands or in the stand doorway, are strictly prohibited. 9.9 The Exhibitor agrees not to use a microphone, recording device or sound device, whatever its form or purpose, without the express consent of the Organiser The Organiser reserves the right to prohibit any entertainment deemed likely to disturb the orderliness of the Trade Show Animals are strictly prohibited Failure to observe the provisions of this Article will cause the Exhibitor s stand to be closed and all equipment belonging to the Exhibitor or rented by it for the decoration of its

5 stand to be removed, without the Exhibitor s having any right to reimbursement and without prejudice to any damages the Organiser may demand of the Exhibitor All damage or deterioration occurring at its stand or premises or to its decorative elements, or arising from the layout of its stand, its decorative elements, its personnel and subcontractors, shall be for the account of the Exhibitor. Article 10 SALES AT THE TRADE SHOW The Organiser s goal is to offer a quality service to visitors to the Trade Show, which is dedicated to the promotion of a range of professional activities and limited to trade professionals. Consequently, and in accordance with the provisions of article L of the Code of Commerce, Exhibitors are authorized to offer for sale at the Trade Show only merchandise intended for the personal use of the purchaser (i.e., magazines, food, etc.) and the value of which does not exceed eighty euros (80 ). Article 11 EXHIBITOR INFORMATION 11.1 The Exhibitor agrees to provide the Organiser with all the technical information it requires (logos, texts, images, scripts, files, etc.). These items must comply with the instructions provided by the Organiser and be provided within the timeframe specified by the Organiser to enable their inclusion in the relevant Trade Show documents and media In the event of non-compliance with the deadlines for providing these items, the Organiser will mention only the name of the Exhibitor in its documents and media, without the latter s being able to claim any damages or compensation whatsoever in this regard. Article 12 FURNITURE 12.1 Supplemental services offered to Exhibitors renting a fully equipped stand are listed in the Technical File. This will be sent to the Exhibitor when its registration has been confirmed by the Trade Show Selection Committee Only duly signed Technical Files that are fully completed can be considered All items of furniture rented by the Exhibitor shall be returned in the same condition as when they were received The Organiser reserves the right, at any time and without any recourse on the part of the Exhibitors, to make any modification useful or necessary for the smooth operation of the Trade Show, particularly with respect to the furniture that is made available. Furthermore, if the furniture selected by the Exhibitor is no longer available on the date the Technical File is received, the Organiser will make equivalent furniture available to the Exhibitor The Exhibitor shall use the rented equipment in accordance with its customary purpose. The Exhibitor shall be held responsible for any deterioration. Any claim relating to the condition of the equipment must be made to the Organiser within eight (8) hours following the opening of the Trade Show in order to be taken into consideration. The damaged equipment will be evaluated by the Organiser and charged to the responsible Exhibitor. Article 13 COMMUNICATION OPTIONS 13.1 Various meetings will take place during the Trade Show. As part of the supplemental services offered to Exhibitors renting a stand, Exhibitors may choose, by means of the Technical File, to participate in these meetings. If the Exhibitor wishes to participate in a meeting, its choice of one or more participants shall be subject to final approval of the Organiser. The Exhibitor shall have no recourse against the Organiser nor have the right to claim any damages on the basis that the participant it initially proposed was not accepted The first and last names and roles of the parties participating in each meeting shall be furnished in the timeframe indicated by the Organiser to enable them to be included in the various promotional documents distributed during the Trade Show. The Exhibitor agrees to obtain the prior written consent of the participants for the transmission of their personal information to the Organiser and for the use by the Organiser of such information as set forth above The Organiser shall not be responsible for any omissions, errors in copying or typesetting or any other errors that may occur in any media whatsoever, whatever the form or means of distribution Exhibitors having subscribed to the Organiser s supplemental service furnishing visitor profiles agree to prospect the individuals listed in such files in accordance with existing regulations and particularly the law of 6 January 1978 relating to data processing, files and liberties, as the same was modified in The Organiser reserves the right, at any time and without any recourse on the part of the Exhibitors, to make any modification useful or necessary for the smooth operation of the Trade Show, particularly with respect to any change in the time, room or positioning of the organised meetings, 13.6 As part of the supplemental services offered to Exhibitors renting a stand, Exhibitors may choose, by means of the Technical File, to take advantage of advertising inserts in the Trade Show-related media produced by the Organiser. The content of these advertisements shall be regularly reviewed and confirmed by the Organiser, whose decision shall not be subject to any contest by the Exhibitor. Article 14 ACCESS TO THE TRADE SHOW 14.1 Badges and/or bracelets for Exhibitors are prepared and monitored by the Trade Show Organiser. They are personal and not transferable. Any Exhibitor that has distributed badges and/or bracelets shall be legally responsible for any consequences resulting from such actions Badges and/or bracelets permitting an Exhibitor access to the Trade Show will not be delivered until after payment in full for the Exhibitor s stand Delivery of badges and/or bracelets for visitors is subject to pre-registration of such visitors No one shall be admitted to the Trade Show without presenting an entry authorisation issued or recognised by the Organiser. The Organiser reserves the right to refuse entry to the Trade Show to anyone without giving any reason and to require the departure of any person whose behaviour, in the opinion of the Organiser, justifies such action. Article 15 INTELLECTUAL PROPERTY RIGHTS AND PHOTOGRAPHY 15.1 Photographers may be admitted to work within the Trade Show, with written authorisation of the Organiser Each Exhibitor expressly authorises the Organiser, free of charge: - to take, if it wishes, photographs and/or films showing the Exhibitor, all or part of its stand, its team members, products and materials, plus the overall layout of its stand; - to freely use such images on all means of communication and promotion for the Organiser in France and abroad, without limiting either the frequency or the timeframe, by any means known or unknown at this time; - to mention and to reproduce, free of charge, its trademark or registered name as a commercial reference for purposes of its communications on all media, in France as well as abroad, for a period of five (5) years from the date of signature on the Registration Application The Exhibitor confirms to the Organiser that it has obtained all authorisations necessary for the Organiser s above-mentioned photographic and video recording and for its use by the Organiser. Consequently, the Exhibitor shall indemnify the Organiser against any claim or action brought by a third party claiming an infringement of its privacy rights due to the photos and/or films taken by the Organiser or its use of the same Any Exhibitor that does not want all or any part of its stand or anything displayed there (logo, brand name, model, etc.), or certain of its team members, to appear in the photographs and/or films used by the Organiser for promoting the Trade Show, must so advise the Organiser in advance at least one (1) month prior to the opening date of the Trade Show Any use by an Exhibitor of the trademark TRAFFIC, its logos, or the logos of its various zones is prohibited without the consent of the communications department. Article 16 INDEMNIFICATION The Exhibitor hereby agrees to indemnify and hold harmless the Organiser against the consequences of all actions, claims and procedures (including court costs and attorneys fees and expenses), as well as all damages, costs, liability and expenses resulting from such actions, that may be brought against the Organiser, its managers and directors, by third parties, including participants, in whatever capacity whatsoever and particularly for counterfeiting, unfair competition, right of publicity and/or image rights (for persons and goods) and arising out of the use and/or commercial exploitation of the contents made up of any of the items and/or photographs and/ or audio or video recordings of meetings, of any products or services, of advertising media or of comments made by the Organiser in the context of the Trade Show. Article 17 REGULATIONS AND SAFETY INSTRUCTIONS 17.1 For all information relating to dates, hours, and means of installing and dismantling stands, the Exhibitors Guide and the Site regulations are available upon request to the Organiser In general, Exhibitors are required to obey the laws and regulations relating to fairs, exhibits and trade shows, as well as the safety regulations enacted by the local prefecture or by the Organiser, particularly the prohibition against smoking in the areas allocated for general use, and regulations relating to fire safety. Agents of the fire safety unit will have access to all rented spaces, without exception. Individually, Exhibitors must conform to the rules and safety instructions of the Site. In any event, merchandise, products or services offered by Exhibitors must conform to French and European laws and norms Each Exhibitor agrees to honour, and will cause its employees and subcontractors to honour, the regulations mentioned in the above paragraph, as well as the instructions detailed in the Exhibitors Guide In the event of a serious and proven violation by an Exhibitor of the basic safety rules, likely to endanger the safety of persons present at the Site, the Organiser may, with the help of law enforcement officers if necessary, proceed to close the Exhibitor s stand immediately, without the offending Exhibitor s having any right to the slightest reimbursement, notwithstanding any demand for damages that may be formulated subsequently. The contract may then be legally cancelled in favour of the Organiser. The costs incurred by the Organiser s actions (bailiff s fees and costs relating to the stand closure) shall be the responsibility of the Exhibitor. As a consequence of the foregoing, the Organiser shall have the right to refuse the Exhibitor admission to all the trade shows it organises for a period of five (5) years. The amount paid by the Exhibitor for its registration fees shall be retained by the Organiser. The Organiser reserves the right to pursue the offending Exhibitor for compensation for any injury suffered. Article 18 LIABILITY AND RESPONSIBILITY 18.1 Each Exhibitor agrees to honour, and will cause its employees, service providers and stakeholders to honour, all of the obligations set forth in these Terms. Each Exhibitor will be held accountable for the compliance of the aforementioned employees, service providers and stakeholders with these Terms Any injury, including any commercial injury or disturbance of quiet enjoyment, that may be suffered by Exhibitors and for which the Organiser is not directly responsible, shall not under any circumstances cause the Organiser to be held liable therefor In any event, whatever the basis for any possible claims by the Exhibitor, the Organiser s total liability shall be limited to damages not to exceed the total cost of registration. Article 19 NON-PERFORMANCE AND SANCTIONS 19.1 If these Terms are violated, the Organiser may legally proceed to close the Exhibitor s stand immediately and prohibit the Exhibitor from entering it, without the Exhibitor s having any right to claim any financial or material damages Any costs incurred in connection with the Organiser s action (bailiff s fees relating to closing the stand) shall be the responsibility of the Exhibitor In any event, when a violation of these Terms has been identified, the Organiser shall have the right to terminate these Terms without prejudice to the damages that may be claimed against the Exhibitor, and to repossess and freely dispose of the rented space immediately Consequently, the Organiser shall have the right to refuse the Exhibitor admission to any trade show organised by the Organiser for a period of five (5) years. Article 20 INSURANCE 20.1 The Organiser disclaims any and all responsibility for loss or damage that may result to displayed equipment and materials from any cause whatsoever. The Organiser shall not be held responsible for theft or damage to Exhibitors personal property, neither during visiting hours nor during installation or dismantling of the stands. It is also not responsible for damage that Exhibitors may cause to third parties by virtue of their participation in the Trade Show Consequently, the Exhibitor agrees to take out the necessary insurance policies to cover its activities during the Trade Show. In particular, the Exhibitor agrees to take out insurance contracts from a financially sound and reputable insurance company, covering the following, prior to the date scheduled for setting up the Trade Show: - Financial consequences it may incur by reason of bodily injury, material or immaterial damages, caused to third parties, including at the Site, by reason of its activities during its participation at the Trade Show (including during periods of installation and dismantling); - Financial consequences it may incur in respect of civil liability in connection with material damage to the Site and consequential losses, consecutive or not, caused to the Site as part of the occupation of the Site; - Damage caused to goods belonging to the Exhibitor or placed in its custody In return, the Organiser has taken out compulsory insurance covering civil liability, damage to displayed property and the layout of the stand, and against all accidental damage. The Exhibitor may request a copy of the insurance policy which alone is proof of the covered risks and the level of guaranteed coverage provided for each Exhibitor at the Trade Show. Article 21 CANCELLATION OF THE TRADE SHOW 21.1 The Organiser may cancel or postpone the Trade Show if it determines that the number of registrants is clearly insufficient. In such case, the amount of any deposit or registration fee will be returned to registered Exhibitors. Until the day that registration closes, the Exhibitor assumes all risks associated with the failure of the Trade Show to be held, and particularly assumes the sole burden of any expenses it has incurred in anticipation of the event If the Trade Show cannot take place because of force majeure, Exhibitors shall have no right to any damages or compensation of any nature whatsoever. The following constitute examples of force majeure justifying at any time the cancellation or postponement of the Trade Show: all new health, economic, political or social situations, at a local, national, or international level, not reasonably foreseeable at the time the Trade Show was proposed to the Exhibitors, outside the control of the Organiser, and which make holding the Trade Show impossible or which carry the risk of problems or disturbances likely to seriously affect the organisation and the smooth operation of the Trade Show or the safety of goods and persons. Article 22 CUSTOMS 22.1 Exhibitors at the Trade Show must complete all customs formalities for any equipment or products coming from abroad The Organiser will in no instance be responsible in any way for any difficulty of whatever nature arising from such customs formalities. Article 23 PERSONAL DATA 23.1 In accordance with existing law, all Exhibitor files and files of companies or organisations having sent registration dossiers to the Organiser will be reported to the CNIL, to the extent that they contain personal data. The Organiser may use such personal data for further communication, including for commercial purposes, subject to the provisions of the law. To object to this use, parties simply need to write to the Organiser at the address noted in Article 2.2 of these Terms, setting forth their contact information Exhibitors, companies and organisations that have sent registration dossiers to the Organiser have the right to access, modify, correct and/or delete data relating to them. This right may be exercised by sending a request to the following address: SALON TRAFFIC FFPAPF 16-20, rue des Blancs Manteaux Paris FRANCE Article 24 APPLICABLE LAW AND JURISDICTION 24.1 These Terms shall be governed by French law Any dispute or issue arising from the interpretation or performance of these Terms shall be subject to the jurisdiction of the Paris courts if the parties have failed in their attempts at reaching an amicable settlement An Exhibitor is expressly forbidden to apply to the courts prior to having attempted to reach an amicable settlement with the Organiser Any question of interpretation of these Terms in the English version shall be resolved by reference to their meaning in the French version If any provision whatsoever of these Terms shall be determined or declared null and void or in violation of any legal provision relating to public policy, such provision shall be deemed not to be a part hereof, but all other provisions hereof shall remain intact and shall retain their full force and effect.
