3 UNDERTAKING : We hereby agree, undertake and covenant that: a) We have fully read, understood and agreed to abide by the Participation Guidelines and Terms, Rules and Regulations as laid down and/or modified by the concerned Committee/Organizers from time to time. b) We shall have and maintain a valid and adequate insurance cover during the Exhibition/Show, by having our goods adequately insured/covered and have also coassured BDB in our insurance policy. We further acknowledge and agree that, BDB shall not accept any right of recourse by us and/or our insurers. c) We shall not hold BDB responsible for any sundry charges or other payments as set out in the terms, rules and regulations overleaf including any direct or indirect loss or damage to which we may be subjected, as a result of our sole business decisions. d) We shall indemnify and keep BDB indemnified, safe and harmless from and against any and all claims, costs, loss or damage including incidental costs which BDB may incur and/or sustain as consequences of any claim, demand, action or proceedings by any member/person in respect of such claims and that such indemnity shall remain in force and effect until extinction of such claim or action. e) We shall guarantee and/or certify the authenticity/purity/quality of the loose diamonds exhibited in the Exhibition/Show and indemnify BDB from and/or against any and all claims/mis-declarations in this regards. f) We further agree and undertake to indemnify and keep BDB indemnified from any and/or all violations, claims, lawsuit and such other liabilities related to Patent/ Copyright/Trademark in which BDB may be subjected in this regard under the applicable Indian and International laws. g) We shall indemnify and keep BDB indemnified, safe and harmless from and against any claims/liabilities of any non-clearance of the goods by the concerned Customs Department due to inadequacy of papers/documents/declarations provided by us and agree and acknowledge that BDB shall not be party to any dispute with any Sales Tax, GST, Income Tax, Customs Departments and/or with any local or central laws which are applicable and/or enforced on us. 3

4 h) We hereby further agree that BDB reserves the right to forfeit our participation fee/cost and debar us from participating in the present and future international exhibitions to be facilitated by BDB jointly with members pursuant to the relevant provision herein. i) The Exhibition is Trade Show only and agree not to invite any consumer for over the Counter sales as the same is NOT PERMITTED. j) The Participation Cost is non-refundable. k) BDB is authorized to appropriate the Initial Deposit for the expense and in the manner and under the circumstances set-out in the terms and conditions overleaf. l) BDB have sole right and discretion to refuse/reject any application. m) That the booth will be allotted at the sole discretion of BDB, as decided by the BDB Committee depending on the availability of space/booths. n) BDB reserves the right to cancel the booth allotted to Exhibitor/s and/or change in size of the booth at any time even after allotment of space, without giving any prior written reason of cancellation and further the Exhibitor hereby agrees to abide by the decision taken by BDB and in any case shall not object/question and/or claim against BDB and towards any damage/loss suffered therein. o) Booth of a particular section allotted shall be non-transferable non-exchangeable. p) BDB shall have sole right/discretion to temporarily or permanently close down the show without any prior intimation for whatsoever reason that BDB may deem fit or required under the circumstances prevailing at the time of taking such decision. q) We shall pay all the applicable taxes or levies or duties as and when applicable/ demanded/imposed by the concerned Central/State/Local Authorities/ Governing Bodies on BDB and/or payable by BDB, which shall also be including the registration/booth fees. r) We are aware that it is mandatory to exhibit and sell/buy only NATURAL DIAMONDS. Kindly note that Synthetic/Lab-grown/CVD/HPHT and Blood Diamonds are strictly banned in the exhibition area. 4

5 s) That we have read carefully all the terms and conditions set-out by BDB and have understood them or their implications before enrolling and signing this application. t) All information provided by us in this Application and contract form are true and correct. u) In case of Force Majeure Event which includes without limitation, acts of God including earthquake, storm, flood, tempest, lightening and other natural calamities, civil commotion, war, act of public enemy or any event of like nature which cannot be prevented by the exercise of reasonable skill and care and is beyond reasonable control of BDB unable to continue with the Exhibition/Show in such event BDB shall not be held liable and/or responsible against any loss/claim imposed/suffered by the Members/Participants. v) The Construction, validity and performance of the Application form shall be governed by the rules and regulations framed by BDB and the member hereby submit to the exclusive jurisdiction of the court of Mumbai only without regards to that jurisdiction s conflict of law principles. w) I hereby agree and accept to abide by the decision taken by BDB in regards to the cancellation of my participation/booth in the Exhibition/Show at any point of time during prior and/or during the tenure of the Exhibition, without any objection whatsoever. x) Right to admission in the Exhibition/Show is strictly and solely reserved by BDB.
