3 All registered participants have direct facility to report and settle their OTC trades on SX-FIRST CP & CD OTC trades reported on FIMMDA platform (F-TRAC) can be settled through MCX-SX CCL Exchange provides automation of trades flow directly to the custodian for settlement. Counterparties will get mailer updates w.r.t. their trade settlements status

5 HOW TO REGISTER FOR SX-FIRST 4 Steps to get started : Participants need to sign the undertaking on stamp paper of Rs300/- (refer format). Not required for participants who are availing custodian services Participants need to provide Bank & Demat Account Details(refer format) Participants need to send us hard copies. Exchange will provide USER ID to the Participant

In favour of: MCX Stock Exchange Ltd a company incorporated under the Companies Act, 1956 having it s registered office at Exchange Square, CTS No. 255, Suren Road, Chakala, Andheri (East), Mumbai (hereinafter referred to as MCX- SX, which expression shall, unless repugnant to the context or meaning thereof, be deemed to include it s successors or assigns) And MCX-SX Clearing Corporation, a company incorporated under the Companies Act, 1956 having it s registered office at Exchange Square, CTS No. 255, Suren Road, Chakala, Andheri (East), Mumbai (hereinafter referred to as MCX-SXCCL, which expression shall, unless repugnant to the context or meaning thereof, be deemed to include it s successors or assigns) WHEREAS: a) MCX-SX is a company incorporated under the Companies Act, 1956 and Recognized Stock Exchange under section 4 of the Securities Contracts (Regulation) Act, b) MCX-SXCCL is a company incorporated under the Companies Act, 1956, with the principal object of carrying on the business of clearing and settlement in multi-asset classes. c) MCX-SX has requested MCX-SXCCL to offer clearing and settlement of trades to its Members and Participants for its segments and MCX-SXCCL has agreed to do the same. d) SEBI vide its letter No. MRD/DSA/OW/12941/2013 dated May 30, 2013 has permitted MCX-SX to set up a dedicated Debt Segment and offer clearing and settlement of trades through MCX-SXCCL.

8 e) The Participant has approached MCX-SX to use the Reporting and Request for Quote Platform and MCX-SXCCL for Clearing and Settlements of its trades through MCX-SXCCL. f) MCX-SX & MCX-SXCCL has agreed to provide the services, subject to the Participant completing all the necessary formalities and undertake the following conditions. g) MCX-SXCCL & MCX-SX shall provide the said services as per the directions/orders/circulars/notices issued by the SEBI/Reserve Bank of India ( RBI ) or any other Regulatory Authority and as per the circulars/notices/directions issued by MCX-SX & MCX-SXCCL from time to time. h) In consideration of MCX-SX and MCX-SX CCL allowing the Participants to access the Reporting and Request for Quote (RFQ) platform and associated clearing and settlement facilities, the Participant hereby undertakes as herein NOW THEREFORE IN CONSIDERATION OF THE PREMISES the Participant hereby undertakes unconditionally and irrevocably agrees as follows:- (1) Participant agrees to abide and comply with the directions/orders/circulars/notices issued by SEBI, RBI, any other Regulatory Authority, MCX-SX & MCX-SXCCL, from time to time. (2) Participant undertakes to pay to MCX-SX & MCX-SXCCL such consideration for the said Service rendered by MCX-SX & MCX-SXCCL as specified by MCX-SX & MCX-SXCCL from time to time. (3) Participant understands that MCX-SX & MCX-SXCCL shall/does not provide any of its funds/securities for settlement of the transactions executed by it. (4) Participant undertakes that performance of the transactions shall be sole responsibility of the participant/respective parties and MCX-SX & MCX- SXCCL is not a counter party to any transaction settled by it. (5) Participant understands that MCX-SX & MCX-SXCCL shall hold securities or funds as a trustee, on behalf of the Participant only for settlement purpose. (6) The Participants understands that it only has a limited access to Reporting/RFQ platform of MCX-SX and associated clearing and settlement mechanism of MCX-SX CCL for the purpose. Such access done not confer any membership rights in MCX-SX/MCX-SX CCL (7) The Participants undertakes and acknowledges that it shall be solely responsible and liable in respect of all trades placed or confirmed by it.

9 (8) Participant understands that MCX-SX & MCX-SXCCL shall not be responsible for any mistake or error in the transaction settled by MCX-SX & MCX-SXCCL or failure of the systems of any depository or regulatory authority or due to factors comprising force majeure. (9) Participants understand that MCX-SX or MCX-SXCCL, would be disclosing details about the Participants on the Reporting and RFQ platform. The Participants undertake not to raise any dispute or claims under confidentiality towards the disclosure made by MCX-SX or MCX-SXCCL, under any circumstances. (10) Participant understands that MCX-SX & MCX-SXCCL do not guarantee the functioning of the said Services to be provided to the Participant under this undertaking. Participant understands that MCX-SX & MCX-SXCCL and their directors, managers, officers, employees and agents shall not be liable in any way to Participant or to any other person, for any non-performance, error or interruption of the said Services or for any damages, consequential or otherwise arising therefrom or occasioned thereby. Participant undertakes not to initiate any legal proceedings against MCX-SX & MCX-SXCCL for any act/omission done by MCX-SX & MCX-SXCCL. (11) Participant undertakes to indemnify and keep indemnified MCX-SX & MCX-SXCCL, their directors, managers, officers, employees and agents harmless against every and all claims, demands, actions, proceedings, damages, liabilities, losses, costs and expenses suffered or incurred by them by reason of the provision of the said Services. (12) Participant represents and warrants that he/they have the authority to provide and sign this undertaking to MCX-SX & MCX-SXCCL for availing the said Services. (13) Participant undertakes to execute, sign and subscribe to such other documents, papers, agreements, covenants, bonds and/or undertaking as may be prescribed or required by MCX-SX & MCX-SXCCL, from time to time. (14) Participant agrees that this undertaking shall be governed by the laws of India and Courts at Mumbai shall have exclusive jurisdiction in all such matters arising out of this undertaking.
