Eligibility Criteria of the Tenderer is as under: The following documents should be submitted by the Tenderers along with their Techno-commercial Bid in Envelope No. I towards their meeting the Eligibility Criteria: a. Tenderer should have minimum five (05) Nos. of Vehicles of Model 2013 onwards in the name of Firm or Owner of Firm. (As documentary evidence, self-attested copies of Registration Certificates of such Vehicles should be submitted). b. Tenderer should have Permanent Account Number allotted by Income Tax Department. (As documentary evidence, self-attested copy of PAN should be submitted). c. Tenderer should have applicable Service Tax Registration Number in the name of the firm or owner of the firm. (As documentary evidence, self-attested copy of Service Tax Registration Certificate should be submitted). d. Business experience of minimum three years in the business of providing cars on hiring basis. 3. Tender in Two Sealed Covers The Tender/Bid shall be submitted in Two Sealed Covers as under:- Cover No.: 1 - Tender Documents as per Annexure-I, Techno-commercial Bid and EMD Cover No.: 2 - Annexure II - Part A & Part B (Schedule of Rates)` Cover No.: I shall contain : Annexure I of the Tender Documents duly signed and stamped on each page by the Tenderers. Cutting or overwriting if any, should be signed and stamped by the person signing the Tender. All proformae forming part of the Tender Documents shall be filled in, signed and stamped by the Tenderer. Documents as per Clause No.35 of the Terms & Conditions of the Contract. Tender Fee of Rs. 500/- & EMD of Rs.25,000/- (Rupees Twenty Five Thousand Only). Cover No.: II shall contain : Annexure II - Part A & Part B of the Tender Documents with rates duly filled in, signed and stamped by the Tenderer. Cover No. II shall contain only the above documents, i.e. Price Bid in Annexure II - Part A & Part B and no other conditions. All corrections must be signed and stamped by the Tenderer. 5. Tender shall be accompanied with tender Fee of Rs. 500/- and Earnest Money of Rs.25,000/- (Rupees Twenty Five Thousand Only) in the form of Demand Draft issued by any Nationalized/Scheduled Bank in favour of National Fertilizers Limited payable at Chandigarh in a separate cover, marked Cover No.: I, failing which your Tender / Price Bid will not be opened/considered. 6. Envelope No. I containing EMD and Techno-commercial Bid shall be opened at p.m. on in the presence of such Tenderers or their authorized representatives who may wish to be present. 7. The techno-commercially acceptable parties shall also be pre-qualified for a period of three years for hiring of Cars on monthly basis to meet our future requirement. 8. Envelope No. II containing Financial Bids of only those parties will be opened who have submitted the requisite EMD and meet the eligibility criteria stipulated in the Tender Document. 9. The Tenderers whose Techno-commercial Bids are accepted will be informed about the date of opening of Financial Bids, i.e. Envelope No. II. 10. If I/we fail to commence the work specified in Tender Documents, NFL shall be at liberty to cancel the work order issued by NFL and to forfeit the EMD of Rs.25,000/-. 3. 8 Terms & Conditions for Hiring Of 01 Brand New Maruti Swift Dezire LDI White Colour Car On Monthly Basis And Pre-Qualification Of Parties For Hiring Of Cars On Monthly Basis. 1. The Contractor shall arrange to provide 01 Car referred to above, depending upon our requirement fitted with Music System, Air conditioner and Upholstery of Company s choice within fifteen days from the date of issue of Letter of Intent (LOI). The limit for furnishing of each car is Rs.25,000/- in case of the above said Cars. NFL may get the furnishing done within the cost ceiling amount and deduct the same from agency s first bill. 2. The vehicle deputed should be duly registered as TAXI with valid permit and will have comprehensive insurance cover inclusive of passenger (s) and NFL shall not be responsible for any damage whatsoever to the Driver/Vehicle or third party. 3. There is no commitment from NFL s side for quantum of business. NFL reserves the right to line up separate contracts for hiring of vehicles indicated in Annexure II (Schedule of Rates). 4. The contractor shall arrange to provide two sets of white seat covers and towels in the vehicle and get the same dry-cleaned once in a fortnight at his own expenses. The contractor shall also provide Mobile Charger in the Vehicle as per requirement of NFL. The contractor shall also provide air freshener in the Car regularly. 5. The contractor shall be responsible for maintaining the Car in excellent conditions. The contractor shall ensure that the vehicle has sufficient fuel and at no time the Driver will be asking for finance from the Officer for refilling of fuel, parking charges, toll tax or any reason whatsoever. For refilling of fuel, the contractor shall make the arrangement for fuel at the Petrol Pump nearest to the place of duty / ZO, CHANDIGARH. 6. Bid Validity: The rates offered by the party for providing of car would be valid for 120 days from the due date of opening of tender and NFL reserve the rights to place order for hiring of car on the same rates within the bid validity period of 120 days. 7. Period of Contract: The duration of the Contract for hiring of each vehicle would be three years from the date of hiring of the vehicle. 8. The Car will be hired on monthly basis along with driver and all operating expenses, as per our requirement with annual committed running slab as under: Maruti Swift Dezire LDI/Toyota Etios Diesel/ Tata Indigo Ecs LX TDI(Diesel) Kms / Kms 9. Payment will be made on monthly basis against monthly bills as per pre-fixed slab. Payment for excess uses will be done on yearly basis or at the time whenever actual KM exceeds annual committed KMs. whichever is earlier. The rates quoted by the party will be based on the petrol / diesel price in Chandigarh, which will be existing on the date of issue of NIT which are as under: Diesel Rs per litre as on In case of increase / decrease of petrol / diesel price, NFL shall revise the rates as determined by considering average diesel 16 kms. per litre in case of Diesel driven cars and will be determined as under :- For Maruti Swift Dezire LDI: Revised Price Price prevailing on the date of issue of NIT 16 Reimbursement / Recovery on account of increase / decrease of petrol / diesel price shall be made on monthly basis. No increase in other charges shall be allowed during the currency of the contract. 12. The Car will be parked at the residence of Officer with whom it is attached or at Zonal Office, Chandigarh. 13. NFL reserves the right to terminate the contract at any time by giving one month s notice. 14. Contract may be terminated by NFL if the services rendered by the contractor are found to be unsatisfactory and the Earnest Money / Security Deposit shall be forfeited. 15. The duty hours of the Driver will be eleven hours a day i.e. from 09:00 AM to 08:00 PM all days. Payment for extra hours will be made only if duty exceeds the fixed duty hrs. i.e. from AM to PM. In case the Driver fails to report for duty on any day, the Contractor shall have to provide alternate Driver, failing which alternative arrangement shall be made by NFL and Rs. 500/- per day shall be recovered from the party. 16. The Driver deputed with the Vehicle should be of good character and antecedents, well behaved, neatly dressed in Uniform and should be in possession of valid Driving Licence and all requisite Documents of the Vehicle including Pollution Control Certificate. He should also have good knowledge of all roads, routes and adequate knowledge of Hindi / English. The Driver should be provided with mobile phone facility by the Contractor at his own expenses. 17. Security Deposit (i) The contractor shall be required to deposit security equal to 10% of the contract value. Initial security 2.5% of the total contract value including earnest money (EMD) has to be deposited by the contractor within ten days month from the start of work. Security 7.5% of the value of the work done shall be deducted from monthly bills until to make total security deposit equal to 10% of the contract value towards faithful execution of the contract. The contractor can also submit Bank Guarantee from any scheduled Bank in favour of NFL only in the prescribed form within one month from the start of work for an amount equal to 10% of contract value in lieu of deductions from monthly bills towards security deposit, which shall be valid for the contractual period plus three months claim period. The Security Deposit shall be released after three months from the date of satisfactory completion of the contract period including extended period of contract, if any. No interest shall be payable by NFL on security deposit. (ii) NFL reserves the right to forfeit the Security Deposit /Bank Guarantee of the contractor in case the performance of the contractor is not found satisfactory and the contractor does not accept the extension of contract or leave the contract incomplete during the contract period/extended period of contract. 10 (iii) Any dues outstanding against the tenderer shall be recoverable out of the Security Deposit/Bank Guarantee/EMD or pending bills of the contractor. 18. TDS shall be recovered from the bills as required in the Income Tax Act, Service tax as applicable from time to time for providing the service shall be payable by NFL subject to production of proof of Service Tax No. 20. The Vehicle deputed will have Comprehensive Insurance Cover inclusive of Passenger(s) and NFL shall not be responsible for any damage, whatsoever, to the Driver / Vehicle or Third Party. 21. The Car will be used for journeys in Chandigarh, Tricity and any other place(s) in India. 22. During the Contract Period if the Vehicle is seized / detained / impounded by Police / Transport Authority for any reason whatsoever, it will be at the sole risk / responsibility of the Contractor. 23. In case of breakdown of the Vehicle, the Contractor will be responsible to provide alternate Vehicle immediately, failing which NFL will be within its right to make alternate arrangement at the risk and cost of the Contractor and the actual cost shall be recovered from the party. 24. Any person engaged for rendering the services shall be the employee of the Contractor for all purposes and shall have no claim/right on NFL. The Contractor will keep NFL and its Officers indemnified from and against any claim / liability by any such person. 25. The Contractor shall be independent entity engaged to produce the required results and shall comply with the Laws and Regulations applicable in this regard and shall also keep NFL and its Officers indemnified against any breach or default. 26. Duties / taxes / fees / levies / cess / permit charges etc. whatsoever payable in consideration of the trade or otherwise or related thereto shall be at the cost of the Contractor. However, in case any charges paid towards use / entry of vehicles in other States, having valid permit for plying the same in that state, shall be reimbursed by NFL on submission of original receipt. NFL will also reimburse parking charges and toll tax paid by the contractor against documentary proof. 27. NFL will reimburse applicable Service Tax to the agency and the contractor shall be solely responsible for depositing the Service Tax with the appropriate Govt. Authorities. 28. Misbehaviour of the Driver(s) will be viewed very seriously and NFL reserves the right to impose any penalty as it may deem fit in such cases which will be recoverable from the Contractor s Bill(s) / Security Deposit. 29. The Tenderer shall submit no relationship certificate with any of the employee of NFL as per Annexure-III. 30. Payment shall be made monthly on proportionate basis based on the amount quoted for a year divided by 12 months. The payment for running expenses shall be made based on the agreed rate of the mileage per litre of diesel. The payment shall be made based on the prevailing rates of diesel in U.T. Chandigarh as on 1st day of the month of usage. 31. Income Tax shall be recovered from the Bills as required in the Income Tax Act, Arbitration Clause - i) Except where otherwise provided in the contract all matters, questions, disputes or differences whatsoever, which shall at any time arise between the parties hereto, touching the construction, Sign. of Tenderer Page No.:10 of 15 No.: NFL/ZO/CHD/P&A/2.13/

11 meaning, operation or effect of the contract, or out of the matters relating to the contract or breach thereof, or the respective rights or liabilities of the parties, whether during or after completion of works or whether before or after termination shall after written notice by either party to the contract be referred to the arbitration of Head of Marketing Division, National Fertilizers Limited or his/her nominee for appointment of Arbitrator. The Arbitration proceedings shall be governed by the Arbitration & Conciliation Act, 1996, The arbitration & Conciliation (amendment act 2015) or any further statutory modification or re-enactment thereof and the rules made there under. If the arbitrator to whom the matter is referred, vacates his/her office by any reason whatsoever then the next arbitrator so appointed by the authority referred above may start the proceedings from where his predecessor left or at any such stage he may deem fit. ii) It is agreed by and between the parties that in case a reference is made to the Arbitrator or the Arbitral Tribunal for the purpose of resolving the disputes / differences arising out of the contract by and between the parties hereto, the Arbitrator or the Arbitral Tribunal shall not award interest on the awarded amount more than the rate of SBI PLR /Base Rate as applicable to NFL on the date of award of contract. 33. The prospective tenderers having any common partners / Directors / Managing Partners, etc. or having any other common criteria shall be considered as Sister / Group / Associates Company. In such cases, only one of them will be eligible for participating in the tender. 34. Statement of deviation if any may be submitted by the tenderer along with techno-commercial bid in envelop no. 1, which will be subject to acceptance by NFL. However, condition or deviation submitted along with price bid in envelop no. 2 shall not be considered and the tender shall be liable to be rejected. 35. The tenderer shall quote the price strictly as per the proforma enclosed for schedule of prices. Parties should quote one rate for specific quantity quoted by them. Tenders with quotation of different rate for different quantities shall be rejected without any further reference. 36. One person will be allowed to represent only one tenderer during discussions / negotiations with NFL. If same person is representing different companies with authorization letter from more than one company, such person will be allowed to represent only the first company called for negotiations. 37. Bidders may ensure that tender documents / offer has been signed by appropriate / authorized representative of the Company. Withdrawal of offer / non-acceptance of orders placed based on offers submitted by bidders on their letterhead, will not be allowed on the grounds that offer was not signed by authorized person. 38. If a tenderer resorts to any frivolous, malicious or baseless complaints/allegations with intent to hamper or delay the tendering process or resorts to canvassing/rigging/influencing the tendering process. NFL reserves the right to debar such tenderer from participation in the present/future tenders up to a period of 2 years. 39. Jurisdiction - Notwithstanding any other Court or Courts having jurisdiction to decide the question(s) forming subject matter of a suit, any and all actions and proceedings arising out of or relating to the contract (including any arbitration in terms thereof) shall lie only in the court of a competent civil jurisdiction in this behalf at Chandigarh (where this contract has been signed on behalf of the owner) and only the said Courts (s) shall have jurisdiction to entertain and try such action(s) and/or proceeding(s) to the exclusion of all other courts. 40. Force Majeure - Neither the NFL and nor the contractor shall be considered in default in performance of its/ his obligation under this contract if such performance is prevented or delayed Sign. of Tenderer Page No.:11 of 15 No.: NFL/ZO/CHD/P&A/2.13/

12 because of war, hostilities, civil commotions, strike, epidemic, accident, fire, wind, flood, earthquake, or because of any levy, order proclamation, regulation or ordinance of any government or any subdivision thereof or because of any act of GOD. 41. The successful bidder would be required to enter into an Agreement with National Fertilizers Limited on non-judicial stamp paper of Rs.100/-, cost of which is to be borne by him. 42. The contractor shall also submit MSME declaration regarding registration, if applicable. 43. NFL reserves the right to accept or reject any or all Tenders without assigning any reasons thereof. 44. Evaluation Criteria: L-1 shall be determined by adopting the following criteria: For Maruti Swift Dezire LDI: Item Weightage for evaluation Total monthly (Rental + Running) charges for 3,500 KMs 0.5 Total monthly (Rental + Running) charges for 4,000 KMs 0.5 Charges for extra running of 170 KMs 1.0 Charges for driver s duty beyond 11 hrs. daily (for local 1.0 journey) for 85 hours Night charges (for outstation journey) for 02 nights Eligibility Criteria: The following documents as per Annexure - 1 should be submitted by the Tenderers along with their Techno-commercial Bid in Envelope No. I towards their meeting the Eligibility Criteria: a.
