1 ABFF Star Project Contest Official Rules March 20, 2017 March 30, 2017 PRELIMINARY INFORMATION: NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. Void where prohibited. The ABFF Star Project Contest ( Contest ) will begin on March 20, 2017 at 9:00 A.M. PT and end on March 30, 2017 at 11:59 P.M. PT ( Contest Period ). All times in the Contest refer to Pacific Time ( PT ). Odds of winning depend upon the number of eligible Entries (defined below) received. Contest is subject to all applicable federal, state and local laws. PRIZE (DEFINED BELOW) DOES NOT INCLUDE PARKING. ELIGIBILITY: Open only to permanent, legal United States ( U.S. ) residents who are physically located and residing in one (1) of the fifty (50) U.S. or the District of Columbia (excluding Puerto Rico, Guam, the U.S. Virgin Islands and other U.S. territories), and who are eighteen (18) years of age or older as of the start of the Contest Period. Entrants must have a valid U.S. Social Security Number or a valid U.S. personal tax identification number. Seeking and strongly encouraging submissions from performers who can portray ethnically diverse characters including, but not limited to, Black descent. Officers, directors, and employees of Contest Entities (as defined below), members of these persons immediate families (spouses and/or parents, children, and siblings, and their spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to enter or accept this opportunity. Contest Entities, as referenced herein, shall include NBCUniversal Media, LLC, 100 Universal City Plaza, Bldg. 1320, Suite 3G, Universal City, CA ( Sponsor ), American Black Film Festival c/o Film Life, Inc. ( ABFF ), and their respective parent, subsidiary, and affiliate companies, and administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Contest. Winner (defined below) must be available to travel to Miami, FL June 13, 2017 through June 19, Entrants must comply with all applicable laws, rules, and regulations. Entrants must also be of good moral character. Sponsor reserves the right to exclude anyone convicted of a crime (other than moving violations of a misdemeanor type that did not involve personal injury, drugs, or alcohol). Entrants must have nothing in their background that would be an embarrassment to Sponsor, and may not be elected officials or currently running for any political office (local, state or federal). At Sponsor s request, each entrant must be willing to sign a publicity release and an affidavit attesting that such entrant meets all of the foregoing eligibility requirements outlined above. Sponsor reserves the right to disqualify entrants for not meeting any of the requirements outlined above or for any other reason, in Sponsor s sole discretion. To enter the Contest, entrants must arrive at the LA Location on March 20-21, 2017, or the NY Location on March 29-30, 2017 and sign-up for an audition slot ( Audition Slot ) with Sponsor. Audition Slots will be first-come, firstserved. Limited Audition Slots available. IMPORTANT: THE OPPORTUNITY TO REGISTER FOR AND PARTICIPATE IN THE CONTEST IS OFFERED ON A FIRST COME, FIRST SERVED BASIS. THE OPPORTUNITY FOR AN ELIGIBLE ATTENDEE TO REGISTER FOR AND/OR PARTICIPATE IN THE CONTEST IS NOT GUARANTEED.

2 HOW TO ENTER: To enter the Contest, during the Contest Period, visit either (i) the Hilton Universal located at 555 Universal Hollywood Drive, Universal City, CA ( LA Location ) on March 20, 2017 or March 21, 2017, or (ii) Ripley Grier Studios located at 520 Eight Avenue, 16 th Fl., New York, NY (the NY Location ) on March 29, 2017 or March 30, Then, follow the provided instructions to complete and thereafter submit the entry form in one of the designated cities, which includes your first and last name, address, phone number, Monologue (defined below), and Audition Slot (the Entry ). For the Monologue portion of your Entry, you will be required to perform: (1) a contemporary monologue ( Monologue ) of your choice not to exceed two (2) minutes in length. You must perform one Monologue as described above as part of your Entry to enter and be eligible for Contest. Only you should appear in your Monologue. Monologue should be contemporary and cinematic in style. Monologue performance exceeding two (2) minutes in length can be grounds for disqualification. The Entries at the NY Location and LA Location will be accepted on a first-come, first-served basis and will be capped by Sponsor in its sole discretion. Regardless of time, once the all Audition Slots are filled, the registration will close at each location. Entries must be physically in line to register to be eligible for the Contest. The opportunity for an eligible attendee to register for and/or participate in the contest is not guaranteed. All Entries become the property of Sponsor and will not be acknowledged or returned. You may enter once during the Contest Period. Entries appearing at more than one audition location will not be admitted. Entries generated digitally, electronically or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. Entry constitutes permission (except where prohibited by law) to use entrant s name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval. By entering the Contest, entrants grant Sweepstakes Entities the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit your Monologues and to incorporate Monologues in other works in any and all markets and media worldwide in perpetuity. If Contest Entities, in their sole discretion, elect to incorporate any Monologue into other works, the use of such Monologue will not be considered an artistic opportunity and performer will not be entitled to any compensation or credit. Performers will have no right of review, notice, or approval of any recorded video of audition content. Entrants warrant that they have the sole and exclusive right to grant such rights to Contest Entities and that the Contest Entities reproduction, publishing, displaying, and/or other use of Monologues will not infringe on any rights of third parties, including, without limitation, copyright, trademark, privacy, or publicity rights, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract. If any Monologues contain material that is violent, pornographic, obscene, illegal, inappropriate, or racially or morally offensive or if any Monologues do not comply with these Official Rules or meet Sponsor s standards for any reason, as determined by Sponsor in its

3 sole discretion, such Monologues (and the related performers) may be rejected as ineligible for consideration. Performers must comply with all applicable laws, rules, and regulations. Contest Entities shall have no obligation to copy, publish, display, or otherwise exploit the Monologues. PRIVACY: Information provided by entrants is subject to Sponsor s privacy policy located at SELECTION AND NOTIFICATION OF PRIZE RECIPIENT: There will be (1) round of auditions in New York City and Los Angeles where judging on live monologue performances will determine the Winner. Selection: Judging to Determine Grand Prize Winner: Between March 20 March 30, 2017, a panel of qualified judges selected by Sponsor ( Judges ) will attend and watch all the eligible Entries during the Contest Period and select one (1) winner ( Winner ) based on the following judging criteria ( Judging Criteria ): Talent (50%), Creativity (25%) and Delivery (25%). In the event of a tie, the Judges will break the tie by selecting the tied entrant who received the highest points from the Judges. In the event a tie remains, an additional tie-breaking judge will judge the tied Entrants using the Judging Criteria, to determine which of the tied performers will be the potential Winner. Sponsor reserves the right to pick more than one (1) Winner (or none at all) or to extend the Contest Entry Period if the Contest does not receive a sufficient number of eligible and qualified Entries, as determined by Sponsor in its sole discretion. Decisions of Sponsor and Judges are final and binding with respect to all matters related to the Contest. Additionally, Winner must be able to attend approximately one (1) day of the 2017 American Black Film Festival, scheduled to occur from June 14, 2017 to June 18, 2017 in Miami, FL (the Festival ). Winner must be able to travel to Miami, FL around June 13, 2017 through June 19, 2017 (or on such other dates designated by Sponsor). Notification: Winner will be notified no later than May 15, 2017 and announced at the ABFF Awards Ceremony scheduled to take place in Miami, FL on June 18, 2017 at 8:00 P.M. ET. Winner will be required as a condition of continued eligibility to sign an Affidavit of Eligibility, Waiver of Liability, and, except where prohibited, Publicity Release (collectively, Contest Documents ) within two (2) days of such notification. Noncompliance within this time period will result in disqualification. If the potential Winner cannot be reached, is found ineligible, cannot or does not comply with the foregoing requirements and these Official Rules, if Prize (defined below) notification is returned as undeliverable, or if he/she does not satisfactorily execute all of the Contest Documents, potential Winner will be disqualified and Sponsor will award the Prize (defined below) to the runner-up. PRIZE: There will be one (1) prize ( Prize ) awarded to the Winner. Prize consists of one (1) five (5) day, four (4) night trip to Miami, FL (the Trip ). Trip will include roundtrip, economy class air transportation from major commercial airport nearest Winner s residence to a major commercial airport in or near Miami, FL during the American Black Film Festival; four (4) nights hotel accommodations at a hotel (standard room;

4 to be determined by Sponsor in its sole discretion); one (1) scholarship to the Tasha Smith Acting Workshop / Boot Camp during the festival ( Event 1 ); one (1) SoBe Pass to Screenings during ABFF ( Event 2 ); one thousand dollars ($1,000) toward performance training classes or professional headshots; and, VIP Access to both the NBCU Short Film Festival Finale in August 2017 in New York City, NY ( Event 3 ) and October in Los Angeles, CA ( Event 4 ) (travel and accommodations not provided). PRIZE DOES NOT INCLUDE PARKING. Event 1, Event 2, Event 3, and Event 4 may be collectively referred to as Events or Event. Estimated Retail Value ( ERV ) of Prize is two thousand nine hundred twenty-five dollars ($2,925). Actual Retail Value ( ARV ) of Prize may vary. If Prize includes a Trip, ARV may vary based on, among other things, availability, existing rates at time of booking, dates of travel, and point of departure. Any difference between ERV and ARV will not be awarded. For any Prize with an ARV of six hundred dollars ($600) or greater, Sponsors will furnish an Internal Revenue Service Form 1099 to Winner for the ARV of Prize for the year in which Prize was won. All details of Prize will be determined by Sponsor in its sole discretion. Sponsor reserves the right to substitute a similar Prize (or Prize element) of comparable or greater value. If a Prize element is not available for any reason, as determined by Sponsor in its sole discretion, the remaining elements of Prize shall be awarded and shall constitute full satisfaction of Sponsor s Prize obligation to Winner and no additional compensation or substitution will be awarded. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of Prize are the sole responsibility of Winner. Prize cannot be transferred by Winner or redeemed for cash and is valid only for the items detailed above, with no substitution of Prize by Winner. If Prize is unclaimed within a reasonable time after notification from Sponsor, as determined by Sponsor in its sole discretion, it will be forfeited, and, time permitting, an alternate Winner may be selected from the remaining eligible Entries at Sponsor s sole discretion. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsor s control, and are not responsible or liable for any expenses incurred as a consequence thereof. Date and/or time of Events are subject to change. Events are subject to cancellation. The location and all details of the Audition Slots will be determined by the Sponsor in its sole and exclusive discretion. Audition Slot will be subject to availability and production exigencies. Date and/or time of Audition Slot is subject to change. Audition Slot is subject to cancellation. In the event that the Audition Slot does not or cannot take place as scheduled or at all, for any reason including but not limited to scheduling conflicts, cancellations, postponement, an event of force majeure, or for any other reason, then the remaining components, if any, of the Prize shall constitute full satisfaction of Sponsor s Prize obligation to Winner, and no other or additional compensation will be awarded. TRAVEL: Sponsor will determine all travel arrangements in its sole discretion. Airline reservations are subject to availability. Travel arrangements must be made through Sponsor s agent, on a carrier of Sponsor s choice. Certain blackout periods and travel restrictions may

5 apply. Sponsor has the right in its sole discretion to substitute ground transportation for air transportation depending on Winner s place of residence. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. Once travel commences, no unscheduled stopovers are permitted; if an unscheduled stopover occurs, full fare will be charged from stopover point for the remaining segments, including return, of the trip. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Once determined, no change, extension, or substitution of travel dates is permitted, except by Sponsor in its sole discretion. No other travel elements (including, without limitation, accommodations, ground transportation, luggage fees, insurance, gasoline, meals, gratuities, souvenirs, etc.) are included in Prize. Tickets are non-refundable and are not valid for business-related or group travel. Tickets are valid only for travel on the airline(s) chosen by Sponsor in its sole discretion. Tickets will be issued only to the Winner. Winner is responsible for any tax liability, including applicable departure taxes or fees, inspection charges, and security charges. Once issued, tickets are non-transferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Winner must have valid travel documents (e.g., valid government-issued photo identification and passport) prior to departure. Sponsor is not responsible for airline seat assignments, special meals, check-in procedures, and baggage limitations. Sponsor has no responsibility for alterations to any travel plans caused by airline delays or for any act, omission or event. Sponsor shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize, and is not responsible or liable for any expenses incurred as a consequence thereof. Winner specifically release Sponsor from any and all claims for loss or damage to baggage or property, or from personal injuries or death, or from loss or delay, arising out of the acts, omissions, or negligence of any independent contractors, such as air carriers, hotels, restaurateurs, transportation providers, medical personnel or other providers of services or facilities. All travel and lodging will be at the risk of Winner. CONDITIONS: By entering the Contest, each performers agrees for performers and for performer s heirs, executors, and administrators (a) to release and hold harmless Contest Entities and their respective officers, directors, and employees (collectively, Released Parties ) from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant s participation in the Contest, including Monologue (and any travel related thereto), and/or his/her acceptance, possession, use, or misuse of Prize or any portion thereof (including any travel related thereto); (b) to indemnify Released Parties from any and all liability resulting or arising from the Contest and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by prize supplier that are sent along with Prize; (c) if selected as a Prize Recipient, to the posting of such performer s name on Website and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all decisions of the Sponsor, which are binding and final. Failure to comply with these conditions may result in disqualification from the Contest at Sponsor s sole discretion.

6 ADDITIONAL TERMS: Sponsor reserves the right to permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Contest or the operation thereof is unlawful and subject to legal action by Sponsor, who may seek damages to the fullest extent permitted by law. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations), or other force majeure event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants or to any other person s computer relating to or resulting from entering or downloading materials or software in connection with the Contest. Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of Entry information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned. Sponsor reserves the right to cancel, modify, or suspend the Contest or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserves the right to select Winner from among all eligible, non-suspect Entries received prior to the time of the event warranting such cancellation, modification, or suspension based on the Judging Criteria above. Notice of such cancellation, modification, or suspension will be posted at Website. Sponsor may prohibit any entrant or potential performer from participating in the Contest, if such performer or potential performer shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other performer, Sponsor, or Sponsor s agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Sponsors reserve the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Contest. DISPUTES: THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ( JAMS RULES ). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY S FEES

7 OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
