Truing up of Capital Expenditure and Tariff. 12 Provided that the generating company or tdb transmission licensee, as the case may be, may in its discretion make an application before the Commission one more time prior to for re vision of tariff. (2) The generating company or the transmission licensee, as the case may be, shall make an application, as per Appendix I to these regulations, for carrying out truing up exercise in respect of the generating station a unit or block thereof or the transmission system or the transmission lines or sub-stations thereof by 3 l ; (3) The generating company or the transmission licensee, as the case may be, shall submit forthe purpose of truing up, details of capital expenditure and additional capital expenditureincurred for the period from to , duly audited and certified by the auditors; Un-Quote 6) In view of the above, in this petition (i) Truing up Transmission tariff for block: Truing up of Transmission tariff for the block on account of the additional capital expenditure from up to under Regulation-6 of CERC (Terms and Conditions of Tariff) Regulations, 29, for the tariff block And (ii) Transmission tariff for block: Approval under regulation-86 of CERC (Conduct of Business) Regulations' 1999 and CERC (Terms and Conditions of Tariff) Regulations' 214 for determination of Transmission tariff for the tariff block for the assets covered under this petition. has been carried out. 7) That the Petitioner is required to adjust the yearly impact of MAT as per regulation 6(5) of the 2"d amendment to the tariff Regulation period dated in the truing up petition for tariff block. 13 Regulation 6(1) of Tariff Requlation 29-14: Quote It "The Commission shall carry out truing up exercise along with the tariff petition filed for the next tariff period, with respect to the capital expenditure including additional capital expenditure incurred up to , as admitted by the Commission after prudence check at the time of truing up." Unquote The MAT rate applicable to the petitioner for the various years as per the Finance Act of the relevant year and the revised grossed up ROE are as given below: Year MAT Rate Grossed up ROE (Base ratel(1-t)) In line with above Regulation the tariff for each year of the tariff period block w.r.t the actual tax rate applicable to the petitioner in line with provisions of the relevant Finance Acts has been trued up. 8) While filing Tariff petition for period the petitioner had prayed for allowing the floating rate of Interest on loan adjustments. As per Hon'ble Commission order dated in petition no , it has been stated that interest on loan was calculated on basis of prevailing rates as on and any change in the rates of interest subsequent to will be considered at the time of truing up. Accordingly in the instant petition, in addition to actual Add Cap, the truing up on account of impact due to change in MAT rate, floating rate of interest, FERV as well as consequential lowc is being carried out. 9) That the present petition covers truirlg up of transmission tariff for the tariff block based on actual expenditure incurred upto and actual additional capitalization from to and transmission tariff for tariff block for Combined elements of (i) 4 K' DIC Vindhyachal Satna & Satna Bina TL (ii) 4 KV SIC Korba- Raipur and Korba Bhilai ckt Ill & (iii) 315 MVA ICT and LILO of Bhilai Chandrapur. 14 11) The details of actual additional capitalization incurred up to of different assets covered in this petition are summarized below: i. (Rs. Lakhs) I Asset 1 Admitted I Total capital l I 1 capital cost 1 I expenditure I Combined Assets under Vindhyachal Stage-ll as per order Actual expenditure in The additional Capitalization of Rs Lakhs incurred in is on account of entry tax. An expenditure of Rs Lakhs incurred during is on account of tower strengthening. Against the projected add-cap of Rs Lakhs in block admitted by the Hon'ble Commission, an expenditure of Rs Lakhs has been incurred in block. Add Cap Expenditure of Rs Lakhs has been proposed for the next block towards tower strengthening. Tower Strengthening of 4 kv Vindhyachal - Satna Ckt I & II is in progress and tower strengthening of 4 kv Satna - Bina Ckt I & II has not been taken up in view of the following recommendation of CEA. '%S this was the first failure in the line, committee recommended to wait and watch till the smooth operation of the line gets disturbed again." That as per clause 25 (3)Sbf the above regulation, the grossed up rate of ROE at the end of every financial year shall be trued up based on actual tax paid together with any additional tax demand including interest thereon duly adjusted for any refund of tax including interest received from the IT authorities pertaining to the tariff period to on actual gross income of any financial year. Any under-recovery or over-recovery of grossed up rate or1 ROE after truing up shall be recovered or refunded to beneficiaries on year to year basis. It is further submitted that adjustrnent due to any additional tax demand including interest duly adjusted for any refund of tax including interest received from IT authorities shall be recoverable ladjustable during 1 after completion of income tax assessment of the financial year. 16.4) That as provided in clause 39 of Tariff Regulations 29 and clause 49 of the Tariff Regulations 214, the deferred tax liability before shall be recovered from the beneficiaries or the long term customers IDICs as and when the same gets materialized. 16.5) Service tax on trarlsmission has been put in the negative list w.e.f and accordingly the Transmission Charges indicated at para 16.1 above, is exclusive of Service Tax and the same shall be borne and additionally paid by the respondent(s) to the petitioner and the same shall be charged, billed separately by the petitioner if at any time the transmission charges is withdrawn from the negative list. Further, any additional taxes are to be paid by the petitioner on account of demand from Govt 1 Statutory authorities, the same may be allowed to be recovered from the beneficiaries. 16.6) In tariff calculation for period, lnterest on Loan has been calculated based on actual interest rates for each year. For the purpose of the supporting documents for rate of interest, kindly refer page 24 to page 4(Volurne l), page 65 to page 85 (Volume 1) and page 1 to page 1 I(Volume 2) of our affidavit dtd which was filed before the Hon'ble Commission to avoid duplicacylrepeatative submission of voluminous docurnerlts in each petition. The fees and charges to be paid by the petitioner as ISTS licensee (deemed ISTS licensee) under CERC (Fees and Charges of RLDC and other matters) Regulations as amended frorn tirne to time shall also be recoverable from the DlCs as provided under clause 52(2) (a). 16.1) The Transmission Charges and other related Charges indicated at para 16.1 above, is exclusive of incentive, late payment surcharge, FERV, any statutory taxes, levies, duties, cess, filing fees, license fee, RLDC fees and charges or any other kind of imposition (S) and/ or other surcharges etc. whatsoever imposed / charged by any Government (CentralIState) and 1 or any other local bodies/authorities/regulatory authorities in relation to transmission of electricity, environmental protection, and/or in respect of any of its installation associated with the Transmission System and the same shall be borne and additionally paid by the respondent(s) to the petitioner and the same shall be charged, billed separately by the petitioner on the respondents. 17 Sharing of Transmission Charges Tariff for Transmission of Electricity (Annual Fixed Cost) as per para 16- above shall be recovered on monthly basis in accordance with Regulation 43 of Central Electricity Regulatory Commission (Terms and Conditions of Tariff) Regulations, 214 and shall be shared by the beneficiaries and long term transmission customers in Central Electricity Regulatory Commission (Sharing of Inter State Transmission Charges and Losses) Regulations, 21 dated and amendment to these Regulations issued vide order dated or as amended from to time. However, the transmission charges for period upto shall be recovered on monthly basis in accordance with Regulation 23 and shall be shared by the respondents in accordance with regulation 33 of CERC (Terms and Conditions of Tariff) Regulations, 29. In the circumstances mentioned above it will be just and proper that the transmission tariff for the assets covered under this petition be allowed to be charged from the Respondents on the basis set out in para-14 above. The Petitioner submits that the Encl.-l to Encl.-5 may please be treated as integral part of this petition. 22 ORDER The petition has been filed for determination of tariff for combined elements of (i) 4 kv Vindhyachal-Satna Bina transmission line (Asset-l); (ii] 4 kv S/C Korba-Raipur and Korba Bhilai ckt-ill (Asset-Ill; and [iii) 315 MVA ICT and L11- of Bhilai-Chandrapur circuit-ll and associated bays at Raipur (Asset-Ill) of Vindhyachal stage-ll transmission system in Western Region [hereinafter collectively referred to as 'the transmission assets') for the period from to , based on the Central Electricily Regulatory Commission (Terms and Conditions of Tariff) Regulations, 29 (hereinafter referred to as "the 29 regulations"). The petitioner has made the following additional prayers:- {a) To invoke the provision of Regulation 44 of the 29 regulations for relaxation of regulation 15 (3) of the 29 regulations so that the grossing up the base rate of ROE may be allowed considering the tax rates viz, MAT, surcharge, any other cess, charges, levies etc. as per the relevant Finance Act and accordingly, consequential impact of :l tariff on account cf truing up may be allowed to be billed and settled directly with the beneficiaries every year in the tariff block; (b) In case of the assets being combined to calculate the transmission charges, allow to recover full depreciation (9% of the gross block) of the asset during its useful life (25 years for sub-station and 35.*S. : W* Signed order in Petition No. 191 /21 Page 2 of 28

25 6. Reply to the petition has been filed by Maharashtra State Electricity Distribution Company Limited (MSEDCL). MSEDCL in its reply has submitted as under:- (a) Total amount of lakh/mt for galvanised steel claimed by the petitioner is on the higher side compared to the prevailing market rates of steel. The petitioner should be directed to submit the details of steel requirements and justify the rate; (ii) The petitioner should be asked to clarify the claim towards recovery of depreciation after achieving the useful life by an asset, since it is not in line with the 29 regulalions: (iii) The service tax is not applicable to transmission services, the claim of petitioner be rejected; (iv) The petitioner may be asked about the provision under which licence fee is being claimed; and (v) Reimbursement of expenditure towards filing fee should be rejected in the light of the decision in order dated in Petition No. 129/25 : Page 5 of 28.CL.> -, ,"*;'/:;..~,,,...i. The petitioner in its rejoinder has submitted as under: (i) The tower strengthening is to be carried out on 56 nos suspension towers of 4 kv Satna-Bina D/C line by providing additional bracings in the towers. Approximately, total weight of additional towers members is 54 MT and strengthening work includes supply of the tower members and its installation in charged transmission line. The tower strengthening is also to be carried out on 54 nos suspension towers of 4 kv -a Vindhyanchal-Satna D/C line by providing additional bracings in the towers. The approximate weight of additional tower members is 486 MT and the strengthening work includes supply of the tower members and its installation changed transmission lines. It has been submitted that the type of steel used for this strengthening work will be mild steel. However, the supply and installation cost are proposed to be undertaken through competitive bidding process and the petitioner shall approach the Commission with actual cost based on the market conditions prevailing at the time of procurement. 27 (11) As regard the depreciation, the petitioner has clarified that the deprecation of individual assets being combined continue to be governed by the respective actual date of commercial operation of the asset. The depreciation is calculated annually as per Regulation 17 of the 29 regulations: (iii) The expenditure on filing fee and reimbursement of expenditure is being claimed as per Regulations 42 of 29 regulations; (iv) As regards the service tax, the petitioner has prayed to be allowed to recover the service tax on transmission charged directly if the exemption is withdrawn and transmission is notified as a taxable service; and [v) Licence fee is a new component of cost to the transmission licensee which has not been considered in the normative & M expenses provided in 29 regulations. 8. We have considered the objections of MSEDCL and the reply of the petitioner. The petitioner has furnished the detailed requirement of steel and its prices required for strengthening of towers. The expenditure will be the subject to prudence check of the Commission. As regard depreciation, the -e.*s- -5 Signed order in Petition No. 191 /21 Page 7 of 28

28 same is being reckoned with reference to actual date of commercial operation of the asset and is determined as per Regulation 17 of the 29 regulations. The issues of filing fee, publication expenses, service tax and licence fee have been dealt with in later part of this order. 9. During the hearing, the representative of the MPPTCL was permitted to file a reply to the petition within two weeks. No reply has been filed by the MPPTCL. CAPITAL COST 1. The last proviso to clause (2) of Regulation 7 of the 29 regulations provides as under: "Provided that in case of the existing projects, capital cost odmitted by the Commission prior to and the additional capital expenditure projected to be incurred for the respective year of the tariff period as may be admitted by the Commission, shall form the basis for determination of tariff" The capital expenditure approved by the Commission vide order dated in Petition No as amended vide order dated , which 3 has been considered for determination of tariff, are as under: Assets (7 in lakh) I Admitted capital cost I Asset-l II Total

29 ADDITIONAL CAPITAL EXPENDITURE Regulation 9 of the 29 regulations provides as under: (1) The capital expenditure incurred or projected to be incurred, on the following counts with in original scope of work, after the date of commercial operation and up to the cut-off date may be admitted by the Commission, subject to prudence check: (i) Undischarged liabilities: (ii) Works deferred for execution: (iii) Procurement of initial capital spares within the original scope of work, subject to the provisions of regulating 8 ; (iv) Liabilities to meet award of arbitration or for compliance of the order or decree of a court; and (v] Change in law; Provided that the details of works included in the original scope of work along with estimates of expenditure, undischarged liabilities and the works deferred for execution shall be submitted along with the application for determination of the tariff. 31 (d) Design Practice IS 82: 1995 New Code (with % wind in broken wire condition] was being followed from 1992 to 1998 and 2 incidents of tower failures on 4 kv transmission lines have occurred in Power Grid. (e] The design of the towers of the transmission lines of Vindhyachal Stage-ll was carried out as per IS 82:1995 which is based on % wind in broken wire conditions. As per the petitioner, there were three incidents of tower failure on 4 kv Vindhachal-Satna I and II line in 23 and 25 (3 towers failed on , 1 tower failed on and 1 tower failed on ). [f) The Standing Committee of Experts constituted by CEA has recommended as under: (a) In order to minimize the failure in existing lines, hip bracings up to bottom cross arm level, in all the suspension tower of all the transmission lines, designed after 1995 should be provided, in different phases keeping in view the priority of the lines; and (b) In future, PGCII- will make provision for hip bracings on all the suspension. -*z- Signed order in Petition No. 191 /21.$L.>; Page l l of 28 a-,g ,,';.>,%,, S..;,. -;-

32 C_- -- [g] Accordingly, the petitioner has proposed tower strengthening to be carried out on 56 Nos suspension towers of 4 kv Satna-Bina D/C line and 54 Nos of tower on 4 kv Vindhyachal-Sdtna D/C line by providing additional bracing in charged transmission lines. The total cost of strengthening of lines has been estimated as lakh. 15. Vindhyachal-Satna transmission line and Satna-Bina transmission lines were designed using IS: code for % wind in broken wire conditions. 3 Therefore, there is a need for tower strengthening in this type of tower design (IS 82:1995) in view of experience of tower failure in Vindhyachal-Satna llne and keeping in view the recommendations of the Standing Committee. Accordingly, we allow the additional capital expenditure of lakh. TOTAL CAPITAL COST 16. Clause (2) of Regulation 12 of the 29 regulations inter alia provides "(2) In case of the generating station and the transmission system declared under commercial operation prior to , debt-equity ratio allowed by the Commission for determination of tariff for the period ending shall be considered." 18. The petitioner has claimed tariff based on debt-equity ratio of :8.19 as considered by the Commission in its order dated in Petition No The petitioner has further claimed the amount of additional capital expenditure in the debt-equity ratio of 7:3 for the year and For the purpose of tariff, equity considered for the transmission asset is as under: Equity as on Notional equity due to additional capital expenditure for the Average eqully for Notional equity due to addltlonal capltal expendliure for the period 212- Average equity for Equlty for the period (7 in lakh) Average eqully for RETURN ON EQUITY 19. 34 Provided that in case of projects commissioned on or after 1st April, 29, an additional return of.5% shall be allowed if such projects are completed within the timeline specified in Appendix-\l: Provided further that the additional return of.5% shall not be admissible if the project is not completed within the timeline specified above for reasons whatsoever. (3) The rate of return on equity shall be computed by grossing up the base rate with the normal tax rate for the year 28-9 applicable to the concerned generating company or the transmission licensee, as the case may be: Provided that return on equity with respect to the actual tax rate applicable to the generating company or the transmission licensee, as the case may be, in line with the provisions of the relevant Finance Acts of the respective year during the tariff period shall be trued up separately for each year of the tariff period along with the tariff petition filed for the next tariff period. 1 (4) Rate of return on equity shall be rounded off to three decimal points and be computed as per the formula given below: Rate of pre-tax return on equity = Base rate / [l -t) Where t is the applicable tax rate in accordance with clause (3) of this regulation." 2. The Commission vide its order dated in Petition No. 17/2 1 has already taken a decision to amend the 29 regulations for allowing grossing up of the base rate of return with the applicable tax rate as per the Finance 1 Act for the relevant year and for direct settlement of tax holidays of between the generating company/transmission licensee and the beneficiariesllongterm transmission customers on year to year basis. The process of amendment to the 29 regulations is under way and same will address the grievance of the petitioner with regard to the MAT rate. 35 has been computed as per the existing provision of Regulation l5 (3) of 29 regulation as under: INTEREST ON LOAN 21. Regulation 16 of the 29 regulations provides that,- "1 6. (1) The loans arrived at in the manner indicated in regulation 12 shall be considered as gross normative loan for calculation of interest on loan. (2) The normative loan outstanding as on shall be worked out by deducting the cumulative repayment as admitted by the Commission up to from the gross normative loan. (3) The repayment for the year of the tariff period shall be deemed to be equal to the depreciation allowed for that year: (4) Notwithstanding any moratorium period availed by the generating company or the transmission licensee, as the case may be the repayment of loan shall be considered from the first year of commercial operation of the project and shall be equal to the annual depreciation allowed,. 36 Provided further that if the generating station or the transmission system, as the case may be, does not have actual loan, then the weighted average rate of interest of the generating company or the transmission licensee as a whole shall be considered. (6) The interest on loan shall be calculated on the normative average loan of the year by applying the weighted average rate of interest. (7) The generating company or the transmission licensee, as the case may be, shall make every effort to re-finance the loan as long as it results in net savings on interest and in that event the costs associated with such re-financing shall be borne by the beneficiaries and the net savings shall be shared between the beneficiaries and the generating company or the transmission licensee, as the case may be, in the ratio of 2:l. -1 (8) The changes to the terms and conditions of the loans shall be reflected from the date of such re-financing. (9) In case of dispute, any of the parties may make an application in accordance with the Central Electricity Regulatory Commission (Conduct of Business) Regulations, 1999, as amended from time to time, including statutory re-enactment thereof for settlement of the dispute: Provided that the beneficiary or the transmission customers shall not withhold any payment on account of the interest claimed by the generating company or the transmission licensee during the pendency of any dispute arising out of re-financing of loan." ) In our calculation, the interest on loan has been worked out as detailed below: (i) ADB-l loan has been utilised for debt funding apart from various domestic loans: c:fl (, 4 :z. Taking the closing balance of ADB-I loan as per the order dated in Petition No as the opening amount for 29-1, the net outstanding loan as on as per the amortization schedule for working out the half yearly repayment instalments have been considered for the purpose of calculations. Exchange rate as on has been also considered; (iii) For loans with floating rate of interest, rates of interest as on have been considered; [iv) Tariff has been worked out considering normative loan and normative repayments. 38 JAverage (vi) Proposed domestic loan for the years and taken for the additional capital expenditure has not been taken into considered for working out the weighted average rate of interest. 23. It can be seen that the petitioner has worked out weighted average rate of interest for original assets and additional capital expenditure. For the purpose of tariff, additional capital expenditure with original transmission 1 assets have been combined. Therefore, there is difference in weighted average interest rate as claimed by the petitioner and considered by us and interest 'in normative loan. 24. The detailed calculations in support of the weighted revised average rate of interest are contained in Annexure attached to this order. 39 DEPRECIATION 25. Regulation 17 of the 29 regulations provides for computation of depreciation in the following manner, namely: "17. (1) The value base for the purpose of depreciation shall be the capital cost of the asset admitted by the Commission. (2) The salvage value of the asset shall be considered as 1% and depreciation shall be allowed up to maximum of 9% of the capital cost of the asset. XXXX (3) Land other than the land held under lease and the land for reservoir in case of hydro generating station shall not be a depreciable asset and its cost shall be excluded from the capital cost while computing depreciable value of the asset. (4) Depreciation shall be calculated annually based on Straight Line Method and at rates specified in Appendix-Ill to these regulations for the assets of the generating station and transmission system: Provided that, the remaining depreciable value as on 31st March of the year closing after a period of 12 years from date of commercial operation shall be spread over the balance useful llfe of the assets. (5) In case of the existing projects, the balance depreciable value as on shall be worked out by deducting the cumulative depreciation as admitted by the Commission up to from the gross depreciable value of the assets. (6) Depreciation shall be chargeable from the first year of commercial operation. In case of commercial operation of the asset for part of the year, depreciation shall be charged on pro rata basis." 26. The petitioner has submitted that transmission charges claimed for the year is inclusive of 8, M expenses for project derived based on the norms for expenditure as specified under Regulation 19 (g) of the regulation. Accordingly, & M expenses for the transmission assets have been considered as per Regulation 19 (g) of the 29 regulations. The petitioner has further submitted that it would approach the Commission for suitable revision in the norms of & M expense in case the impact of wage hike w.e.f 1.l.27 is more than 5%. With reference to the submission of the petitioner, it is clarified that if any such application is made, it will be dealt with in accordance with law. INTEREST ON WORKING CAPITAL 3. (ii) Maintenance spares: Regulation 18(1) (c)(ii) of the 29 regulations provides for maintenance 15% per annum of the & M expenses from The value of maintenance spares works out to "'l lakh as on (iii) 8 M expenses: Regulation 18(l )(c)(iii) of the 29 regulations provides for operation and maintenance expenses for one month as a component of working capital. The petitioner has claimed O&M expenses for 1 month of O&M expenses of the respective year as claimed in the petition. This has been considered in the working capital. (iv) Rate of interest on working capital: As per Regulation 18(3) of the 29 regulations, rate of interest on working capital shall be on normative basis and shall be equal to the short-term Prime Lending Rate of State Bank of India as on or on 1 st April of the year in which the project or part thereof (as the case may be) is declared under commercial operation, whichever is later. The Commission after careful consideration has decided that filing fee will be reimbursed in the following cases: (a) Main petitions for determination of tariff; (b) Petitions for revisions of tariff due to additional capital expenditure.; (c) Petitions for truing up of expenditure. Filing fees paid for filing the Review Petitions, interlocutory Applications and other Miscellaneous Applications will not be reimbursed in tariff. The Commission has decided to reimburse the expenses on publication of notices as such expenses are incurred to meet the statutory requirement of transparency in the process of determination of tariff." 34. In accordance with the said decision, the petitioner shall be entitled to recover the filing fee from the beneficiaries on pro rata basis. The petitioner shall also be entitled for reimbursement of publication expenses from the beneficiaries on pro-rata basis. Service Tax 35. The petitioner has prayed for reimbursement of service tax, if it is subjected to such tax in future. MSEDCL has objected the prayer of the petitioner. It is clarified that as the petitioner has no liability for service tax at present, the prayer is infructuous and is accordingly rejected. Licence fee 36.
