1 MINUTES OF; REGULAR MEETING Chairman Dennis Tippie called the December 27th Regular Meeting of the Swanton Township Trustees to order at 7:30 PM. The Pledge of Allegiance was recited. Roll Call: Trustee Dennis Tippie - Present Trustee Jeff Michael - Present Trustee Jim Irmen - Present Fiscal Officer Peggy Michael - Present Visitors Present: 4 Motion by Jim Irmen to adopt the agenda as amended. Seconded by Jeff Michael. Roll Call: Jim Irmen, yes; Jeff Michael, yes; Dennis Tippie, yes. Motion Carried. Resolution Comments from the Public: Resident Mike Solomon stated that we got away from Whitehouse as far as fire and rescue because of the overcharging. Mr. Solomon asked if we have a problem with Providence Township, did they raise their rates? Trustee Jeff Michael stated that the Village of Whitehouse has a different Mayor, Council, and Fire Chief now. And secondly, the original contract with Providence prior to receiving another one at our last meeting was for exorbitant rates. In Providence Township's Trustee meeting it was stated that the average would be over $ per run, the Whitehouse contract will be about $ per run. Trustee Michael said that it was a financial decision for him. Trustee Dennis Tippie stated that it started out that we couldn't compare apples to apples, Providence gave a per run cost and Whitehouse came in with a flat fee like Swanton does. Resident Joe Zielinski stated that Whitehouse has the County's Life Squad 9 that runs out of Whitehouse Fire Department and is manned 24 hours per day. Mr. Zielinski stated Life Squad 9 is one of the life squads that County stations in various jurisdictions. Trustee Tippie said that he was asked to continue to negotiate with Providence and at the last meeting they provided a flat rate contract that was comparable to Whitehouse's other than a clause in Whitehouse's contract that limits payment to one third of the levy which means that Whitehouse may be cheaper for the first year or so. Mr. Solomon asked about the money that comes from the insurance company, will they absorb it? Trustee Michael stated that if they receive any they will take it in just like Providence will under the new contract that we were working from; Providence is discontinuing any insurance reimbursements in the new contract. Trustee Michael said that if Whitehouse did not negotiate in good faith and deliver their best and final offer back in November, we would be paying the exorbitant costs, over $ per run, in the Providence contract as there wouldn't have been a revised contract presented at the last minute. 1

2 MINUTES OF: REGULAR MEETING Trustee Tippie said that the Michael's were at the same meeting in Providence as he was, as we were leaving the Fire Chief asked if we were still working on the reimbursement of the insurance and we were to further our discussion. Trustee Michael stated that during the meeting and we can verify with their recording the Trustees said they were not changing their rates because that is what their residents are paying and they are not going to continue the reimbursement of insurance collections. Trustee Michael said that we have to rely on what was said at the meeting, not some after the meeting conversation. Trustee Tippie then stated it was at the end of the meeting, not after the meeting. Fiscal Officer Peggy Michael said she and Trustee Michael were at the meeting and we were in the Fire Chiefs room to get a map that we did not have, we were the last to leave and walked out with their Zoning Inspector, and Trustee Tippie left before us. Fiscal Officer Michael stated that when we left the meeting we were confident they were not budging on the cost, they tape their meetings and anyone can get a copy of the meeting from them. Trustee Michael said that he will provide a copy of the original Providence contract and a copy of the Providence contract received at the December 141 meeting. Trustee Michael stated that a comparison of the Whitehouse contact and the Providence contract can be done and you can see they are very similar which in my mind is pretty unethical. Resident Mary Solomon asked if a five year contract a little lengthy? Ms. Solomon also asked if the yearly rate increases? Trustee Tippie said that it increases every year. Fiscal Officer Michael states that it is very minimal. Trustee Michael said that the Providence contract that we were presented at the last meeting increases every year also, Trustee Michael said that he doesn't see the difference. Trustee Michael also said that the Providence contract was also five years and doesn't see where that is an issue. Ms. Solomon stated that she thought the contract with Whitehouse was suppose to be for just a part of the township, I thought we were still going to go with Providence. Trustee Michael said that we received the Providence contract first and it was for an enlarged area clear up to Monclova Road, all of the southern half of the township. There was no talk or interest in splitting the township at that point. Trustee Tippie said that theirs was per run so it could be divided up, Trustee Michael stated that we can compare apples to apples as we have the historical number of runs for these areas and it can be broken down on a per run basis. Fiscal Officer Michael stated that she did make a phone call to setup a meeting this summer with Whitehouse and Providence to talk about splitting up the area and Trustee Tippie called to say that Providence cancelled the meeting. Trustee Michael said that is true and we told Trustee Tippie to have Providence get back with us and we never heard anything. Trustee Michael stated that this is what happened and how it happened, this is nothing against Providence.

3 MINUTES OF: REGULAR MEETING Fire and Rescue 1. Collaborated meeting with Village of Swanton, Spencer Twp, Village of Whitehouse, Providence Twp. - Trustee Jim Irmen reported that he did have a great conversation with Providence Township Trustee Steve Perry after the meeting. Trustee Perry is as gracious as he could be and he understands that we are not bad mouthing or criticizing and we said at our meeting that we appreciate your service and we appreciate you being there for us when we need you. Trustee Perry stated that Providence Township will continue to be there for our residents when needed. Trustee Perry said that if you want to get together to talk about collaboration or a share district to give him a call. Trustee Perry suggested that maybe six months down the road to do that. This will be when we begin talks with the Village of Swanton. Trustee Irmen also reported that he talked to Village of Whitehouse Solicitor Phil Davis, he suggested that Whitehouse be allowed to get one quarter of runs in to collected run reports, run times, etc to provide a frame of reference to work with. Trustee Irmen, Trustee Jeff Michael, and Fiscal Officer Peggy Michael attended the Whitehouse Village Council Meeting and talked to each one of the Council persons, the Mayor, and the Administrator and thanked them for reestablishing this relationship with us. It was a very positive exchange. Trustee Irmen stated that he has not made contact with the Village of Swanton or Spencer Township as it may make more sense to establish something with Providence and Whitehouse first. Trustee Irmen restated that if the area can be shared between the departments at the same cost, that's something he will consider but if the cost is going to increase for sharing the area he thinks that we need to do a cost / benefit analysis. Fiscal Officer's Report Motion by Jeff Michael to approve the minutes of the December 14, 2010 Swanton Township Trustee Regular meeting. Seconded by Jim Irmen. Roll Call: Jeff Michael, yes; Jim Irmen, yes; Dennis Tippie, no. Motion Carried. Resolution Fiscal Officer Peggy Michael entered the correspondence into the Record. Fiscal Officer Peggy Michael told the Trustees that we received a letter indicating that the grant for the Fulton-Lucas Road project was approved. Zoning Inspector Report 1. Zoning Inspector Dave Smithers submitted a written report. See attached. 2. Zoning Inspector Dave Smithers reported that he received a call from Resident Randy Sparks asking if they could bury the cinder blocks in the foundation. The Trustees agreed that this is acceptable. 3

4 Road Superintendent Report SWANTQN TOWNSHIP MINUTES OF; REGULAR MEETING 1. Road Superintendent Ken Biller submitted a written report of work accomplished and work planned to the Trustees. See attached reports. Cemetery Sexton Report 1. Cemetery Sexton Ken Biller submitted a written Cemetery Report. See attached. 2. Cemetery Sexton Ken Biller reported two cremations. 3. Cemetery Sexton Ken Biller reported no plot purchases. Old Business 1. Prepared letter with annexation issues facing some residents of Swanton Township - Trustee Jim Irmen reported that he completed the letters and they are ready for the Trustee's signatures. 2. Airport JEDD (set potential meeting dates and logistics for a meeting with the City of Toledo and Monclova Township) - Trustee Jeff Michael gave an updated report on the JEDD. Trustee Michael will work with Monclova Township to establish a date for this meeting. 3. WebSite a. Submitted invoice from current web master Trustee Jim Irmen stated that under all the circumstances he is inclined to pay Alice because Trustee Irmen believes there was probability more work performed than originally contemplated. Trustee Irmen stated that he recognizes the various communication issues. Trustee Jeff Michael said that he agrees that she was asked to do additional work and deserves payment for it. Trustee Michael stated that he questions how it got to this point but believes she should get paid for the work she has done.

5 MINUTES OF: REGULAR MEETING HELD; DECEMBER 27, 2010 b. Quotes for web hosting services for 2011 Trustee Dennis Tippie said that he did not get a formal quote from Alice and it sounds like she's not real interested in hosting it unless there are some circumstances but she didn't say what the circumstances were. Trustee Tippie said that he believes that Trustee Jeff Michael had someone contact him. Trustee Michael said that someone contacted him but when Trustee Tippie asked for bid specifications he was not interested in bidding a job that will cost around $1, because we would then be bidding everything like tools and everything. Trustee Michael indicated that it was just a contact with nothing concrete. Trustee Michael said that Alice did send him the quote for 2011 but she sent an with some conditions. Trustee Michael read the from Alice: "I am sending the invoice for next year to you as I am requesting that I no longer work with Dennis. I have two conditions for submitting this invoice. One to be paid for the work Dennis had me do and to have Jeff Michaels as my contact. I feel that I cannot provide support if I have to work with Dennis. If working for the township requires I work with him then please do not consider me for next year. I am requesting that Dennis no longer me or phone me. I prefer to have no contact what so ever with Dennis. Thanks, Alice Snyder Webmaster-Technician" Trustee Tippie stated that thought he had a good working relationship with Alice. Trustee Michael stated that he will work with the premise that there will not be any additions or changes to the website unless we discuss them in a public meeting and agreed upon by a majority of trustees. No single trustee should ever take it upon himself to add anything to the website. I will not instruct the webmaster to add anything to the website that has not been discussed by the entire board of trustees. Any contact with the webmaster by will be copied to the entire board so that all may see what is being added. Motion by Jeff Michael to pay Warrant Numbers through 21403, Withholding Voucher W00031, and sign the payment register report. Seconded by Jim Irmen. 6 MINUTES OF; REGULAR MEETING 4. Old Tandem Axle Trailer - Trustee Jeff Michael stated that the Fiscal Officer was contacted by a resident indicating that a resident would like to buy the trailer. Trustee Dennis Tippie said that we cannot just sell the trailer outright; it has to go to bid. Trustee Michael said that's incorrect, the Ohio Revised Code specifies that anything with a fair market value of less than $2, can be sold without advertisement or public notification. Trustee Jim Irmen stated that he would like to put an ad in the paper for a reasonable period of time. Trustee Dennis Tippie said that he has been working on getting it on govdeals.com and that he has been a little lax with other things going on right now. Fiscal Officer Peggy Michael will work with Road Superintendent Ken Biller to put an ad in the paper listing it "as is" and for $ or best offer. The ad will run one time. New Business 1. Body repair for!/2 ton pickup - Road Superintendent Ken Biller submitted three quotes to the Trustees. The quotes were Sampsefs Body Shop for $2, , Dave Giest Bodyshop for $1,166.99, and Flecks Collision for $1, The Trustees discussed the quotes and agreed to go with Dave Giest Bodyshop as they are familiar with their work. Announcements from the Trustees Trustee Dennis Tippie announced that the Trustee Organizational Meeting will be next. Immediately following the Organizational Meeting, the Fiscal Officer and Chairman will hold the annual 2010 Records Commission Meeting as required by the Ohio Revised Code.
