1 8 March 2013 EHG CORPORATION TO ACQUIRE MINERAL LICENCES HIGHLIGHTS Agreement executed to acquire sub-licence to mine, process, extract and sell all minerals from the North Hwanghae province Democratic People s Republic of Korea (DPRK), including gold, silver, lead and copper. Currently the Kumwha Mine produces an average of 30,000t of concentrate (10.3 wt % Cu, 9.15wt% Pb, 253 ppm Ag and 6.53 ppm Au) per year. Excellent exploration potential with the project potential open-ended in various directions. Uncomplicated metallurgy Project Summary The Kumwha Poly-metallic deposit, and the surrounding Holdong, Obong/Suan and Daedok Deposits could be seen as a large mining operation category, and can be compared with other skarn-related gold-copper deposits (similar to examples like Browns Creek, Big Cadia, Red Dome (copper-gold skarn), magnetite skarn (Junction Reefs), and Ban Ban (zinc-leadcopper skarn)) in Australia. EHG Corporation Limited (EHG) has signed a binding term sheet with EG Mining Pte Limited (EG), a Singapore based Company. 2 EHG CORPORATION LIMITED 2 Corporation, a legal entity registered number 694 dated July 15, 2009, in DPRK, and TTS Resources Limited, a company with registration number incorporated in British Virgin Islands. The joint venture has approval by the DPRK Government to mine, process, extract and sell all minerals in the North Hwanghae Province of the DPRK. Several visits to the Democratic People s Republic of Korea ( DPRK ) and field investigations of the Kumwha, Holdong, Obong/Suan and Daegok Poly-metallic Deposits ( Project ) were performed by Dr Louis W. Schurmann, a proposed director of EHG.

3 EHG CORPORATION LIMITED 3 Agreement Terms 1) Acquisition Pursuant to the agreement EHG will acquire the licensee s interest in the North Hwanghae Province projects, described above, by the issue of new shares in EHG. The precise terms are still under negotiation, but it will be sufficient fully paid ordinary shares, such that the market valuation of EHG is not less than $5 million at the time ASX grants re-quotation status to EHG shares. 2) Conditions precedent Completion of the acquisition is conditional upon the satisfaction (or waiver) of the following conditions precedent. a) Completion of due diligence by EHG on EG s business and operations, to the satisfaction of EHG b) The Shareholders of EHG approving the purchase by EHG of 100% of the EG license in a general meeting, including: i) A resolution authorising the allotment and issue of the Consideration Shares and any Performance Shares to the Vendors in accordance with the ASX listing rules and the Corporations Act; ii) iii) A resolution to complete a consolidation of EHGs issued share capital, if necessary and The appointment of additional directors to the board of directors to EHG, as nominated by EG. 3) ASX Listing Rules and ASIC EHG will be required by ASX to re comply with Chapters 1 and 2 of the ASX listing rules. EGH must also receive all necessary approvals from ASX and ASIC to complete the Acquisition including: a) lodging a full form prospectus with ASIC; and b) raising a minimum of $5,000,000 under a prospectus. Competent Person Salva Resources Pty Ltd ( Salva ) is an independent advisory company. Its consultants have extensive experience in preparing technical and economic advisors and valuation reports for mining and exploration companies. Neither Salva nor its staff have any interest capable of affecting its ability to give an unbiased opinion, and will not receive any pecuniary or other benefits in connection with its assignment, other than normal consulting fees. Schurmann (Principal Metals Geologist): PhD (Economic Geology), Pr. Sci. Nat /91, FSEG Reg. No , FAusIMM Reg. No Dr Louis W. Schurmann, a competent and experienced exploration geologist and project manager for 28 years, is one of the moving spirits behind Platreef Resources (Pty) Ltd, Ivanhoe Nickel & Platinum (SA) Ltd, Rhino Plat (Pty) Ltd and Norange Geoconsultants (Pty) Ltd that had set the agenda for restructuring of junior exploration companies in South Africa, Zambia and the Democratic Republic of Congo (DRC). Seasoned, energetic and active with excellent operations management experience. He is an astute researcher and explorationist on the Bushveld Complex with special reference to mineralisation related to Achaean and Proterozoic geological terrains. He is deemed a Competent Person in commodities such as Gold, Platinum Group Metals, Ferrous and Non-Ferrous Metals, Rare- Earths and Industrial Minerals and has been the vanguard of several operations and discoveries, creating an enabling environment for investment. Corporate Advisor EG has engaged Dayton Way Financial Pty Ltd to provide corporate advisory services in relation to the proposed change of nature and scale and their compliance with Chapters 1 and 2 of the ASX Listing Rules. Change of Activities As the proposed acquisition of EG constitutes a change in the nature and scale of the Company s activities, EHG is required, pursuant to Listing Rule 11 of the ASX Listing Rules, to obtain approval from EHG s shareholders at a general meeting and re-comply with ASX Listing Rules 1 and 2. The indicative timetable to achieve this is set out below. If the transaction is approved by EHG s shareholders, the Company s securities will remain suspended from trading following the general meeting until the requirements of Chapters 1 and 2 of the Listing Rules have been satisfied. Further information regarding the acquisition and the changes of activities will be available in the notice of meeting convening the general meeting, to be dispatched to shareholders in due course.
