4 O2 Commercials - Q&A Please see below an explanation of each key area of payment. If you have any further questions please do not hesitate to contact our commissions team on , commissions@chesspartner.co.uk alternatively we will be happy to hold a skype call with you to discuss the commission. Section 1- Revenue Share Q. Is there a default payment option? A. Yes Option 1 will be the default payment option. Q. Can I change from option 1 as my default payment option? A. Yes, If you wish to change options you can do so at any time by ing commissions@chesspartner.co.uk Q. Can I change the payment option on any order prior to it being processed? A. Yes you can, by ing commissions@chesspartner.co.uk and confirming what option you wish to change to and letting them know the order detail. Q. If I want to change my payment option on any orders do I need to let the Commissions team know when this deal has been processed? A. Yes, once Partner Support have confirmed the deal has been activated please commissions@chesspartner.co.uk within the same working day quoting the BS/AT reference number. Q. What happens if I the Commissions team after the day of activation? A. Unfortunately you will not be able to change payment options post confirmation. Q. Is there a limit to how often I can change my payment option? A. No, as long as you notify us in writing by ing commissions@chesspartner.co.uk prior to any order being completed. Q. Will the new revenue share options be paid on line rental and overspend? A. Yes, all line rental and overspend will be payable at your new revenue share option. Q. Will the new commercials change my international revenue share payments? A. No, there are no changes to international revenue share. Q What are the clawback rules if I downgrade a tariff at anytime? A A clawback will be reclaimed for any advance period on the remaining term at the relevant revenue share rate. Q What happens if a Connection is disconnected within 120 days? A All revenue share and bonuses paid will be subject to full clawback. Q Will I receive a Revenue Share Advance for Mobile Broadband and Sim only connections? A All Mobile Broadband and Sim only connections will default to Option 3 and can only be changed by ing commissions@chesspartner.co.uk on the same day connections are connected quoting the BS/AT reference. Q What happens if I change tariff midterm from Voice to either MBB or Sim Only? A Upon changing your tariff your revenue share % will change to the rate associated to the new plan, as per Talking Commissions Q If I change tariff midterm from Voice to either MBB or Sim Only will this affect the revenue share paid to me on the previous plan? A Yes, as there is a change in revenue share % we will make an adjustment and reclaim the revenue share difference against the original connection record. Q How far back can I query missing commissions? A Any query over 6 months old will not be accepted. NB All mobile broadband & sim only connections will not count towards or receive a connection bonus however they will be paid a chosen revenue share option as outlined in section 1 page 7. 9

5 O2 Commercials - Q&A Section 2 New Connection & Bonus Digital receive Bonus up receive to 75% up revenue to 71% share revenue share Q. How will New Voice Connection revenue share bonus be calculated? A. We have introduced line rental bandings per connection. Bonuses are calculated according to the line rental and bolt on s attributed to each individual New Voice Connection at point of connection. Q. If I achieve a higher banding when will I be paid the additional revenue share? A. All revenue share options will be paid at band 1 throughout the quarter, then a reconciliation payment will be made at the end of the quarter. Q. When will the reconciliation payment be made? A. This will be paid on the first self-bill of the following month after the end of the quarter i.e. April, May, June will be paid on the second Thursday in July. Q. Will revenue share be paid in full on the New Voice Connection bonus including overspend? A. Yes, all the New Voice Connection bonus revenue share payments will be paid upon line rental and overspend for the full duration of the contract. Q. Will the connnection bonus be paid on a legacy tariff? A. Connections onto a tariff not listed in Talking Shop will not be paid a connection bonus. NB All mobile broadband & sim only connections will not count towards or receive a connection bonus however they will be paid a chosen revenue share option as outlined in section 1 page 7. Section 3 Re-Signs receive up to 55% revenue share Q. How will I know if my re-signs qualify for revenue share enhancement? A. Any existing re-sign on your base that has less than 12 months remaining and is adding a minimum of 21 months or more will qualify for the revenue share enhancement. Q. What contract term do I state on my re-sign request to Partner Support team? A. The total of the new contract term required plus the current remaining contract term. See full explanation on page 8 section 3. Q. Can I still process any re-sign, without adding 21 months minimum term? A. Yes, and you will be paid at your chosen payment revenue share option % rate without the enhanced % shown in page 8 Section 3. Q. Will the revenue share enhancement be paid on a legacy tariff? A. Connections onto a tariff not listed in Talking Shop will not be paid a revenue share enhancement. NB All mobile broadband & sim only re-signs will not be eligible for enhanced revenue share and will be paid as per chosen option in section 1 on page 7. 10

6 O2 Commercials - Q&A Section 4 Digital Revenue Share & Bonus Receive an additional 20 for every new digital sale Q. When will I receive the 20 payment? A. Payment will be made on the first self-bill at the beginning of each quarter. Q. Will I be paid revenue share on digital sales? A. Full revenue share will be paid monthly, for full details on revenue share see page 8. Q. Is the 20 bonus payable when I attach a digital product of greater than 2.50 per month to any O2 mobile number? A. No, the bonus is only payable when attached to any mobile voice connection on your O2 base. Q. Will the digital clawback affect all my O2 new voice connections? A. No, it will only affect the O2 new voice connections that were paid with a digital attachment. Q. Will I be paid a digital bonus if I have had digital disconnections in the quarter? A. A digital bonus will only be paid if your digital base is net positive in the quarter. Q. What happens if my digital connection disconnects within 12 months? A. A clawback of the digital bonus payment will be made if the digital product/s are disconnected within 12 months from the activation date. Section 5 Customer Excellence Award Q. Where can I find my data to cleanse for CSI? A. Every quarter we will post your data onto the Cloud Portal. Please go to Commissions section and download your file. Q. Where do I send my cleansed data? A. Please to nahelkhona@chesspartner.co.uk Q. Where can I find the results of my quarterly CSI results for both performances? A. We will provide you with your CSI results and responses for both performances, post survey completion, via . Q. How will the scoring be calculated? A. Questions 1-3 are in relation to O2. This will create an average score for your O2 performance. Questions 4 & 5 are in relation to you, the partner. This will create an average score for your Partner performance. Q. If my O2 performance is between 66% and 74% what will this result in? A. A quarterly O2 score between 66% and 74% will result in no payment or deduction. Q. If my Partner performance is between 71% and 79% what will this result in? A. A quarterly Partner score between 71% and 79% will result in no payment or deduction. Q. When will the payment/deduction be made for both performances? A. On the next self-bill following the finalised quarter s results. Q. If I achieve <8% O2 Churn but <65% CSI will I still receive a deduction? A. Yes, the deduction is based purely against the performance of O2 CSI. 11
