3 2. FOCUS Executive Summary Fund Overview Founded in 2018, Hyperblock Capital (HBC) is a digital asset management fund. We re based in Porto, with offices in Stockholm, Singapore and London. What is Token Fund objective? Hyperblock Capital aims to build the future by supporting and investing in decentralized applications and protocols. What is Hyperblock Capital token fund? What assets will fund hold? Hyperblock Capital is an actively managed, tokenized cryptocurrency portfolio that is composed solely of investments within cryptocurrency projects. The portfolio is of a hybrid type and will trade with an index strategy. The entirety of the Token Generation Event (TGE) funding will be used to buy the underlying cryptocurrency assets, participating in ICOs and seed investments in blockchain projects. The Hyperblock Capital tokens (HBC Tokens) are directly tied the underlying assets with a novel liquidation option that can be exercised via the smart contract. This ensures a lower price bound. HBC tokens offers instant diversification into exclusive deals through our network. Combined with a strategy of investing in top cryptocurrency assets by holding a single token, gives the HBC its unique characteristics. The funds tokens will be tradable on exchange post- TGE, no further tokens will be issued after the TGE.

4 2. FOCUS Executive Summary Consideration before Participating in Fund Investment in HBC should be considered a long-term investment. The value of units may go down as well as up, and is therefore not guaranteed. Past performance is not necessarily an indication of future performance. No further tokens will be issued post-tge but tokens may still be purchased from TGE participants on an exchange. Portfolio Characteristics & Risks Hyperblock Capital is a hybrid investment-fund focused on ICO investments, seed funding and additional short-term trading strategies in top cryptocurrencies by market capitalization. Assets are capped at a maximum weighting of 30% - this prevents any asset from dominating the portfolio, whether it be Bitcoin now or another cryptocurrency in the future. How are tokens priced and executed? Token pricing for the pre-sale and TGE are available in the fund s terms section. Tokens acquired on secondary markets such as exchanges post-tgo will be valued by market demand. A liquidation function exists in the smart contract. This will liquidate a token for the token s share of the underlying assets. The liquidation price will be updated on a monthly basis. Hyperblock Capital has a combination of parameters that ensures broad market exposure and acceptable turnover without allowing a single asset, and thus single source of risk, to dominate. Index hyper-parameters for the portfolio were carefully determined via a structured data science approach. More detailed information is available in our investment light paper. Cryptocurrencies can be volatile investments and the risk of capital loss over the short term is high.

Hyperblock Capital specializes in cryptocurrency investment as we consider it to be one of the most important innovations since the invention of the internet. Bitcoin is well known by the larger public, which is not yet the case for most alternative cryptocurrencies. There is however a growing interest in this new technology, because of its benefit and utility over current legacy systems. Who should consider participating? 1. Investors who are building wealth with risk management included, and who are comfortable with full exposure to cryptocurrencies 2. The Fund has a finite lifespan that is likely to be twenty four to thirty six months at which time all fund assets will be liquidated into ETH. HBC Token intends to announce the final value of assets at the conclusion of the Fund in at least three public channels that may include our website, community Slack channels, and quarterly performance reports. The Fund plans to provide a thirty day written notice of the fund liquidation date. On that date, the Fund will liquidate the value of the underlying fund holdings, and store them in a secure wallet. HBC token holders will then be able to redeem their tokens for the commensurate value of the tokens worth in the Fund.

21 Terms Performance Fee The total reserve set aside to manage the Fund is 3.0 million Euro and will cover legal fees, administrative costs, token offering costs, development, external security audits, and general marketing expenses. These funds will not go towards team s salaries, nor will they be invested in the Fund s assets. In addition to the management fee, the fund will create and hold 0.15 tokens for every token sold as a performance fee to align incentives on fund performance. No additional fees are taken by HBC after launch which can result in lower overall fees over the lifetime of the fund. While traditional funds typically charge an annual management fee of 2% plus an additional 20% based on performance to cover administrative and overhead costs, HBC Token will cover all cost with a single upfront fee. When compared to two-and-twenty, this model results in larger fees being paid at the time of fund inception, but potentially lower overall fees and higher overall value for investors over the life of a fund as HBC does no collect fees on any potential gains the fund will realize. Upfront fees can be more favorable for investors over the long run because they are only charged on initial investments while two-and-twenty fees are charged annually and take a percentage of the initial investment plus any gains made along the way. The passive nature of the fund coupled with efficiencies from using blockchain allows HBC to calculate and collect the full cost of the fund up front. HBC will set aside and reserve funds from all three token sale rounds to cover administrative and management costs throughout the lifetime of the Fund.

23 Fund Mechanics The Fund will be represented by a fixed number of HBC tokens, each of which represents a proportional ownership of the underlying assets of the Fund. After the initial investments are collected for the Fund, HBCF smart contract will distribute HBC tokens to each investor in an amount that represents their fractional ownership of the Fund. 25 Organizational Overview Fund Type HBC will be established under the Maltesian Islands jurisdiction. With the just passed Virtual Financial Assets Bill, Malta is a popular international jurisdiction for the incorporation of crypto investment vehicles and companies. The Maltesian jurisdiction has seen a strong increase in DLT projects, ICOs and equity funds. The Alternative would be a set up through an LLC as and flexible structure ideally suited for use as a closed-end investment vehicle. In particular, one which seeks investment during a capital raising period (in our case, the ICO) and draws down periodically in order to fund investment opportunities and operating costs when they arise. 26 Closing Remarks Conclusion Blockchain technology has unlocked technological capabilities and vast amounts of wealth over a short period of time.
