Pursuant to Section 1502 of the Dodd-Frank Wall Street Reform and Consumer rotection Conflict Act relating Minerals to the use of Conflict Reporting Minerals, The U.S. Securities and Exchange Commision (SEC) has adopted a new form and rule. The language in the bill requires companies that use tin, tungsten, tantalum, or gold in their products or production of their product and report to the US Securities and Exchange Commission to file an annual disclosure report with the Securities and Exchange Commission detailing whether these materials originated in the Congo or its adjoining countries. The bill requires companies to audit these reports to assure whether they are sourcing from conflict mines or not.

2 Context The first date for Conflict Minerals reporting is now set for May 31, 2014 for calendar year The Securities and Exchange Commission (SEC) has adopted a new form and rule pursuant to Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act relating to the use of Conflict Minerals. Under the final rule, issuers are required to file for the previous calendar year regardless of when their fiscal year ends. Companies will need to file their first disclosure report on May 31, 2014 (for the 2013 calendar year) and annually on May 31 every year thereafter. Many companies are cascading requests through the supply chain now, asking suppliers to: Determine what components use Conflict Minerals or their derivatives. Work with suppliers to map supply chains of those components. Require suppliers to identify smelters used or verify that the origin of Conflict Minerals is scrap or recycled material. Solution description The Conflict Minerals Declaration (CMD) Manager within the CDX system helps to meet your reporting requirements. Based on the Dodd-Frank Wall Street Reform and Consumer Protection Act requirements, the CDX CMD Manager assists in the declaration process and roll up of information received from supplier companies. As finalized rulings are communicated, this module may change. In order to create a Conflict Minerals Declaration smelters have additional company registration and maintenance options related to location of mines for Conflict Minerals. CDX is a service that is centrally operated and supported by HP. CDX allows for standardized creation and exchange of Material Data Sheets (product structures) throughout the supply chain. The service consists of a central database, a software application and user interface to make use of the data, as well as a substance and material service, a service centre and training though our partners. As the core of the service is web-based, no investment in additional software is necessary. The user interface is provided in several languages although English is the agreed upon

3 language for data entry. CDX operates 24/7, and is supported by HP s global delivery teams and service centres which ensure the maximum availability and usability of systems, processes and data. 4 Scope Based on fee-for-service, HP provides with the Conflict Minerals Declaration Manager a web-based service within the CDX system to assist you in creating Conflict Minerals Reports. The service includes: Centralized database and web-based application Backup and security Help Desk Network of partners that can provide training and consulting on a fee-for-service basis Prerequisites No prerequisites other than a sufficient internet access and a current browser (IE, Firefox). Integration into your in-house systems and processes requires investment in an integration project. Duration Initial set up of your account to use the CMD Manager within the CDX system can be as quick as a few days, depending on your company s policies with web based applications. Should you wish to integrate data into your in-house systems, duration is dependent on the depth and technical complexity of your organization.
