8 Talking Simply about Shares Listed companies pay both initial listing fees and annual fees. In return, their SHARES are bought and sold on the JSE based on rules set by the Jamaica Stock Exchange and approved by the Financial Services Commission (FSC). WHAT IS A SHARE? A share is a unit of ownership interest in a company. When you buy or receive shares in a company, you become a part owner of that company. This is known as having equity in that company. The more shares you have in relation to the total number of shares issued by the company, the more of the company you own. For example, if a company issued 0,000 shares and you own 00 shares, then you are.0% owner. People who own shares in a company are referred to collectively as shareholders or stockholders. ARE THERE DIFFERENT TYPES OF SHARES? Yes, there are two basic kinds of shares: A. Ordinary Shares- Also known as common stock. As part of the percentage ownership described earlier the ordinary shareholder or common stockholder usually has four basic rights in proportion to the number of shares owned: i. The right to receive dividends if and when these are declared by the Board of Directors. It is possible that the shareholders may not receive any dividends if the company performs poorly. ii. The right to vote at meetings of the shareholders. 6

9 iii. iv. The right to claim a portion of the company's undivided assets, if the company is liquidated. The right to subscribe to additional stock or share offerings before they are made available to the general public. This is known as pre-emptive right. A company may also be authorized to issue more than one class of common stock or shares, some of which may not have voting rights. (Not all companies have this provision) B. Preference Shares - Also called 'preferred shares or stocks. The holders of these shares have certain rights and privileges over ordinary shareholders. There are different classes of preferred shares, which confer different rights. The most common types give the preferred shareholder: i. ii. iii. The right to receive dividends at a fixed rate prior to payment of dividends to ordinary shareholders. The first right of payment should the company go bankrupt or be dissolved. Ordinarily no voting rights. 7

10 WHAT ARE THE BENEFITS OF OWNING SHARES? There are three main benefits of share ownership. 2. The shareholder benefits from the growth in the value of his or her shares over time. That is, over time the shares can be worth more than was paid for them. This is known as 'Price Appreciation'. The shareholder can receive income through dividends declared from time to time and paid by the company's directors. 3. The shareholder gets the opportunity to participate in the continuing development of the companies in which they invest. The involvement of shareholders helps the companies and strengthens the economy. WHAT IS A DIVIDEND AND HOW IS IT DETERMINED? A dividend is a proportionate distribution of earnings (profits) of a company to its shareholders. With common (ordinary) shares or stocks, the rate of the dividend varies with the company's performance and the amount of cash on hand. With common shares the Board of Directors of the company decides the amount of the dividend to be paid out. They may also decide to hold back some of the profits to expand the company's operation. With preferred stocks or shares, the rate can be fixed or variable. Dividends can be paid quarterly, half yearly or once per year. WHY DO COMPANIES ISSUE SHARES? The main reason companies issue shares is to raise capital or money. A company may need start-up capital, to repay debts or to expand. A company may also want to widen its ownership base. When you buy shares you enable the company to carry on business using your money. 8

11 The number of shares which a company is authorized to issue is set out in its Articles of Incorporation and can only be increased with the consent of shareholders in a General Meeting. WHY DO PEOPLE BUY SHARES? People buy shares for different reasons. However, the principal reason is to get the best returns on their investments, whether over the long or short term. The hope is someday the stock you bought will be worth more than the amount you paid for them and that people will offer you more money to buy them from you. It is wise to regard shares as long-term investments. WHAT ARE THE RISKS INVOLVED? Every investment has an element of risk and buying and selling shares is not an exception. Anyone who buys shares should be aware that, although the value of each share can go up, especially over the long term, the value can also go down. It depends among other things, on the performance of the company, the value that investors in general place on owning that company's shares and on general economic conditions within the country. 9

12 WHAT ARE SOME OF THE THINGS I SHOULD DO BEFORE AND AFTER I BUY SHARES? No one can guarantee success in the market. However, the possibility of success can be improved if, before investing in shares, you: a. Collect and study as much information as possible about the company in which you intend to invest. b. c. d. e. Seek professional investment advice from a broker or other qualified persons. Learn how to read and understand the basic financial statements and reports which the companies listed on the Stock Exchange are required to publish. Develop the habit of reading and understanding financial publications. After buying shares, monitor and track your investments by maintaining a daily record of advances or declines in the stock value. WHERE CAN I BUY SHARES? Contact a stock broker (JSE Member/Dealer). This is a person whose business it is to buy and sell shares at one of t h e b r o k e r a g e f i r m s authorized by the Financial Services Commission and the Jamaica Stock Exchange to operate in Jamaica. You can visit or telephone the broker, informing him/her which shares and how many you wish to purchase. Your broker is your link with the market. He or she will buy or sell according to your orders. 0

13 HOW DO I BUY OR SELL SHARES? Contact your broker and advise him or her to buy or sell shares on your behalf. Give him or her clear instructions, whether orally or in writing. The buying/selling process begins when you place the order with your stockbroker (member/dealer) for a specified number of shares in a company. There are three types of orders that you can place: a. b. c. A market order - asks your broker to buy or sell stocks at the market price. A limit order- sets the price at which you want stocks to be bought or sold. A stop order- gives an approximate buying or selling price of stock. When the approximate price is reached the stock order becomes a market order. HOW DO I PAY? You will receive a contract note that states the company whose stock you have bought or sold, the price paid or received, the commission and other fees and the settlement date. You should pay your bill by the settlement date.

14 HOW MUCH DO I HAVE TO EARN TO BUY SHARES? A person from any income level, who has some amount of surplus funds available no matter how small, may decide to invest in the stock market. A principal rule is never to invest any money you will need to pay your bills and other immediate living expenses. You will need to keep the money you need for your living expenses in a more liquid or immediately available manner. WHAT IS A BONUS ISSUE? This is the process whereby money from a company's reserves is converted into share capital, which is then distributed to shareholders in proportion to their existing holdings. A bonus issue is also known as a script or capitalization issue. WHAT IS A STOCK SPLIT? This is the division of the existing shares of a company into larger number of shares, without changing the capitalization of the company. Each new stock will now be worth less depending on the ratio of the split. For example, if a stock with a market value of $0.00 splits for 4 to, each new stock will be worth one fourth of the previous price, that is $2.50. Each shareholder would get four shares for every one they owned previously. And, if the company had, let's say one million shares outstanding before the split, it would now have four million shares outstanding and worth the same dollar amount of the one million shares. 2

15 Usually, the rationale for stock split is that the lower priced stock might make the company more attractive to investors. WHAT IS THE RECORD DATE? It is the date by which a shareholder must be officially recorded on the company's share register in order to be entitled to a dividend, bonus, right or other distribution. WHAT IS A BOND? A bond is an interest bearing government or corporate debt security. It is a loan from the purchaser to the issuer which obligates the issuer to pay the bondholder a fixed interest at specific intervals and to repay the principal upon maturity. A bond issued by a company has no corporate ownership privileges as in the case of shares. 3

17 STOCK MARKET REVIEW FOR 204 Economic Overview After arriving at an agreement with the International Monetary Fund in May 203 by way of an Extended Fund Facility, the government of Jamaica has so far passed six consecutive quarterly IMF tests. This is in light of the major challenges of high crime, high unemployment, underemployment and a high debt-to-gdp ratio. Meanwhile, data from STATIN revealed that the Jamaican economy declined by.4% in the third quarter of 204. This follows growth of.8% in the second quarter of 204. The decline in the economy in the third quarter was due to the 7.8% falloff in output in the goods producing industries. The services industries on the other hand grew marginally by 0.7%. The net international reserves (NIR) at the end of December 204 amounted to US$2,00.97 million. This represents an increase of US$954.4 million on the US$, million reported in December 203. As at December 3, 204 the rate of exchange for the USD was J$4.6607:US$.00. This represents a rate of depreciation of 7.79% for the year. This movement was much smaller than the 4.4% seen in 203 and in line with the rate of depreciation of 7.36% in 202. For the calendar year 204 the rate of inflation was 6.4%. This compares to 9.7% in 203 and 8.0% in 202. The average yields on Treasury Bills for December 204 were 6.38%, 6.96% and 7.4% for the 28 days, 9 days and 82 days auctions respectively. These compare to average yields of 6.25%, 7.53% and 8.25% in December 203 on the 28 days, 90 days and 82 days instruments respectively. Meanwhile the rate offered on Bank of Jamaica Certificates of Deposit remained unchanged throughout 204 at 5.75%. The labour force data for October 204 revealed an unemployment rate of 4.2% compared to 4.9% in October

18 At the end of the year 204, the Main JSE index declined by 5.3% or 4,280.6 points to close at 76, points. The JSE Cross Listed Index and the JSE Combined Index declined by 20.85% (54.38 points) and 5.68% (4,7.50 points) to close at points and 78, points respectively. On the other hand, the JSE All Jamaican Composite Index and the JSE Select Index advanced by 2.73% (2, points) and 2.03% (44.0 points) to close at 84, points and 2, points respectively. The JSE Junior Market Index declined by 9.22% (69.90 points) to close at points. The JSE USD Equities Market Index advanced at the end of 204 by 45.76% (42.49 points) to close at points. 21 Trading Activity Main Market For the year 204 the total value of ordinary and block trades amounted to $2.807 billion. This reflects a 9.84% decline relative to the $5.978 billion recorded in 203. Market volume including block trades amounted to 2,2,337,65 up 5.70% when compared to the,833,462,943 units recorded in 203. The number of ordinary and block trades declined to 6,073 coming from 8,284 in 203. Market capitalisation in the regular market at the end of 204 amounted to billion compared to $ billion at the end of 203. This represents a decline of $95.34 billion for the year. The large decline was primarily due to the delisting of FirstCaribbean International Bank Limited with a market capitalisation of $07.7 billion and Guardian Holdings Limited with a market capitalisation of $62 billion at the time of delisting. Market volume (excluding blocks) for the year 204 amounted to 2,7,762,050 units. This represents an improvement on the,386,439,386 units recorded in 203. Ordinary transactions (excluding blocks) stood at 6,062 relative to 8,264 in 203. The value of trades (excluding blocks) in 204 amounted to $2.788 billion compared to $4.207 billion in 203. This reflects a decline of 9.99% or $.49 billion versus the previous year. There were block trades in 204 versus 20 block trades in 203. Market volume in the block market amounted to 3,575,5 units in 204 relative to 447,023,557 units in 203, reflecting a decline of million units. The value of value of the block trades in 204 amounted to $9.57 million. This compares to $.77 billion in 203. As it relates to monthly market activity in 204, the month of March saw the largest number of transactions with,676 transactions. In contrast, the month of October saw the lowest number of transactions with,007 transactions. Market volume was at its highest in the month of September with 565,005,329 units changing hands. On the other hand, the month of December recorded the lowest market volume with 49,356,732 units changing hands. In terms of the value of trades, the month of September recorded the largest value of trades with $3.70 billion. In contrast, the month of August recorded the lowest value of trades of $ million. The top three advancers for the year were LIME, up 200% to close at $0.48, Kingston Properties Limited up 66.67% to close at $7.50 and Ciboney Group Limited up 40.00% to close at $0.07. On the other hand, the main decliners were Pulse Investments Limited down 59.77% to close 9

The value leader for the year was Kingston Wharves Limited with $3.073 billion. The volume leader for the year was LIME with 732,637,97 units traded during the year. During the year, trading occurred in 42 stocks of which 3 advanced, 2 declined and 8 traded firm. As it relates to ordinary shares, 3 ordinary shares traded of which advanced 8 declined and 2 traded firm. Market volume increased to 592,044,500 units in 204 relative to 477,733,468 units in 203. Market value also increased to 2 billion, up 44.5% or $66.94 million on the $.385 billion recorded in 203. Similar to the previous year, there were no block transactions in the Junior Market in 204. Market capitalisation at the end of 203 amounted to billion, down $.29 billion versus the $27.39 billion in 203. Access Financial Services Limited was the value leader with $.240 billion traded. Access Financial Services Limited was the volume leader with 37,504,969 units traded. Trading Activity: US Dollar Equities Market The USD Equities Market Index closed 204 at points. This represents an increase of 45.76% compared to points at the end of 203. The USD Equities Market saw the listing of Margaritaville (Turks) Limited in April 204. Market volume amounted to 24,53,604 units compared to 52,073,750 units in 203. Market value declined by 25.40% to US$4.30 million when compared to US$5.768 million in 203. The number of trades, on the other hand, increased to 269 in 204 from 242 in the previous year. Market capitalization at the end of 204 amounted to US$76.58 million compared to US$38.34 million at the end of 203. 78 History and Development The JSE e-campus was launched in 200 under the visionary prowess of the Jamaica Stock Exchange Group with an objective to address the vital need of continuing professional education for the Financial Services Industry and beyond. The JSE e-campus offers key training via our e-learning platform which allows students the flexibility of attending courses online. However, through our blended learning programme students also get the opportunity to interact with lecturers and tutors during lively face-to-face sessions. Streaming access is also granted to participants who are unable to physically attend the face-to-face sessions. Mission J S E Jamaica Stock Exchange e-campus About The Jamaica Stock Exchange (JSE) e-campus The mission of the JSE e-campus is to provide high quality continuing professional education for the financial services industry in Jamaica and the Caribbean, through e-learning facilities. Products and Services (Training and Education) The JSE e-campus offers a Post-Graduate Diploma in Financial Services Management which comprises fourteen (4) courses in three (3) Modules with each course being taught by reputable lecturers within the field. Each of these courses may also be completed as a short-term Post-Graduate Certificate course at either of two levels; Certificate of Completion or Certificate of Participation. The JSE e-campus offers short courses in critical areas for individuals operating within the sector and beyond. We are also able to provide live streaming access to the JSE's face-to-face workshops and seminars which cover critical areas such as Leadership Training and Pension Fund Management. The JSEe-Campus' programme and certificate courses are operating efficiently.to date we have trained over 200 students within the sector and beyond.we offer a comprehensive coverage of courses to individuals geared at improving financial literacy at the graduate and post graduate levels in Jamaica and throughout the Caribbean. The robustness of our e-learning platform allows other institutions to be able to offer their courses online via the e-campus. 76

79 Recent Accomplishments The JSE e-campus has been registered by the University Council of Jamaica (UCJ)as a tertiary institution to develop and deliver courses and programmes. What is the University Council of Jamaica (UCJ)? The University Council of Jamaica was established by an Act of Parliament in 987 as the national quality assurance body for tertiary education to ensure quality through the adoption and improvement of educational standards. The UCJ is a statutory body currently under the portfolio of the Minister of Education. The JSE e-campus Post-Graduate diploma programme has now been designated by the Financial Services Commission (FSC) of Jamaica as an approved course for securities dealers and advisors. The JSE e-campus is the first Caribbean organization from the financial sector to become a member of the prestigious Continuing Professional Development (CPD) Certification Service based in London, England. Our Post-Graduate Diploma Programme and Certificate courses have also been certified by the CPD Certification Service. What is the CPD Certification Service? The CPD Certification Service was founded in 996, as the leading independent accreditation provider offering services compatible with global CPD principles. The CPD Certification Service offers services across industry sectors to complement CPD policies of professional and academic institutions. In addition, our Post-Graduate Diploma course, Understanding and Interpreting Jamaica's Financial Regulations and Laws has been accredited by the General Legal Council of Jamaica for 8 CLPD credits. What is the General Legal Council (GLC)? The GLC is responsible for organizing legal education and upholding the standards of professional conduct.apart from maintaining the ethics of the legal profession to which all attorneys should adhere, the General Legal Council also plays an integral role in the admission of attorneys being enrolled to practice in the several courts in the Island of Jamaica.
