1 NEW LEADER CONFERENCE CHALLENGE 2018 OFFICIAL RULES SPONSORED BY: BEACHBODY, LLC IN THE UNITED STATES, BEACHBODY UK LTD. IN THE UNITED KINGDOM, AND TEAM BEACHBODY CANADA LP IN CANADA All prices and dollar amounts stated herein, such as registration fees, and reward and refund amounts, are in U.S. dollars unless expressly stated otherwise. For those residing in Canada and the United Kingdom, all prices will be charged at the U.S. dollar amount, which will be converted by your bank or card issuer to your local currency at the then-current exchange rate. Note: you may also incur foreign transaction fees. Please check with your bank or card issuer for more information. 1. Challenge Description: Team Beachbody invites all Qualified Coaches (as defined below) to earn Elite Points to be eligible to receive New Leader Conference Rewards (as each are defined below) towards the 2019 New Leader Conference ( New Leader Conference ) a oneand-a-half-day (1½ day) program designed to train and develop emerging Team Beachbody Coaches! These official rules ( Official Rules ) govern this New Leader Conference Challenge. Sponsored by: Beachbody, LLC in the United States, Beachbody UK Ltd. in the United Kingdom (as the promoter), and Team Beachbody Canada LP in Canada (collectively, Team Beachbody ). This New Leader Conference Challenge is not open to the general public. By participating in the New Leader Conference Challenge (including participating in the New Leader Conference itself), you expressly and unconditionally agree to these Official Rules, which are final and binding in all respects. The 2019 New Leader Conference is currently scheduled to take place February 8, 2019 through February 10, 2019 at the InterContinental Hotel in Downtown Los Angeles, California. Beachbody Headquarters tours are currently scheduled to take place on February 7, 2019, but events officially begin on February 8, PLEASE NOTE THAT ALL INFORMATION PROVIDED IN THESE OFFICIAL RULES, SUCH AS DATES, LOCATIONS, AND SCHEDULE INFORMATION IS SUBJECT TO CHANGE. Registration Information: If you receive a New Leader Conference Invitation (as defined below), please see below for information on how to register. As explained below, New Leader Conference Rewards (referring to both the New Leader Conference Invitation and the New Leader Hotel Conference Rewards) are based on rank qualifications and Elite Points. For information on how to earn Elite Points, please see the Team Beachbody Elite Challenge 2018 Official Rules ( Elite Challenge Rules ) available through the Coach Online Office. 2. Challenge Period: The Team Beachbody New Leader Conference Challenge 2018 ( New Leader Conference Challenge ) begins on January 1, 2018 at 12:00 AM Eastern Time ( ET ), and ends on December 31, 2018 at 11:59:59 PM ET ( New Leader Conference Challenge Period ). Team Beachbody s computer is the official time-keeping device for the New Leader Conference Challenge Period. 1

Coach Eligibility: To participate in the New Leader Conference Challenge and be eligible to receive New Leader Conference Rewards, you must be a Team Beachbody Coach who (a) held a lifetime rank of 1 Star Diamond or lower during the bonus week ending December 27, 2017, or (b) joined as a new Coach on or after December 28, 2017; and you must be current with all Coach Business Service Fees, in good standing, and in compliance with the Independent Team Beachbody Coach Policies and Procedures at all times during the New Leader Conference Challenge Period, at the time a New Leader Conference Reward is awarded, and at the time of the New Leader Conference ( Qualified Coach ). New Leader Conference Qualifications and Rewards 4. New Leader Conference Qualifications and Rewards: Subject to the terms, conditions, and limitations herein, and verification by Team Beachbody, Team Beachbody is offering Qualified Coaches the opportunity to earn the New Leader Conference Rewards by meeting the qualifications listed below ( New Leader Qualifications ): (a) Earn an Invitation to the New Leader Conference: You can earn one (1) invitation for you to attend the New Leader Conference ( New Leader Conference Invitation ) by: (i) Being a lifetime rank of 1 Star Diamond or lower during the bonus week ending December 27, 2017, or joining as a new Coach on or after December 28, 2017; (ii) Achieving a qualification rank or paid rank of 1 Star Diamond or higher for six (6) consecutive bonus weeks during the New Leader Conference Challenge Period; and (iii) Challenge Period. Earning at least ten (10) Elite Points during the New Leader Conference Approximate retail value ( ARV ) for this New Leader Conference Reward: $ RESTRICTIONS: If you qualify for and attend the 2018 Leadership Retreat ( Leadership Retreat ), you will not be eligible to receive the New Leader Conference Invitation or attend the New Leader Conference. If you did not qualify for or attend the Leadership Retreat, or if you attended the Leadership Retreat as another qualifying Coach s guest, you will still be eligible to qualify to attend the New Leader Conference and the 2019 Leadership Retreat. Unless otherwise announced by Team Beachbody, Qualified Coaches who are eligible to receive the New Leader Conference Invitation must attend the new leader conference during the year in which they meet the New Leader Qualifications (i.e., they will not be eligible to attend any future new leader conferences). NOTE: Team Beachbody may, in its sole and absolute discretion, extend a New Leader Conference Invitation to a Team Beachbody Coach who has not earned the invitation pursuant to the New Leader Conference Challenge or otherwise fulfilled one or more of the New Leader Qualifications. A Coach who qualified for a previous New Leader Conference but did not attend and has never attended a Leadership Retreat will be eligible to qualify for the 2019 New Leader Conference. (b) Earn A New Leader Conference Hotel Reward for the New Leader Conference: You can earn two (2) nights lodging the nights of February 8 and 9, 2019 in one (1) room at the hotel designated by Team Beachbody for the New Leader Conference ( New Leader Conference Hotel Reward ) by: and Period. (i) Qualifying for the New Leader Conference Invitation (see Section 4(a) above); (ii) Earning at least twenty-five (25) Elite Points during the New Leader Challenge 2

3 ARV for this New Leader Conference Hotel Reward: $ NOTE: You must register for and attend the New Leader Conference in order to receive the New Leader Conference Hotel Reward. The New Leader Conference Hotel Reward may only be used by the Qualified Coach who earned the New Leader Conference Hotel Reward (i.e., it may not be transferred to any other individual). In the event the designated hotel is filled to capacity, Team Beachbody reserves the right to accommodate you at an alternate hotel, in Team Beachbody s sole discretion. Team Beachbody will cover the room rate and tax only; all other incidental charges to the room are the responsibility of the Qualified Coach. The New Leader Conference Hotel Reward has no cash, monetary or other value; Qualified Coaches who do not use their earned New Leader Conference Hotel Reward will not be reimbursed for any reason. Additional Conditions/Requirements to Receive Rewards: Before you receive the New Leader Conference Hotel Reward, you must register for and attend the New Leader Conference, and comply at all times with these Official Rules, together with any terms and conditions of Team Beachbody and the New Leader Conference. REGISTRATION INFORMATION AND CANCELLATION POLICY If you are eligible for the New Leader Conference Invitation and wish to attend the New Leader Conference, you must properly register and stay at the hotel(s) designated by Team Beachbody during the New Leader Conference. The total cost for lodging at the designated hotel(s) is $715.64, which you will be responsible for paying (unless you have earned the New Leader Conference Hotel Reward). Sorry, no upgrades are allowed at the hotel. Registration Instructions: Qualified Coaches who are eligible to receive a New Leader Conference Invitation will receive an (at the address on file with Team Beachbody) with registration instructions and information. When you receive the , you must register by following the instructions in the and accurately providing all of the requested information. IMPORTANT Limited Space Available: The number of hotel rooms available at the New Leader Conference is limited and subject to availability on a first-come, first-served basis. If no hotel rooms are available at the time you are eligible for any New Leader Conference Rewards, then you will not receive those New Leader Conference Rewards. Register early to ensure your attendance before hotel room inventory runs out. Registration Deadline: If you are eligible to receive the New Leader Conference Invitation, you must register by 11:59:59 PM Pacific Time ( PT ) on January 7, 2019 in order to attend the New Leader Conference. Failure to register by the announced deadline will result in the forfeiture of your New Leader Conference Invitation. IMPORTANT - Cancellation Deadline and Policy: If you registered for the New Leader Conference and wish to cancel your registration, you must do so by 11:59:59 PM PT on January 7, 2019 in order to avoid any penalties. Failure to cancel by this date will result in a Bonus Point penalty (i.e., USD $357.82), which will be deducted from your commission payment within one month of the New Leader Conference. If you incorrectly register for the New Leader Conference (for example, if you register without meeting the qualifications to be eligible for the New Leader Conference Invitation), your registration will be automatically cancelled. Sorry, guests are not allowed at the New Leader Conference only Qualified Coaches who are eligible to receive the New Leader Conference Invitation are permitted to attend. 5. New Leader Conference Challenge Calculations Timeframe: Preliminary evaluation of Elite Points will be calculated on a monthly basis and be communicated via at the address on file with Team Beachbody and/or posted in the Coach Online Office. Final evaluation 3

4 of Elite Points and New Leader Qualifications will not be determined until on or around January 7, 2019 to ensure that each potential winner s New Leader Qualifications do not change for any reason, including due to any deduction of Elite Points, whether due to returned product or as otherwise set forth herein or in the Elite Challenge Rules. In Team Beachbody s discretion, each potential winner will be required to sign and return to Team Beachbody, within seven (7) days of notice or attempted notice, an affidavit of eligibility, a liability waiver, a W-9 Form (or other appropriate tax form based on place of residence), and where allowable, a publicity release (collectively, the Releases ) in order to claim any New Leader Conference Rewards. If a potential winner fails to sign and return the Releases within the required time period, the New Leader Conference Reward(s) may be forfeited or awarded to an alternate, in Team Beachbody s sole discretion. Note: When calculating New Leader Qualifications for Qualified Coaches with more than one (1) Beachbody Coach Business Center, all activity that occurs from various Business Centers will be aggregated and reflected in the Qualified Coach s primary Business Center. Only primary Beachbody Coach Business Centers are eligible to fulfill the New Leader Qualifications, and receive the New Leader Conference Rewards set forth herein; Beachbody Coach Business Centers outside of the primary are not eligible to receive any New Leader Conference Rewards. 6. Additional New Leader Conference Reward Conditions: New Leader Conference Rewards will be awarded to Qualified Coaches following verification by Team Beachbody in its sole discretion of all requirements and New Leader Qualifications in these Official Rules (including determination of ranks and verification of Elite Points), and provided that such Qualified Coaches meet the definition of Qualified Coach and all other terms and conditions herein. Failure to meet any such requirements or New Leader Qualifications will result in the forfeiture of all New Leader Conference Rewards, in Team Beachbody s sole and absolute discretion. Once verified by Team Beachbody, Qualified Coaches who earn New Leader Conference Rewards may receive or redeem (as applicable) those New Leader Conference Rewards as instructed by Team Beachbody. All expenses, costs or fees that are not otherwise expressly stated above, including any and all applicable travel costs, personal expenses, incidental costs, lodging and room costs (if applicable, such as room service, mini bar charges, dry cleaning, internet fees, parking, etc.), planning and/or other expenses, taxes, fees, insurance premiums or other costs arising from or related to the New Leader Conference, New Leader Conference Reward(s) or any alternative or extended travel plans are not included and are solely your responsibility. You will be solely responsible for booking and financing your travel arrangements including air, ground, and any other transportation to and from the New Leader Conference. You are responsible for obtaining any travel insurance (and all other forms of insurance) that you may wish to obtain at your own expense and you hereby acknowledge that Team Beachbody has not and will not obtain or provide travel insurance or any other form of insurance. Qualified Coaches must have, and are solely responsible for obtaining, all necessary identification and/or travel documents and visas required (where applicable) for travel, including, but not limited to, a passport or any identity document valid to enter the United States. Team Beachbody is not responsible if a Qualified Coach is denied entry to, or re-entry to, or from, any aircraft, train, coach or any country or any venue or accommodation related to any New Leader Conference Reward. If you engage in any behavior during the New Leader Conference that, as determined by Team Beachbody in its sole discretion, is inappropriate or threatening, illegal, or intended to abuse or harass any other person, Team Beachbody reserves the right to disqualify you from participating in the New Leader Conference (whether in part or in whole) without further obligation. In the event that you engage in behavior during the New Leader Conference that is illegal, tortious, or subjects you to arrest or detention, Team Beachbody shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by you as a result of such conduct. If you are disqualified from participating in the New Leader Conference under this section, then you will be solely responsible for all costs and expenses thereafter, including but not limited to lodging, airfare, transportation, and change fees. New Leader Conference Rewards are not transferable and have no cash or other monetary value. No New Leader Conference Reward substitutions are allowed except at the sole discretion of Team Beachbody, who reserves the right to substitute a reward of equal or similar value. Any and all 4

5 local, state, or federal taxes are solely the responsibility of the New Leader Conference Reward recipient. Unless expressly stated otherwise by Team Beachbody in writing, New Leader Conference Rewards may not be combined with any other challenge, promotion reward, incentive, contest or other offer. Qualified Coaches who do not earn a New Leader Conference Hotel Reward will be solely responsible for booking and financing his/her own lodging. 7. Who Can Enter: The New Leader Conference Challenge is open to Qualified Coaches who are legal residents of the United States (including its territories), the United Kingdom and Canada, who are at least 18 years old or the age of majority in the Qualified Coach s legal place of residence. Employees, representatives and mandataries of Team Beachbody and its parent and affiliate companies, as well as their immediate household family members (including spouse, parents, siblings, and children, if applicable) are not eligible to participate in the New Leader Conference Challenge. 8. Important Tax Information: Tax regulations require Team Beachbody to include the value of all rewards made to you or on your behalf on the 1099 or T-4a reporting form that you receive each year. Please note that a 1099-MISC tax reporting form is issued if a U.S. Coach s total earnings equal or exceed USD $600 and a form T-4a is issued if a Canadian Coach s total earnings equal or exceed CAD $ Publicity: Except where prohibited, participation in the New Leader Conference Challenge constitutes your consent to Team Beachbody s and its agents use of any information, video, or testimonial of or provided by you before, during and/or after your receipt of any New Leader Conference Reward, including without limitation your name, image, likeness, photograph, voice, opinions, and/or hometown, state and any biographical information for promotional purposes in any media, worldwide, without further payment, consideration or attribution to you. In addition to all other terms and conditions herein, as an express condition to your acceptance of any New Leader Conference Rewards, you may be required to provide an on-camera interview to take place before, during or after the New Leader Conference. If you are unwilling or unable to provide this interview, you may not be allowed to receive your New Leader Conference Rewards, in Team Beachbody s sole and absolute discretion. 10. Release: BY PARTICIPATING IN THE NEW LEADER CONFERENCE CHALLENGE, YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT THE NEW LEADER CONFERENCE AND YOUR PARTICIPATION IN ANY ACTIVITIES BEFORE, DURING AND AFTER THE NEW LEADER CONFERENCE (INCLUDING WITHOUT LIMITATION PARTICIPATION IN ANY EXERCISE, WORKOUTS OR OTHER PHYSICAL ACTIVITIES, TRIPS, SPORTS, DANCING, AND CONSUMPTION OF MEALS AND ALCOHOL) (COLLECTIVELY, ACTIVITIES ) MAY HAVE POTENTIALLY SIGNIFICANT AND INHERENT RISKS AND DANGERS THAT NO AMOUNT OF CARE, CAUTION, INSTRUCTION, OR EXPERTISE CAN ELIMINATE. YOU HEREBY ACKNOWLEDGE AND WILLINGLY, EXPRESSLY AND VOLUNTARILY ASSUME ALL THESE RISKS WHICH MAY RANGE FROM MINOR INJURIES (SUCH AS NAUSEA, CUTS AND BRUISES) TO SEVERE PERSONAL AND/OR BODILY INJURY (SUCH AS SPRAINS, BROKEN BONES, CRIMES, ALCOHOL POISONING AND HEART ATTACK), DEATH OR DAMAGE TO OR LOSS OF PROPERTY OR PRIVACY, AND ANY RESULTING DAMAGES OR EXPENSES. YOU AGREE THAT YOU WILL NOT PARTICIPATE OR BE INVOLVED IN THE ACTIVITIES UNLESS YOU ARE IN THE PROPER PHYSICAL CONDITION (INCLUDING BY OBTAINING PROPER ADVICE FROM YOUR MEDICAL PROVIDER IF APPLICABLE) AND WILL IMMEDIATELY STOP ANY ACTIVITY IF YOU FEEL PAIN, DIZZINESS OR OTHER DISCOMFORT. BY PARTICIPATING IN THE NEW LEADER CONFERENCE CHALLENGE OR THE NEW LEADER CONFERENCE IN ANY WAY, TAKING PART IN ANY ACTIVITIES, OR ACCEPTING ANY NEW LEADER CONFERENCE REWARD THAT MAY BE AWARDED, YOU AGREE TO RELEASE AND HOLD HARMLESS BEACHBODY, LLC, TEAM BEACHBODY CANADA, LP, BEACHBODY UK LTD., TEAM BEACHBODY AND ITS RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, SUPPLIERS, DISTRIBUTORS, ADVERTISING/PROMOTION AGENCIES, AND REWARD SUPPLIERS, AND EACH OF ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE RELEASED PARTIES ) FROM AND 5

6 AGAINST ANY CLAIM OR CAUSE OF ACTION, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, DEATH, OR DAMAGE TO OR LOSS OF PROPERTY OR PRIVACY ARISING OUT OF PARTICIPATION IN THE NEW LEADER CONFERENCE CHALLENGE OR THE NEW LEADER CONFERENCE, ACTIVITIES, RECEIPT OR USE OR MISUSE OF ANY NEW LEADER CONFERENCE REWARD THAT MAY BE AWARDED, OR ANY PUBLICITY ARISING OUT OF THE NEW LEADER CONFERENCE CHALLENGE OR THE NEW LEADER CONFERENCE. NOTHING IN THESE OFFICIAL RULES SHALL DISCLAIM, LIMIT OR EXCLUDE LIABILITY FOR ANY LIABILITY WHICH MAY NOT BE DISCLAIMED, LIMITED OR EXCLUDED PURSUANT TO APPLICABLE LAW. NOTHING IN THESE OFFICIAL RULES DISCLAIMS, LIMITS OR EXCLUDES THE LIABILITY OF THE RELEASED PARTIES FOR PERSONAL INJURY OR DEATH CAUSED BY NEGLIGENCE. 11. General Conditions: Subject to all applicable federal, state, provincial, territorial, and local laws and regulations. Void where prohibited by law. By participating in the New Leader Conference Challenge, attending the New Leader Conference and/or accepting any New Leader Conference Reward, you confirm your full and unconditional agreement to these Official Rules, the Elite Challenge Rules, the Team Beachbody Success Club Challenge Official Rules, the Team Beachbody Coach Policies and Procedures, and Team Beachbody s decisions, which are final and binding in all matters related to the New Leader Conference Challenge. Achieving or accepting any New Leader Conference Reward that may be awarded in the New Leader Conference Challenge is contingent upon fulfilling all requirements herein, tax, regulatory, and legal obligations (including completion of any forms required in connection therewith), and any other requirements set forth in these Official Rules, which shall all be at your sole obligation. Team Beachbody reserves the right to cancel, suspend, and/or modify the New Leader Conference Challenge, the New Leader Conference, or any part of thereof for any reason, including due to force majeure (including an act of terror or war), or if any fraud, technical failure, or any other factor beyond Team Beachbody s reasonable control impairs the integrity or proper functioning of the New Leader Conference Challenge in any manner, or for any reason related to the administration of the New Leader Conference Challenge, as determined by Team Beachbody in its sole discretion. Team Beachbody reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the New Leader Conference Challenge or to be acting in violation of these Official Rules, the Team Beachbody Coach Policies and Procedures, or any other Team Beachbody promotion or in an unsportsmanlike or disruptive manner. Team Beachbody s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision herein. If any part of these Official Rules is declared invalid or unenforceable by a court of competent jurisdiction, it shall not affect the validity of the balance of these Official Rules. 12. Limitation of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by you, another Team Beachbody Coach, printing errors, or by any of the equipment or programming associated with or utilized in the New Leader Conference Challenge; (2) technical failures of any kind, including, but not limited to, malfunctions, interruptions, or disconnections in phone lines, cable connections, or network hardware or software; (3) technical or human error which may occur in the administration of the New Leader Conference Challenge or the processing of rank qualifications, Elite Points, New Leader Conference Rewards, notifications, and/or winner confirmations; (4) any lost, late, delayed, corrupted, undelivered, or undeliverable New Leader Conference Challenge communications or New Leader Conference Reward notifications; (5) any cancellation, suspension or modification of the New Leader Conference Challenge or the New Leader Conference; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the New Leader Conference Challenge, the New Leader Conference or receipt or use or misuse of any New Leader Conference Reward that may be awarded. If for any reason your Elite Points are confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, your sole remedy is to earn additional Elite Points during the New Leader Conference Challenge Period, provided that if it is not possible to earn additional Elite Points for any reason, including due to discontinuance of the New Leader Conference Challenge, none shall be awarded. BY PARTICIPATING IN THE NEW LEADER CONFERENCE CHALLENGE, YOU AGREE THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, 6

7 DAMAGES, OR LOSSES OF ANY KIND, AND IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ENHANCED DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE NEW LEADER CONFERENCE OR YOUR PARTICIPATION IN THE NEW LEADER CONFERENCE CHALLENGE, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT SPONSOR WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. YOU AGREE THAT THESE LIMITATIONS WILL SURVIVE AND APPLY EVEN IF ANY REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY. WITHOUT LIMITING THE FOREGOING, TEAM BEACHBODY S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS, JUDGMENTS AND/OR AWARDS ARISING OUT OF THIS NEW LEADER CONFERENCE CHALLENGE OR THE NEW LEADER CONFERENCE, REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED, WILL BE LIMITED TO AND WILL NOT EXCEED USD $50. Team Beachbody is not responsible for any cancellations, delays, diversions or substitutions, or any act or omissions whatsoever by the hotel(s), venue operators, third party prize providers or any other persons involved in providing any prize/reward-related goods, services or accommodations. 13. Disputes: The specific dispute resolution terms in the Team Beachbody Coach Policies and Procedures apply to this New Leader Conference Challenge. These dispute resolution terms outline specific terms relating to the governing law and jurisdiction applicable to this New Leader Conference Challenge based on your place of residence. For U.S. and Canada Coaches, these terms additionally include binding individual arbitration and waiver of class actions and class arbitration terms. For U.S. Coaches, those terms may be found here. For Canadian Coaches, those terms may be found here. For UK Coaches, those terms may be found here.
