Sweepstakes: The Beachbody On Demand Lucky 10 Sweepstakes July 2016 ( Sweepstakes ) begins at 12:00 a.m. Pacific Time ( PT ) on July 10, 2016, and ends at 11:59 p.m. PT on that same day, July 10, 2016 ( Sweepstakes Period ). To be eligible to win the Prize (as defined herein), you ( you, or Entrant ) must be in compliance with these Official Rules, and any instructions provided by Beachbody. How Do I Enter? There are three ways to enter the Sweepstakes and be eligible to win the Prize (each, an Entry ). To do so, you must do one of the following: 1) Submission via the BodyBoard app: During the Sweepstakes Period, you must: i) Log in to your account on Beachbody On Demand 1, access a Beachbody workout program of your choice from your member library, and complete a single workout from that program (please note that you must select a workout that is a minimum of ten (10) minutes long and stream a total of seventy-five percent (75%) or more of the total running time of your selected workout for your Entry to be valid); ii) Post a photo of yourself immediately before, during, or after your Beachbody On Demand workout to the BOD Lucky 10 July 2016 mission section of BodyBoard Beachbody s new app and social platform focused exclusively on fitness, nutrition and motivation, which can be downloaded from the App Store; and iii) Include the hashtag #BOD10 with your post. Letters should be addressed to Beachbody, LLC, c/o Beachbody On Demand Lucky 10 Sweepstakes July 2016, 3301 Exposition Blvd., 3 rd Floor, Santa Monica, CA Letters must be postmarked no later than July 11, 2016 and received by Beachbody no later than July 18, You must complete one of the above entry methods for your Entry to be valid and to be eligible to win a prize, and all Entries have an equal chance of winning regardless of entry method. If you are submitting an Entry via one of the first two methods above (BodyBoard or Facebook), then you must be an existing Team Beachbody Club member both at the time you submit your Entry and at the time the Prize is awarded in order to be eligible to receive a Prize in the Sweepstakes. Photo Requirements: Photos should be of the best quality possible. Beachbody reserves the right to disqualify and remove any Entry it deems as inappropriate, indecent, offensive, lewd, vulgar or otherwise unacceptable or does not adhere to the submission guidelines, or fails to comply with these Official Rules without prior notification to Entrant. You must own all the rights to all materials submitted in your Entry, and you must have full authority to grant or dispose of such rights both at the time of Entry and at the time any prize is awarded. Eligibility to Participate and Claim a Prize: The Sweepstakes is open only to legal residents of the United States (including Puerto Rico and the territories of Guam, the Virgin Islands, and American Samoa) who are at least 18 years old at the start of the Sweepstakes. Employees of Beachbody, Team Beachbody, and their parent and affiliate companies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. Limitations: Limit one (1) Entry per individual. If Entrant has won a prize in the Beachbody On Demand Lucky 10 Contest June 2016 or Beachbody On Demand Top 10 Contest June 2016 (the Official Rules of which can be found here: then Entrant is not eligible to win a prize in the Sweepstakes. Prize Drawings: On or around July 20, 2016, Beachbody will randomly draw ten (10) winners from the pool of eligible Entries submitted during the Sweepstakes to win the Prize. Beachbody reserves the right to draw and announce the winners at an alternate time at its sole discretion. Odds of winning the Prize depend on the total number of eligible Entries received. Prize Winner Notification, Requirements, and Announcement: The potential Prize winners will be notified by Beachbody on or around July 21, 2016 via private messaging on the platform

3 from which the potential winning Entry originated, or by telephone. In the event of a dispute as to the source of any Entry, the authorized account holder of the Apple ID or address used to create the BodyBoard or Facebook account from which the Entry originated will be deemed to be the valid entrant. The authorized account holder is the natural person assigned an address by an Internet access provider, online service provider or other authorized entity. The potential winner may be required to verify authorized account holder status. Each potential Prize winner may be required to sign and return to Beachbody, within seven (7) days of notice or attempted notice, a W-9 tax form, an affidavit of eligibility and liability/publicity release in order to claim the Prize. Upon timely receipt of the potential Prize winner s form, affidavit and release, Beachbody will process such materials and, subject to verification, ship the prizes out within 3 to 6 weeks. If a potential Prize winner (a) fails to submit a complete Entry or is otherwise disqualified pursuant to these Official Rules, or (b) fails to sign and return the appropriate tax form, affidavit of eligibility and liability/publicity release within the required time period, the Prize will be forfeited and it may be awarded to an alternate, randomly selected potential winner who is also subject to verification, in Beachbody s sole discretion. The potential Prize winners will be announced on or around July 22, 2016 via Beachbody s BOD: Members Only Facebook group, on BodyBoard, and potentially on Beachbody s official website(s), including BeachbodyonDemand.com. By entering the Sweepstakes, you acknowledge and grant Beachbody the ability in its sole discretion to announce your name and any identifiable information obtained by Beachbody in connection with your Entry on its Facebook page, Twitter page, Instagram page, website, or in any other form of public communication. Prize: Subject to these Official Rules and Beachbody s verification, the prize ( Prize ) is as follows: One (1) Beachbody Performance Orange Flavor RECOVER Post-workout Formula 20-serving container (ARV: $69.95). All prices are in US Dollars. Prizes are not transferable. No prize substitutions are allowed except at the sole discretion of Beachbody who reserves the right to substitute a prize of equal or greater value. The value of a prize may be taxable as income to a prize winner. Prize winners are solely responsible, at their own costs, for all matters relating to the prize, including but not limited to all federal, state and local taxes. You agree to reimburse Beachbody for any prize fraudulently obtained by you. Release: By entering the Sweepstakes in any way, uploading or posting an Entry for consideration, or taking receipt of any prize that may be awarded, you agree to release and hold harmless Beachbody, Team Beachbody, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company s officers, directors, employees and agents (collectively, the Released Parties ), and Facebook from and against any claim, loss, damage, cause of action, cost or expense (collectively, Claim ), including, but not limited to, any Claim arising out of any injury to you or any other party, and any other personal or property damage, or for damage to or loss of property or privacy arising out of your participation in the Sweepstakes or the receipt, use, or misuse of any prize that may be awarded, and any posting online, making public or otherwise using all or any part of your Entry. You grant Beachbody the right and license to use the Entry and Your Content and all aspects thereof, as set forth herein, in any way Beachbody determines whether with or without providing any attribution or compensation to you, except where prohibited by law. Notwithstanding the foregoing, you expressly acknowledge and agree that nothing herein shall require Beachbody to utilize any portion of Your Content. You agree to indemnify the Released Parties from and against all third party trademark, copyright, intellectual property, right of publicity or other claims arising out of the use of the Entry and Your Content. Publicity; Marketing: Except where prohibited by law, participation in the Sweepstakes constitutes your express and irrevocable consent to Beachbody's and its agents' worldwide use of Your Content, including without limitation your name, likeness, voice, and any other information you may submit or Beachbody may obtain in connection with your Entry for promotional, marketing and trade purposes in any and all media now known or hereafter discovered, without further payment or consideration; including without limitation placement on Beachbody s websites and creation of promotional videos featuring the Sweepstakes winners or Entrants. In addition, except where prohibited by law, participation in the Sweepstakes constitutes your consent to Beachbody's contacting you at a later date to inquire further and potentially gain more information about your Entry. You expressly acknowledge and agree that your Entry and Your Content will be accessible by others and that there is no confidentiality or privacy with respect to your Entry and Your Content. In addition, the information provided by you in your Entry may be used by Beachbody for the purpose of delivering its products and services, to inform you of other products or services available, or to contact you about your opinion of current and new products and services that may be offered. We may use your contact information in order to send you promotional s, postal mail or other communications regarding products or services we may offer. Limitation of Liability: You recognize and agree that the Released Parties are not responsible for: (1) any injury to you or any other party, and any other personal or property damage that may be caused or that may occur as a result of your attempting to create the Entry; (2) any incorrect

5 or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Sweepstakes; (3) technical failures of any kind, including, but not limited to, malfunctions, interruptions, or disconnections in phone lines, cable connections, or network hardware or software; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries, prize notification, and/or winner confirmation; (5) any lost, late, delayed, corrupted, undelivered, or undeliverable Entry or prize notification; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Sweepstakes, or your receipt or use or misuse of any prize that may be awarded. If for any reason an Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant's sole remedy is another Entry in the Sweepstakes, provided that if it is not possible to award another Entry due to discontinuance of the Sweepstakes, none shall be awarded. YOU AGREE THAT THESE LIMITATIONS WILL SURVIVE AND APPLY EVEN IF ANY REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. Beachbody reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other Beachbody promotion or in an unsportsmanlike or disruptive manner. Beachbody s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision herein. You acknowledge that any information or data which you may provide in connection with the Sweepstakes or these Official Rules is being provided to Beachbody. You further acknowledge that the Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook.
