1 MEGA BLOKS TEENAGE MUTANT NINJA TURTLES MOVIE LAUNCH CONTEST (the Contest ) OFFICIAL RULES AND REGULATIONS ( Rules ) NO PURCHASE NECESSARY. CONTEST RUNS FROM MAY 23, 2016 TO MAY 27, MUST BE 13 YEARS OF AGE OR OLDER. FIVE (5) MEGA BLOKS TEENAGE MUTANT NINJA TURTLES DAILY PRIZE PACK WINNERS AND ONE (1) MEGA BLOKS TEENAGE MUTANT NINJA TURTLES GRAND PRIZE PACK WINNER TO BE SELECTED BY A PANEL OF JUDGES (ARV OF DAILY PRIZE PACKS BETWEEN US$20 AND US$70/PRIZE PACK AND ARV OF GRAND PRIZE PACK US$205). WHO CAN ENTER The Contest is open to all legal residents of Canada and the United States who are 13 years of age or older at the time of entry, with the exception of residents of Puerto Rico and other U.S. territories and possessions outside the continental United States, and who have a Facebook account ( To create a Facebook account, simply go to and complete the sign-up process; there is no cost associated with joining Facebook. Contest is void in Puerto Rico and U.S. territories and possessions outside of the continental United States and where restricted or prohibited by law or where subject to registration requirements. This Contest shall only be construed and evaluated according to the laws applicable thereto in Canada and the United States. Employees, representatives and agents of MEGA Brands Inc. ( MEGA Brands ), Viacom Media Networks, a division of Viacom International Inc. ( VMN ) and their respective affiliates and subsidiaries and their respective immediate family members (parent, child, sibling and spouse) and persons living in the same households of each (whether related or not) are not eligible to participate in the Contest. 2. HOW TO ENTER The Contest will run starting on Monday, May 23, 2016 at 11:00 a.m. (ET) and close on Friday, May 27, 2016 at 11:59 p.m. (ET) (the Promotion Period ). Five (5) Daily Prize Packs (one per day) and one (1) Grand Prize Pack to be awarded throughout the Promotion Period. Daily Prize Pack To enter for a chance to win the Daily Prize on any given calendar day during the Promotion Period, simply go to on the day in question, click on the link to the Mega Bloks Teenage Mutant Ninja Turtles Movie Launch Contest and follow the on-screen entry instructions to complete the required

2 action for that day. Once you complete the daily action, you will automatically be entered into the Contest for that day s prize. Grand Prize Pack To be eligible to win the Grand Prize Pack, you must have completed the daily action for each of the five (5) calendar days during the Promotion Period. Regardless of the number of times you complete the daily action on any given day during the Promotion Period, you are limited to a maximum of one (1) entry per day. Entries will be cleared on a daily basis throughout the Promotion Period; as such, to be eligible to win the prize on any given day during the Promotion Period, you must enter on the day in question. All entries must be original. ALL ENTRIES ARE SUBJECT TO REVIEW BY MEGA BRANDS ONCE POSTED ON THE CONTEST PAGE. MEGA BRANDS RESERVES THE RIGHT TO REVIEW AND DELETE ANY DUPLICATE ENTRY OR ANY ENTRY THAT IT CONSIDERS TO BE INAPPROPRIATE OR INELIGIBLE FOR ANY REASON, IN ITS SOLE DISCRETION. IN PARTICULAR, MEGA BRANDS WILL DELETE ANY ENTRY SUBMITTED BY ANY PERSON UNDER THE AGE OF 13 OR ANY PERSON WHO PROVIDES INFORMATION THAT LEADS MEGA BRANDS, IN ITS SOLE DISCRETION, TO BELIEVE THAT THE ENTRANT IS UNDER THE AGE OF 13. ANY ENTRY THAT IS DELETED FROM THE CONTEST PAGE WILL NOT GIVE RISE TO AN ENTRY FOR THE CONTEST. Any attempt to obtain more than the permitted number of entries per person for the Contest by using different or multiple identities, log-ins, any automated entry system, or any other method is prohibited and will result in disqualification. In the event of a dispute, all entries will be deemed to have been submitted by the owner of the Facebook account used in connection with the entry. By entering this Contest, you consent to the use of your name, likeness and Contest entry by MEGA Brands for promotional purposes without compensation, worldwide and in perpetuity and in any form of media, including the Internet. 3. PRIZES Daily Prize Packs FIVE (5) DAILY MEGA BLOKS TEENAGE MUTANT NINJA TURTLES CONSTRUCTION SET PRIZES, consisting of: (a) DAY 1 (May 23, 2016): Battle Wagon (ARV US$50); (b) DAY 2 (May 24, 2016): Moto Attack Assortment (ARV US$30); (c) DAY 3 (May 25, 2016): Jungle Takedown (ARV US$35);

3 (d) DAY 4 (May 26, 2016): Kraag CRYO Chamber (ARV US$20); and (e) DAY 5 (May 27, 2016): Lair Hideout (ARV US$70). Grand Prize Pack ONE (1) GRAND PRIZE PACK consisting of one (1) of each of the MEGA BLOKS TEENAGE MUTANT NINJA TURTLES construction sets awarded on Days 1 to 5 of the Contest (Grand Prize Pack ARV US$205). No entrant is eligible to receive more than one prize pack. Prizes must be accepted as awarded and may not be transferred; no cash or other substitutions allowed by winners. All prizes are subject to availability and MEGA Brands reserves the right to substitute a prize (or any element thereof) for a prize of equal or greater value. MEGA Brands makes no representation that a prize awarded hereunder can be sold or traded at the stated value. 4. WINNER SELECTION On each day during the Promotion Period, an impartial panel of three (3) judges consisting of MEGA Brands employees selected for the purposes of the Contest (the "Judges") will review all the eligible entries received for the day in question and will select the Daily Prize Pack winner from amongst these entries. On the final day of the Promotion Period, the Judges will select the Grand Prize Pack winner from amongst all eligible entries received throughout the entire Promotion Period. The judging will be conducted on an anonymous basis (i.e. Judges will not know the identity of the person having submitted the entry). The criteria that will be used by the Judges to determine the Daily Prize Pack Winners are: creativity, humour, originality and innovation. Equal weight will be assigned to each judging factor. This Contest is a game of skill. The odds of winning a prize will depend upon the total number and calibre of eligible entries received. If you are selected as a winner at any time during the Promotion Period, you will no longer be eligible to win another prize in the Contest.

WINNER NOTIFICATION, ACCEPTANCE AND DELIVERY OF PRIZES Each Contest Winner (together, the Selected Entrants ) will be notified via (to the address provided in his/her Contest entry form) on the date on which he/she is selected as a potential winner. Each Selected Entrant will have up to seven (7) business days following such notification to contact MEGA Brands in order to complete the winner verification process. BY ENTERING THIS CONTEST, YOU EXPRESSLY AGREE TO ALLOW MEGA BRANDS TO USE THE ADDRESS YOU HAVE PROVIDED IN YOUR CONTEST ENTRY FORM TO CONTACT YOU SHOULD YOU BE A SELECTED ENTRANT. Prizes will be mailed to each Selected Entrant, to the address provided by , within 30 business days of the winner selection and verification process. MEGA Brands will not be responsible for any prizes returned as undeliverable and will not replace any prizes that are lost or stolen. MEGA Brands reserves the right to award any prize not claimed or returned as undeliverable to an alternate entrant to be selected by the Judges from remaining eligible entries. If a Selected Entrant is not eligible or otherwise fails to comply with these Rules, he or she will be disqualified. All entries are subject to verification prior to awarding a prize. Prior to receiving his or her prize, each Selected Entrant (or his or her parent or legal guardian, in the event that he or she has not as yet reached the age of majority in the jurisdiction in which he or she resides) will be required to sign: (a) a declaration of compliance with the Rules; and (b) a release form confirming acceptance of his or her prize as awarded and releasing MEGA Brands, its affiliates and subsidiaries, and its and their directors, officers, employees, representatives and agents from any liability relating to this Contest and/or his or her prize, failing which such person will be deemed to have forfeited his or her prize. In addition, in order to win, if a Selected Entrant is a Canadian resident, he or she must correctly answer, unaided, an arithmetical, time-limited, skilltesting question (which will be administered by ). Federal, provincial/state and local taxes or any other assessments and any costs or expenses relating to the acceptance and/or use of a prize are the sole responsibility of the winner. Any Contest entries not complying with any applicable federal, state/provincial and municipal laws or regulations will be considered to be null and void. For residents of Quebec only: In the Province of Quebec (Canada), any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Similarly, any litigation arising in the Province of Quebec (Canada) respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. 8. GENERAL MEGA Brands is not responsible for printing or typographical errors in any Contestrelated materials; for lost, stolen, late, misdirected, damaged, incomplete, illegible, or postage-due mail, or for transactions that are lost or fail to enter the processing system, are processed, reported, or transmitted late, or are lost for any reason including computer, telephone, paper, or any other malfunction including human error. If, for any reason, the Contest cannot run as planned or the prizes cannot be awarded, including by reason of infection by computer virus or bugs, tampering, unauthorized intervention, fraud, technical or other failures or difficulties, or the occurrence of any force majeure event, subject to applicable law, MEGA Brands, at its sole discretion, reserves the right to cancel, terminate, suspend or modify this Contest, in whole or in part, at anytime without prior notice to you. If the Contest is cancelled for any reason before completion of the Promotion Period, all valid entries received up to the point of termination will be included in a random drawing to award the prizes. Submitted materials (including your Contest entry) become the sole property of MEGA Brands. By entering this Contest, you agree to be bound by these Rules and waive any right to claim ambiguity in the Contest or the Rules. If you do not comply with these Rules, you are subject to disqualification. FORCE MAJEURE The failure of MEGA Brands to comply with any provision of these Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities, labour disruption or other force majeure event will not be considered a breach of these Rules. 11.
