2 Invitation to Tender Refit & Dry-docking, Appendix A Page2. TENDER CLOSING TIME IS 4:00 P.M. ON April 18, 2014 AT GOVERNMENT PURCHASING AGENCY, 30 STRAWBERRY MARSH ROAD, ST. JOHN'S, NF, A1B 4R4. OPENING OF TENDERS WILL IMMEDIATELY FOLLOW TENDER CLOSING TIME. 1. REQUIREMENT: Work to be performed on and for M/V Gallipoli in accordance with Government of Newfoundland and Labrador, Department of Transportation and Works, specifications and related drawings for the vessel. 2. PRICE: (a) Unscheduled Work: 1. Firm hourly charge out rate for labour including overhead and profit on all unscheduled work: $ per hour 2. We agree the price of all unscheduled work including Supplementary Specifications or amendments to this requirement will be negotiated. 3. Negotiations will be based on the firm hourly charge out rate quoted above, multiplied by the mutually agreed numbers as required to perform each items of unscheduled work together with the estimated material cost. A 10 percent mark up shall apply to the estimated material cost up to $ Any purchases that exceed the $ mark up limit are to be discussed and approved prior to ordering. 4. We agree that the applicable charge out rate will remain firm for the period of any contract resulting from our tender including all amendments. (b) Audit Clause: Time charged and the contract price of materials (if any) used may be verified by Government Audit before or after payment is made to you under the terms and conditions of a contract resulting from this invitation to tender.

(c) Travel / Transfer Clause: *DUE TO OPERATIONAL RESTRICTIONS VESSEL IS UNABLE TO TRAVEL OUTSIDE OF THE TERRITORIAL WATERS OF THE ISLAND PORTION OF THE PROVINCE OF NEWFOUNDLAND & LABRADOR. *DUE TO PROVINCIAL OHS JURISDICTION, VESSEL IS UNABLE TO TRAVEL OUTSIDE OF THE PROVINCE OF NEWFOUNDLAND & LABRADOR. 3. DELIVERY: We agree to complete all the known work and a reasonable amount of additional work sixty (60) calendar days after vessel is delivered to contractor s yard, as per Section 9.(a)2. of this Invitation to Tender. The vessel will be available for commencement of work on or about April 21, EVALUATION: We agree that the tenders will be evaluated as follows: (a) Price for the known work as per Tender Data Sheet $ H.S.T. excluded (b) Unscheduled work, hourly rate at $... x 3,500 $ (c) Evaluation Total $ We further agree that any contract which may result from our tender will be issued in the amount of evaluation total in 4c). 5. FORM OF TENDERING - DATA SHEETS: In addition to the completion of this invitation to tender, the Tenderer shall include one copy of Tender Data Sheet (to be forwarded after Bidder s conference) illustrating the following: (1) Each item of work or service in the specifications is to be priced individually to indicate the total cost of labour, overhead, material and profit as a single unit. (2) NOTE: Tender Data Sheet will be compiled following the Bidder s Conference. (See Section 9c) 6. INSPECTIONS:

Inspection shall be by and to the satisfaction of the delegated representative of Department of Transportation and Works, Government of Newfoundland and Labrador, and Transport Canada Marine Safety. 7. GENERAL CONDITIONS: In addition to the general conditions attached, the following condition and/or clause will form part of any contract resulting from this invitation to tender: In the event of an illegal strike, the Dept. of Transportation and Works, Government of Newfoundland and Labrador reserves the right to terminate the contract or purchase order and remove the vessel from the Contractor's yard. The Contractor will permit access to their facilities in order to affect repairs to the vessel for removal together with any Government owned material or material purchased on their behalf. You agree that fire fighting equipment will be readily accessible and made available should a fire emergency arise and that adequate precautions will be taken when burning and welding in compartments or other confined areas of the vessel. 8. INSURANCE: You agree to effect and maintain in force Ship Repairers' Liability Insurance in the amount of $5,000, NOTES TO TENDERER: (a) Tenders: 1. Selection of the Contractor will be made by using the evaluation total. (Section 4c). 2. Delivery of the vessel by the specified date is of utmost importance. The Owners and the Bidders should give this due consideration when submitting their bids. 3. Any additional drawings required by the Contractor to be requested prior to viewing. 4. Any safety items other than boots, coveralls, safety glasses, and safety hats required by the contractor to be worn by ship s crew shall be supplied by the contractor and returned upon completion of repairs. 5. Any work to be performed outside the successful Tenderer s yard is to be authorized by the Marine Engineering Superintendent prior to machinery or equipment leaving the yard.

Contractor is responsible for security in the contractor s yard and is to ensure the vessel is protected from damage, vandalism and / or theft of ship s equipment during the entire project period. Contractor is to ensure that safe access to the vessel is provided for the crew during the project period. This safe access shall include lighting and snow clearing. Contractor will be responsible to ensure snow and ice are removed from the vessel where Contractor s personnel will be required to pass over or enter. Specifications Removals - The cost of removing equipment of any part of the vessel which is required to do the work specified as well as its replacement in good order on completion of the job, shall be included in the tendered price. This includes, if necessary, the cutting and replacement of structural members and any other obstruction. Materials - Tenderers are to note that any material that is used to perform the work and where not specified as being Owner Supply, will be the responsibility of the successful Tenderer and all costs are to be included in the tendered price. All material is to be new and approved for ship repair by all applicable regulatory bodies. (c) Viewing: Vessel will be available for viewing on Tuesday April 8, at 12:00P.M. at Burgeo, Newfoundland, attendees will are requested to confirm attendance by at the address listed below. Bidder s conference will be held onboard the vessel following the viewing. Any questions may be directed to the Marine Superintendent, Shawn Marshall, at the viewing and Bidder s conference or at telephone number , facsimile , cellular or shawnmarshall@gov.nl.ca. Any questions after the viewing are to be in writing, preferably by . (d) Notification of Addendums: All addenda that have been issued in relation to this invitation to tender will be available on the Government Procurement website at Proponents can either access the website at their own discretion for addendum, or may use the registration process available on the site to receive notification of addendum. Proponents are responsible for ensuring that they have received all addenda pertaining to this invitation to tender and shall be deemed to have received same through their submission of a tender in response to this call.

6 Invitation to Tender Refit & Dry-docking, Appendix A Page6. (e) Evaluation: When the tenders are being assessed, the following considerations will be significant: i. The Tenderer shall satisfy all the requirements of the specifications and submission of the tender in strict accordance with work requirements and terms of this invitation to tender. ii. The anticipated total cost to the Province of Newfoundland and Labrador of the known work and unscheduled work. iii. In any ship project of this nature, it is known that unscheduled work will arise after the ship and equipment is surveyed and examined. Since this work is inevitable, the anticipated cost of such work must be taken into account when evaluating the tenders received. To this end, an estimated amount in dollars for the unscheduled work will be added to the total firm price for the work defined in the specifications. The estimated cost for the unscheduled work on this vessel will be calculated at 3,500 manhours. This is not to be considered as either a guarantee or limitation of extra work; rather, it is a weighted evaluation value. 10. DOCUMENTATION: In the event of any inconsistency in contract documents, specifications or drawings, the following order of priority shall prevail: 1. Contract 2. Specifications 3. Drawings 4. Other documents 11. ACCESS TO SHIP BY THE PROVINCE OF NEWFOUNDLAND & LABRADOR: The Province of Newfoundland and Labrador reserves the right to carry out work by its personnel and perform annual and/or routine servicing and painting of systems, equipment and inboard area not assigned for work in the specifications, while the ship is in the Contractor's custody. Such work will be carried out during regular working hours of the crew. This work will be performed in locations away from the specified work areas and will exclude all hot work. Any material or equipment removed during the project period will remain the property of the Government of Newfoundland and Labrador.
