Ltd., SBU : Greases & Lubricants, 32 Sattangadu Village, Manali, Chennai requests offers from the interested and competent manufacturers and/or their authorised sole agents for supply, installation and commissioning of a Stabinger Viscometer with Carbon composition and Accessories for determination of Refractive Index etc., as per the Specification attached as Annexure-1. A. Price Offer (preferably in INR) Interested vendors are requested to send their quotations as follow : a) Basic Price for supply, installation and commissioning of a Anton Paar Stabinger Viscometer with Carbon composition and Accessories as per Specification enclosed as Annexure-1. b) Taxes, Duties, Cess etc. for (a) above. c) Price for accessories/ spares for trouble free operation for at least next 2 years. d) Freight charges, if any. e) Price may be quoted in INR wherever it is feasible. B. Terms and conditions Terms & Conditions are enclosed as [Annexure-2] including payment terms. C. EMD NA D. 4 Annexure-2 TERMS & CONDITIONS Sl. Terms Conditions No. a) Price Offer Offer should contain for all items as per (A) of our Tender Ref: GLC/TE16/1274/VISCOMETER/CAPEX dt preferably in INR. b) Due Date & Time Offers must be received within the Due Date & Time. c) Specifications Vendor s Specifications must meet our Specification as per Annexure-1. Test Certificates, Calibration Certificates must be furnished wherever required. Offers received with any deviation to our specification, shall be rejected. d) Validity of Offer The Offers shall remain valid for a period of 60 days from the date of Offer. e) Payment Term 90% against Delivery and successful commissioning of Equipment. Balance 10% to be retained as retention money for 12 weeks against PBG f) EMD (Rs.) NA g) Delivery Period/Completion Period h) Guarantee/Warranty Period The expected completion period of subject Supply, Installation and Commissioning should be 3(three) months from the date of issue of Purchase Order (P.O.). 12(Twelve) months from the date of successful supply of total material as per P.O. During this guarantee/warrantee period the performance of the supplied item has to be in line with the expected / agreed quality as per Tender / P.O. and if not then vendor has to replace the total supply at NO EXTRA COST TO BL and to the satisfaction of BL-Tender. No escalation will be accepted during the period of contract. i) Escalation/Deescalation j) Liquidity Damage Vendor shall be liable to pay liquidated damages for their failure to complete supply of item to BL within the scheduled period. In such case, Vendor shall be liable to pay liquidated of P.O. Value per week or part thereof subject to a maximum of 5.0%. k) Risk Purchase Purchase or authorize the purchase elsewhere on the account and at the risk of the contractor, of the equipments/materials not so delivered within the scheduled period or others of a similar description, by serving prior notice to the vendor without cancelling the Purchase Order. l) Arbitration If any dispute arises between the parties as to the interpretation of the terms of the contract the same shall be referred to an arbitrator of BL. The Arbitrator shall be nominated by BL and the award / decision of the arbitrator shall be firm and binding on the parties. The arbitration shall be governed by the provisions of the Arbitration and Conciliation Act, m) Extension of Time NA n) Force Majure The term "FORCE MAJEURE" as employed in this contract shall mean wars (declared or undeclared) or revolutions, civil wars, tidal waves, fires, major floods, earthquakes, epidemics, quarantine restrictions and freight embargoes and transporters strikes affecting the country as a whole. o) Jurisdiction All disputes or differences arising out of or in connection with this Purchase/Contract shall be subject to the exclusive Jurisdiction of the relevant courts at Chennai. 5 p) Vendors other than Original Equipment Manufacturer VENDORS other than OEM(Original Equipment Manufacturers) must submit proper valid authorization certificate along with the warranty back-up from OEMs failing which offer shall be liable to rejection for (a) supply, installation and commissioning of a ANTON PAAR STABINGER VISCOMETER WITH CARBON COMPOSITION WITH ACCESSORIES as per Specification enclosed as Annexure-1 and (b) for accessories/ spares for trouble free operation for at least next 2 (two) years.
