1 ALLEGHENY COUNTY AIRPORT AUTHORITY DEPARTMENT OF BUSINESS DEVELOPMENT PITTSBURGH INTERNATIONAL AIRPORT REQUEST FOR PROPOSAL FOR INSURANCE BROKERAGE AND CONSULTING SERVICES The Allegheny County Airport Authority seeks proposals from qualified firms to provide Insurance Brokerage and Consulting Services for the marketing and placement of its consolidated insurance program (consisting of liability, automobile, public officials professional, crime, workers compensation, international travel, cyber, and property insurance services) and other insurance-related services required at Pittsburgh International and Allegheny County Airports. This is a Request for Proposal. It is not an offer, an Agreement, nor an invitation for bids. The submission of a proposal, in response to this request, constitutes an invitation to negotiate and not to bid. The submission of a proposal does not impose any legal obligation upon either the Allegheny County Airport Authority or the party submitting the proposal, nor does it create any contractual or quasi-contractual relationship between them. The Allegheny County Airport Authority reserves the right to reject or disregard any or all proposals, to negotiate with any or all firms submitting proposals or with firms not submitting proposals, and to enter into an agreement with any firm for the services described herein. Your firm will be required to submit a written proposal. Please submit one (1) signed original and four (4) exact hard copies of your proposal as well as an electronic copy on a USB drive. 3 Page GENERAL REQUIREMENTS 1.1 PURPOSE OF REQUEST FOR PROPOSALS The purpose of this document is to provide interested parties with information to enable them to prepare and submit an RFP for Insurance Brokerage and Consulting Services at Pittsburgh International and Allegheny County Airports for the Allegheny County Airport Authority (the ACAA or Authority ). The Authority, intends to use the results of this process to award an Agreement to a Proposing Entity. 1.2 ABOUT THIS DOCUMENT This is a Request for Proposal. It is not an offer, Agreement, or an invitation for bids. The submission of a proposal in response to this process constitutes an invitation to negotiate with the ACAA and not a bid. The submission of a proposal in response to this process does not impose any legal obligations upon either the ACAA or the entity submitting the proposal, nor does it create any contractual or quasi-contractual relationship between them. ACAA reserves the right to reject or disregard any or all proposals, to negotiate with any or all persons submitting proposals, and/or to enter into an Agreement or Agreements with any person or persons for any or all of the services described herein. ACAA is not obligated to respond to any proposal submitted or is it legally bound in any manner whatsoever by the submission of a proposal pursuant to this published process. Any and all proposals as submitted herein are subject to further negotiation at the option of the ACAA. Further, any and all Agreements arising out of these proposals and negotiations shall not be binding or valid against the ACAA, its departments, officers, employees, or agents unless authorized by at least a majority of the ACAA Board of Directors in accordance with applicable laws. 1.3 DEFINITIONS Unless otherwise specifically indicated within this RFP, the following words and phrases shall be defined as follows: A. Addendum: A modification, clarification or change in the RFP or other Agreement documents issued by the Department of Business Development, and distributed to all known prospective Proposing Entity s prior to the opening of RFPs. B. Agreement: Means the negotiated agreement between the Authority and the Proposing Entity to provide the scope of work listed herein. C. Allegheny County Airport Authority: A political subdivision of the Commonwealth of Pennsylvania, herein after referred to as Authority or ACAA. D. Allegheny County Airport (AGC): The Terminal Buildings and all portions of the land owned and possessed by the Authority located at West Mifflin Borough, Pittsburgh, PA. E. Insurance Brokerage and Consulting Services: Means the services provided and set forth in the RFP and as finalized, through negotiations, and incorporated into the Agreement.

Chief Executive Officer: Shall mean the Chief Executive Officer of the Authority or Acting Chief Executive Officer as appointed and titled by the Authority s Board of Directors, and shall include such person or persons as may be authorized in writing to act with respect to any or all matters pertaining to this RFP. G. Pittsburgh International Airport (PIT): The Terminal Buildings and all portions of the land owned and possessed by the Authority located at Findlay and Moon Townships, Pittsburgh, PA. H. Proposing Entity: Any legal entity, corporation, partnership, individual, or venture that submits a proposal to the Authority, in response to this RFP. I. Request for Proposal (RFP): This entire document, including all attachments, exhibits, and duly promulgated Addendums, which shall comprise all the terms, conditions, and agreements between the Proposing Entity and the Authority. J. Issuing Office: This RFP is issued for the Authority by the Department of Business Development. 1.4 PROPOSAL SUBMISSIONS Proposing Entities are requested to submit one (1) signed original and four (4) exact hard copies of their proposal as well as an electronic copy on a CD. Proposing Entities must include their company name and address on the outside of each envelope or container. The envelopes or containers must be sealed. The words RFP for INSURANCE BROKERAGE AND CONSULTING SERVICES must appear on the outside of the envelope or container. Proposals shall be accepted in person, by U.S. Mail or by private courier service. NO proposals shall be accepted via oral or communication, telephone or fax transmission. Proposals must be submitted in the format, described in this RFP. To be considered, the proposal must respond to all requirements in the RFP. All proposals, responses, inquiries, or correspondence relating to or in reference to this RFP, and all electronic media, reports, charts, and other documentation submitted by Proposing Entity shall become the property of the Authority when received. Nothing submitted shall be considered confidential or proprietary. Deadline for proposal submission shall be no later than 4:30 P.M. prevailing time on April 27 th, All proposals shall be addressed to: Allegheny County Airport Authority Department of Business Development Attention: RFP for Insurance Brokerage and Consulting Services Pittsburgh International Airport Landside Terminal, 4 th Floor Mezzanine P.O. Box Pittsburgh, PA The Authority reserves the right to request additional information which, in the Authority s opinion, is necessary to assure that the Proposing Entity's competence, business organization, and financial resources are adequate to perform in accordance with this RFP and any resultant Agreement. The Authority may make such investigation as it sees fit to determine the ability of the Proposing Entity to perform the services, and the Proposing Entity shall furnish to the Authority all such information and data for this purpose as requested by the Authority. The Authority reserves the right to reject any proposal

5 Page 5 if the evidence submitted by, or investigation of, such Proposing Entity fails to satisfy the Authority that such Proposing Entity is properly qualified to carry out the obligations of the Agreement and to satisfactorily perform the work specified. When asked, Proposing Entities shall also include their answers to the questions listed in this RFP using the same answering sequence as put forth in the RFP. Proposals should be prepared simply and economically, providing a straightforward, concise description of the Proposing Entity s ability to meet the requirements of the RFP. Any other information thought to be relevant, but not applicable to the enumerated questions, should be provided as an appendix to the proposal. 1.5 ADDENDUM AND CLARIFICATIONS Any changes, additions, deletions, or clarifications to the RFP are made by Addendums. Any Proposing Entity in doubt as to the true meaning of any part of the RFP documents may request any clarification thereof from the Issuing Office to development@flypittsburgh.com. At the request of the Proposing Entity, or in the event the Issuing Office deems the clarification to be substantive, the clarification shall be made by written Addendum issued by the Issuing Office. Such Addendum issued by the Issuing Office shall become part of the proposal package having the same binding effect as provisions of the original RFP. No verbal explanations or clarifications shall be binding. In order to have a request for clarification considered, the request must be submitted in writing to development@flypittsburgh.com and must be received by the Issuing Office no later than 4:30 P.M. prevailing time on March, 16 th All Addendums and clarifications of this solicitation shall be in writing. Any Addendum or clarification that is not in writing shall not legally bind the Authority. Only information supplied by the Authority in writing or in this RFP should be used in preparing proposal responses. All contact that a Proposing Entity may have had before or shall have after receipt of this RFP with any individuals, employees, or representatives of the Authority and any information that may have been read in any news media or seen or heard in any communications facility regarding this RFP should be disregarded in preparing responses. The Authority does not assume responsibility for the receipt of any Addendum sent to Proposing Entities. A copy of all Addendum issued must be signed and returned with your proposal. 1.6 EXAMINATION OF DOCUMENTS AND REQUIREMENTS Proposing Entities shall carefully examine all RFP documents and thoroughly familiarize themselves with all provisions and requirements prior to submitting a proposal to ensure that the proposal meets the intent of this RFP. Before submitting a proposal, each Proposing Entity shall be responsible for making all investigations and examinations that are necessary to ascertain conditions and requirements effecting the requirements of this RFP. Failure to make such investigations and examinations shall not relieve the Proposing Entity from an obligation to comply, in every detail, with all provisions and requirements of the RFP. 1.7 CONFLICT OF INTEREST The Proposing Entity shall not offer gifts or anything of value to, nor enter into any business arrangement with any employee, official or agent of the Authority.

6 Page 6 By signing their proposal, the Proposing Entity certifies and represents to the Authority that the Proposing Entity has not offered, conferred or agreed to confer any pecuniary benefit or other thing of value for the receipt of special treatment, advantaged information, recipient s decision, opinion, recommendation, vote or any other exercise of discretion concerning this RFP. 2.0 SCOPE OF AGREEMENT 2.1 SCOPE OF SERVICES The Allegheny County Airport Authority seeks proposals from qualified firms to provide Insurance Brokerage and Consulting Services for the marketing and placement of its consolidated insurance program (consisting of liability, automobile, public officials professional, crime, workers compensation, international travel, cyber, and property insurance services) and other insurance-related services required at Pittsburgh International and Allegheny County Airports. A. The successful Proposing Entity in close consultation with and at the direction of the Authority shall: 1. Develop underwriting and marketing strategies to competitively secure the best coverages at the most reasonable cost using retention, contractual transfer, or other risk financing techniques consistent with the Authority s instructions. 2. Identify viable insurance markets for the Authority s program and present insurers proposals for the Authority s consideration. i. Review planning report and marketing plan with the Authority prior to approaching insurers. 3. Request quotations for specified program, respond to the underwriters questions, and compile information in order for them to be able to fairly evaluate their exposures. 4. Review insurance proposals (both new policies and renewal policies) for accuracy and conformity to specifications and negotiated coverages. Compare to prior year s policies and advise Authority of changes in policy form or coverage. Recommend policy coverage or language changes as needed. Request modifications from the insurer upon the Authority s concurrence. 5. Analyze and negotiate renewals and obtain competitive bids from the insurance industry in order to negotiate the best terms and coverage from the various vendors. Present all alternatives to the Authority in a timely manner. 6. Provide insurance summaries of each policy which will include all pertinent information regarding limits, deductibles, perils, exclusions, etc. 7. Bind, cancel, and administer all placements, binders, policies, and endorsements as requested in the timetable specified by the Authority.

Monitor the published financial information of Authority s insurers and alert the Authority when the status of one or more of such insurers falls below the Authority s minimum financial guidelines. 9. Issue and/or facilitate issuance of premium invoices/requests for payment from the underwriting insurer. 10. Meet with the Authority and/ or participate in meetings and presentations regarding insurance-related issues to advise of any market trends and industry conditions in terms of capacity, pricing and limitations or extensions of coverages as needed. 11. The successful Proposing Entity will be required to provide certificates of insurance and auto ID cards as appropriate. The ACAA currently issues few certificates of insurance, however, for those issued, the firm will be required to verify the legitimacy of the request, add special wording, when applicable, such as naming landlords, customers and other parties who have a need to be included as either loss payees and/or additional named insured, conduct an annual review of certificates of insurance that have been issued in order to determine if they are still required. 12. Special Events the successful Proposing Entity should be able to assist in setting up insurance standards and comment on risk appetite for special events held on ACAA property (i.e. air-shows, etc.) 13. Review and evaluate all leases and contracts as requested by the ACAA and comment as necessary on insurance coverages and limits. Agreements in force are airline agreements, parking lot management, terminal concessions including rental car agencies, mineral rights, easements, corporate aircraft and maintenance hangars, and airport operations field/maintenance support facilities. 14. The successful Proposing Entity should specifically be able to comment on the adequacy of insurance requirements for new tenants / contractors or service providers on an as needed basis and assist in developing lease insurance requirements. 15. Assist the Authority in creating relationships with insurance companies underwriting and loss prevention specialists. i. When available schedule insurer liability loss prevention inspections with insurer(s). ii. Coordinate insurer property, boiler and machinery inspections. iii. Arrange for in person meetings with insurer underwriters responsible for the Authority s account. iv. Provide designated safety and loss prevention services to review exposures and strengthen the overall program. 16. Provide claims management services. Examples of services that may be requested are: i. Facilitate claim notification to insurers. ii. Intercede in claims disputes. iii. Become a resource for handling special claim issues. 17. Analyze, assemble, and maintain claims and loss data from all previous and current insurers and the Authority. Present loss analysis reports as requested by the Authority.

8 Page Semi-annual loss reports (preferably electronic) for all lines complete with a status report of all open claims. 19. As requested by the Authority review ongoing property, casualty, professional and technology exposures. Assist in analyzing exposures for maximum probable loss and gaps in coverage; recommend strategies for dealing with these conditions. i. Create annual description and assessment of operational and management risks and incorporate into a planning report. ii. Include benchmarking information for all policies on premiums and limits in same document. 20. Present information as subject matter experts at meetings including, but not limited to, Board Meetings and Departmental Meetings. 21. Within 60 days after award, the successful Proposing Entity shall conduct a review of Pittsburgh International Airport operations to identify potential hazards, risks, liabilities and claims potential. The successful Proposing Entity shall prepare a comprehensive risk analysis report that includes a formal summary of all findings and recommendations. The report must be submitted to ACAA for review no later than 120 days after award. 22. Provide risk control services to reduce risk at key locations within the organization as requested. Services shall include, but not limited to, evaluating risk management programs, recommending risk enhancements, identifying deficiencies and prioritizing improvement, monitoring programs for effectiveness, safety manual critique, casualty and property surveys, disaster planning and business continuity planning. Assistance in the development of alternative strategies to reduce risk to assets and resources. 23. Describe resources available for benchmarking with other public entities and airports. Identify all sources of revenue on any provided services/placements (new and renewal) including and not limited to, fees, commissions, contingency fees, bonus, or profit sharing arrangements. 24. If the successful Proposing Entity desires to change the Management Plan (key personnel or responsibilities), as presented in the Contractor s proposal, the Board reserves the right to approve or disapprove such changes. Likewise, Board reserves the right to approve or disapprove changes to any other significant aspects of the proposal. 25. All insurance policies are to be placed with insurance companies that have an A.M. Best rating of at least A- with a financial size category rating of at least XI. All carriers must be licensed to do business in the Commonwealth of Pennsylvania. 2.2 RESPONSE TO SCOPE OF SERVICES This is the Proposing Entity s primary opportunity to distinguish itself from the competition. In other words, this is the Proposing Entity s opportunity to tell the Authority about your expertise and experience with other similar airports/public entities/agreements/exposures, etc. The response should be done in the form of a clear, concise narrative, using and following the headings given, to tell the evaluator what you will do beyond the stated requirement.

9 Page 9 For ease of evaluation (readability), any materials you wish to provide as examples should be appended, with a reference to the appendix in the response. 2.3 SCOPE OF PROPOSAL A. Proposal Submission/Format: 1. Deadline for proposal submission shall be no later than 4:30 P.M. prevailing time on April 27 th, Failure of a delivery service shall not be deemed cause for acceptance of a late proposal. 2. Include a table of contents with tabs, following with Attachments/Exhibits. Letters/numbers given, with pages numbered sequentially in each tabbed section. 3. Use 8.5 x 11 paper and 12 point Euphemia font. 4. Standard Three-Ring Binder. Everything must be contained within the binder. Use foldout; expensive and extensive binding is not required. Spiral Binding is not recommended. 5. Provide one (1) signed original proposal (clearly marked as such), four (4) exact copies and one electronic copy on CD. B. Response Materials Include the following tabbed sections. Arrange section documents as follows: 1. Proposing Entity s Information and Signature pages. (SEE ATTACHMENT A) 2. Proposing Entity s Proposed Financial Offer. (SEE ATTACHMENT B) 3. Proposing Entity and Parent Organization Information. (SEE ATTACHMENT C) 4. Proposing Entity s References as required. (SEE ATTACHMENT D) Failure of the Proposing Entity to provide the required submittals may be cause for rejection of RFP. 2.4 DISCLAIMERS The Authority is not required to request proposals for the Insurance Brokerage and Consulting Services described in the Request for Proposal because such Insurance Brokerage and Consulting Services are considered to be personal and/or professional services and, therefore, exempt from competitive bidding requirements. Any similarities between these procedures and the procedures for competitive bidding are purely coincidental and not intentional. The Authority reserves the right, at its sole discretion, to waive technical deficiencies. The Authority retains the right to amend by written Addendum or revision, any provisions of this RFP or its processes. The proposals submitted by the Proposing Entity become the property of the Authority and cannot be returned. The Authority is not obligated to respond to any proposal submitted or legally bound in any manner whatsoever by the submission of a proposal. Any and all proposals submitted as provided herein

10 Page 10 are subject to negotiation at the sole option of the Authority. No official, director, officer, agent or employee of the Authority will be charged personally or contractually liable by the Proposing Entity or any other party, due to any information supplied or negotiations conducted or not conducted regarding the RFP process and procedures set forth herein. 3.0 EVALUATION CRITERIA 3.1 EVALUATION PROCESS 1. All proposals are subject to be evaluated by ACAA representatives and an evaluation committee made up of ACAA department representatives. 2. Authority will evaluate submittals based on the overall combination of quality, price and various elements of required Insurance Brokerage and Consulting Services that in total are optimal relative to the Authority s needs and most advantageous. 3.2 ADDITIONAL INFORMATION 1. Proposing Entities to this RFP may be required to submit additional information that the Authority may deem necessary to further evaluate the Proposing Entity s qualifications. 3.3 AWARD CRITERIA-Shall include the following but not limited to: 1. Response format as required by this RFP. This category will be evaluated based on: a) Adequacy and completeness of proposal b) Compliance with the terms and conditions of the RFP c) Proposing Entity s understanding of Insurance Brokerage and Consulting Services. d) Plan and methodology to ensure compliance with, and achievement of scope of work/service tasks 2. Account Management. This category will be evaluated based on: a) Plans for managing insurance-related issues, reporting requirements, market trends and industry conditions as needed by the Authority. b) Description and samples of reports to communicate activities and results. These could include an annual comprehensive service report, quarterly service reports, insurance marketing reports, experience analysis reports, and other reports your firm customarily provides to clients. c) Description of the proposing entity s approach to succession planning and/or workforce planning including replacement of key personnel. d) The sufficiency of the financial resources and ability of the Proposing Entity to provide the Insurance Brokerage and Consulting Services. Proposing Entities shall submit the past three (3) years of financial statements prepared in accordance with generally accepted accounting principles. 3. Proposed Fees: This category will be evaluated based on: a) Value and reasonableness of fees.

11 Page Background and experience in providing like Insurance Brokerage and Consulting Services. a) Background and experience of Proposing Entity and team member personnel providing like Insurance Brokerage Services; rationale for selection of team members and their assigned roles b) Experience of the individual selected as primary manager of the contracted work; rationale for his/her selection. c) References which support prior experience and track record in providing similar Insurance Brokerage and Consulting Services. d) Description of means by which the brokerage firm is protected from errors and omissions committed by employees or other individuals within the firm. e) Description of each team member s professional accreditation with indication of specific steps taken to remain current with trends in the Risk Management profession and industry education. 5. Special. This category will be evaluated based on: a) OCIP Capabilities. b) DBE consideration. c) Any pertinent information which may be used in the Authority s selection process such as utilization of risk management information systems, loss control programs, actuarial services, etc. 6. Final Selection a) The ACAA shall award a contract to the top ranked Proposing Entity following successful negotiations. Should the negotiations not be successful, the ACAA shall enter negotiations with the next highest ranked firm. Selection is no guarantee of work and the resulting contract will be strictly non-exclusive. NOTE: ACAA reserves the right to make the award based upon the initial proposals submitted, without presentation or discussions. 3.4 MANDATORY REQUIREMENTS AND QUALIFICATIONS 1. Transmittal Letter to the Department of Business Development assuring: that proposal is in response to this RFP; proper entity name, ownership structure; identification of who will have corporate contract management responsibility; contact name, address, phone, fax, and ; representation that there is no pending legal action that would prohibit Proposing Entity from performing responsibilities under this Agreement; and, that individual signatory on this letter and proposal is duly authorized to submit on behalf of the Proposing Entity. 2. Active Broker s license in the State of Pennsylvania, free of Accusations, Orders to Show Cause, or Notices of Non-Compliance. Respondents are to confirm same in their proposal 3. Two principals or account executives working under this Agreement must demonstrate a minimum of ten (10) years experience in commercial lines of insurance and must have managed a public entity account. SPECIAL NOTE: Having managed at least one airport of similar or larger size in the past five years is desirable. 4. Identifying information and required data for entity, and all related entities as required (SEE ATTACHMENT C)

12 Page Proposals submitted in the appropriate number, format, and sequence, indexed as directed. 6. References as required (SEE ATTACHMENT D) 7. Proposal that is responsive both in content as well as format to the instructions in the RFP. 8. Respondents may be required to provide an oral presentation, followed by a question and answer session. The number of finalists to be selected for an oral presentation has not been determined; however, the number is not expected to exceed three. 9. The Authority reserves the right to award in part, to reject any and all proposals in whole or in part, and to waive technical defects, irregularities and omissions if, in its judgment, the best interests of the Authority shall not be served. 3.5 AWARD PROCESS A shortlist of Proposing Entities may be determined. Questions and/or clarifications may be submitted to development@flypittsburgh.com. These short-listed Proposing Entities may be scheduled for a structured oral presentation or interview. Any such presentations shall be at no cost to the Authority. The oral interview may be recorded or videotaped. At the end of the oral presentation/interview process, the evaluation of the shortlist respondents shall be completed. 4.0 TERMS OF AGREEMENT 4.1 TERM AND TYPE OF AGREEMENT AWARD 1. Provided the parties are able to reach an agreement on price, the Agreement shall remain in effect for five (5) years with (2) two, (1) year options to renew at the sole discretion of the ACAA. (SEE ATTACHMENT B) 2. Failure by the Proposing Entity to begin work at the time called for in the Agreement will constitute a material and substantial breach of Agreement. 3. The Authority reserves the right to award this Agreement to the Proposing Entity that demonstrates the best ability to fulfill the requirements of this RFP. 4. Proposing Entities who are deemed fully qualified and best suited among those submitting proposals MAY be requested to provide a presentation regarding their proposal. 5. The Proposing Entities should not assume that there will be any other opportunity, apart from the submitted proposal to state their offer. At the sole discretion of the Authority and in the best interest of the Authority further negotiation MAY be conducted, with any/all Proposing Entities. 5.0 GENERAL AIRPORT AND AIRLINE INFORMATION Pittsburgh International Airport is a world-class facility that accommodates more than eight million travelers in nearly 148,000 aircraft operations per year. With about 170 non-stop flights per day to 54 destinations, Pittsburgh International Airport is served by 11 commercial air carriers.

13 Page 13 Pittsburgh International Airport is operated and managed by the Allegheny County Airport Authority. Opened October 1, 1992, Pittsburgh International's Midfield Terminal brought a new vision to the region for domestic and international air travel. Designed to be the nation's best gateway to international commerce, PIT is within a 90-minute flight of 70 percent of North America's population. Allegheny County Airport is the seventh busiest airport in Pennsylvania. The number of operations nearly 60,000 takeoffs and landings per year. The Allegheny County Airport serves as the primary FAA designated reliever airport for Pittsburgh International Airport. In this role the airport supports a high volume business and corporate related activity. 6.0 GENERAL TERMS AND CONDITIONS 6.1 INSURANCE 1. The Proposing Entity shall, at its sole cost and expense maintain in effect the following insurance coverage s at all times during the term of the Agreement, and prior to the execution of this Agreement, shall deliver to the ACAA certificates setting forth required insurance. Each policy shall be endorsed to endeavor to provide for thirty (30) day written notice to the ACAA, in the event of termination, cancellation or material change in the terms of the Agreement. a) Workers compensation coverage as required by law. b) Comprehensive/commercial general liability insurance with a combined single limit of liability of ONE MILLION ($1,000,000) DOLLARS for bodily injury and property damage. The Authority and its Board of Directors shall be named as additional insured with the right of notice in the policy. c) Professional liability Coverage with ONE MILLION ($1,000,000) DOLLARS each occurrence limit and ONE MILLION ($1,000,000) DOLLARS aggregate limit. d) Comprehensive automobile insurance covering all owned, non-owned and hired motor vehicles with a combined single limit of not less than ONE MILLION ($1,000,000) DOLLARS for bodily injury and property damage. e) Proposing Entity agrees to comply with all safety recommendations made by the Authority or its Insurers. f) Neither party hereto shall be liable to the other party or to the insurer of other party claiming by way of subrogation through or under such other party with respect to any loss or damage to the extent that such other party shall be reimbursed or has the right to be reimbursed out of that party s property insurance coverage carried for such other party s protection with respect to such loss or damage. The provisions of this Subparagraph (f) shall apply only to the extent permitted by provisions of the insurance policy in question. g) Such other insurance in amounts and containing provisions as the Chief Executive Officer may reasonably, from time to time in his discretion, require. 2. The Chief Executive Officer, in his/her discretion, may modify or waive any of the foregoing requirements, and may approve such deductibles, as he/she deems appropriate. 6.2 ASSIGNABILITY The Proposing Entity shall have no right or power to assign or delegate any rights or duties of this

14 Page 14 Agreement without the prior written consent of the Allegheny County Airport Authority. Any assignment or delegation so permitted shall be subject to all of the terms, conditions, and other provisions of this RFP, and the Proposing Entity shall remain liable to the Authority with respect to all terms, conditions, and other provisions of this RFP to the same extent that the Proposing Entity would have remained had no assignment or delegation had been approved. 6.3 INDEMNITY The Proposing Entity shall indemnify and hold harmless the Authority Board, agents, representatives and employees from and against all claims and demands of third persons, just or unjust, for personal injuries (including death) or property damages including theft except by claims or demands arising out of the active negligence of the Authority, its employees, agents or representatives, but the Proposing Entity shall have the burden of proof to establish the same arising or alleged to arise out of the operations (including the failure to perform) of the Proposing Entity under the Agreement. Proposing Entity further agrees to protect, defend, indemnify, and hold harmless the Authority from and against any claims or liability for compensation under the Workmen s Compensation Act arising out of injuries sustained by any employees of Proposing Entity, or of any licensees, contractors, or sub-contractor of Proposing Entity. Proposing Entity s obligations to protect, defend, indemnify and hold harmless as set forth in this Paragraph, shall include any and all attorney s fees incurred by the Authority in the defense and/or handling of said suits, demands, judgments, liens, claims and the like, and all attorney s fees and investigation expenses incurred by the Authority in enforcing and/or obtaining compliance with the provisions of this RFP. 6.4 REJECTION OF PROPOSALS The Authority reserves the right to reject any and all proposals, and the right to waive any minor discrepancies in the RFP and submittals or Proposing Entity responses when deemed to be in the best interest of the Authority. 6.5 REQUEST FOR PROPOSAL DOCUMENTS Proposing Entity shall submit one (1) signed original, four (4) exact hard copies, and one (1) electronic copy on CD, of this Request for Proposal. 6.6 REQUEST FOR PROPOSAL SUBMITTALS Failure of the Proposing Entity to provide the required submittals will be cause for rejection of Request for Proposal. 6.7 DISADVANTAGE BUSINESS ENTERPRISES Proposing entities should submit a detailed summary of their Disadvantaged Business Enterprise (DBE) Plan, if any. ACAA is committed to providing maximum opportunity for Disadvantaged Business Enterprises to participate in construction activities and concessions at PIT.
