Washington, D.C Re: Steckman Ridge, LP, Docket No. RP Dear Ms. Bose: Steckman Ridge, LP ( Steckman Ridge ) submits herewith for filing as part of its FERC Gas Tariff, ( Tariff ), an original and five (5) copies of the tariff sheets listed in Appendix A to be effective January 9, STATEMENT OF NATURE, REASONS AND BASIS The purpose of this filing is to make miscellaneous clean-up changes to various sections of the Tariff in order to prepare for the implementation of the Commission s electronic tariff filing requirements, as set forth in Order No. 714, 1 and the conversion of the Steckman Ridge Tariff from a sheet-based to a section-based tariff. None of the proposed modifications will result in any changes to the service provided by Steckman Ridge or to the rights and obligations of either Steckman Ridge or any Customer. Section Titles. Steckman Ridge is proposing to shorten the existing titles of Section 25 ( Policy for Construction of New Receipt or Delivery Facilities ) 2 and Section 32 ( Nondiscriminatory Waiver of Tariff Provisions and Non-waiver of Future Defaults ) 3 of the General Terms and Conditions ( GT&C ) of the Tariff so that the title of each of these sections will fit into the appropriate data field (which will be limited to 60 characters) as defined in the Instruction Manual. 4 As a related change, Steckman Ridge is proposing to modify the index for the GT&C 5 to reflect the revised section titles. Tables of Contents. Steckman Ridge is proposing to modify the Table of Contents 6 for the entire Tariff to duplicate the detailed information contained in the indexes for the GT&C and the Forms of Service Agreements. Steckman Ridge is also proposing to modify this Table of Contents to identify the currently effective rates as Statement of Rates and to correct an index name to read Forms of Service Agreement. In addition, Steckman Ridge is proposing to create Electronic Tariff Filings, 124 FERC 61,270 (2008) ( Order No. 714 ). Bose, Secretary Federal Energy Regulatory Commission December 9, 2009 Page 2 separate indexes that will appear immediately ahead of the Statement of Rates 7 and the Rate Schedules, 8 as applicable; these separate indexes reflect the same information as is shown on the Table of Contents for the entire Tariff. These changes will ensure that the Table of Contents for the entire Tariff fulfills the requirements of Section of the Commission s regulations, 18 C.F.R , while facilitating the use of the Tariff by providing additional references to the specific location of information within the Tariff. Finally, Steckman Ridge is proposing to modify the index to the Forms of Service Agreement to conform it to the title shown on the Table of Contents for the entire tariff. 9 PROPOSED EFFECTIVE DATE The revised tariff sheets filed herewith reflect a proposed effective date of January 9, Steckman Ridge respectfully requests any waivers that may be required for the Commission to accept the revised tariff sheets filed herein to become effective as of January 9, IMPLEMENTATION Pursuant to Section 154.7(a)(9) of the Commission s regulations, 18 C.F.R (a)(9), Steckman Ridge files this motion to place the revised tariff sheets filed herein into effect at the expiration of any suspension period set by the Commission, provided that the tariff changes are approved as filed and without condition. In the event the tariff sheets filed herewith are not approved as filed and without condition, Steckman Ridge reserves the right to file a motion at a later date to place such tariff sheets into effect. COMPLIANCE WITH REGULATIONS In accordance with Section (b) of the Commission s regulations, 18 C.F.R (b), Steckman Ridge is filing its proposed tariff sheets on a 3½-inch diskette with the file name TF ASC. In compliance with Section (a) of the Commission s regulations, 18 C.F.R (a), an original and five copies of a marked version of the proposed tariff sheets showing additions to and deletions from the currently effective tariff sheets are attached. CONSTRUCTION OF NEW RECEIPT OR DELIVERY FACILITIES 25.1 All requests for new interconnects must be made in writing. A party requesting the new interconnect shall reimburse Steckman Ridge or cause Steckman Ridge to be reimbursed for any and all reasonable costs and expenses incurred in constructing, establishing or modifying the facilities required to establish a new interconnection on existing facilities for receipt or delivery of Gas hereunder. In the alternative, the party requesting the interconnect may perform the construction at its own cost in compliance with Steckman Ridge's technical requirements. In addition to the above requirements, Steckman Ridge will agree to construct a new interconnect or modify an existing interconnect on the following terms: (a) (b) (c) (d) (e) (f) (g) (h) The construction of the new interconnect will not create any significant operational problems for Steckman Ridge; The proposed interconnect will not adversely affect the rendition of existing service or adversely alter the operation of its facilities; The new interconnect must be at a mutually agreeable location; provided, however, that Steckman Ridge may not deny a Customer's request for specific placement of the interconnect without adequate operational, environmental, or legal justification; In order to properly and prudently design and size the new interconnect, Steckman Ridge must be provided with reasonable and reliable data concerning the interconnecting facilities, including delivery pressures, and anticipated hourly, daily, monthly and annual volume levels of the service that supports the new interconnect and such other data as is reasonably required to construct the interconnect facility; The new interconnect must not result in any minimum pressure receipt or delivery requirement by Steckman Ridge unless Steckman Ridge agrees otherwise, such agreement shall not be unreasonably withheld, and Steckman Ridge shall not be responsible for any downstream parties' facilities, the operation or maintenance of such facilities, or the delivery of any unauthorized volumes to the facilities; The service supporting the interconnect as well as the construction of the new facilities must conform with the provisions of Steckman Ridge's currently effective FERC Gas Tariff as well as applicable regulatory requirements; The proposed interconnect must not cause Steckman Ridge to be in violation of any applicable environmental or safety laws or regulations with respect to the facilities required to establish an interconnect with Steckman Ridge's existing facilities; and The proposed interconnect must not cause Steckman Ridge to be in violation of its right-of-way agreements or any other contractual obligations with respect to the interconnect facilities. CONSTRUCTION OF NEW RECEIPT OR DELIVERY FACILITIES (continued) 25.2 Except as provided in Section 25.4 herein, Customer shall reimburse Steckman Ridge for (a) the costs of any facilities installed by Steckman Ridge with Customer's consent to receive, measure, store or deliver natural Gas for Customer's account and (b) any and all filings and approval fees required in connection with Customer's Service Agreement that Steckman Ridge is obligated to pay to the Commission or any other governmental authority having jurisdiction Any reimbursement due Steckman Ridge by Customer pursuant to Sections 25.1 or 25.2 shall be due and payable to Steckman Ridge within ten (10) days of receipt by Customer of Steckman Ridge's invoice(s) for same; provided, however, subject to Steckman Ridge's consent, such reimbursement, plus carrying charges thereon, may be amortized over a mutually agreeable period not to extend beyond the primary term of the Service Agreement between Steckman Ridge and Customer. Carrying charges shall be computed utilizing interest factors acceptable to both Steckman Ridge and Customer Steckman Ridge may waive from time to time, at its discretion, all or a portion of the facility cost reimbursement requirement set forth in Section 25.2 for Rate Schedules FSS, EPS, ELS, ISS, IPS and ILS if Customer provides Steckman Ridge adequate assurances to make construction of the facilities economical to Steckman Ridge. All requests for waiver shall be handled by Steckman Ridge in a manner which is not unduly discriminatory. For purposes of determining whether a project is economical, Steckman Ridge will evaluate projects on the basis of various economic criteria, which will include the estimated cost of the facilities, operating and maintenance as well as administrative and general expenses attributable to the facilities, the revenues Steckman Ridge estimates will be generated as a result of such construction, and the availability of capital funds on terms and conditions acceptable to Steckman Ridge. In estimating the revenues to be generated, Steckman Ridge will evaluate the existence of capacity limitations downstream of the facilities, the marketability of the capacity, the interruptible versus the firm nature of the service, and other similar factors which impact whether the available capacity will actually be utilized. 14 Steckman Ridge, LP FERC Gas Tariff First Revised Sheet No. 290 Superseding Original Sheet No NOTICES GENERAL TERMS AND CONDITIONS (Continued) Any notice, request, demand, or statement provided for in Customer's Service Agreement, except as otherwise herein provided, shall be given in writing, delivered in person, by United States Mail, to the parties at the addresses shown in Customer's Service Agreement or at such other addresses as may hereafter be furnished to the other party in writing. Such notice may also be provided via to Customer. 31. JOINT OBLIGATIONS When Customer under a Service Agreement consists of two or more persons, the obligations of such persons under such Service Agreement shall be joint and several and, except as otherwise provided, any action provided to be taken by Customer shall be taken by such persons jointly. 32. NON-DISCRIMINATORY WAIVER OF TARIFF PROVISIONS Steckman Ridge may waive any of its rights hereunder or any obligations of Customer on a basis which is not unduly discriminatory; provided that no waiver by either Customer or Steckman Ridge of any one or more defaults by the other in the performance of any provision of the Service Agreement between Customer and Steckman Ridge shall operate or be construed as a waiver of any future default or defaults, whether of a like or of a different character. 33. MODIFICATION No modification to the terms and provisions of any Service Agreement or exhibit thereto shall be or become effective except by the execution of a superseding Service Agreement or exhibit thereto. 34. SUCCESSORS IN INTEREST Any company which shall succeed by purchase, merger, consolidation or otherwise to the properties substantially or in the entirety, of Steckman Ridge or of Customer, used or intended to be used for rendering service authorized by the Commission, shall be entitled to the rights and shall be subject to the obligations of its predecessors in title under a Service Agreement. In accordance with the capacity release procedures set forth in Section 5 of the General Terms and Conditions, Customer may, without relieving itself of its obligations under such Service Agreement, assign any of its rights and obligations thereunder to another Customer, but otherwise no assignment of such Service Agreement, or of any of the rights or obligations thereunder, shall be made unless there first shall have been obtained the consent thereto of Steckman Ridge, in the event of any assignment by Customer, or the consent thereto of Customer, in the event of an assignment by Steckman Ridge. These restrictions on assignment shall not in any way prevent any party from pledging or mortgaging its rights under a Service Agreement as security for its indebtedness. Issued by: J. K. POLICY FOR CONSTRUCTION OF NEW RECEIPT OR DELIVERY FACILITIES 25.1 All requests for new interconnects must be made in writing. A party requesting the new interconnect shall reimburse Steckman Ridge or cause Steckman Ridge to be reimbursed for any and all reasonable costs and expenses incurred in constructing, establishing or modifying the facilities required to establish a new interconnection on existing facilities for receipt or delivery of Gas hereunder. In the alternative, the party requesting the interconnect may perform the construction at its own cost in compliance with Steckman Ridge's technical requirements. In addition to the above requirements, Steckman Ridge will agree to construct a new interconnect or modify an existing interconnect on the following terms: (a) (b) (c) (d) (e) (f) (g) (h) The construction of the new interconnect will not create any significant operational problems for Steckman Ridge; The proposed interconnect will not adversely affect the rendition of existing service or adversely alter the operation of its facilities; The new interconnect must be at a mutually agreeable location; provided, however, that Steckman Ridge may not deny a Customer's request for specific placement of the interconnect without adequate operational, environmental, or legal justification; In order to properly and prudently design and size the new interconnect, Steckman Ridge must be provided with reasonable and reliable data concerning the interconnecting facilities, including delivery pressures, and anticipated hourly, daily, monthly and annual volume levels of the service that supports the new interconnect and such other data as is reasonably required to construct the interconnect facility; The new interconnect must not result in any minimum pressure receipt or delivery requirement by Steckman Ridge unless Steckman Ridge agrees otherwise, such agreement shall not be unreasonably withheld, and Steckman Ridge shall not be responsible for any downstream parties' facilities, the operation or maintenance of such facilities, or the delivery of any unauthorized volumes to the facilities; The service supporting the interconnect as well as the construction of the new facilities must conform with the provisions of Steckman Ridge's currently effective FERC Gas Tariff as well as applicable regulatory requirements; The proposed interconnect must not cause Steckman Ridge to be in violation of any applicable environmental or safety laws or regulations with respect to the facilities required to establish an interconnect with Steckman Ridge's existing facilities; and The proposed interconnect must not cause Steckman Ridge to be in violation of its right-of-way agreements or any other contractual obligations with respect to the interconnect facilities.

POLICY FOR CONSTRUCTION OF NEW RECEIPT OR DELIVERY FACILITIES (continued) 25.2 Except as provided in Section 25.4 herein, Customer shall reimburse Steckman Ridge for (a) the costs of any facilities installed by Steckman Ridge with Customer's consent to receive, measure, store or deliver natural Gas for Customer's account and (b) any and all filings and approval fees required in connection with Customer's Service Agreement that Steckman Ridge is obligated to pay to the Commission or any other governmental authority having jurisdiction Any reimbursement due Steckman Ridge by Customer pursuant to Sections 25.1 or 25.2 shall be due and payable to Steckman Ridge within ten (10) days of receipt by Customer of Steckman Ridge's invoice(s) for same; provided, however, subject to Steckman Ridge's consent, such reimbursement, plus carrying charges thereon, may be amortized over a mutually agreeable period not to extend beyond the primary term of the Service Agreement between Steckman Ridge and Customer. Carrying charges shall be computed utilizing interest factors acceptable to both Steckman Ridge and Customer Steckman Ridge may waive from time to time, at its discretion, all or a portion of the facility cost reimbursement requirement set forth in Section 25.2 for Rate Schedules FSS, EPS, ELS, ISS, IPS and ILS if Customer provides Steckman Ridge adequate assurances to make construction of the facilities economical to Steckman Ridge. All requests for waiver shall be handled by Steckman Ridge in a manner which is not unduly discriminatory. For purposes of determining whether a project is economical, Steckman Ridge will evaluate projects on the basis of various economic criteria, which will include the estimated cost of the facilities, operating and maintenance as well as administrative and general expenses attributable to the facilities, the revenues Steckman Ridge estimates will be generated as a result of such construction, and the availability of capital funds on terms and conditions acceptable to Steckman Ridge. In estimating the revenues to be generated, Steckman Ridge will evaluate the existence of capacity limitations downstream of the facilities, the marketability of the capacity, the interruptible versus the firm nature of the service, and other similar factors which impact whether the available capacity will actually be utilized.

26 Steckman Ridge, LP First Revised Sheet No. 290 Original Sheet No. 290 Effective: April 1, 2009 Issued: February 24, 2009 Page NOTICES GENERAL TERMS AND CONDITIONS (Continued) Any notice, request, demand, or statement provided for in Customer's Service Agreement, except as otherwise herein provided, shall be given in writing, delivered in person, by United States Mail, to the parties at the addresses shown in Customer's Service Agreement or at such other addresses as may hereafter be furnished to the other party in writing. Such notice may also be provided via to Customer. 31. JOINT OBLIGATIONS When Customer under a Service Agreement consists of two or more persons, the obligations of such persons under such Service Agreement shall be joint and several and, except as otherwise provided, any action provided to be taken by Customer shall be taken by such persons jointly. 32. NON-DISCRIMINATORY WAIVER OF TARIFF PROVISIONS AND NON-WAIVER OF FUTURE DEFAULTS Steckman Ridge may waive any of its rights hereunder or any obligations of Customer on a basis which is not unduly discriminatory; provided that no waiver by either Customer or Steckman Ridge of any one or more defaults by the other in the performance of any provision of the Service Agreement between Customer and Steckman Ridge shall operate or be construed as a waiver of any future default or defaults, whether of a like or of a different character. 33. MODIFICATION No modification to the terms and provisions of any Service Agreement or exhibit thereto shall be or become effective except by the execution of a superseding Service Agreement or exhibit thereto. 34. SUCCESSORS IN INTEREST Any company which shall succeed by purchase, merger, consolidation or otherwise to the properties substantially or in the entirety, of Steckman Ridge or of Customer, used or intended to be used for rendering service authorized by the Commission, shall be entitled to the rights and shall be subject to the obligations of its predecessors in title under a Service Agreement. In accordance with the capacity release procedures set forth in Section 5 of the General Terms and Conditions, Customer may, without relieving itself of its obligations under such Service Agreement, assign any of its rights and obligations thereunder to another Customer, but otherwise no assignment of such Service Agreement, or of any of the rights or obligations thereunder, shall be made unless there first shall have been obtained the consent thereto of Steckman Ridge, in the event of any assignment by Customer, or the consent thereto of Customer, in the event of an assignment by Steckman Ridge. These restrictions on assignment shall not in any way prevent any party from pledging or mortgaging its rights under a Service Agreement as security for its indebtedness.
