1 Fiscal Services Department Purchasing Phone Fillmore Street - Room West Olive, Michigan Fax ?? purchasing.rfp@miottawa.org REQUEST FOR PROPOSAL #18-27 RETIREMENT 457 PLAN PROVIDER Ottawa County is soliciting proposals from qualified professional firms to provide 457 deferred compensation plan administrative and recordkeeping services for professional services including but not limited to administration, recordkeeping, participant education and communication for the County s 457 Deferred Compensation Plan. The County is interested in also offering the option of a Roth IRA, not Roth 457, though this is not required. The County s primary objective for this request is to diversify and expand offerings while ensuring service fees charged to Participants remains low. This RFP shall serve as a tool to formalize negotiations and enter into a contract with any number of chosen provider(s), as applicable, and in the best interest of the County and of Plan Participants. Proposals are to be submitted no later than 2:00 P.M., EST on Friday, July 20, Proposals received after this time will not be considered. All requests for additional information or questions should be directed to Amy Bodbyl-Mast, purchasing.rfp@miottawa.org. Detailed instructions for the completion of the proposal are contained in this request for proposal (RFP). The County of Ottawa officially distributes bid documents through the Michigan Intergovernmental Trade Network (MITN) Purchasing Group, website and on the County s website at Copies of bid documents obtained from any other sources are not considered official copies. Ottawa County reserves the right to award the contract to the lowest, most responsive and responsible bidder. The County further reserves the right to consider matters such as, but not limited to quality offered, delivery terms, budget requirements, location, and service reputation of the bidder, in determining the most advantageous proposal and reserves the right to reject any and all proposals.

3 1. PROPOSAL SUBMISSION Proposals must be received by 2:00 P.M., EST on Friday, July 20, Proposals received after this time will not be considered. Proposals will be accepted by either hard-copy or submission, as follows: Hard-Copy Proposal Submission: Hard copy proposals should include one (1) original bid response on paper, one (1) additional bid response copy, on paper and one (1) digital copy of the bid response on a USB Flash Drive (preferably in PDF Format). The digital files submitted should not be password-protected and should be capable of being copied to other media. Vendor to assume all risk associated with electronic submission (including all possible technical issues) and deems the County and its service provider harmless and without fault regardless the reason. Modifications No oral, telephonic, telegraphic, telefax or computer modem proposals or modifications shall be considered. Information not specific to this RFP should be omitted. Additional Services A description of any additional services related to the work of this contract, if any, which the Proposer will offer to the County that relate to the work of this contract, but are not specifically required. At the discretion of the Evaluation Committee, any additional services proposed may be a factor of consideration when selecting a vendor. 3 Page

PRE-PROPOSAL MEETING Representatives from the County s Human Resources and Fiscal Services departments will host a pre-proposal meeting at the date/time and location below: Friday, June 29, 2018 at 11:00 A.M., EST Ottawa County Fillmore Complex, Main Conference Room Fillmore St., West Olive, Michigan Attendance is highly recommended as meeting attendees will have the opportunity to request clarification of any section of the RFP and ask any other questions relating to the County s 457 Plan services requirements. Any responses provided during the pre proposal meeting will be considered drafts, and will be non binding. Final answers to questions submitted prior to the Receipt of Questions deadline and released by Addendum will be considered official and final. Remarks and explanations at the conference shall not qualify the terms of the RFP; and terms of the RFP and specifications remain unchanged unless amended in writing. 3. QUESTIONS Vendors may submit questions and requests for clarification regarding this RFP until Thursday, July 5, 2018 by 5:00 P.M., EST. Vendors are encouraged to initiate preparation of proposals immediately upon receipt of this RFP so that all relevant questions and information needs can be identified and answered in a manner that provides adequate time to prepare a comprehensive and complete response. Responses to all questions and inquiries received by the County will be issued Monday, July 9, 2018 by 5:00 P.M., EST in the form of an Addendum and posted on the MITN and on the County s website. It shall be the Bidders responsibility to ensure they have received all addenda before submitting a proposal. GENERAL INFORMATION Ottawa County maintains an IRS Code 457 Deferred Compensation Plan, currently utilizing two (2) different providers: Empower Retirement and Public Employers Retirement Trust (PERT). The providers have been in place for many years and without significant change to available options. The County is interested in diversifying and expanding offerings while ensuring service fees charged to Participants remain low. Currently, 60% of eligible employees contribute to one of the two available plans; 93% select Empower and 7% select PERT. General 457 Plan Information: Eligible Employees: 837 Active (contributing) Participants: 504 Total Contributions per month: $163,271 Total Match per month: $36,003 Estimated Total Assets: Over $53 million Frequency that the County processes and provides payroll checks: bi-weekly Frequency contributions will be made to the Plan: bi-weekly Payroll systems used by the County: Munis 5. SCOPE OF SERVICES While the exact range and scope of services might be modified through negotiation and/or by written addendum to any agreement for services, it is expected that the selected bidder will, at a minimum, provide the dedicated staff and resources required for the following: A. Administration and Recordkeeping: Assist and provide guidance to employer in establishing the existing 457 plan, as needed. Determine eligibility of employees and independent contractors for participation in the plan. Determine the eligibility of Participants to receive benefits under the 457 plan pursuant to information provided by employer, the employer s established procedures, and the 457 Plan Documents and Adoption Agreements. Determine the maximum allowable amounts to be contributed to the plan, whether by salary reduction or by employer contribution. Authorize and direct the provider with respect to all disbursements to which a 457 Participant is entitled under the plan. Loans are not to be included in this plan. Maintain all necessary records for the administration of the plans. Assist Participants regarding their rights, benefits, or elections available under the Plan 5 Page

6 B. Participant Education and Communication: Education and Communication materials should be easily understood by Participants at all levels. Educational materials should be available in a variety of formats including but not limited to written media, website, blast, etc. Representative assigned to the County will be available for one-on-one participant consultations up to four times per year and is responsive to questions from participants all year. Maintain Plan website with unique user-id login access for account information and investment changes, educational materials and Plan communications. Communication and education program to illustrate the benefits, features, and options available through the 457 Plan offering. The program should provide guidance on investment basics, including but not limited to investment objective, investment strategy, asset category and/or management style. Asset classes and funds offered can be used by Participants with different risk/return profiles. C. IRS Compliance: Establish and maintain practices and procedures necessary to administer the plan consistent with the Internal Revenue Code (IRC) and with the terms of the 457 Plan Documents and Adoption Agreement Provide compliance, oversight and services for the 457 Plan. Responsible for all 457 plan assets, including withdrawals on a forward basis. D. Investment Diversity: Plan participants are unique and diverse in terms of their ages, Individual circumstances, investment time horizons, personal investment objectives, and tolerance for risk. Participants should be able to diversify their respective accounts according to their individual investment profiles and personal wishes. The County is seeking a plan in which all compensation to the Provider is paid by the Plan Participants. It is preferred, but not required, that all 457 Plan costs be paid by Participants on an asset-based formula. Fees for Participant generated transactions, i.e. distributions, from the Plan may be charged to the individual Participant accounts. Plan must provide a broad range of professionally managed investment alternatives that span the risk/return spectrum. Available offerings must be diverse from one another in terms of investment objective, investment strategy, asset category and/or management style. Plan must provide either model portfolios or target date funds. The County is seeking to offer a Roth IRA (not Roth 457) to employees, in addition to the 457 Plan. 6 Page

7 6. MINIMUM QUALIFICATIONS Proposing firms must meet the following requirements: The firm must have at least three (3) years of experience administering Section 457 retirement plans and must administer a minimum of ten (10) governmental section 457 plans with assets of $10 million or more. The firm must provide for the compliance needs of the 457 Plan, including required compliance testing and reporting. The firm must agree to provide a fee structure based solely on 457 Plan assets. Any contract entered into by the County must stipulate that there will be no front-end charges, and no back-end charges or market value adjustments of any kind. The firm must agree there will be no restrictions or penalties on Participant transfers or withdrawals, with the possible exception of stable-value wash provisions. The firm must agree to provide an open/flexible investment platform that provides for nonproprietary as well as proprietary funds. Core investment options will be mutual funds with readily available expense ratios and daily NAV pricing (with the possible exception of a Stable Value Fund option). Firm to disclose the total amount of revenue received from Plan assets and any vendors also serving the 457 plan. Upon award of the contract, the winning firm must have been or must become duly qualified to do business in the state of Michigan. The firm must have knowledge of and comply with all applicable Michigan and federal regulations regarding governmental retirement plans and investment options. 7. PROPOSAL SELECTION AND AWARD PROCESS An Evaluation Committee(s) will be established by the County to review the proposals and to make a recommendation for contract award. Proposals will be scored using the criteria outlined below. A proposer may not contact any member of an evaluation committee except at the RFP Administrator s direction. A. Organizational Capacity and Capability (25 points): Respondent to provide a list of three (3) references for comparable projects/services, as described above. Vendor must be financially stable and demonstrate substantial experience in providing the services that the County is seeking. The vendor should have demonstrated substantial experience with similar size 457 Plans. B. Participant Communication and Education (25 points): Education and communication materials should be easily understood by Participants at all levels and accessible in a variety of formats (written media, website, blast, et cetera). C. Investment Program (25 points): The Plan must provide a broad range of professionally managed investment alternatives that span the risk/return spectrum and are diverse from one 7 Page

8 another in terms of investment objective, investment strategy, asset category and/or management style. The Plan will provide either model portfolios or target date funds. Ability to offer a Roth IRA in addition is preferred. D. Costs / Fees Proposed (25 points): The County wants to make sure costs are reasonable for the benefits and features being provided and that all fees and expenses are clearly spelled out. The County is seeking a plan in which all compensation to the Provider is paid by the Plan Participants. 8. INCURRED EXPENSES/CONFIDENTIALITY The County shall not be responsible for any cost or expense incurred by the proposers preparing and submitting a proposal or cost associated with meetings and evaluations of proposals prior to execution of an agreement. All proposals, (including attachments, supporting documentation, supplementary materials, addenda, and other) shall become the property of the County and will not be returned to the Proposer. 9. RESERVATION OF RIGHTS Ottawa County reserves the right to interview any number of qualifying firm(s) and/or consultant(s) as part of the evaluation and selection process. Ottawa County reserves the right to award a contract without an interview, as determined in the best interest of Ottawa County. Ottawa County reserves the right to select and recommend for award the proposed services which best meets its required needs, quality levels and budget constraints. All proposals are intended for the sole proprietary use of Ottawa County. Ottawa County reserves the right to accept or reject any or all submitted proposals for any reason or no reason. All bidders, by the submission of their proposal, agree not to seek any claim, compensation, damages, or any other consideration whatsoever. Ottawa County reserves the right to reject any and all proposals. 10. CONTRACT TERMS, PERIOD, PROCEDURES AND USE The selected contractor will be required to assume responsibility for all services offered in their proposal. Further, Ottawa County will consider the selected contractor the sole point of contact with regard to contractual matters, including payment of any and all charges resulting from the contract. All proposers are notified that the County reserves the right to delete or modify any task from the Scope of Work at any time during the course of the bid process and reserves the right to modify the scope of services during the course of the contract. Such modification may include adding or deleting any tasks this project will encompass and /or any modifications deemed necessary. Any changes in pricing or payment terms proposed by the Vendor resulting from the requested changes are subject to acceptance by the County. This contract is for the County use. Pricing reflects a commitment of the term indicated. 8 Page

The undersigned, having carefully read and considered the RFP to provide insurance agency services, does hereby offer to perform such services on behalf of the County in the manner described and subject to the terms and conditions set forth in the attached proposal, including, by reference here, the County s RFP document. Proposals must be signed by an official authorized to bind the provider to its provisions for at least a period of 90 days. By submission of a response, the Bidder agrees that at the time of submittal, he/she: (1) has no interest (including financial benefit, commission, finder s fee, or any other remuneration) and shall not acquire any interest, either direct or indirect, that would conflict in any manner or degree with the performance of Bidder s services, or (2) benefit from an award resulting in a Conflict of Interest. A Conflict of Interest shall include holding or retaining membership, or employment, on a board, elected office, department, division or bureau, or committee sanctioned by and/or governed by the County. Bidders shall identify any interests, and the individuals involved, on separate paper with the response and shall understand that the County, at its discretion may reject their proposal. By submission of a proposal the Bidder certifies, under civil penalty for false certification, that it is fully eligible to do so under law and that it is not an Iran linked business, as defined in the Michigan Economic Sanctions Act, 2012 P.A The Bidder affirms that he/she is duly authorized to execute this proposal, that this company, corporation, firm, partnership or individual has not prepared this proposal in collusion with any other bidder and that the contents of this proposal as to prices, terms or conditions have not been communicated by the undersigned, nor by any employee or agent, to any competitor, and will not be, prior to the award and the bidder has full authority to execute any resulting contract awarded as the result of, or on the basis of the proposal. 16 ATTACHMENT E - CERTIFICATION FOR INSURANCE AND INDEMNITY REQUIREMENTS COUNTY OF OTTAWA RFP #18-27 RETIREMENT 457 PLAN SERVICES County of Ottawa Potential Vendors must understand and agree that financial responsibility for claims or damages to any person or to companies and agents shall rest with the Vendor. The Vendor must affect and maintain any and all insurance coverage, including, but not limited to, Worker s Compensation, Employer s Liability and General, Contractual and Professional Liability, to support such financial obligations. The indemnification obligation, however, shall not be reduced in any way by existence or non existence, limitation, amount or type of damages, compensation or benefits payable under Worker s Compensation laws or other insurance. Compliance with Government Requirements the Vendor shall evidence satisfactory compliance for Unemployment Compensation and Social Security reporting as required by federal and state laws. Evidence of Insurance Evidence of Worker s Compensation and Employers Liability, Commercial General Liability and Automobile (if applicable) and Professional Liability (if applicable) Insurances shall be provided to the County by a certificate naming the County of Ottawa as an additional insured on general coverage and automobile liability and providing a waiver of subrogation on Worker s Compensation in favor of the County and certificate holder on all policies affording a thirty (30) day written notice of cancellation, non renewal, or known material change for the duration of the contract. The successful Vendor shall purchase and maintain policies of insurance and proof of financial responsibility to cover costs as may arrive from claims of tort, statutes, and benefits under Worker s Compensation laws, as respects damages to persons or property and third parties in such coverages and amounts as required and approved by the County. Acceptable proof of such coverage s shall be furnished to the County prior to service under the contract. The Vendor is indemnifying and holding harmless the County, its employees, agents and volunteers against and from all claims, judgments, losses, damages, payments, costs and expenses of every nature and description including attorney s fees arising out of or resulting from the Vendor s performance or nonperformance of the work described. Additional Insured Endorsement to the Commercial General Liability policy must accompany the certificate, OR the Certificate must state that the General Liability policy includes a blanket additional insured provision on the primary basis for any entity required by contract or agreement to be an additional insured. A certificate of insurance shall be submitted for review to the County for each successive period of coverage for the duration of this agreement.
