This is a unique opportunity to recruit FPE students from the comfort of your home or office. During the Virtual Career Fair, recruiters and members of your team can welcome highly educated candidates in your customized booth in a group setting as well as engage them in one-on-one chat. 4 By registering as a Sponsor to have virtual exhibit/booth space in the NFPA Fire Protection Virtual Career Fair (the Event ), you, as the sponsor identified in the Sponsorship Registration ( Sponsor ) hereby agree to the following terms of use and service ( Terms ): TERMS AND CONDITIONS 1. Date of the Event. The Event will be a fire protection virtual career fair on February 1, 2018 and will be attended by individuals who may be interested in learning about employment opportunities in fire protection engineering ( Participants ). 2. Binding Terms. Once the Sponsorship Registration is signed and received by NFPA, these Terms are considered binding on the Sponsor and fees are non-refundable. NFPA reserves the right, in its sole discretion, to reject any Sponsor. 3. Grant of License to Use Hosted Service. NFPA hereby grants to Sponsor and Sponsor accepts a revocable license to access the INXPO hosted service, which is the platform on which the Event will occur and through which the Sponsor and Participants will attend the Event ( Hosted Service ). 4. Reservation of Right. NFPA reserves the right, in its sole discretion, to change the site, hours or dates of the Event. NFPA will attempt to notify Sponsor of any such changes as far in advance as possible. 5. Payment. NFPA will invoice Sponsor for the fees for the Event ( Sponsorship Fee ). Payment is due net 30 days from the invoice date. Except as otherwise set forth herein, the Sponsorship Fee is nonrefundable. 6. Cancellation. In the event Sponsor wishes to cancel all or part of its participation in the Event, Sponsor must send notice of cancellation in writing to virtualevent@nfpa.org. Sponsor shall be liable for one-hundred percent (100%) of the total Sponsorship Fee irrespective of the reason for Sponsor s cancellation. In the event of cancellation by Sponsor, NFPA shall have the right to use Sponsor s allocated space/session to another Sponsor. NFPA s reallocation of Sponsor s space/session shall not excuse Sponsor from payment of the Sponsorship Fees assessed hereunder. NFPA reserves the right to cancel the Event or to terminate the Agreement for any reason at any time upon written notice to Sponsor. Upon cancellation or termination by NFPA, NFPA s sole liability to Sponsor, and Sponsor s exclusive remedy, shall be a refund of Subscription Fees paid by Sponsor under the Agreement. 7. No vetting of participants. NFPA has not reviewed or vetted any Event Participants in any way, including without limitation, minimum qualifications, background, education, employment and/or credentials and makes no claims, promises or guarantees about the Event Participants whatsoever. 8. Conduct of Sponsor. Sponsor agrees that it and its employees and agents (collectively, Sponsor ) will conduct itself, its booth/exhibit, content and session in a professional and respectful manner. In no event shall Sponsor engage in behavior that is or could be construed as distasteful, offensive, aggressive, obscene, libelous, defamatory or inappropriate. Sponsor shall not imply or infer any endorsement, sponsorship, association or affiliation of or with NFPA as a result of participation in this Event. If NFPA determined in its sole discretion that Sponsor has failed to comply with these Terms, Sponsor may be dismissed from Event without refund and without prior notice. 9. Compliance with NFPA Policies. Sponsor shall at all times comply with NFPA policies, including but not limited to NFPA s Privacy Policy, Nondiscrimination Policy and the NFPA Antitrust Policy. 10. Content. Subject to the terms of these Terms, Sponsor will provide content for inclusion in the virtual career booth or exhibit and in no event shall Sponsor share or publish content that would violate any law or any intellectual property rights of any third party. Sponsor acknowledges and agrees that NFPA in its sole discretion may delete or edit content that is inappropriate, misleading, or does not follow NFPA guidelines or policies or that fails to comply with these Terms or applicable law. In addition to the foregoing, Sponsor is expressly prohibited from submitting content that contains any computer viruses, worms, or other potentially damaging computer programs or files. Sponsor expressly agrees that NFPA shall have the right to hold the Event environment open on an on-demand basis for a period of three months from the Event date and make available publicly all prerecorded presentations, sessions, booths, content and materials without further implied or express permission from Sponsor. 11. Non-discrimination. Sponsor shall comply with the letter and spirit of all state and federal anti-discrimination laws and specifically agrees that it shall not discriminate on the basis of race, color, religious creed, national origin, sex (including pregnancy), gender identity, sexual orientation, genetic information, ancestry, status as a veteran, active military, criminal record inquiries (in compliance with Massachusetts law) and disability. In addition to and not in limitation of the foregoing, Sponsor shall comply with all such anti-discrimination laws with respect to current and prospective employees and related to hiring, promotion, discharge, pay, fringe benefits, job training, classification, referral and all other aspects of employment. 12. Compliance with Laws. Sponsor agrees to comply with all applicable laws, including but not limited to all state and federal employment practices related laws (such as Title VII of the Civil Rights Act of 1964, The Americans with Disabilities Act (as amended), the Age Discrimination in Employment Act of 1967, MGL ch.151b, MGL ch.149 section 148 et seq.,), all state and federal laws related to Sponsor s participation in the Event and use of the Hosted Service and any other laws related to these Terms. 13. Use of Intellectual Property. To the extent that Sponsor provides, publishes, displays, submits or otherwise transmits content, which may include, but is not limited to Sponsor s name, trademarks, logos and other of Sponsor s intellectual property, recorded video, pictures, posters, fliers and other Sponsor submitted materials)(collectively, Sponsor Content or content ), Sponsor hereby expressly grants to NFPA a worldwide, non-exclusive, royalty-free, irrevocable license to publish, modify, reproduce, display, distribute and use such content in connection with the Event as provided under these Terms without further notice or consent. Sponsor hereby warrants and represents the following: (i) the Sponsor Content is owned by Sponsor and/or Sponsor has obtained all consents, and possess all copyright, patent, trademark, trade secret and any other proprietary rights, or the necessary licenses thereto, to grant the licenses herein; (ii) if necessary Sponsor has the written consent of each and every identifiable natural person in your submission to use such persons name or likeness in the manner contemplated in connection with the Event and these Terms, and each such person has released Sponsor from any liability that may arise in relation to such use; (iv) Sponsor Content and NFPA s use thereof as contemplated by these

5 TERMS AND CONDITIONS Terms will not infringe any rights of any third party, including but not limited to any intellectual property rights, privacy rights and rights of publicity; (vi) Sponsor Content does not and will not contain: (a) material falsehoods or misrepresentations that could harm NFPA or any third party; (b) content that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing or encourages conduct that would be considered a criminal offense, give rise to civil liability or violate any law; (c) advertisements or solicitations of business; or (d) impersonations of third parties. 14. Website Linking. To the extent the Sponsor will be linking its website to NFPA s website [nfpa.org] or providing or publishing a link to NFPA s website, the nfpa.org link may only be used to transport a user from Sponsor s site directly to the NFPA site. To the extent the Sponsor is providing a hypertext link to the NFPA website, Sponsor agrees to support the functionality of any such hyperlinks to ensure links are not disabled or otherwise inaccessible as a result of Sponsor s mechanism for publishing such links. In addition to and not in limitation of the foregoing, Sponsor agrees to NFPA.org terms and conditions found at and privacy policy found at Release. In the event that you have a dispute with one or more other Sponsors or Participants related to the Event, you release NFPA (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. 16. Disclaimers & Limitation of Liability. SPONSOR S USE OF THE HOSTED SERVICE AND ATTENDANCE AT THE EVENT IS AT SPONSOR S OWN RISK. NFPA MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE EVENT, THE HOSTED SERVICES AND/OR THE PARTICIPANTS, AND SPECIFICALLY DISCLAIMS ANY WARRANTY AS TO NONINFRINGEMENT, OR THE SUITABILITY, RELIABILITY, TIMELINESS, QUALITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE EVENT OR THE HOSTED SERVICE OR ANY CONTENT DISPLAYED IN CONNECTION WITH THE EVENT. NFPA DOES NOT WARRANT THAT THE EVENT, HOSTED SERVICE AND/OR FUNCTIONALITIES CONTAINED IN THE HOSTED SERVICE WILL BE SECURE, UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS SITE OR THE SERVER THAT MAKES SUCH CONTENT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NFPA DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE CONTENTS IN THIS SITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. ADDITIONALLY, THE HOSTED SERVICES HEREUNDER ARE BEING DELIVERED OVER THE INTERNET, AND ACCORDINGLY, ARE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. NFPA IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, VIRUSES, HACKER INTRUSIONS OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS. NFPA EXPRESSLY DISCLAIMS LIABILITY FOR ANY PERSONAL INJURY, PROPERTY OR OTHER DAMAGES OF ANY NATURE AND KIND WHATSOEVER, WHETHER INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES ARISING DIRECTLY OR INDIRECTLY IN CONNECTION WITH SPONSOR S ACCESS TO, USE OF, OR PARTICIPATION IN THE EVENT, ANY CONTENT DISPLAYED IN CONNECTION WITH THE EVENT OR ACTIONS OF A PARTICIPANT RELATED THERETO, WHETHER IN A CONTRACT ACTION OR BASED ON NEGLIGENCE, OR OTHER TORT ACTION, OR ANY OTHER CLAIM WHATSOEVER, EVEN IF NFPA OR A NFPA REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT APPLICABLE LAW DOES NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY. IN NO EVENT SHALL NFPA S LIABILITY HEREUNDER EXCEED THE SPONSORSHIP FEES PAID BY SPONSOR UNDER THESE TERMS. 17. Indemnification. Sponsor agrees to defend, indemnify, and hold harmless NFPA, including NFPA s directors, officer, employees, agents, subsidiaries and affiliates from and against any and all losses, liabilities, damages, judgments, awards, expenses, claims, actions, lawsuits and costs, including reasonable attorney's fees and other expenses that arise from or relate to claims or suits related to any violation of these Terms by Sponsor, or in connection with the use of the Hosted Service, Sponsor Content and/or or related to the Event. Notwithstanding anything to the contrary in this Agreement, the NFPA shall at all times have the right to fully participate in such defense at its own expense directly or through counsel. 18. Force Majeure. NFPA shall not be responsible for any loss or damage resulting from failure to perform under the Agreement or to conduct the Event as currently scheduled in whole or part as a result of riot, strike, civil disorder, act of war, failure of facilities, earthquake, storm, fire, flood, or other acts of God, or any reason of any kind what so ever beyond the reasonable control of NFPA. In such event, NFPA will make reasonable efforts to reschedule the Event. Notwithstanding any other terms or conditions of the Agreement, should it ultimately be impossible to hold the Event for a force majeure event, NFPA may retain or will be due such portion of the Sponsorship Fee as necessary to compensate NFPA for expenses reasonably incurred up to the time the force majeure event occurred. All payments in excess of such expenses shall be refunded. 19. No Assignment. The rights granted under these Terms are personal in nature. Sponsor may not undertake any assignment hereunder to any third party without the prior written consent of NFPA. 20. Governing Law; Venue. This Agreement is entered into and shall be governed by the laws of the Commonwealth of Massachusetts without regard to the conflict of law s provisions of the said Commonwealth; the parties agree to sole venue in the state or federal courts located in the Commonwealth of Massachusetts.
