1 EXPERT ENGAGEMENT LETTER - JUNE Introduction 1.1. These terms and conditions ( Terms & Conditions ) are entered into between you ( you, your, Advisor, Subject-matter expert, Consultant or Expert ) and Mintebi ApS ( Mintebi ), a Danish public limited liability company with company registration no. DK , with its principal place of business in Copenhagen, Denmark and governs your engagement with Mintebi and its Clients and your usage of the mintebi.com and app.mintebi.com websites ( The Website ) Upon registering a user through the Website and/or accepting a Consultation with a Mintebi Client as agreed over the phone or in person or via , you accept and agree to be bound by this Engagement Letter. Any and all of your engagements through Mintebi with its Clients are governed by this engagement letter You confirm that you are authorized to engage in Consultations as defined below and have obtained all approvals, permissions and consents required, including your employer s consent if required If you do not agree with any of the provisions in these Terms & Conditions, do not accept a Mintebi Consultation or use the Website This Engagement Letter and the Website are entered into in English. 2. Contact information and definitions 2.1. Mintebi can be contacted at: Mintebi ApS Dampfærgevej 9, Copenhagen Denmark mintebi@mintebi.com Telephone: (+45) Terms used in this Engagement Letter have the following meaning: Agreement means this Engagement Letter; Consultations you participate in and all other documents referred to in this Engagement Letter.; EXPERT ENGAGEMENT LETTER 1 of 9

2 Confidential Information means i) Consultation Material and ii) any information, whether in written or any other form (including oral information), which is defined as confidential or is clearly by its nature confidential including without limitation any and all information which concerns the business, finance organization or future plans of any and all clients of Mintebi ( clients ) and/or Mintebi (including the rates Mintebi agrees with you in respect of any Consultation). Such confidential information in regards to clients includes but is not limited to: information which (i) from all the relevant circumstances should reasonably be assumed to be confidential and proprietary to the client, (ii) any significant business information defined as trade secrets under either Massachusetts General Laws Chapter or the provisions of the Uniform Trade Secrets Act; (iii) any information related in any way to any past, present or prospective client of Mintebi (including the identity of such client); (iv) any material produced by Mintebi or You in reliance on or with reference to any other other Confidential information; (v) whether or not originated by Mintebi or its client is used in Mintebi s or its client s business acquired by or disclosed to You in any form save that, where such Confidential Information is (i) already in the public domain, or (ii) has been provided by a third party other than as a result of a breach of an obligation of confidentiality, or (iii) was known by You prior to the disclosure thereof, or (iv) it was independently developed by or for Mintebi or its client without the use of or reference to Confidential Information, then such information will not be regarded as confidential. Consultation means any type of consultation or discussion with Clients or potential Clients or with Mintebi regarding potential Clients and Consultations. Such Consultation(s) may take place remotely (including by telephone (including participation in conference calls), or other electronic messaging), in person (including attendance at roundtable meetings and private meetings) and/or involve the provision of information in writing such as reports and presentations within the scope pre-determined by Mintebi and/or you; Client means the organizations or individuals who engage Mintebi for the purposes of consulting with You or other Experts introduced by Mintebi. Intellectual Property means all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in goodwill or to sue for passing off, rights in designs, rights in computer software, database rights, topography rights, rights in confidential information and any other intellectual property rights, whether registered or unregistered, and including all applications and renewals in any part of the world; 3. Consultations 3.1. Mintebi, will request you to participate in Consultations with Clients relevant to your knowledge and expertise. By accepting a Consultation or other engagement offered or introduced to you through Mintebi, you confirm to Mintebi that at the date of your acceptance of it your biographical information provided to Mintebi remains true, accurate, not misleading in any way and current and EXPERT ENGAGEMENT LETTER 2 of 9

3 that you are acquainted with the subject matter and scope of the discussion planned for the Consultation You acknowledge and agree that when taking part in Consultations you shall be acting in your own capacity as an independent contractor and in doing so shall not be the employee, agent, legal representative, or partner of Mintebi or have the right or authority to assume or create any obligation or responsibility, whether express or implied, on behalf of or in the name of Mintebi At all times during Your provision of Consultations, You agree to act in good faith, in a professional and work like manner, to the best of Your ability, and in accordance with this agreement. You shall not provide Consultations that may result in a violation of applicable law, a violation of Your obligations to other third parties, or that presents a known conflict of interest. You specifically agree that You will not (i) disclose material, non-public information about any company where such disclosure might be a violation of applicable securities laws; (ii) disclose any third-party information that You have a duty to keep confidential (e.g. by agreement, employer policy, fiduciary duty etc.); (iii) provide Consultations if doing so would violate applicable law or any agreement with - or other obligation to - any person, employer, former employer or other entity; (iv) discuss or disclose nonpublic or proprietary information about any company of which You are an employee or director; (v) disclose any trade secrets or other confidential information not owned solely by You; or (vi) give investment advice, including without limitation, rating or recommending any security, providing advice as to the value of any security, or providing any advice regarding the advisability of investing in, purchasing or selling any security. 4. Assignment and sub-contracting 4.1. Mintebi is entitled to transfer, assign, subcontract or otherwise part with any or all of its rights and obligations to an assignee which is affiliated with Mintebi with Your reasonable consent You are entitled to assign or sub-contract your rights and obligations under this Engagement Letter to an assignee which is affiliated with your company. Any assignment to a third party requires Mintebi's prior consent. 4. Expert Undertakings, Representations and Warranties 4.1. You represent, warrant and undertake that at the date on which you accept this Engagement Letter and at all times thereafter during the term of this Agreement: EXPERT ENGAGEMENT LETTER 3 of 9

4 All information and material compiled by You in connection with the engagement contemplated under this agreement will be collected, compiled and provided to Mintebi or its Client in a lawful and ethical manner; You shall neither make nor purport to make any agreement or commitment on behalf of Mintebi or its client or reflecting or creating any obligation or undertaking on the part of Mintebi or its client; You have accurately represented your credentials to Mintebi and its client, including educational history and current and former employers. You understand and acknowledge that Mintebi and its client is relying on such information in choosing to engage You for Consultations hereunder; You are not restricted from providing Consultations to Mintebi or its clients pursuant to any binding agreements with any prior or current employers, codes of conduct, consulting agreements and other similar policies and agreements (in each case as applicable) and You have obtained all such necessary or appropriate consents and waivers necessary to ensure that You are permitted to provide Consultations hereunder; You have not been found guilty of or sentenced for any insider dealing, market abuse, money laundering or similar offences in any jurisdiction and you will inform Mintebi immediately upon becoming aware of any investigation involving you, or any charge brought against you, for such offences by an authority in any jurisdiction; if you are a government official or employee, you will not discuss government legislation, regulation, policy, contracts or any other business that you, as a government official or employee, would be in a position to vote upon or otherwise influence; You will not participate in any Consultation with a Client that, to the best of your knowledge, are employed with or represent a competitor of your current employer or a company for which you serve as an officer or director. The name and company of the Client will not always be disclosed in prior to a Consultation, but if you have reason to suspect that a Consultation will represent a conflict of interest in relation to your current employer, then you must ask Mintebi for this information or a confirmation that no such issue is present; 4.2. You acknowledge that Mintebi s Clients operate valuable businesses and therefore agree not to directly or indirectly contact, or solicit, or attempt to solicit any of Mintebi s Clients which you have participated in a Consultation with or become acquainted with through Mintebi, other than through Mintebi. This clause is effective from the time when you are introduced to a Client and extends to cover the period of two years from the date of your last Consultations with the Client unless otherwise agreed with a Mintebi officer.. This clause does not apply to the extent that you have a proven pre-existing relationship or association, based on past work performed. EXPERT ENGAGEMENT LETTER 4 of 9

5 5. Term and termination 5.1. This Engagement Letter shall come into force on the date of your acceptance of it and shall continue until terminated by either you or Mintebi in accordance with this clause You may terminate the engagement at any time by informing Mintebi in writing to 5.3. Mintebi may terminate these Terms and Conditions at any time with or without cause on written notice to you at your designated Upon termination pursuant to this clause 5, clause 4.1.8, 6, 7, 8, 12, and 13 remain in effect. 6. Intellectual property rights 6.1. You will not provide confidential, proprietary or trade secret information during any Consultation that may infringe, misappropriate or conflict with any Intellectual Property rights of any third party Unless specifically approved by Mintebi or its Client, You will not publish or permit to be published or distribute to anyone outside Mintebi any information or material attributed to Mintebi and/or its client. You may use Mintebi and its logo as a reference on your e.g. CV or LinkedIn profile, referring to the work performed as a subject-matter experts or subject-matter consultant. In addition, without the prior approval of Mintebi or its Client, You shall not disclose the fact of You having worked for or with Mintebi s Client pursuant to this Agreement for the purposes of soliciting work or otherwise for your personal benefit You agree that any such Consultation or Consultation Material will be incorporated freely without any restriction by Mintebi or its clients in its deliverables prepared for Mintebi or its Client s clients and such utilization of the Consultation Material will not be construed as a breach of this Agreement or Your covenants and You agree that all right, title, and interest in any findings, reports, inventions, writings, disclosures, discoveries, computer code, developments and improvements written, invented, made or conceived (whether or not patentable and whether or not copyrightable) by Mintebi or its Clients based on such Consultation or Consultation Material solely or jointly with others and whether during normal business hours or otherwise in the course of or arising out of this Agreement (referred to herein as Work product ) shall be and remain the sole and exclusive property of Mintebi or its Clients. For the purposes of Consultation(s) and Consultation Material, Your biographical information will only be used by the Client or Mintebi in an anonymized format, i.e. without reference to your name or and other identity-specific information, except if otherwise is agreed between You and Mintebi or the Client. 6 7. Confidentiality 7.1. You acknowledge and agree that any Confidential Information disclosed to you during your participation in a Consultation, or leading up to or in connection with a Consultation, or otherwise pursuant to these Terms & Conditions is the proprietary and confidential property of Mintebi and/or its Client. You undertake to keep confidential and not disclose the Confidential Information to any third party except insofar as; to obtain any necessary consent or approval required by you from a third party to participate in a Consultation provided such disclosure is strictly necessary, is on an "as needed" basis, is made subject to a requirement of confidentiality, and provided that you obtain Mintebi's and the Client s prior approval in each case; or the Confidential Information is required to be disclosed by law or by regulation, provided that you shall to the fullest extent legally permissible notify Mintebi, or the Client as appropriate, of the information to be disclosed and of the circumstances in which the disclosure is alleged to be required as early as reasonably possible before such disclosure must be made and shall take all reasonable action to avoid and limit such disclosure You acknowledge and agree that any breach of this clause 7 may cause irreparable harm to Mintebi and or its Client(s) and that damages would be an insufficient remedy in respect of such breach. Without prejudice to any other rights it might have, Mintebi shall be entitled to seek relief and other applicable equitable remedies in respect of any such breach Unless otherwise specifically approved by Mintebi or its Client(s), during an after your engagement or Consultation with Mintebi or its Client(s) you will not: Unless required for the performance of Your work for Mintebi or its Client(s), copy or reproduce anything which contains Confidential Information; Disclose Confidential Information to anyone within or outside Mintebi or its Clients organization who has not been approved by any officer of Mintebi; or Use Confidential Information for the benefit of anyone else than Mintebi or its Clients EXPERT ENGAGEMENT LETTER 6 of 9

7 7.4. Unless required for the performance of Your work for Mintebi or its Client or otherwise specifically approved by Mintebi, You will not publish or distribute to anyone outside Mintebi or its Client(s) any information or material attributed to Mintebi or its Client(s) or in which you are identified as having a relationship with Mintebi or its Client(s). You understand that not even the name of a Mintebi client is to be disclosed to anyone outside Mintebi except with specific permission in advance in writing from an officer of Mintebi. You consent to Mintebi s disclosure of your identity to its clients for whom services are being performed. You also understand that You must disclose your current employer s identity (if any) to Mintebi in order for Mintebi and its Client to assess any potential conflicts of interest. All right, title and interest in and to the Mintebi or its Client(s) Confidential Information shall be and remain vested in Mintebi or its Client. Nothing in this agreement shall grant You any license or right of any kind with respect to the Mintebi Confidential Information, other than to review and evaluate such information solely for the purpose of the disclosure You agree that you will not retain any Confidential Information in your personal possession after the completion of Consultations, and will return all Confidential Information as soon as reasonably predictable upon the completion of the Consultation for which the Confidential Informationwas disclosed or received. 8. Data Protection 8.1. Mintebi shall at all times comply with all applicable data protection and privacy legislation regarding the processing of all personal data obtained or held by Mintebi. For the purposes of this clause, the term "personal data" shall have the meaning given in the Danish Act on Processing of Personal Data Mintebi may store and process personal data submitted by you, such as your name, contact details and biographical information for the purposes of administering your participation on Consultations. You also acknowledge and agree that in certain circumstances Mintebi may be obliged to disclose your personal data to third parties, for example (i) in order to comply with any requirements of law or any legal process, or (ii) to protect and defend the rights or property of Mintebi or its clients when needed and if the third party receiving the data is subject to confidentiality. 8 9. Terms of payment 9.1. The fee You agree with Mintebi is payable on current month plus 10 business days after a completed Consultation. For phone-based Consultations, Mintebi or its Client is not liable for any Consultation canceled by the Client within the first 15 minutes as a result of inadequate knowledge of the agreed topic of discussion. If the reason for cancelation is disputable, Mintebi reserves the right to make a final decision In order to receive Your payment from Mintebi, You must provide all necessary bank account and invoicing information as requested by Mintebi prior to any payment. 10. Liability Except where otherwise stated in these Terms & Conditions, Minteb, its Client or You shall not be liable for any loss or damage, or any costs, expenses or other claims including without limitation:(i) loss of profit: loss of business; (ii) loss of revenue; (iii) loss of goodwill; (iv) loss of anticipated savings; (v) loss of any data or information and/or (vii) special or indirect loss or consequential loss or otherwise which arise out of or in connection with this Engagement Letter Mintebi and its Client(s) understand that any Consultation Material received is the product of an Expert s work to the best of his/her skill and ability, but cannot be relied upon legally and that Experts have no liability unless they have acted with gross negligence Mintebi and You shall have no responsibility or liability with respect to possible loss or breakdown of IT systems, except such possible loss or breakdown of IT systems is caused due to intentional misconduct or negligence of Mintebi or You and Mintebi or the Expert shall also not be responsible for any costs, expenses, loss or damage howsoever arising, as a result of any defect or breakdown in the transmission of IT systems except caused due to intentional misconduct or negligence of Mintebi or Expert. Mintebi or Expert shall use its best endeavors to rectify such failure, malfunction, loss or breakdown as soon as possible To the maximum extent permitted by applicable law, Mintebi exclusive remedy and entire liability for any claim related to the subject-matter of this agreement, whether in contract, warranty, tort, or any other legal theory, shall be limited to the total amount paid by Mintebi to You for those services provided hereunder upon which the liability is based To the maximum extent permitted by applicable law, Expert exclusive remedy and entire liability for any claim related to the subject-matter of this agreement, whether in contract, warranty, tort or any other legal theory shall be limited to DKK 50,000. Indemnity You will defend, indemnify and hold harmless Mintebi and its Client and any successors and assigns, from all loss, cost or damage incurred by any of them as a result of: (i) any breach or violation of any of the warranties or other obligations set forth in this Agreement; (ii) any injury or damage to Mintebi or Client property caused by any negligence or misconduct by You; (iii) any claim brought against Mintebi or its Client related to taxes or employment benefits allegedly owed to Mintebi as a result of Consultations provided hereunder; or (iv) any third party claims for Expert s misuse of confidential information or intellectual property infringement of any kind based in whole or in part upon services rendered hereunder. 12. Insider Information You acknowledge that you have been trained in and understand Your obligations under all applicable insider trading and similar laws related to the purchase and sale of securities based on material non-public information. You agree to comply with all applicable rules and regulations in this regard. You shall not disclose or offer to disclose any confidential information to others for facilitating trading in securities. 12. Alteration or amendments to the Terms & Conditions Your continued participation in Consultations and your Expert undertakings will be subject to the policies and the Engagement Letter in force at the time that you engage in a Consultation. If any of these agreements are deemed invalid, void or for any reason unenforceable, such term or condition will be deemed severable and will not affect the validity and enforceability of the remaining conditions. 13. Governing law and venue These Terms & Conditions are governed by Danish law, and the parties hereby irrevocably submit to the exclusive jurisdiction of the Danish Courts.
